About this file

This is a Business Confidentiality Claim form issued by the Utah State Archives Office of the Government Records Ombudsman in conjunction with Contract 116149, an amendment to add funding and extend an existing contract through the Utah Division of Purchasing. The form serves as a template for contractors and vendors to formally claim confidentiality protection for trade secrets and commercial financial information submitted as part of their proposals, in accordance with Utah Code 63G-2-305 and 63G-2-309. Claimants must provide both redacted and non-redacted versions of their proposals, with the entire proposal prohibited from being redacted. The form requires claimants to include detailed company information, identify specific pages and paragraphs requiring protection, and provide a concise written statement explaining the reasons for the confidentiality claim.

The confidentiality claim process is designed to protect sensitive business information from disclosure under the Government Records Access and Management Act (GRAMA) if a public records request is received. Claimants must demonstrate that disclosure could reasonably result in unfair competitive injury or that the information constitutes a protected trade secret. Submission of a confidentiality claim does not guarantee that information will be classified as protected; the determination remains subject to government review and applicable legal standards. The Division of Purchasing will not redact proposals on behalf of claimants who fail to submit a properly redacted version alongside their non-redacted submission.

Business Request for GRAMA Business Confidentiality Claim

Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
