About this opportunity

The Virginia Office of the Attorney General (OAG) is requesting proposals for special counsel services to the Virginia Department of Transportation and other Commonwealth agencies for evaluation, negotiation, and financing of privatization projects under the Public-Private Transportation Act of 1995 (PPTA) and the Public Private Education Facilities and Infrastructure Act of 2002 (PPEA), with proposals due October 12, 2026.

The scope encompasses legal analysis of PPTA and PPEA concepts and negotiation and drafting of agreements including Interim Agreements, Requests for Qualifications, Requests for Proposals, Comprehensive Agreements, Design-Build Contracts, and other implementation documents for both solicited and unsolicited privatization proposals. Transportation facilities subject to these partnerships include roads, bridges, tunnels, overpasses, ferries, airports, mass transit facilities, vehicle parking facilities, and similar commercial transportation infrastructure in Virginia. The selected counsel will advise multiple Commonwealth agencies on structuring relationships between private entities and responsible public entities to achieve timely or cost-effective project delivery.

Work is performed statewide with jurisdictional responsibility extending to Richmond City and Roanoke City among other Virginia localities. Qualifications should reflect experience in complex public-private partnership law, particularly under Virginia's PPTA and PPEA statutory frameworks and the negotiation of multi-party infrastructure financing and operating agreements. Questions are due at a date not specified in the source material.
