About this opportunity

The Texas Comptroller of Public Accounts is requesting proposals for bond and disclosure legal counsel services under RFP 240o, with proposals due September 15, 2026 at 2:00 p.m. Central Time. The Comptroller anticipates selecting two law firms to serve as bond counsel, disclosure counsel, or both for issuances of Tax and Revenue Anticipation Notes, Commercial Paper Notes, or other debt instruments authorized under Texas Government Code Chapter 404, Subchapter H.

Respondents must be qualified, independent attorneys or law firms specializing in public finance law. A Veteran Heroes in Business Subcontracting Plan is required, as the contract value is expected to exceed $100,000.

The scope encompasses comprehensive legal support: preparing Note Orders and official statements, obtaining Attorney General approval and registration, conducting presentations to rating agencies and prospective purchasers, evaluating bids, preparing legal opinions on validity and tax status and securities law compliance, managing document sessions and closings, supervising printing and delivery, and providing ongoing compliance advice regarding state and federal laws. Respondents must demonstrate detailed qualifications, experience with governmental entities, proposed personnel with five-year employment histories, financial statements demonstrating stability, and insurance coverage documentation.

The initial contract term runs January 1, 2027 through December 31, 2028, with two optional one-year renewal periods available at the Comptroller's sole discretion, plus potential six-month transition periods. All fees and expenses are contingent upon Note issuance and paid solely from Note proceeds; compensation is subject to maximum amounts per issuance, governed by the Office of the Texas Attorney General's Outside Counsel Rules and rate guidelines.

Evaluation is weighted 100 percent on demonstrated competence, knowledge, and qualifications, following a best value standard. Written questions are due July 28, 2026, with responses posted by August 4, 2026. Contract execution is anticipated December 1, 2026, with services commencing January 1, 2027.
