About this file
This document is a Sole Source Justification for an interim one-year contract for the Wayne County Outreach Clinic, issued by the Department of Veterans Affairs (VA). The VA's Veterans Integrated Service Network 04 (VISN04) requires a contract with Wayne County Memorial Community Healthcare Centers to maintain continuity of healthcare services for veterans in Wayne County, Pennsylvania. The interim contract is being awarded under Simplified Acquisition Procedures, with the specific justification being that only the incumbent contractor can provide the required services without disrupting patient care.
The contract will be a firm fixed-price one-year agreement, with the incumbent contractor being the only firm capable of maintaining healthcare services within the required performance period. The clinic provides primary care services including prevention, diagnosis, treatment, and referral services for veterans, operating within an existing Federally Qualified Health Center. The VA notes that competitive procurement would cause unacceptable delays, as a new contractor would require approximately four months to establish operations, comply with performance standards, and commence services. The agency is simultaneously conducting market research to support a long-term contract to succeed this interim requirement.

36C244-25-AP-3536 | Wayne County Outreach Clinic
DEPARTMENT OF VETERANS AFFAIRS
SOLE SOURCE JUSTIFICATION UNDER SIMPLIFIED PROCEDURES
FOR CERTAIN COMMERCIAL ITEMS IN ACCORDANCE WITH FAR 13.5
Acquisition Plan Action ID: 36C244-25-AP-3536
1. Contracting Activity:
Department of Veterans Affairs, Veterans Integrated Service Network 04 (VISN04), Wilkes Barre VA Medical Center (VAMC), Network Contracting Office 4 (NCO4), PR# TBD.
2. Nature and Description of the Action Being Processed:
This sole source justification supports a one-year contract to maintain continuity of healthcare services at the VA Outreach Clinic at Wayne County, Pennsylvania (Wayne County Outreach Clinic), pending establishment of a long-term contract for these services. This action is conducted in accordance with FAR 13.5 Simplified Procedures for Certain Commercial Items and specifically FAR
13.501 Special Documentation Requirements, where acquisitions conducted under Simplified Acquisition Procedures are exempt from the requirements of FAR Part 6, but still require a justification using the format of FAR 6.303-2. The government anticipates award of a firm fixed price contract to include a one-year performance period. The total estimated contract value is
3. Description of Services Required to Meet the Agency’s Needs:
The Wayne County Outreach Clinic currently provides healthcare services to veterans residing in the vicinity of Wayne County, PA, under the authority of 38 U.S.C. 8153. Under contract 36C24424P0750, the clinic provides a continuum of critical primary care services including prevention, diagnosis, treatment, and appropriate referral and follow-up services. Those patients that require specialty or follow-up care may be referred to the clinic’s parent facility: Wilkes Barre VAMC. The clinic provides coordinated care that is accessible, patient-centered, and consistent with VA standards as defined in VHA Directive 2006-041. Wilkes Barre VAMC requires a one-year interim contract to provide continuity of healthcare services as the station continues procurement planning for a long-term contract to provide the primary care services currently provided by the Wayne County Outreach Clinic.
4. Statutory Authority Permitting Other than Full and Open Competition:
FAR 13.5 Simplified Procedures for Certain Commercial Items. The statutory authority for applying the Simplified Procedures for Commercial Items of FAR 13.5 is 41 U.S.C. § 1901 and is implemented by FAR 13.106-1(b)(2) for restricting competition on this procurement. Competition is restricted on this procurement for the reason below:
(X) (1) Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements ( ) (2) Unusual and Compelling Urgency ( ) (3) Industrial Mobilization, Engineering, Developmental or Research Capability or Expert Services ( ) (4) International Agreement ( ) (5) Authorized or Required by Statute ( ) (6) National Security
( ) (7) Public Interest
5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):
The incumbent contractor, Wayne County Memorial Community Healthcare Centers, a large not-for-profit business entity, is the only firm with the capability to maintain continuity of healthcare services within the required performance period. The incumbent provides these services within an existing Federally Qualified Health Center (FQHC), which is not typical of contracted VA outpatient primary care clinics. The required services are highly specialized, and competitive procurement at this time would result in unacceptable delays that would disrupt patient care. Recognizing that award to a new contractor may entail a post-award start-up period of approximately four months to build-out a physical location, demonstrate compliance with Joint Commission, OIG, and VA standards of care for veterans, and to commence services, NCO4 intends to establish a one-year interim contract with the incumbent to avoid disruption to patient care pending long-term contract procurement. The incumbent contractor has performed successfully and is the only source with the necessary systems and processes in place pertinent to veteran eligibility, electronic patient records, diagnostic requests, invoicing, telemedicine, and other requirements to provide services in accordance with Joint Commission, OIG, and the Wilkes-Barre VAMC’s performance requirements.
The program office is developing planning documents to support the establishment of a long-term contract to succeed the subject effort.
6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable:
Because the agency requires continuity of healthcare services at the current location, only the incumbent contractor will be solicited for this interim contract. As indicated in Section 5 above, only the incumbent contractor has the necessary systems and processes in place to ensure continuity of healthcare services at the physical site in accordance with Joint Commission, OIG, and the Wilkes- Barre VAMC’s performance requirements. The government has provided public notice of intent to sole source a one-year interim contract and has not identified any source with capability to maintain continuity of services within the required performance period.
7. Determination by the Contracting Officer that the Anticipated Cost to the Government will be Fair and Reasonable:
The incumbent contractor currently provides the required services to Wilkes Barre VAMC. This demonstrates the incumbent contractor’s understanding of the healthcare services required and capability to provide those services at fair and reasonable market pricing. Additionally, the incumbent contractor is registered in System for Award Management (SAM) as a not-for-profit business entity. The contracting officer intends to evaluate pricing for the interim services in relation to current contract pricing, which was determined fair and reasonable at award, and the Independent Government Cost Estimate (IGCE).
8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted:
Market research for a competitive procurement was not conducted for this interim contract requirement, for the reasons detailed in Section 5 above. The contracting officer publicized this action by posting notice of the agency’s intent to sole source to SAM (Special Notice 36C24425Q0734/ NAICS 621498) on 05/30/2025, requesting that industry respond indicating interest and capability by 06/06/2025. Market research is currently being conducted relating to procurement of a long-term contract to succeed this interim requirement.
9. Any Other Facts Supporting the Use of Other than Full and Open Competition:
Intentionally left blank.
10. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition:
11. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to
Competition before Making subsequent acquisitions for the supplies or services required:
The agency is continuing to perform market research to support establishment of the long-term contract that will succeed this interim requirement and provide best value to the Government.
12. Requirements Certification: I certify that the requirement outlined in this justification is a Bona Fide Need of the Department of Veterans Affairs and that the supporting data under my cognizance, which are included in the justification, are accurate and complete to the best of my knowledge and belief.
