3.0 as Government Furnished, to perform non-personnel service required for a non-clinical case management service as defined in this Performce Work Statement (PWS) hereby attached. AMENDMENT 3

Question 8.) This is a firm-fixed price line item for the performance actual performed. This line item is not-to-exceed (NTE) line item. The contractor shall be paid for actual hours/time that the performance is completed in accordance with the PWS. Neither the total item price nor the total overall price of the contract is intended as a guarantee amount. The contractor is responsible for monitoring the price accrual of each line item and the overall price to ensure the NTE prices are not exceeded.

As a fixed price contract the offeror would charge a set agreed amount per month a specific set of services pursuant to the PWS. If that is case the amount invoiced would be the total amount awarded for CLIN 0001 divided by 12 and the total amount awarded for CLIN 0002 divided by

6. The offeror is obligated to provide the service required but bases its performance on the service not the hours.

Response:

a. CLIN 1001 OPTION CLIN – Text has changed: See above for details.

b. Within the Performance Work Statement (PWS) Paragraph 1.4.4 – Place of Performance of Service: The contractor shall provide services between normal duties hours which are

0700 and 1700 Monday through Friday, except on recognized US holidays or when the

Government facility/installation is closed due to local or national emergencies, administrative closings, or similar Government-directed facility/installation closings and unless specified otherwise for a Medical Readiness Event. (MRE).

c. When an unforeseen Government facility closure occurs on a scheduled day of work, the

Contractor shall not be required to perform any services on the day of the closure and shall receive no payment (unless the Contracting Officer designates the services as essential during the time of facility closure). In the event of a partial day unforeseen

Government facility closure, the Government will notify the Contractor within one hour after notification of the facility closure is received. Payment of a partial day closure will be made for the actual time worked.

Question 9.) While the offeror intends to provide the hours requested, if the hours didn’t meet those requested in the PWS, how would the government expect the Offeror to adjust its invoice, if at all? Further, if the answer is that the invoice is based on hours, could the government restate the contract type to T&M?

Response: This RFQ doesn’t have a prescibed number of work hours. The RFQ remains a Firm-

Fixed Price Contract. The Contracting Officer shall follow the requirements of FAR 52.246-4, Inspection of Services – Fixed price (Aug 1996) for contractor’s failure to correct non-conforming services. In the event that services fail to conform to contract requirements and cannot be remedied by re-performance, the Government reserves the right to reduce the contract price to reflect the reduced value of the non-conforming services. The Government will notify the contractor of weaknesses or discrepancies as they become apparent. The first notification will be to attempt to obtain re-performance if possible.

Question 10.) How many employees and hours were are/on the incumbent contract?

Response: The potential contractor is to use their professional experience to determine how many qualified personnel they will need to complete this requirement. It may be more or less than the incumbent contract.

Question 11.) What were the titles of the positions?

Response: Nurse Case Manager and Case Management Assistants.

Question. 12.) Is the expected workload the same as it is in the existing contract?

Response. See the Performance Work Statement (PWS), Technical Exhibit 3 – Estimated

Workload Date – Page 99 of 99 Pages of the RFQ, which is not a guarantee of workload quantities.

52.246-4 INSPECTION OF SERVICES--FIXED-PRICE (AUG 1996)

(a) Definitions. "Services," as used in this clause, includes services performed, workmanship, and material furnished or utilized in the performance of services.

(b) The Contractor shall provide and maintain an inspection system acceptable to the Government covering the services under this contract. Complete records of all inspection work performed by the Contractor shall be maintained and made available to the Government during contract performance and for as long afterwards as the contract requires.

(c) The Government has the right to inspect and test all services called for by the contract, to the extent practicable at all times and places during the term of the contract. The Government shall perform inspections and tests in a manner that will not unduly delay the work.

(d) If the Government performs inspections or tests on the premises of the Contractor or a subcontractor, the

Contractor shall furnish, and shall require subcontractors to furnish, at no increase in contract price, all reasonable facilities and assistance for the safe and convenient performance of these duties.

(e) If any of the services do not conform with contract requirements, the Government may require the Contractor to perform the services again in conformity with contract requirements, at no increase in contract amount. When the defects in services cannot be corrected by reperformance, the Government may (1) require the Contractor to take necessary action to ensure that future performance conforms to contract requirements and (2) reduce the contract price to reflect the reduced value of the services performed.

(f) If the Contractor fails to promptly perform the services again or to take the necessary action to ensure future performance in conformity with contract requirements, the Government may (1) by contract or otherwise, perform the services and charge to the Contractor any cost incurred by the Government that is directly related to the performance of such service or (2) terminate the contract for default.
