FOR THE
GERMANY AND BELGIUM SCHOOL MAINTENANCE PROGRAM DEPARTMENT OF DEFENSE
EDUCATION ACTIVITY - EUROPE (DODEA-E)
PREVENTIVE MAINTENANCE AND REPAIR
INDEFINITE DELIVERY, INDEFINATE QUANITY CONTRACT
1 BACKGROUND AND INTRODUCTION
1.1 The Department of Defense Education Activity (DoDEA) is a Department of Defense Field Activity and is responsible for the operation of a unique school system that serves students worldwide, crossing far more than school districts and state boundaries, with schools on three continents. DoDEA is comprised of the two regions OCONUS Europe, and Pacific which is DoDEA's overseas school system, and DoDEA America, which is DoDEA's domestic school system. DoDEA employs more than 12,500 individuals responsible for the education of approximately 86,000 students in schools located in twelve (12) foreign countries, seven states, Guam and Puerto Rico. DoDEA's mission is to provide a quality education from pre-kindergarten through grade twelve for the eligible minor family members of DoD military and civilian personnel on official assignments.
1.2 DoDEA-Europe (DoDEA-E) serves the educational needs of military and civilian employee dependents by providing PK-12 instruction to over 35,000 students. DoDEA’s curriculum and resources compare favorably to high-performing US public schools. While school population should remain relatively stable, fluctuation may occur due to external DoD and military requirements. Contracted services shall support reduction in schools, additional schools, and/or realignments that occur throughout DoDEA-E during the life span of the contract to meet new mission requirements. The overriding objective is to provide the services stated herein with the utmost reliability to minimize any negative impacts on schools which could adversely affect the DoDEA-E mission
1.3 The U.S. Army Corps of Engineers, Europe District (CENAU) will order services for Routine and Non Routine services that include Inspections, Preventive Maintenance and Repair of school facilities and equipment in Ge any and Belgium through the issuance of task orders to effectively support all DoDEA-E locations throughout Ge any and Belgium. Approved emergency repair work or repairs over a contractually specified threshold will be executed as Cost Plus Fixed Fee (CPFF) utilizing a contract line item number (CLIN).
1.4 These maintenance services are required in order to ensure that all DoDEA-E facilities remain functional, and provide a safe and healthy environment that supports and enhances the educational mission of the agency.
Performance through individually funded task orders will satisfy the services needed in a changing environment where schools may be added or removed throughout the life of the contract.
1.5 DoDEA-E has provided technical exhibits that include historical data on workload and project work and historical maintenance over €5,000. The Exhibits and Locations of Schools shall be specified at the Task Order level.
2 SCOPE
2.1 The Contractor shall perform Routine/Non-Routine Inspections, Preventive and Routine Maintenance (PM and RM) and Repair, and Project Work throughout DoDEA-E locations in Germany and Belgium.
2.2 Routine services are defined as services on a recurring basis as specified in this PWS and applicable attachments and exhibits. Routine services do not require Government approval to proceed and are the responsibility of the contractor.
2.3 A preventative maintenance plan will be submitted by the contractor with-in the time period stated with-in each task order PWS. The plan’s intent will be to sustain or extend the life of installed equipment and facilities and/or reduce the cost of equipment operations and maintenance. The intent of this contract is not for new construction projects or complex alteration and repair projects that involve a high degree of variability related to, for example, a complicated and interdependent combination of site requirements, weather and physical conditions, labor availability, and project schedules.
All items listed below fall under both routine services and/or preventative maintenance. Frequencies will be defined at the task order level.

The Government and the Contractor understand and agree that the services to be delivered under this contract by the Contractor to the Government are non-personal services and the parties recognize and agree that no employer-employee or master-servant relationship exists or will exist under the contract between the Government and the Contractor and/or between the Government and Contractor's personnel. The Contractor personnel shall be responsible solely to the Contractor, who, in turn, shall be accountable to the Government.
b. The Government shall not exercise any supervision or control over Contractor personnel performing services under this contract. Contractor personnel shall not be placed under the supervision, direction, or evaluation of a Federal Officer, military or civilian, in connection with performance under this contract. Likewise, Contractor personnel shall not be placed in a position of command, supervision, administration, or control over Department of the Army military or civilian personnel, or personnel of other prime contractors, or become an integrated part of the Government organization in connection with performance under this contract. Contractor personnel shall not be used in administration or supervision of military procurement activities.
c. Rules, regulations, directives, and requirements which are issued during the contract term by DA Military Command Authorities, under their responsibility for law and order, administration, and security on the installation shall be applicable to all Contractor personnel or representatives who enter the installation, or who travel on Government transportation. This requirement shall not be construed or interpreted to establish any degree of Government control which is inconsistent with the intent of a non-personal services contract. Contractor personnel or representatives shall be subject to such checks as may be necessary to assure that their presence on the installation does not violate these requirements. No employee shall be permitted on the installation when such a check reveals that his presence would be detrimental to the security of the installation or accomplishment of work. When directed by the Contracting Officer, the Contractor shall remove any employee from an assignment to perform services under this contract for reasons of misconduct or breaches of security in connection with his or her employment or any employee determined otherwise objectional by the Contracting Officer.
d. Upon completion of their assigned shift, Contractor employees shall depart the work area and shall not loiter elsewhere on the military installation.
e. Contractor and Contractor personnel shall not be eligible, by virtue of performance under this contract, for payment by the Government of entitlements and benefits accorded Federal employees.
STR 52.000-4038 ENGLISH SPEAKING REPRESENTATIVE (AUG 1993)
At all times when any performance of the work at the site is being conducted by any member of the Contractor or its subcontractors, the Contractor shall have a representative present on the site who is capable of explaining the work operations and receiving instructions in the English language. The Contracting Officer shall have the right to determine, without appeal of such decision, whether the proposed representative has sufficient technical and linguistic capabilities, and the Contractor shall immediately replace any individual not acceptable to the Contracting Officer.
STR 52.000-4074 TAX RELIEF (FOREIGN COUNTRIES OTHER THAN GERMANY)
(a) Prices contained in this contract are exclusive of all taxes and duties from which the U.S. Government is exempt by virtue of any tax agreements between the United States Government and the Contractor's Government. The following taxes and duties have been excluded from the contract prices:
NAME OF TAX PERCENTAGE
Value Added Tax 21% Belgium
(b) The Contractor's invoice shall separately list the gross price, amount of the tax deducted, and the net price changes.
(c ) When items manufactured to United States Government specifications are being acquired, the Contractor shall identify the materials or components intended to be imported in order to ensure relief from import duties are obtained. If the Contractor intends to use imported products from inventories on hand, the price of which included a factor for import duties, arrangements will be made to pay a refund to the Contractor by its government;
by the duty free import of a corresponding amount of supplies or components used from inventory; or otherwise, to ensure the exemption of the United States Government from these taxes.
(End of Clause)
52.000-4133 WORKERS COMPENSATION INSURANCE (DEFENSE BASE ACT) – COUNTRIES WITH
WAIVERS (SEPTEMBER 2017)
(a) This clause supplements FAR Clause 52.228-3. The Department of Labor has waived application of the Defense Base Act (DBA) for performance of work by employees other than U.S. citizens and employees recruited in the U.S. in any country listed at the US Department of Labor website here: https://www.dol.gov/owcp/dlhwc/dbawaivers/dbawaivers.htm
Accordingly, this clause applies to work performed by U.S. citizens, employees recruited in the U.S. and also to work by any employee performed in a country for which a Defense Base Act waiver is not in place.
The Department of Labor (DOL) has approved multiple insurance carriers which promote a competitive market environment. Therefore, contractors shall obtain commercially available DBA insurance from a DOL authorized insurance carrier unless the contractor is under a self insurance program approved by the DOL or subject to a waiver. The DOL approved carriers and self insured employers are available at http://www.dol.gov/owcp/dlhwc/lscarrier.htm.
(b) The contractor agrees to insert a clause substantially the same as this one in all subcontracts to which DBA is applicable. Subcontractors shall be required to insert a similar clause in any of their subcontracts subject to the DBA.
52.230-2 COST ACCOUNTING STANDARDS (OCT 2015)
(a) Unless the contract is exempt under 48 CFR 9903.201-1 and 9903.201-2, the provisions of 48 CFR Part 9903 are incorporated herein by reference and the Contractor, in connection with this contract, shall--
(1) (CAS-covered Contracts Only) By submission of a Disclosure Statement, disclose in writing the Contractor's cost accounting practices as required by 48 CFR 9903.202-1 through 9903.202-5, including methods of distinguishing direct costs from indirect costs and the basis used for allocating indirect costs. The practices disclosed for this contract shall be the same as the practices currently disclosed and applied on all other contracts and subcontracts being performed by the Contractor and which contain a Cost Accounting Standards (CAS) clause. If the Contractor has notified the Contracting Officer that the Disclosure Statement contains trade secrets and commercial or financial information which is privileged and confidential, the Disclosure Statement shall be protected and shall not be released outside of the Government.
(2) Follow consistently the Contractor's cost accounting practices in accumulating and reporting contract performance cost data concerning this contract. If any change in cost accounting practices is made for the purposes of any contract or subcontract subject to CAS requirements, the change must be applied prospectively to this contract and the Disclosure Statement must be amended accordingly. If the contract price or cost allowance of this contract is affected by such changes, adjustment shall be made in accordance with subparagraph (a)(4) or (a)(5) of this clause, as appropriate.
(3) Comply with all CAS, including any modifications and interpretations indicated thereto contained in 48 CFR Part 9904, in effect on the date of award of this contract or, if the Contractor has submitted certified cost or pricing data, on the date of final agreement on price as shown on the Contractor's signed certificate of current cost or pricing data. The Contractor shall also comply with any CAS (or modifications to CAS) which hereafter become applicable to a contract or subcontract of the Contractor. Such compliance shall be required prospectively from the date of applicability to such contract or subcontract.
(4)(i) Agree to an equitable adjustment as provided in the Changes clause of this contract if the contract cost is affected by a change which, pursuant to subparagraph (a)(3) of this clause, the Contractor is required to make to the Contractor's established cost accounting practices.
(ii) Negotiate with the Contracting Officer to determine the terms and conditions under which a change may be made to a cost accounting practice, other than a change made under other provisions of subparagraph (a)(4) of this clause; provided that no agreement may be made under this provision that will increase costs paid by the United States.
(iii) When the parties agree to a change to a cost accounting practice, other than a change under subdivision (a)(4)(i) of this clause, negotiate an equitable adjustment as provided in the Changes clause of this contract.
(5) Agree to an adjustment of the contract price or cost allowance, as appropriate, if the Contractor or a subcontractor fails to comply with an applicable Cost Accounting Standard, or to follow any cost accounting practice consistently and such failure results in any increased costs paid by the United States. Such adjustment shall provide for recovery of the increased costs to the United States, together with interest thereon computed at the annual rate established under section 6621(a)(2) of the Internal Revenue Code of 1986 (26 U.S.C. 6621(a)(2)) for such period, from the time the payment by the United States was made to the time the adjustment is effected. In no case shall the Government recover costs greater than the increased cost to the Government, in the aggregate, on the relevant contracts subject to the price adjustment, unless the Contractor made a change in its cost accounting practices of which it was aware or should have been aware at the time of price negotiations and which it failed to disclose to the Government.
(b) If the parties fail to agree whether the Contractor or a subcontractor has complied with an applicable CAS in 48 CFR 9904 or a CAS rule or regulation in 48 CFR 9903 and as to any cost adjustment demanded by the United States, such failure to agree will constitute a dispute under 41 U.S.C. chapter 71, Contract Disputes.
(c) The Contractor shall permit any authorized representatives of the Government to examine and make copies of any documents, papers, or records relating to compliance with the requirements of this clause.
(d) The Contractor shall include in all negotiated subcontracts which the Contractor enters into, the substance of this clause, except paragraph (b), and shall require such inclusion in all other subcontracts, of any tier, including the obligation to comply with all CAS in effect on the subcontractor's award date or if the subcontractor has submitted certified cost or pricing data, on the date of final agreement on price as shown on the subcontractor's signed Certificate of Current Cost or Pricing Data. If the subcontract is awarded to a business unit which pursuant to 48 CFR 9903.201-2 is subject to other types of CAS coverage, the substance of the applicable clause set forth in subsection 30.201-4 of the Federal Acquisition Regulation shall be inserted. This requirement shall apply only to negotiated subcontracts in excess of $750,000, except that the requirement shall not apply to negotiated subcontracts otherwise exempt from the requirement to include a CAS clause as specified in 48 CFR 9903.201-1.
