Section C - Descriptions and Specifications

SCOPE OF WORK

MVK HYDRAULICS BRANCH SURVEY VESSEL

SCOPE OF WORK

1. OVERALL:

The boat shall be an aluminum monohull. The boat shall be arranged with a deckhouse, twin outboard propulsion, a gas air-cooled generator, and a survey transducer retractable over bow mount.

Particulars are delineated below.

2. OPERATIONAL AREA:

The boat operational area is Mississippi River and numerous Tributaries

3. HULL & MOTOR PLATFORMS:

a. Hull – the hull shall be a monohull type with a squared bow. Hull length from bow to transom, measured on deck, shall be between 25 feet and 25 feet – 11 inches.

Hull beam including rub strakes shall be 9.5 feet. The hull shall provide minimum 6 inch wide walkway outboard of the cabin on both sides.

b. Outboard Motor Platform – aft of the hull transom, an outboard motor mounting platform shall be provided. The platform shall be buoyant and shall provide extension of the hull bottom planing surface.

4. COCKPITS & SIDE DECKS:

The craft shall exceed ABYC H-4 requirements for self-bailing decks.

5. FLOTATION & STABILITY:

The craft shall pass ISO 12217-1 intact stability criteria for design category B. Upon completion of production level design, an analysis shall be provided that identifies the craft weight, center of gravity with respect to a recognizable coordinate system, margins, and the loading conditions. Hydrostatic properties for the craft at each loading condition shall be included with the analysis. The maximum capacity of the craft shall be established using ABYC H-5.

6. FLOTATION WATERTIGHT BULKHEADS:

Flotation or Watertight Bulkheads shall be provided to ensure the craft will remain upright and afloat in the event of a single hull breach.

7. OPERATIONAL TRIM:

The vessel design shall be such that there is no trim by bow in any load condition.

8. STRUCTURE:

All aluminum used shall be either 5,000 or 6,000 series marine aluminum alloy.

Hull structure and scantlings shall be designed to meet ABS Rules for High Speed Naval Craft.

The hull structure shall also be adequate for loads applied during trailering.

The boat shall be fitted with bow eye as required for trailering. The bow of the boat shall be reinforced for the loads applied by the trailering bow eye.

9. DESIGN & CONSTRUCTION STANDARDS:

In addition to the requirements in this specification, the boat shall meet all standards of the American Boat and Yacht Council (ABYC).

10. DECKHOUSE ARRANGEMENTS:

Deckhouse shall be single level with pilot's station and surveyor's stations and consoles.

11. DECKHOUSE WINDOWS & DOORS:

Windows shall be suitable for open water operation. Spacing between windows shall be minimized for best all-around visibility.

Two windows each house side shall be slide opening.

All windows shall be tinted except driver forward window.

The forward operator window shall be fitted with heavy duty marine wiper. The wiper shall sweep clear a minimum of 80% of the clear glass window area.

Dogged aluminum weather-tight doors shall be provided in the deckhouse forward and after bulkheads. The aft door shall be provided with 6 inch sills. The doors shall be equipped with a window, matching the height of the house windows.

13. BILGE PUMPS & ALARM SYSTEMS:

Each hull watertight compartment shall be provided with a self-priming 12 volt DC bilge pump and bilge alarm.

Each hull bilge pump overboard discharge line shall be looped with the loop extending as high as possible under the hull deck.

The pipe ID shall be at least equal to the pump discharge ID.

Bilge pumps shall be 12 volt DC. Minimum bilge pump rated capacity shall be 1500 GPH at 3 foot discharge head.

Bilge pumps shall be configured to allow either automatic or manual operation. The switch controls for each bilge pump shall be located at the operator's station. The bilge pump controls shall allow operator selection of either automatic or manual operation.

14. OUTFIT:

Deckhouse floor shall be covered with rubber anti-fatigue floor matting, installed over an acoustic foam underlayment.

Deckhouse sides and overhead shall be sheathed in paneling that is coated white.

Acoustic and thermal insulation shall be provided behind the sheathing and under the deckhouse floor.

15. SEATING

The operator's station and the survey station shall be fitted with marine shock mitigation seats, Bentley Mariner or equal.

One seat shall be provided at the operator's station, and one seat shall be provided at the surveyors' station.

16. CLEATS, CHOCKS & RUB STRAKES:

CLEATS:

The hull shall be provided with 3 aluminum welded cleats per side. All cleats shall be 12 inch.

CHOCKS:

Two open chocks shall be provided on the bow 12 inches off centerline port and starboard. These shall be aligned with the two bow cleats for anchoring. All chocks shall be sized for 3/4 inch diameter rope.

RUB STRAKES:

Rubber rub strake shall be provided along the sides of the vessel at the bulwark upper edge.

17. ANCHOR AND LINE LOCKER:

An anchor sized for the boat shall be provided, including 300 feet of 5/8 inch nylon, three strand line. An anchor line locker shall be provided. The line locker shall be watertight, and separate from the hull compartments. The line locker shall include an overboard drain, and a watertight aluminum quick acting access hatch. The line locker shall not drain into the hull.

18. HATCHES:

Quick acting watertight aluminum hatches, similar to Freeman, shall be provided for deck entry into all hull compartments.

Outboard platform compartment shall be provided with a 12 inch clear diameter hatch for inspection and access.

19. FUEL SYSTEM:

Tank capacity shall be between 100 and 120 gallons.

The tanks shall be fitted with remote read out fuel gauge. The fuel gauge shall be matched to the fuel tank shape such that the gauge reading corresponds to the amount of fuel in the tank, not the level of fuel. The fuel supply to the outboard motors shall incorporate 10 micron spin-on water separating filters with all metal elements (no plastic or glass bowl). Filters shall be located in an accessible location with ample clearance for replacing the filter elements.

Fuel system to meet EPA rules for diurnal emissions.

20. PROPULSION:

The Government shall furnish for propulsion engines for the vessel twin Yamaha 150 HP outboard motors, model number LF150XB and model number F150XB.

Vendor shall provide all necessary rigging and steering components for installation of the Government furnished engines.

Propellers shall be stainless steel and shall be from the engine manufacturer. A spare set of stainless steel propellers shall be provided.

Engine gauge systems shall utilize data bus technology. Real time fuel flow gauges shall be provided for each engine.

Steering system shall be power assist hydraulic. Power assist pump shall be 12 volt DC.

Steering system shall provide Hard-Over to Hard-Over travel in no more than 4 turns of the steering wheel.

Outboard controls shall be dual binnacle type, with integral switches for outboard trim and tilt.

An outboard protection bar shall be provided and installed to protect the outboards while docking and during towing.

21. GENERATOR:

The Government shall furnish and the contractor shall install a EU7000 120 volt AC gasoline powered generator. The generator shall be mounted on an elevated platform in the after deck area. The platform base shall be even with the top of the bulwark.

22. AC ELECTRICAL:

The AC electrical distribution system shall be a single point grounded system in accordance with ABYC requirements. The system shall include a cabin distribution panel with ammeter, volt meter, and frequency (Hz) meter with selector switch, main breaker and breaker slots for minimum of 8 circuits. The AC electrical distribution system shall also have a ground fault system with ammeter with test switches and polarity indicator with red and green lights per ABYC. The AC system shall provide power to the Air Conditioner and AC receptacles.

• Duplex 120 volt AC outlets shall be provided as follows: o Survey Station - 2 duplex receptacles.

o Operators station - 2 duplex receptacles.

o House after bulkhead - 1 duplex receptacle.

o Battery Charger, one duplex receptacle for each charger.

• Uninterrupted power supply suitable for installation in a cabin vessel with sufficient power to supply all survey equipment for 5 minutes in the event of AC power loss.

23. BATTERIES & AC CHARGER:

BATTERIES:

Four 12 volt identical marine combined deep cycle and starting batteries shall be provided, one for each outboard motor, one for the house DC power, and one for the generator. All batteries shall be sized for the outboard motor starting CCA plus 20%.

CA rating for above 32 degrees shall be used to size the batteries. Batteries shall be sealed maintenance free Absorbed Glass Mat type.

BATTERY CHARGER:

Each battery bank shall be provided with a marine AC battery charger. Charger output shall be minimum 50 amps. The charger shall sense battery condition and automatically switch from bulk charging mode to charge maintenance mode. The outboard engine start batteries shall be charged by their respective engines as well as the AC chargers. The house battery shall be charged only by the AC charger. Batteries shall be mounted in weather-tight battery boxes. The battery mounting shall be fastened to the deck such that the batteries will not move during hull accelerations.

24. DC ELECTRICAL:

A DC electrical system shall be provided for:

• Bilge pumps

• Navigation lights

• Navigation gear

• Engines

• DC lighting

• Two DC console outlets (cigarette lighter type)

• Survey station DC power supply

The DC system shall include a distribution panel at the operator’s station. The distribution panel shall include a switch to allow power to be selected from any one of the four batteries. The two console 12 volt DC outlets shall be located one each at survey and operator's station.

25. SHORE POWER:

A single 120 volt AC 30 amp shore power system shall be provided, to include 50 foot shorepower cable. The shore power system shall have a UL approved 120 volt to 240/120 volt AC Isolation Transformer.

The shore power system shall provide power to the following:

• AC receptacles

• Battery chargers

• Heating and cooling

26. DC LIGHTING:

• The cabin DC Lighting System shall consist of dimmable LED fixtures for night operation. Each fixture shall have red and white light, with a selector switch on the fixture to switch between red and white. Four fixtures, each individually switched and dimmed shall be provided in the deckhouse.

• A minimum 400,000 Candela DC searchlight shall be provided on the house top. The searchlight shall be controllable from the operator’s station.

• An amber and red strobe light shall be mounted on the house roof.

• DC powered, non-dimmable LED lighting, white, shall be provided for the areas under the pilothouse consoles.

• Non-dimmable LED lighting, white, shall also be provided for each hull compartment, with the light located adjacent to the compartment access hatch. Illumination levels in these areas shall be adequate for good maintenance visibility.

28. COATINGS, SIGNAGE & DRAFT MARKS:

• Non-skid coating shall be provided on exterior decks, color Deck Red (FS #10076).

• The cabin exterior shall be painted, color Old Ivory (FS #17855).

• Corps of Engineers Signage and labeling shall be provided on hull and Corps castle shall be provided and mounted on house, port and starboard. The Castle Logo shall be adhesive sheeting applied to the stainless steel or aluminum backing plate. The sheeting shall be 3M Diamond Grade DG Reflective Sheeting Series 4000.

Except as described above, the boat shall be unpainted.

29. SURVEY STATION:

The surveyor's stations shall be provided in the house on the port side. The station shall be desk configuration, with seating for one surveyors. The survey station shall be designed so as to leave access space and steps to the forward house door.

30. MULTI-BEAM TRANSDUCER OVER BOW STRUT:

The contractor shall install a Government furnished multi-beam transducer strut to include hydraulic actuator and pump.

31. HEAVE ROLL COMPENSATOR PLATFORM:

HEAVE ROLL COMPENSATOR PLATFORM

The contractor shall provide and install a mounting plate, approximately 10 inches square, for the heave roll compensator. The mounting plate shall be located on centerline, approximately 10 inches below the cabin sole. The longitudinal location of the platform shall be approximately at midships.

32. BOTTOM SAMPLING DAVIT:

The contractor shall supply a davit rated for 2000lb capacity. Winch and cable shall be furnished by the Government.

33. SURVEY WIREWAYS & PASS-THROUGHS:

WIREWAYS

The contractor shall provide a dedicated wire-way for the survey gear. The wire-way shall run:

• From the survey computer station forward to the transducer.

• From the survey computer station to the survey GPS antenna.

Wireways shall provide wire strapping bars at no more than 12 inch spacing. No vessel wiring shall be located in any of the survey wireways. The wireways shall be fitted with removable joiner panels for the areas inside the deckhouse. The wireways shall terminate in minimum 6 inch diameter clear openings at the GPS mount and at the transducer well, with bolted watertight closure plates.

PASS-THROUGHS

In addition to the above wireways, pass-through openings shall be provided in the port side forward and after cabin bulkheads.

These shall be located vertically with the lower edges approximately 6 inches above the cabin counter surface level. These shall provide minimum 6 inch square clear openings. Brush seal shall be provided around the perimeter of the openings to allow wire pass through, while minimizing heat or cooling loss through the opening.

A hinged weathertight aluminum cover shall be provided on the cabin exterior, over the pass through opening.

34. HEATING & AIR CONDITIONING:

Roof mounted heating and air conditioning shall be provided in deckhouse. The heating and air conditioning systems sizing shall be adequate to maintain cabin temperature between 70 and 80 degrees with outdoor temperatures ranging between 30 and 100 degrees. The heating and air conditioning shall be powered by the AC generator, and by shore power.

35. NAVIGATION, COMMUNICATION & OUTFITTING:

The builder shall provide (unless otherwise specified) and install the following equipment and fabricated components:

• Mast with platforms for navigation lighting.

• Complete LED navigation lights.

• Mount bar for dual survey GPS antennas (antennas will be Government furnished), with minimum 5-foot transverse spacing.

• Carbon monoxide sensor.

• Gasoline fume detector.

• Overhead radio mount rack (2 radios).

• Two VHF radios and antennas, ICOM M604 or equal. (one VHF will be Government furnished)

• Raymarine dual screens, rear deck camera, satellite weather radio, ship traffic-radar head and transducers for depth (Government furnished.)

• Flare kit.

• Boat hook, aluminum, 6 foot.

• Two fire extinguishers, 6 lb.

• First aid kit.

• Ring buoy, 24 inch with line and bracket.

36. TRAILER:

The boat shall be provided with a trailer. The trailer shall be either two or three axle, depending on the required trailer load rating for the boat. The trailer frame shall be galvanized steel or aluminum. The trailer shall be bunk type. Bunks shall be aligned to hull. The bunk system shall be configured such that there are no bunks under the transducer area.

The trailer shall be provided with the following features:

• Bunks as described above.

• Upright hull guides.

• Brakes, electrically actuated from the towing vehicle.

• Manual winch sized for the boat trailer loading line pull.

• Spare tire and carrier, mounted on the trailer.

• Greasing hubs on all wheels.

• Sealed watertight LED lights.

• Heavy duty tongue jack, rated 2000 pounds minimum, with articulated foot plate.

• Overall fixed height with the vessel on the trailer shall not exceed 13 ft – 6 inches.

37. TESTS AND TRIALS:

Prior to delivery from the builder's facility, the contractor shall complete the following tests and trials:

• Operational trials - demonstrate the correct operation of all on board systems and machinery components.

• Full load speed trials - demonstrate the vessel top speed.

• Trailering - demonstrate launching from trailer into the water, and hauling from the water onto the trailer.

• Shore power - demonstrate operation of AC electrical components on shore power.

• Stray current and ground fault test – no stray current or ground faults shall be permitted.

• Upon delivery at the manufacturer the contractor shall repeat the operational trials.

• The Government will provide local water access and a site for launching the boat from the trailer.

38. DOCUMENTATION:

The following documents shall be provided by the builder, for the purpose of operating and maintaining the vessel:

• Arrangement drawings

• Hull lines drawing

• Hull structural drawing

• Hull table of hydrostatics in salt water

• AC and DC electrical schematics

• Gasoline fuel schematics

• Engine power steering hydraulic schematic

• Trailer VIN

• Equipment operating manuals

• Trial Reports

• Warranties

39. QUOTATION TECHNICAL AND EXPERIENCE REQUIREMENTS:

Each quotation shall include the following:

• For Technical Features, the following shall be provided:

• Hull form suitability for area of operation

• Structural and system design standards

• AC electrical system details

• DC electrical system details

• Heating, ventilation and air conditioning

• Fuel capacity (gasoline and diesel fuel)

• Trailer make, model and bunk arrangement

• Warranties for outboards: Local (to RJ’s Outboard and Marine 1208 Old Fannin Rd # B, Brandon, MS 39047) outboard motor warranty service provider

• Warranties for remainder of the vessel

• Brief description of method for compliance for each of the above paragraphs from #1 to #38.

Documentation as follows:

• Estimated weight and CG

• Estimated maximum speed

• Compliance with ISO criteria for floatation and for cock pit drainage

Drawings as follows:

• Hull lines drawing

• Arrangement and profile drawings

• House arrangement drawing, showing survey and operators stations, seats, steps, benches, and other furnishings

40. VESSEL DELIVERY REQUIREMENTS:

• Vessel shall be completed and available for delivery/pick-up by October 31, 2019

• The current vessel with GFE installed on it will be made available for de-rigging and transfer of GFE specified above 60 days prior to vessel delivery/pick-up

52.212-4 CONTRACT TERMS AND CONDITIONS-- COMMERCIAL ITEMS (OCT 2018)

(a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights (1) within a reasonable time after the defect was discovered or should have been discovered; and

(2) before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.

(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C. 3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.

(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.

(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes'', as amended (41 U.S.C. 601-613).

Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at FAR

52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.

(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.

(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the

Contracting Officer in writing as soon as it is reasonably possible after the commencement or any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.

(g) Invoice.

(1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include--

(i) Name and address of the Contractor;

(ii) Invoice date and number;

(iii) Contract number, line item number and, if applicable, the order number;

(iv) Description, quantity, unit of measure, unit price and extended price of the items delivered;

(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on

Government bill of lading;

(vi) Terms of any discount for prompt payment offered;

(vii) Name and address of official to whom payment is to be sent;

(viii) Name, title, and phone number of person to notify in event of defective invoice; and

(ix) Taxpayer Identification Number (TIN). The Contractor shall include its TIN on the invoice only if required elsewhere in this contract.

(x) Electronic funds transfer (EFT) banking information.

(A) The Contractor shall include EFT banking information on the invoice only if required elsewhere in this contract.

(B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause (e.g., 52.232-33, Payment by Electronic Funds Transfer—System for Award

Management, or 52.232-34, Payment by Electronic

Funds Transfer--Other Than System for Award Management), or applicable agency procedures.

(C) EFT banking information is not required if the Government waived the requirement to pay by EFT.

(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of

Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315.

(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any

United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the

Contractor is reasonably notified of such claims and proceedings.

(i) Payment.--

(1) Items accepted. Payment shall be made for items accepted by the Government that have been delivered to the delivery destinations set forth in this contract.

(2) Prompt payment. The Government will make payment in accordance with the Prompt Payment Act (31 U.S.C.

3903) and prompt payment regulations at 5 CFR part 1315.

(3) Electronic Funds Transfer (EFT). If the Government makes payment by EFT, see 52.212-5(b) for the appropriate

EFT clause.

(4) Discount. In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to have been made on the date which appears on the payment check or the specified payment date if an electronic funds transfer payment is made.

(5) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the

Government has otherwise overpaid on a contract financing or invoice payment, the Contractor shall--

(i) Remit the overpayment amount to the payment office cited in the contract along with a description of the overpayment including the--

(A) Circumstances of the overpayment (e.g., duplicate payment, erroneous payment, liquidation errors, date(s) of overpayment);

(B) Affected contract number and delivery order number, if applicable;

(C) Affected line item or subline item, if applicable; and

(D) Contractor point of contact.

(ii) Provide a copy of the remittance and supporting documentation to the Contracting Officer.

(6) Interest.

(i) All amounts that become payable by the Contractor to the Government under this contract shall bear simple interest from the date due until paid unless paid within 30 days of becoming due. The interest rate shall be the interest rate established by the Secretary of the Treasury as provided in 41 U.S.C.

7109, which is applicable to the period in which the amount becomes due, as provided in (i)(6)(v) of this clause, and then at the rate applicable for each six-month period as fixed by the Secretary until the amount is paid.

(ii) The Government may issue a demand for payment to the Contractor upon finding a debt is due under the contract.

(iii) Final decisions. The Contracting Officer will issue a final decision as required by 33.211 if--

(A) The Contracting Officer and the Contractor are unable to reach agreement on the existence or amount of a debt within 30 days;

(B) The Contractor fails to liquidate a debt previously demanded by the Contracting Officer within the timeline specified in the demand for payment unless the amounts were not repaid because the Contractor has requested an installment payment agreement; or

(C) The Contractor requests a deferment of collection on a debt previously demanded by the Contracting Officer

(see 32.607-2).

(iv) If a demand for payment was previously issued for the debt, the demand for payment included in the final decision shall identify the same due date as the original demand for payment.

(v) Amounts shall be due at the earliest of the following dates:

(A) The date fixed under this contract.

(B) The date of the first written demand for payment, including any demand for payment resulting from a default termination.

(vi) The interest charge shall be computed for the actual number of calendar days involved beginning on the due date and ending on--

(A) The date on which the designated office receives payment from the Contractor;

(B) The date of issuance of a Government check to the Contractor from which an amount otherwise payable has been withheld as a credit against the contract debt; or

(C) The date on which an amount withheld and applied to the contract debt would otherwise have become payable to the Contractor.

(vii) The interest charge made under this clause may be reduced under the procedures prescribed in 32.608-2 of the

Federal Acquisition Regulation in effect on the date of this contract.

(j) Risk of loss. Unless the contract specifically provides otherwise, risk of loss or damage to the supplies provided under this contract shall remain with the Contractor until, and shall pass to the Government upon:

(1) Delivery of the supplies to a carrier, if transportation is f.o.b. origin; or

(2) Delivery of the supplies to the Government at the destination specified in the contract, if transportation is f.o.b.

destination.

(k) Taxes. The contract price includes all applicable Federal, State, and local taxes and duties.

(l) Termination for the Government's convenience. The Government reserves the right to terminate this contract, or any part hereof, for its sole convenience. In the event of such termination, the Contractor shall immediately stop all work hereunder and shall immediately cause any and all of its suppliers and subcontractors to cease work. Subject to the terms of this contract, the Contractor shall be paid a percentage of the contract price reflecting the percentage of the work performed prior to the notice of termination, plus reasonable charges the Contractor can demonstrate to the satisfaction of the Government using its standard record keeping system, have resulted from the termination. The

Contractor shall not be required to comply with the cost accounting standards or contract cost principles for this purpose. This paragraph does not give the Government any right to audit the Contractor's records. The Contractor shall not be paid for any work performed or costs incurred which reasonably could have been avoided.

(m) Termination for cause. The Government may terminate this contract, or any part hereof, for cause in the event of any default by the Contractor, or if the Contractor fails to comply with any contract terms and conditions, or fails to provide the Government, upon request, with adequate assurances of future performance. In the event of termination for cause, the Government shall not be liable to the Contractor for any amount for supplies or services not accepted, and the Contractor shall be liable to the Government for any and all rights and remedies provided by law. If it is determined that the Government improperly terminated this contract for default, such termination shall be deemed a termination for convenience.

(n) Title. Unless specified elsewhere in this contract, title to items furnished under this contract shall pass to the

Government upon acceptance, regardless of when or where the Government takes physical possession.

(o) Warranty. The Contractor warrants and implies that the items delivered hereunder are merchantable and fit for use for the particular purpose described in this contract.

(p) Limitation of liability. Except as otherwise provided by an express warranty, the Contractor will not be liable to the Government for consequential damages resulting from any defect or deficiencies in accepted items.

(q) Other compliances. The Contractor shall comply with all applicable Federal, State and local laws, executive orders, rules and regulations applicable to its performance under this contract.

(r) Compliance with laws unique to Government contracts. The Contractor agrees to comply with 31 U.S.C. 1352 relating to limitations on the use of appropriated funds to influence certain Federal contracts; 18 U.S.C. 431 relating to officials not to benefit; 40 U.S.C. chapter 37, Contract Work Hours and Safety Standards; 41 U.S.C.

chapter 87, Kickbacks; 41 U.S.C. 4712 and 10 U.S.C. 2409 relating to whistleblower protections; 49 U.S.C. 40118, Fly American; and 41 U.S.C. chapter 21 relating to procurement integrity.

(s) Order of precedence. Any inconsistencies in this solicitation or contract shall be resolved by giving precedence in the following order: (1) the schedule of supplies/services; (2) The Assignments, Disputes, Payments, Invoice, Other

Compliances, Compliance with Laws Unique to Government Contracts, and Unauthorized Obligations paragraphs of this clause; (3) the clause at 52.212-5; (4) addenda to this solicitation or contract, including any license agreements for computer software; (5) solicitation provisions if this is a solicitation; (6) other paragraphs of this clause; (7) the Standard Form 1449; (8) other documents, exhibits, and attachments; and (9) the specification.

(t) Reserved.

(u) Unauthorized Obligations.

(1) Except as stated in paragraph (u)(2) of this clause, when any supply or service acquired under this contract is subject to any End User License Agreement (EULA), Terms of Service (TOS), or similar legal instrument or agreement, that includes any clause requiring the Government to indemnify the Contractor or any person or entity for damages, costs, fees, or any other loss or liability that would create an Anti-Deficiency Act violation (31 U.S.C.

1341), the following shall govern:

(i) Any such clause is unenforceable against the Government.

(ii) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an ``I agree'' click box or other comparable mechanism (e.g., ``click-wrap'' or ``browse-wrap'' agreements), execution does not bind the Government or any

Government authorized end user to such clause.

(iii) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.

(2) Paragraph (u)(1) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.

(v) Incorporation by reference. The Contractor's representations and certifications, including those completed electronically via the System for Award Management (SAM), are incorporated by reference into the contract.
