Reviews: I have reviewed this justification and find it adequate to support other than full and open competition.

Data Protection Software

Department of Army FAR Part 6 Justification and Approval for Other than

Full and Open Competition

1. Contracting Activity: The Mission Installation Contracting Command (MICC), Fort Knox, KY

2. Description of Action: The requirement is for a firm-fixed price contract for a follow-on, software maintenance request for Catalogic Software DPX with Gold Support Services. This software provides users the capability to securely connect to the network and back-up files associated with network applications that are being supported by Catalogic applications. This software directly supports Soldiers and civilian employees such as Recruiters, Military Entrance Processing Station Liaisons, Guidance Counselors, Reserve Officer Training Corps Professor of Military Science and Recruiting and Cadet Command Board and Waiver members. Human Resources Command (HRC) is procuring this software maintenance from the original equipment manufacturer (OEM), Catalogic Software Inc. under PR 10729078.

An acquisition plan is not required because this procurement does not meet the threshold at Defense Federal Acquisition Regulation Supplement 207.103(d)(i)(B).

This action is a follow-on to contract, W9124D-14-F-0021. That contract was not competed, under authority FAR 16.505(b)(2)(i)(B). Paragraph, “Actions to Increase Competition” of the previous justification, stated: There is an ongoing effort to automate administrative tasks to the fullest extent possible, thus reducing the total cost of ownership. Products offering a high degree of automation utilizing the latest technologies will be considered for implementation.

Accordingly, the HRC will continue to monitor advancements in commercially available information technology products and services, particularly those listed within existing enterprise-related contracts under the Army CHESS Program. Those actions were accomplished by the attempt to compete the 2015 contract using the CHESS Program. The posting of this requirement resulted in only one vendor providing a quote, Catalogic Software Inc.

3. Description of Supplies/Services: This software maintenance request is for Catalogic Software DPX with Gold Support Services. HRC is procuring this software maintenance from the original equipment manufacturer (OEM), Catalogic Software Inc. under PR 10729078.

Base Period: January 01, 2016 to March 31, 2016 Value: $88,290.14 Option Period 1: April 01, 2016 to March 31, 2017 Value: $353,160.56

Total: $441,450.70

4. Authority Cited: 10 U.S.C. 2304(c)(1), as implemented by FAR 6.302-1(a)(2) and 6.302- 1(c), only one responsible source and no other supplies or services will satisfy agency requirements, and brand name descriptions.

5. Reason for Authority Cited: Catalogic Software is the sole manufacturer of the DPX Product (formerly Syncsort Backup Express Product (BEX), and the only company from which HRC can obtain maintenance services.

As described at FAR 6.302-1(a)(2), when the supplies or services required by the agency are available only from one responsible source, or for DoD, NASA and the Coast Guard, from only one or a limited number of responsible sources, and no other types of supplies or services will satisfy agency requirements, full and open competition need not be provided for. As further described in FAR 6.302-1(c), an acquisition or portion of an acquisition that uses a brand-name description or other purchase description to specify a particular brand-name, product, or feature of a product, peculiar to one manufacturer does not provide for full and open competition, regardless of the number of sources solicited, and shall be justified and approved in accordance with FAR

6.303 and 6.304.

Considered alternatives include stopping the DPX services currently provided by Catalogic Software or to migrate to an alternative software product. Part of the mission of HRC is to provide Soldiers with HR support and DPX is essential to that mission. The system administrator and developers have spent many hours developing and testing the applications that utilize the DPX services. Purchasing a non-Catalogic backup program would cost the command thousands of dollars in development of other applications and could impact project timelines set by the developer and agreed on by the command. This could lead to costly delays to mission critical applications that impact the HRC command.

The DPX is a proprietary Catalogic product that is currently installed on the HRC Data Center servers to provide a secure back up of files associated with the network. Purchasing "like" products causes additional costs due to the man-hours of recoding and redesigning of the server farm that host these applications and the numerous hours needed to redesign the operating system to provide a communication link between a non-Catalogic program and the HRC server farm in order to achieve similar services.

Without this software maintenance, the HRC data center will not be able to provide mission critical applications to users such as Recruiters, Military Entrance Processing Station Liaisons, Guidance Counselors, Reserve Officer Training Corps Professor of Military Services and Recruiting and Cadet Command Board and Waiver members. HRC has spent considerable time and resources in the development of applications that use DPX. Procurement of alternative software packages would require an investment in both the new software, training of developers and administrators, and would result in suspension of the critical mission provided by Catalogic applications. This could lead to costly delays to mission critical applications that impact the command.

6. Efforts to Obtain Competition: As stated above, Catalogic Software is the sole manufacturer of the DPX Product. Competition for this action was not feasible. The previous purchases of this software were sole sourced in 2014, and competed through CHESS in 2015. The result of the

Data Protection Software competition in 2015 left only one company providing a quote, Catalogic Software Inc. In accordance with FAR 5.202(a)(6), this action will not be synopsized.

7. Actions to Increase Competition: HRC conducted extensive research a numerous web sites and initiated a request through the Army CHESS program. DPX is not available on CHESS. The manufacture of DPX, Catalogic Software Incorporated, is the only manufacture that can offer the DPX services.

8. Market Research: The attempt to identify sources for competition began with the search of the mandatory sources found in FAR Part 8.002. Although IT software is mandatory for purchase through the CHESS site per AFARS 5139.101-90 (a), market research revealed that this requirement was not available through the CHESS contract vehicle nor any of the other mandatory sources. The customer provided the Goal 1 Waiver to procure outside the CHESS program and the statement of non-availability (SONA) is not needed for service contracts.

Catalogic Software Inc. has provided a proprietary letter stating that they are the sole manufacturer of the software, and the only company that can provide the updates and maintenance support necessary for the peak performance of the software.

9. Interested Sources: As stated above, the requirement was competed on FedBid in 2015 with the only company providing a quote being Catalogic Software Inc. The 2016 requirement was not posted because FAR 5.202(a)(6) applies.

10. Other Facts: Catalogic Software Inc. acquired Syncsort Incorporated’s data protection product, formerly Syncsort Back-up Express (BEX).

11. Technical Certification: I certify that the supporting data under my cognizance which are included in the justification are accurate and complete to the best of my knowledge and belief.

12. Requirements Certification: I certify that the supporting data under my cognizance which are included in the justification are accurate and complete to the best of my knowledge and belief.

13. Fair and Reasonable Cost Determination: I hereby determine that the anticipated cost or price to the Government for this contract action will be fair and reasonable. Pricing is compared against the independent government cost estimate (IGCE) and past purchases to determine price reasonableness.

As a part of this basis, certified cost or pricing data is not required because the estimated cost of the contract action is less than the threshold for certified cost or pricing data.
