(b) Exceptions. Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors (Sections A through M). Failure to meet a requirement may result in an offer being ineligible for award. If the offeror finds it necessary to take exception to any of the requirements specified in this solicitation, the offeror shall clearly identify the applicable Volume and exceptions with a complete explanation of why the exception was taken, what benefit accrues to the Government (if any), and its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation. Each exception shall be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken. Offerors are cautioned that taking an exception may render the offer ineligible for award. It is recommended that the

V Cost/Price 1 hard copy and 2 CDs None
(d) Proposal Limitation. The proposal shall not exceed the limits stated above. If the page limits are exceeded, the pages in excess of the limit shall be removed and returned, unread, to the offeror. The Government will not accept any changes to the contractor’s proposal after the closing date of the solicitation (See FAR 15.208 for further information regarding late proposals). If discussions become necessary, page limitations may be placed on responses to Evaluation Notice (ENs). The specified page limits for EN responses will be identified in the letters forwarding the ENs to the offerors.
(e) Page Limit Includes: All appendices, charts, graphs, diagrams, tables, photographs, drawings, etc.
(f) Page Limit does not include training materials list, instructor resumes, instructor-training materials, or required syllabi and lesson plans. Page Limit does not include covers for volumes, tables of contents, glossary of abbreviations and acronyms, indices, title pages, cross reference indices, and section dividers/tables if they are inserted solely to provide ease to the reader in locating parts/sections of the proposal. They will be counted if they contain any other information, i.e., diagrams, extraneous data, etc. Pages marked “This page intentionally left blank” will not be counted. .
(g) What Counts As A Page? A page shall be an 8 ½ X 11” sheet of paper. When both sides of a sheet display printed material, it shall be counted as two pages. Letter size and spacing requirements for illustrations and tables can be at the discretion of the offeror but must be easily readable. Fold-outs will be counted as the appropriate number of pages based on an 8 ½ X 11” sheet of paper. Use at least 1 inch margins on the top and bottom and 3/4 inch side margins. The Contractor shall number each page in order to eliminate any confusion. In the event contractor creates an ambiguity in their numbering of pages, the Government may exercise its own discretion in counting pages.
(h) Indexing. Each volume shall contain a detailed table of contents to delineate the subparagraphs within that volume. Tab indexing shall be used to identify sections.
(i) Glossary of Abbreviations and Acronyms. Each volume shall contain a glossary of all abbreviations and acronyms used, with a definition for each.
3. Proposal Content
(a) Volume I – General. Offerors are required to submit a completed SF 33 (including acknowledgment of Amendments). All final monetary extensions shall be in whole dollars only. Failure to follow the below Contract
Proposal preparation instructions may cause your proposal to be deemed unacceptable by the Government. The
Contract Volume shall be organized as follows and contain the identified information.
TAB A, Exceptions/Assumptions (if required) - Identification and explanation of any exceptions or deviations. Additionally, any assumptions used in the proposal preparation must be identified.
TAB B, SF 33 - The SF 33 shall be submitted fully completed upon submission. The offeror is cautioned that the SF 33 must contain an original signature in block 17 of the form. The contractor shall acknowledge any amendments to the RFP in accordance with the instructions on the SF 33 with Section L, FAR
52.215-1 (b), Instruction to Offerors—Competitive Acquisition. The offeror shall provide the name, title and telephone number of the company/division point of contact regarding decisions made with respect to your proposal and who can obligate your company contractually. Also, identify those individuals authorized to negotiate with the
Government.
TAB C, Section B (Supplies or Services and Prices/Costs) - Section B shall be submitted fully completed and error free. It shall contain the offeror’s prices for the established Contract Line Items (CLINS).
TAB D, Section K (Representation, Certifications, and Other Statements of Offerors) – The offeror shall ensure that Section K is submitted thoroughly completed with all blocks in each certification/representation completed truthfully and completely.
TAB E, Small Business Subcontracting Plan: Offeror that are classified as “Large
Business” shall provide a Small Business Subcontracting Plan that contains all the elements required by FAR Clause
52.219-9. This plan shall be submitted separately from the Small Business Participation Proposal, which applies to both Large and Small Businesses. The Subcontracting Plan is not a requirement for evaluation in source selection, but rather, a requirement for award to a Large Business and it will be incorporated into any resultant contract. The
Department of Defense has established small business goals to ensure that small businesses will have maximum practicable opportunity to participate in performance of DoD contracts. The recommended MICC Office of Small
Business Program (OSBP) goals for this acquisition are as follows and are based on the total proposed subcontracted effort:
• Small Business - 40%
• Small Disadvantaged Business - 5%
• Women-Owned Small Business - 5%
• Historically Underutilized Business Zone (HUBZone) Small Business - 2%
• Service-Disabled Veteran-Owned Small Business - 3%
NOTE: For purposes of subcontracting, Historically Black Colleges and Universities/Minority Institutions
(HBCUs/MIs) should be included in the small disadvantaged business category.
(b) Volume II – Mission Capability Volume
(1) The Government will assess the Offeror’s ability to successfully conduct foreign-language training in response to DoD requirements. The Mission Capability Volume shall be clear, concise, and include sufficient detail for effective evaluation and for substantiating the validity of stated claims. Legibility, clarity and coherence are very important. Your responses will be evaluated against the Mission Capability subfactors defined in
Section M, Evaluation Factors for Award. The proposal should not simply rephrase or restate the Government's requirements, but rather shall provide rationale and supporting products to address how the offeror intends to meet these requirements. Statements that the offeror understands, can, or will comply with the PWS (including referenced publications, technical data, etc.); statements paraphrasing the PWS or parts thereof (including applicable publications, technical data, etc.); and phrases such as “standard procedures will be employed” or “well known techniques will be used,” etc., will be considered unacceptable. Offerors shall assume that the Government has no prior knowledge of their capabilities, past performance, and facilities, and will base its evaluation on the information presented in the offeror's proposal – the proposal must stand on its own. Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and are not desired.
(2) The Mission Capability Volume shall, at a minimum, be prepared in a form consistent with the Performance Work Statement (PWS) and the evaluation criteria for award set forth in Section M of this solicitation. The section shall be prepared in an orderly format and in sufficient detail and specificity to enable the
Government to make a thorough evaluation of the contractor’s technical competence and ability to comply with the contract task requirements specified in the PWS. The Mission Capability volume shall be organized according to the following general outline:
-Table of Contents
-List of Table and Drawings
-Cross Reference Matrix
-Exceptions/Assumptions (Identification and explanation of any exceptions or deviations.
Additionally, identify any assumptions used in preparing the proposal)
-Mission Capability
-- Subfactor 1: Institutional Capability and Management
-- Subfactor 2. Methodology and Materials
-- Subfactor 3. Instructional Personnel
-- Subfactor 4. Facilities
TAB F, Subfactor 1. Institutional Capability and Management. The Government will assess the
Offeror’s methods of recruiting, training, and retaining instructors and orienting them to the needs of the United
States Government customer.
The Government will assess the qualifications of the personnel charged with day-to-day management of training, including supervision as defined in the PWS. The Government will assess the Offeror’s process and procedures for ensuring adherence to the terms of the contract, identifying discrepancies, taking corrective action, and addressing areas for improvement.
A. Offerors must submit the following:
1. Supervisor resumes to include proof of the highest degree obtained. For foreign degrees, vendor must provide an explanation (or documentation, if available) of equivalency to US degrees.
2. A detailed description of recruiting, training, and retention strategies and practices to include procedures for ongoing instructor performance evaluation
Pre-service training plan and all supporting instructional materials
A list of instructor in-service training events offered within the last year and the outline and materials used for two such events
3. Three actual student observation and counseling forms (personal student information deleted) that provide meaningful feedback on student performance, areas of strengths and weaknesses, and action plan
4. A Quality Control Plan that demonstrates an inspection system/location of on-site records and method of identifying and preventing deficiencies.
TAB G, Subfactor 2. Methodology and Materials. The Government will assess the degree to which the Offeror’s statement of methodological approach demonstrates an understanding and ability to apply those principles to the classroom. The Government will also assess the submitted, weekly schedules, lesson plans, and tests. Offerors shall submit the following:
(a) A detailed description of the proposed technical (i.e., methodological) approach for executing the requirements specified in Performance Work Statement of the solicitation. Offeror may also include an Executive
Summary (NTE 2 pages) but this summary will be included in the page count limit.
(b) Three (3) sample course packages; 1) initial acquisition training in a Category I language for a one-on-one setting; 2) initial acquisition training in a Category III or IV language for a group setting (assume four students of varying language aptitude and/or language backgrounds); 3) non-beginner training in a language of your choosing.
Each basic course package (#1 & #2) will include:
Overall class syllabus -- each syllabus shall include objectives, a list of the instructional materials and content areas and how they are sequenced in the course. Syllabus shall also include a timeline for assessment.
Weekly schedules (grid format preferable) for the first six weeks of the course, the three middle weeks, and the last three weeks – assume this is a full basic course for 1 and 2 above. Must include learning objectives, references to specific materials used, activity and skill focus for each hour, grammar points and area studies (where relevant), and homework.
One separate hourly lesson plan (IAW specifications of paragraph C-10.4) from each segment above (first six weeks of the course, the three middle weeks, and the last three weeks). While the Government expects skill integration in all lessons, the focus for the first plan is grammar, the second plan focus is listening, and the third plan focus is speaking.
A sample of three typical tests, one from each segment of the basic course above. Both achievement and proficiency-oriented tests must be included, based on the level of the lesson.
For #3 (non-beginner): Include weekly schedules for the first three weeks of the course; please also include one hourly lesson plan focusing on the weakest skill identified.
(c) The Offeror must demonstrate the ability to identify and procure learning materials in all media appropriate to the variety of languages and levels anticipated. The Offeror must submit a list of instructional materials, including course books, references and authentic materials, either on hand or readily accessible, which are proposed for use in carrying out the work of the project. As a reflection of the breadth and depth of the Offeror's capability in terms of both languages and levels of instruction, this listing should be as complete as possible, rather than a sampling.
TAB H, Subfactor 3. Instructional Personnel. The Government’s assessment of the education and experience of cited instructors will include level and relevance of both academic credentials and of work experience.
Offerors shall submit:
a. Resumes of instructional personnel (by language) who will be available to teach under the contract. Instructor information should not exceed two pages per teacher and must clearly convey: the academic credentials (including degrees granted and fields of concentration); foreign language teaching experience (at least four years’ experience in teaching the target language to adult learners in an intensive, proficiency-oriented environment) (type of programs and students, locations, and dates);
other relevant work experience; and professional publications and awards. For foreign degrees, vendor must provide an explanation (or documentation, if available) of equivalency to US degrees.
b. For instructors whose background does not clearly demonstrate their status as an educated native speaker of the target language, the Offeror must provide other supporting documentation (e.g. oral proficiency interview scores from a known testing agency, secondary and post-secondary education in the country, etc.).
c. As an indicator of the breadth and depth of the Offeror's capabilities, this portion of the submission should be as complete as possible, rather than a sampling of available personnel. The number and mix of languages in which the Offeror indicates capability to provide training will be a factor in the award.
B. The Government will assess the breadth and depth of the offeror’s capability in the following languages after reviewing submissions in Subfactors 2 and 3.
1. All offerors must demonstrate the ability to provide language training in all of the following languages from Group A: Chinese-Mandarin, Vietnamese, Greek, Hindi, and Polish.
2. All offerors must demonstrate the ability to provide language training in all of the following languages from Group B: Spanish, Russian, Norwegian, French, and Hebrew
3. In addition, all offerors must demonstrate the ability to provide language training in at least 20 (twenty) of the remaining languages in either Group A or Group B.
TAB I, Subfactor 4. Facilities. The Government Contract requires the use of established, professional foreign language schools. The Offeror shall include a detailed description of the facilities proposed to be used for carrying out the work of the contract. The Government will assess the location, capacity, and furnishings of the
Offeror’s facility, their suitability for intensive language learning, and ready access to equipment like computers, internet, audio and video support (IAW paragraph C-11 of PWS). The Government will not only assess the physical plant but will also evaluate the Offeror’s overall experience with the day-to-day operations of a professional language school. Government reserves the right to visit facilities as part of the evaluation process.
a. The specific requirements for facilities are defined in Paragraph C-11 of the PWS.
b. Offerors will be evaluated on their experience of running day-to-day operations of a professional language school.
c. If the Offeror has the required experience in running a professional foreign language school but such facility is outside the Washington DC metropolitan area (as defined in the PWS), Offeror must submit:
i. A video of the current language school that clearly shows the classroom space and other common facilities.
ii. A plan to establish a facility, as required, in the Washington DC metropolitan area with a detailed timeline and plan showing how the Offeror may comply with this requirement by the start of the period-of-performance.
(c) Volume III – Past Performance. The Government will perform a Confidence Assessment of the Offeror’s past performance to arrive at a confidence rating. The Confidence Assessment represents the evaluation of an Offeror's past work record to assess the Government's confidence in the Offeror's probability of successfully performing as proposed. The Past Performance evaluation will be accomplished by reviewing aspects of an Offeror's recent and relevant Past Performance, focusing on and targeting performance which is relevant to the effort. Past Performance information described herein is required on the offerors and all subcontractors, teaming partners, and/or joint venture partners proposed to perform 25 percent of the proposed effort based on the total proposed price. The offeror shall submit, along with the information required in this paragraph, a consent letter, executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing release of adverse past performance information to the offeror so the offeror can respond to such information. For each identified effort for a commercial customer, the offeror shall also submit a client authorization letter, authorizing release to the Government of requested information on the offeror's performance.
(1) The offeror shall include documentation regarding their relevant past performance as it directly relates to the work being procured under this solicitation. The offeror SHALL NOT go back any farther than 3 years from the date of the proposal for the submitted data. The past performance data shall document a successful history of past contract performance.
(2) In conducting the Past Performance evaluation, the Government reserves the right to use both the information provided in the offeror’s Past Performance Volume and information obtained from other sources, such as the Past Performance Information Retrieval System (PPIRS) or similar systems, Defense Contract
Management Agency (DCMA) and commercial sources.
(3) Offerors are reminded that both independent data and data provided by offerors in their proposals may be used by the Government to evaluate offeror past performance. However, the burden of providing thorough, complete, and current past performance information as requested in this paragraph remains with the offerors.
Proposals that do not contain the information requested by this paragraph risk rejection or a less than acceptable performance rating by the Government. In the case of an offeror without any relevant past performance history, Offeror’s without a record of relevant past performance or for whom information will not be evaluated favorably or unfavorably on past performance and, as a result, will receive an " Unknown/Neutral Confidence" rating for the Past
Performance factor. A strong record of relevant present and past performance may be considered more advantageous to the Government than an "Unknown/Neutral Confidence" rating.
(4) All past performance comments received will be taken into account and could affect the overall rating. The overall past performance evaluation is a subjective decision based on the whole of all data received.
Offerors with no past performance may provide the equivalent information on company officials and/or personnel proposed for this action. If the offeror has no relevant past performance, they will be rated as “Unknown/Neutral
Confidence” rating.
(5) Submission Requirements. The offeror shall submit a Past Performance
Volume containing the following:
Table of Contents
Summary Page describing the role of the offeror and each subcontractor, teaming partner, and /or joint venture partner that the offeror is required to provide Past Performance Specific Relevant
Contract Reference Sheets for the past performance experience in accordance with Attachment 1.
Consent Letters executed by each subcontractor, teaming partner, and/or joint venture partner, authorizing the release of past performance information so the offeror can respond to such information. A sample consent letter is attached as Attachment 1).
Client Authorization Letters for each identified effort for a commercial customer authorizing release to the Government of requested information on the offeror’s performance.
Organization Structure Change History— Organizational Structure Change History. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the
Government receives information from other sources.
Specific Relevant Contracts Format - Sheets in accordance with Attachment 2. The offeror shall provide documentation outlining the offeror’s past performance with contracts, as a prime or major subcontractor, which is the same or similar in nature, size, and complexity to the services being procured under this Solicitation. The submittal shall include rationale supporting your assertion of relevance and how it was determined that the work performed previously was the same or similar in nature, size, and complexity to the work specified by this solicitation. Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort, and to what aspects of the proposed effort they relate.
Past Performance Questionnaire - See Attachment 3, Past Performance Questionnaire. For the contracts identified on each Specific Relevant Contract Reference, the offeror shall forward a copy of the Past Performance Questionnaire to the points of contact responsible for monitoring performance under such contracts. Electronic versions of the cost/price proposal shall be submitted on a CD-ROM in a format compatible with
Microsoft Office (2007 or earlier) as further delineated below, and files should not be read only or password protected. All Excel formulas, lookup tables, and links should be intact, and no links should exist to files not included with the submission. Excel workbooks should not contain hidden spreadsheets. PDF or flat files will not be considered adequate. For the Cost/Price Volume, the electronic version will take precedence for any differences noted between the hard and electronic versions of an offeror’s proposal. Failure to comply with these formatting requirements may result in rejection of your proposal. Offerors’ submittals shall be free of viruses, Trojans, spyware, and other malicious code for which appropriate detection and removal/quarantine software exists.
(2) Certified cost or pricing data is not anticipated for the award of contracts due to expected competition; however, the Government reserves the right to request such information should it become necessary consistent with FAR
Subpart 15.4, Contract Pricing. Data Other Than Certified Cost or Pricing Data is required to determine the proposed price fair and reasonable.
(3) Volume Organization. The Cost/Price Volume shall be comprised of two parts:
(a) Cost/Price.
(i) The offeror’s response shall consist of a cost/price proposal corresponding to CLINs 0001 - 4005.
Contractor shall fill out the attached Pricing Worksheet (Attachment 5). The Cost/Price proposal for all the CLINs contained in Schedule B shall contain two Sections: the Cost Narrative Section and the Cost Proposal Section.
Offerors shall use Government provided Not-to-Exceed estimates for Travel, Instructional Materials, and ODCs.
(ii) Cost Narrative portion in MS Word or compatible format, with a Table of Contents. The cost narrative shall provide the basis of estimate for all major elements of cost proposed. The Cost Narrative Section shall contain all the narrative explanations used in deriving calculated costs (including appropriate references to individual spreadsheets as they appertain). These narratives shall clearly explain the methodologies, calculations, exceptions and assumptions used in developing each cost element. At a minimum, the offeror shall address the items identified in paragraph (b) below.
(b) In the Cost/Price Narrative Section, provide an explanation of the method of cost build-up, including the basis used in applying rates and factors. The source of rates and factors shall be identified. The indirect rates proposed should reflect the offeror’s actual cost accounting practices and indirect rate structure. In the event that a Forward
Pricing Rate Agreement is not in effect for the Prime or any subcontractor the proposal(s) shall include the following information as applicable: Fringe rates, Labor Overhead rates, and all applicable Other Indirect rates and factors (including General and Administrative ‘G&A’ rate). All indirect rates and factors shall be supported by calculations. The components of the calculations must be broken down into the individual elements that comprise them. These elements must be fully explained, including how the amounts were computed both in text and figures.
The details of each individual cost pool and base shall be provided. In addition, any services that are provided to the contract through G&A shall be listed and explained (the base of allocation shall be explained). If the offeror is in a teaming arrangement, then the calculation details and assumptions leading to all subcontractor’s rates shall be identified, except as limited in (d) below.
(c) In the event that portions of the requirement are proposed to be satisfied by subcontractors, the prime’s proposal shall provide pass-through methodology and limitations.
(d) The prime contractor is responsible to enter its subcontractor pricing.
i. If a subcontractor does not want to reveal proprietary information to the prime offeror, the Government will accept a direct submission of the pricing spreadsheets from the subcontractor in order to protect its proprietary information. Such direct submission must include the same information as specified in (b) above, in the same format and media, and must exactly mesh with the prime contractor’s proposal.
ii. The submission shall identify the prime contractor on the cover sheet
iii. Prime contractors are responsible for conducting price analyses to establish reasonableness of proposed subcontractors’ prices, and to include the results of these analyses in the pricing narrative.
iv. It is also the responsibility of prime contractors to ensure their subcontractor (s) pricing proposal is submitted by the closing date/time. Proposals received that do not contain complete pricing for both the prime and all subcontractor(s) may not be considered for award.
(e) Accounting System Adequacy.
It is anticipated that cost reimbursable type task orders will be awarded under any resulting contract.
i. Prime contractors must have an accounting system that has been determined adequate by the Defense
Contract Audit Agency (DCAA) for accumulating and reporting incurred costs under cost type contracts in order to compete for cost-reimbursable award.
ii. The offeror shall provide evidence of an adequate accounting system as determined by the Defense
Contract Audit Agency (DCAA). Please note that an adequate accounting system is not an evaluation criterion, but rather a regulatory requirement. An opinion rendered by a Certified Public Accountancy (CPA) cannot be substituted for the DCAA determination.
(f) Offerors shall submit a fully completed cost breakdown in the format specified in Attachment 5. A separate breakdown shall be submitted for each option year and these shall be rolled up to the contract or summary level, which shall be traceable to the amounts inserted in Schedule B. All labor proposed on the previously discussed breakdown sheets shall be linked to this labor summary.
(g) Regarding labor costs, the Cost/Price Proposal Section shall be submitted using the Direct Labor Table format below, or other similar comprehensive formats which include the similar information as referenced below. The references in parentheses refer to the subparagraphs below.
