If no cracks are noticed from the visual inspection the contractor shall perform MT on each panel to see if there are any new indicators on the surface of the plates. If there are any new indicators the contractor shall take photos and make a note of the general areas on the plates where the indicators are present. The contractor shall provide this feedback to LEAD’s TPOC within 48 hours. If no cracks or new indicators are present the contractor shall proceed with evaluating a FAT panel IAW paragraph 5.4.2 of this PD.
5.4.2 Inspecting FAT Panels: The contractor shall use a calibrated Coordinate Measuring Machine (CMM) to inspect the FAT panels to ensure that they meet drawing requirements. The contractor shall inspect the FAT panels for flatness IAW DIN EN 10029 Class N requirements for the relevant thickness. After the contractor has inspected the FAT panels in-house they shall package and ship the FAT panels back to LEAD along with a copy of their corresponding material certifications and inspection reports. Once the FAT panels are received back at LEAD a final Inspection will be performed by LEAD Quality Control personnel.
5.5 Cutting Requirements: The contractor shall use a Waterjet to cut the panels to avoid introducing heat affected zones to the material. Controlled machining processes are allowed so long as they do not allow the material to heat to over 374-degrees Fahrenheit (190-degrees Celsius).
5.6 Inspection Requirements: The contractor shall use a calibrated CMM or another measuring tool capable of providing an electronic readout to measure the panels. Unless specifically referenced in this PD the tolerances referenced on the drawings for the Center Panel, Left Hand Panel, and the Right Hand Panel have precedence.
100% of the panels fabricated are to be inspected. The contractor shall provide a copy of inspection results with each panel.
5.6.1 Cracks: The contractor shall visually inspect the overall surface area of each panel for cracks. The contractor shall use MT to inspect around the bend area, to include 8-inches on each side of the bend line, on both sides of each panel. All indications determined to be relevant shall be further evaluated to see if they are cracks. Any cracks on a panel will be a cause for a panel to fail inspection.
5.6.2 Flatness: The contractor shall inspect each of the panels for flatness IAW DIN EN 10029 Class N requirements for the thickness detailed on each of the drawings. Measurements that fall outside of the allowable range specified in DIN EN 10029 Class N requirements for a specific thickness will be cause a panel to fail inspection.
5.6.3 Option 5 (CLIN 5) - Non-Conforming Material: If a panel is evaluated to be Non-Conforming Material (NCM) Option 5 shall be exercised by LEAD’s TPOC. If any measurements of a panel do not meet drawing requirements the panel shall be considered as Non-Conforming Material (NCM). If a panel has cracks the panel shall be considered as NCM. If a panel is not flat IAW DIN EN 10029 the panel shall be considered as NCM. The contractor shall provide an inspection report for any NCM along with a root cause analysis for why the non-conformance occurred. The contractor shall specify the corrective actions to be implemented to prevent a non-conformance issue from re-occurring. If the contractor believes that a non-conformance is minor they are allowed to fill out and submit a Request For Variance (RFV), LEAD form 1694 to LEAD’s TPOC for review. A copy of LEAD form 1694 will be included in the solicitation package associated with this PD. All NCMs shall be marked as such and shipped to LEAD along with a copy of the corresponding material certification and inspection report.
Option 5 shall only cover the cost of testing and transporting the NCM back to LEAD. The contractor shall be responsible for the cost of the raw material to replace any NCM panel until the obligations of the specific Option that was exercised is met. NCM is not required to be shipped back inside of a crate and best commercial practices shall be utilized.
5.6.4 Option 6 (CLIN 6) - NCM First Occurrence: The first occurrence of an NCM for each type of panel within a year of when the contract for this PD is awarded shall be viewed as a washout; LEAD’s TPOC shall void the previous Option exercised for the panel and shall exercise Option 6. Option 6 shall only cover the cost of the raw material used for the NCM panel, testing, and transporting the NCM back to LEAD. All labor and processing expenses will not be covered for a NCM. After the contractor has performed a root cause analysis and have implemented corrective actions LEAD will order another panel. 52.209-4 FIRST ARTICLE APPROVAL--GOVERNMENT TESTING (SEP 1989)
(Contracting Officer shall insert details)
(a) The Contractor shall deliver 1 unit(s) of Lot/Item 0001,0002 and 0003 within 60 calendar days from the date of this contract to the Government at (insert name and address of the testing facility) for first article tests. The shipping documentation shall contain this contract number and the Lot/Item identification. The characteristics that the first article must meet and the testing requirements are specified elsewhere in this contract.
(b) Within 2 calendar days after the Government receives the first article, the Contracting Officer shall notify the Contractor, in writing, of the conditional approval, approval, or disapproval of the first article. The notice of conditional approval or approval shall not relieve the Contractor from complying with all requirements of the specifications and all other terms and conditions of this contract. A notice of conditional approval shall state any further action required of the Contractor. A notice of disapproval shall cite reasons for the disapproval.
(c) If the first article is disapproved, the Contractor, upon Government request, shall submit an additional first article for testing. After each request, the Contractor shall make any necessary changes, modifications, or repairs to the first article or select another first article for testing. All costs related to these tests are to be borne by the Contractor, including any and all costs for additional tests following a disapproval. The Contractor shall furnish any additional first article to the Government under the terms and conditions and within the time specified by the Government. The Government shall act on this first article within the time limit specified in paragraph (b) of this clause. The Government reserves the right to require an equitable adjustment of the contract price for any extension of the delivery schedule or for any additional costs to the Government related to these tests.
(d) If the Contractor fails to deliver any first article on time, or the Contracting Officer disapproves any first article, the Contractor shall be deemed to have failed to make delivery within the meaning of the Default clause of this contract.
(e) Unless otherwise provided in the contract, the Contractor--
(1) May deliver the approved first article as a part of the contract quantity, provided it meets all contract requirements for acceptance and was not consumed or destroyed in testing; and
(2) Shall remove and dispose of any first article from the Government test facility at the Contractor's expense.
(f) If the Government does not act within the time specified in paragraphs (b) or (c) of this clause, the Contracting Officer shall, upon timely written request from the Contractor, equitably adjust under the Changes clause of this contract the delivery or performance dates and/or the contract price, and any other contractual term affected by the delay.
(g) The Contractor is responsible for providing operating and maintenance instructions, spare parts support, and repair of the first article during any first article test.
(h) Before first article approval, the acquisition of materials or components for, or the commencement of production of, the balance of the contract quantity is at the sole risk of the Contractor. Before first article approval, the costs thereof shall not be allocable to this contract for (1) progress payments, or (2) termination settlements if the contract is terminated for the convenience of the Government.
(i) The Government may waive the requirement for first article approval test where supplies identical or similar to those called for in the schedule have been previously furnished by the Offeror/Contractor and have been accepted by the Government. The Offeror/Contractor may request a waiver.
(End of clause)
52.209-11 REPRESENTATION BY CORPORATIONS REGARDING DELINQUENT TAX LIABILITY OR A
FELONY CONVICTION UNDER ANY FEDERAL LAW (FEB 2016)
(a) As required by sections 744 and 745 of Division E of the Consolidated and Further Continuing Appropriations Act, 2015 (Pub. L. 113-235), and similar provisions, if contained in subsequent appropriations acts, the Government will not enter into a contract with any corporation that--
(1) Has any unpaid Federal tax liability that has been assessed, for which all judicial and administrative remedies have been exhausted or have lapsed, and that is not being paid in a timely manner pursuant to an agreement with the authority responsible for collecting the tax liability, where the awarding agency is aware of the unpaid tax liability, unless an agency has considered suspension or debarment of the corporation and made a determination that suspension or debarment is not necessary to protect the interests of the Government; or
(2) Was convicted of a felony criminal violation under any Federal law within the preceding 24 months, where the awarding agency is aware of the conviction, unless an agency has considered suspension or debarment of the corporation and made a determination that this action is not necessary to protect the interests of the Government.
(b) The Offeror represents that--

(2) It is [ ] is not [ ] a corporation that was convicted of a felony criminal violation under a Federal law within the preceding 24 months.
(End of provision)
52.211-8 TIME OF DELIVERY (JUN 1997)
(a) The Government requires delivery to be made according to the following schedule:
REQUIRED DELIVERY SCHEDULE
(Contracting Officer insert specific details)
Within 60 Days after receipt of delivery order.
The Government will evaluate equally, as regards time of delivery, offers that propose delivery of each quantity within the applicable delivery period specified above. Offers that propose delivery that will not clearly fall within the applicable required delivery period specified above, will be considered nonresponsive and rejected. The Government reserves the right to award under either the required delivery schedule or the proposed delivery schedule, when an offeror offers an earlier delivery schedule than required above. If the offeror proposes no other delivery schedule, the required delivery schedule above will apply.
OFFEROR'S PROPOSED DELIVERY SCHEDULE
Within Days
After Date
Item No. Quantity of Contract
(b) Attention is directed to the Contract Award provision of the solicitation that provides that a written award or acceptance of offer mailed, or otherwise furnished to the successful offeror, results in a binding contract. The Government will mail or otherwise furnish to the offeror an award or notice of award not later than the day award is dated. Therefore, the offeror should compute the time available for performance beginning with the actual date of award, rather than the date the written notice of award is received from the Contracting Officer through the ordinary mails. However, the Government will evaluate an offer that proposes delivery based on the Contractor's date of receipt of the contract or notice of award by adding (1) five calendar days for delivery of the award through the ordinary mails, or (2) one working day if the solicitation states that the contract or notice of award will be transmitted electronically. (The term "working day" excludes weekends and U.S. Federal holidays.) If, as so computed, the offered delivery date is later than the required delivery date, the offer will be considered nonresponsive and rejected.
52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (OCT 2018)
ADDENDUM TO FAR 52.212-1, INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS:
Paragraph (c) is changed to read: Period for acceptance of offers. The Offeror agree to hold the prices in its offer firm for 60 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(End of Addendum)
52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
ADDENDUM TO FAR 52.212-2, BASIS OF AWARD:
A. General Information:
3. The basis of award will be the Lowest Priced, Technically Acceptable offer. Offerors must receive a rating of Technically Acceptable in all factors/subfactors in order for their overall proposal to be determined Technically Acceptable.
