SPECIAL PROVISIONS:

PROVISION #1: It is the Government's intent to award one contract following an assessment of each proposal against the requirements described herein and the criteria set forth below. Contract award will be made using a Lowest Price Technically Acceptable (LPTA) source selection process in accordance with FAR 15.101-2, which states award will be made on the basis of the lowest evaluated price of proposals meeting the acceptability standards for non-cost factors.

a. Proposals will be evaluated on an Acceptable/Not Acceptable basis. This assessment will be performed using the substantiating documentation/data submitted in support of answers on the Technical Information Questionnaire (TIQ). Evaluators will review data required in the TIQ. An Acceptable proposal is a proposal which the proposed product will clearly meet each of the requirements in the Technical Information Questionnaire (TIQ) and the Statement of Work, as evidenced by the Offeror's responses to the Technical Information Questionnaire (TIQ) and the Substantiating documentation/Data submitted in support thereof. No extra credit will be given for exceeding the Government's requirement. In order to be considered for award, the Offeror's proposal must be rated Acceptable for 100 percent of the requirements. Any Offeror's proposal assessed as Not Acceptable for any requirement under the technical evaluation will be ineligible for award. An Offeror whose technical proposal is rated Not Acceptable will be notified that its proposal will no longer be considered for award.

PROVISION #2: Determination of Responsibility Determination of Responsibility and Eligibility for Award: Per FAR 9.103, a contract will be placed only with Offerors that the Contracting Officer determines to be responsible; that is, those who can satisfactorily perform the necessary tasks and deliver the required items on time.

Prospective Offerors, in order to qualify as sources for this acquisition, must be able to demonstrate that they meet the standards of responsibility set forth in FAR 9.104. In addition, the Government may assess the Offeror's financial ability to meet the RFP requirements. The Government reserves the right to conduct a Pre-Award Survey on any or all Offerors (or its

Subcontractors) to aid the Contracting Officer in the evaluation of each Offeror's proposal and ensure that a selected Offeror is responsible. No award can be made to an Offeror who has been determined not responsible by the Contracting Officer. To ensure that the Offeror meets the responsibility criteria of FAR 9.104, the Government may:

a. Arrange a visit to the Offerors plant and perform a necessary Pre-Award Survey, or

b. Ask the Offeror to provide technical, production, quality, and financial information. If the Offeror does not provide the Government with the data as requested within 7 days from receipt of the request, or if the Offeror refuses to have the Government visit its facility, the Contracting Officer may determine the Offeror to be not responsible. If the Government visits the Offeror's facility, make sure that the Offeror has current data relevant to its proposal available for the Government team to review.

A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the government may accept an offer (or part of an offer), regardless of whether there are negotiations after receipt, unless a written notice of withdrawal is received before award.

PROVISION #3: TECHNICAL LITERATURE

a. Offerors shall clearly establish conformance with all of the RFQ's technical requirements, as prescribed in the Scope of Work, by submitting the following:

1. A completed Technical Information Questionnaire (TIQ).

2. Substantiating documentation/Data. The Offeror shall provide product information that substantiates every response to each question in the TIQ. The offeror must provide information that substantiates responses to each TIQ question, with documents such as commercial literature, specification sheets, detailed diagrams, or other supplemental data. The Offeror shall clearly identify the substantiating data provided in response to each TIQ question. Bidders who furnish a product catalog as documentation must indicate which item(s) are the subjects of the bid by highlighting, marking and/or citation of model numbers and page numbers from the catalog in the Contract Line Item Numbers (CLINS) along with the bid price. Bids, which fail to clearly establish what item or items are bid, will be considered as nonresponsive. Unsubstantiated claims will make the offeror ineligible for award. All responses and substantiating data must be in the English language and in the US Customary System of Units.

b. The failure of descriptive literature to show that the product offered conforms to the requirements of this solicitation will require rejection of the bid.

c. Descriptive literature furnished under this solicitation that contains statements similar to "specifications are subject to change without notice", "bid is subject to the following conditions", or "prices are subject to change without notice" shall not be considered for an award. These types of statements qualify the bid and the Government has no assurance the products offered conforms to the specification; therefore, the bid is not considered a firm bid and will not be considered for an award.

ALL OR NONE. Offerors are encouraged to use extreme care to ensure that offers submitted in response to this RFQ must be submitted for all the requirements identified in the RFQ. Offers submitted for less than all the requirements called for by this RFQ will not be considered for award.

REJECTION OF OFFERS

In accordance with FAR 52.212-1, the Government may reject any or all proposals if such action is in the Government's interest. Examples include, but are not limited to, the following:

(a) The proposal fails to meaningfully respond to the Proposal Instructions specified in this solicitation. Examples of failure to meaningfully respond include:

(1) When an offeror's a proposal merely offers to perform work according to the RFQ terms or fails to present more than a statement indicating its capability to comply with the RFQ terms or does not provide support and detail as specified in this solicitation.

(2) When an offeror's proposal fails to provide any of the data and information required.

(3) When an offeror's proposal provides some data and information but omits significant material data and information required by this solicitation.

(4) When an offeror's proposal merely repeats the contract Scope of Work without elaboration.

(b) The Government may reject any Offeror's Proposal that offers a product or service that does not meet all stated material requirements of the solicitation.

(c) The Government may reject any Offeror's Proposal that takes Proposes exception(s) to the attachments, exhibits, enclosures, or other RFP terms and conditions; or

(d) The Government may reject any Offeror's Proposal that is unbalanced as to price. IAW FAR 15.404-1(g), an unbalanced offer is one which is based on prices significantly high or low for one given period versus another period. There must be a direct relationship between the effort expended and its price.

Repairs will be approved by the POC prior to the contractor beginning work. The contractor shall also inspect vehicles/equipment after maintenance/repair action is completed to assure maintenance is accomplished. Each piece of equipment shall be inspected for safety requirements during scheduled maintenance. All vehicles and equipment returned to the user shall be completely ready.

4. CALL-OUTS. The contractor shall respond to emergency maintenance requirements during other than normal duty hours for the installation. The Contractor shall be prepared to respond to emergency support within two (2) hours of notification from the POC or other designated Government representatives. Mechanics performing this work will possess all necessary training and certifications to maintain all the equipment to safe and serviceable standards. A comprehensive list is not possible due to the many variables that arise in the maintenance process.

8. ARMY OIL ANALYSIS PROGRAM (AOAP). The contractor shall draw oil samples from all equipment listed in Appendix A with type service code O at the specified day, hour, or mileage frequency indicated. Follow-up requests (re-sample and repairs) shall be required in accordance with guidelines and regulations of the AOAP.
