PRICE MATRIX INSTRUCTIONS
Addendum to FAR 52.212-1 Instructions to Offerors- Commercial Items (OCT 2015)
Instructions for filling out the Price Matrix, Attachment 0001.
i. Price: The offeror will submit unit prices per Contract Line Item Number(s) (CLIN) on the Price Matrix, Attachment 0001 of the executed solicitation. The offeror must provide information as follows:
a. Offerors shall provide their proposed unit prices for the quantities solicited in the CLIN description(s) and the Pricing Matrix, Attachment 0001 of the solicitation. Proposed unit prices are limited to two decimal places. The proposed unit prices shall be the prices used by the Government to calculate the Total Evaluated Price. Offerors must propose unit prices for all CLINs, for each Ordering Period identified in the Pricing Matrix. Failure to do so may result in the offer being rejected.
b. All prices for this solicitation shall be stated in current U.S. dollars.
c. Instructions for completion of the Pricing Matrix:
(1) All information to be filled in by the offeror is highlighted on the Pricing Matrix in blue.
(2) The offeror shall enter its full name in the space provided.
(3) Offerors are required to state binding prices. The offeror shall enter unit prices for each Ordering Period in the spaces provided for contractor fill-in.
(4) No other information is to be added to the Pricing Matrix, nor shall offerors make any changes to the Pricing Matrix.
d. With respect to pricing, the quote response is presumed to represent the offeror’s best effort to respond to the solicitation. Any significant inconsistency between promised performance and price should be explained in the offer. For example, if the use of new and innovative techniques has an impact on unit price, the impact on price should be explained by the offeror. If a management decision has been made to absorb a portion of the program costs that have not been included in the proposed pricing, that decision should be stated and quantified in the quote. Any significant inconsistency, if not explained, raises a fundamental issue of the offeror’s understanding of the nature and scope of the work required, and may be grounds for rejection of the proposal. The burden of proof as to price credibility rests with the offeror.
ii. For evaluation of the Price Matrix see the solicitation narrative “Evaluation of Offers”.

SOLICITATION NARRATIVE
Addendum to FAR 52.212-1, Instructions to Offerors- Commercial Items (OCT 2015)
1. The Army Contracting Command- Rock Island (ACC-RI) hereby issues solicitation W9098S-17-T-0054 for the procurement of Ballistic Pad Kits in support of the Rock Island Arsenal, Joint Manufacturing and Technology Center (RIA-JMTC). This solicitation will result in the award of two (2), firm, fixed price Indefinite Delivery, Indefinite Quantity (IDIQ) contracts per Federal Acquisition Regulation (FAR 16.504). Award of this solicitation will be made to the lowest 2 total evaluated prices, of the responsive, responsible offerors. Contractor responsibility will be determined as outlined in FAR 9.104-1.
2. All contracts awarded will be for five (5) years with the five (5) ordering periods, each one lasting one (1) year.
The actual dates will be clarified at the time of award.
3. Vendors must submit their quotes in a single submission prior to the closing date and time listed on page one of this solicitation. Please read this solicitation in its entirety.
4. The guaranteed minimum quantity will be the quantity that is awarded on the first delivery order (see paragraph 8 below). All offerors are cautioned that the Government is not obligated to award any additional quantities other than the guaranteed minimum quantity that is awarded on the first delivery order. The maximum contract quantity for all contracts combined for all five years is 3,000 EA. The total maximum quantity will be the cumulative amount on all delivery orders issued against all contracts.
5. The offeror shall enter firm fixed prices for each CLIN, Ordering Period, and Quantity Range on the applicable Price Matrix (Attachment 0001). The quantity ranges on the Price Matrix are provided solely for the purpose of establishing reasonable ranges of quantities against which to provide ceiling unit prices in the event future delivery orders are issued. In order to be acceptable, an offer must include firm fixed unit prices for all CLINs, all ordering periods and all quantity ranges listed on the Price Matrix. All unit prices proposed will be the ceiling unit price that the offeror can quote on future Request for Quotes (RFQ’s) under the awarded IDIQ contracts. The Government reserves the right to require submission of any data (i.e. other than cost or pricing data) necessary to validate the reasonableness of an offer. Please see instructions for filling out the Price Matrix below. If a offeror fails to submit a unit price for all Quantity Ranges, and Ordering Periods, its quote may be considered unacceptable and the Government may reject the quote.
6. The anticipated delivery rate is 60 each per month. Please note this is an estimate only and no guarantee. To be eligible for award, the offeror must confirm they can at a minimum deliver 45 each per month and they can begin deliveries within 4 weeks of a delivery order placement, even though the minimum guaranteed quantity is 6 each per IDIQ awarded.
7. On time delivery is very critical. Therefore, the contractor must adhere to the delivery requirements indicated above in the award. Failure to comply with the contractual delivery schedule after award may result in termination of the order or require consideration if the Government elects to extend the delivery. The Government is not required to extend your delivery schedule if you encounter delays. The non-availability of raw materials, subcontractor issues, scheduling conflicts, etc. are not acceptable excuses for failing to meet the delivery schedules.
Early delivery is authorized, but must be approved and coordinated in advance of due date with the Contract Specialist and/or Contracting Officer designated in this contract. If there is going to be a delay in delivery, the vendor is required to notify the Contract Specialist and Contracting Officer designated in this contract.
8. First Delivery Order – Guaranteed Minimum Quantity:
The total guaranteed minimum quantity combined for both contracts issued is 12 each. This will be split equally between the two awardees. Each awardee will receive a delivery order for a quantity of 6 each. The unit price for the first delivery order will be the unit price from the Price Matrix, ordering period one and quantity range 1-24.
The anticipated delivery date for Delivery Order 0001 will be 4 weeks after date of the Delivery Order.
9. Delivery is FOB Destination, see clause 52.247-34.

Follow the instructions on How to Obtain a Visitor Pass. All first time visitors must process through the Moline Gate Visitor Center.

EVALUATION OF OFFERS:
1. It is the vendor’s responsibility to submit a quote that conforms to all the terms and conditions of the solicitation and contains the vendor’s best offer. Failure to provide all the data required with the package may result in elimination from consideration. The Government intends to award without discussions, however, reserves the right to open discussions if it determines they are necessary.
2. For this solicitation, the Government will make an award to the two (2) offerors with the lowest total evaluated prices who can at a minimum deliver 45 each per month and who can begin deliveries within 4 weeks of a delivery order placement.
3. The Government will evaluate quotes based on the prices proposed on the Price Matrix (Attachment 0001).
4. For each Ordering Period, the Government will calculate an Ordering Period Evaluation Price. The Ordering Period Evaluation Price is the sum of the following calculations at each quantity range: the quoted unit price will be multiplied by the upper limit of the Quantity Range and then multiplied by the respective weight. The weight associated with each range represents the likelihood that an order, if placed, would be placed within that range.
5. The Total Evaluated Price is the sum of the Ordering Period Evaluation price for each ordering period.
6. Quotes will be evaluated for price reasonableness in accordance with FAR 13.106.
FUTURE DELIVERY ORDER PLACEMENT (DELIVERY ORDERS AFTER DELIVERY ORDER 0001):
1. The Government reserves the right to make multiple awards. If multiple awards are made, the Government will provide all multiple awardees a fair opportunity in the placement of delivery orders in accordance with FAR 16.505(b)(1).
2. A request for quote will be issued by e-mail for each delivery order to allow the multiple awardees a fair opportunity for each delivery order. The unit prices quoted in the RFQ can’t be higher than the unit prices listed in the Price Matrix (Attachment 0001) (based on the applicable ordering period and quantity range) that is incorporated into the IDIQ contract. The delivery schedule will be included in each request for quote. In the event that one offeror is unable to deliver the entire quantity requested in accordance with the delivery schedule the Government reserves the right to make a split award. Deliveries shall begin within 4 weeks of the delivery order placement.
The anticipated delivery schedule is 60 each per month.
If the lowest price offeror can deliver at a rate of 60 each per month, they will receive the delivery order.
If the lowest price offeror can deliver between 45 and 59 each per month, then they will be awarded the quantity based on how many they can deliver per month and the second offeror will receive the difference.
(Example: If the RFQ is for 120 each with an incremental delivery schedule of 60 each per month and the lowest priced offeror can only deliver 45 each per month, then the lowest priced offeror will be issued a delivery order for 90 each with an incremental delivery schedule of 45 each per month. The second offeror will be issued a delivery order for 30 each with an incremental delivery schedule of 15 each per month.)
3. Contractors awarded a basic contract will be allowed 3 business days to respond to a request for quote unless the requirement is urgent in which case the Government reserves the right to request proposals in a shorter time period which will be identified in the request. The Government intends to issue delivery orders without discussions.
However, the Government reserves the right to conduct discussions if the Contracting Officer determines them to be necessary.
4. The Government intends to competitively issue each delivery order to the offeror whose quote represents the best value to the Government. The Government reserves the right to make a single or split award. The criteria for future placement of delivery orders are as follows:
a. Written (E-mail) request for quotes will be requested prior to the execution of any subsequent delivery order. Subsequent delivery orders will be placed with the successful offeror(s) who provide(s) the Government with the best value. The Government may consider the following for each delivery order:
1. Proposed total prices.
2. Past Performance on previous delivery orders against the contract.
3. The ability to meet the delivery requirements.
4. Current production capacity.
5. The quality of the product delivered on previous delivery orders against the contract.
Each request for quote will indicate evaluation criteria if evaluation will be conducted on other than price alone.
b. As stated above, the Government intends to award competitive delivery orders unless any of the exceptions to the fair opportunity process as stated in FAR 16.505(b)(1) apply.

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or

(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. In accordance with FAR 15.404-1(g), i.e., Unbalanced Pricing, a proposal may be rejected if the Contracting Officer determines the lack of balance poses an unacceptable risk to the Government.

The Total Evaluated Price is the sum of each Ordering Period Evaluated Price for each ordering period.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
