SECTION SF 30 BLOCK 14 CONTINUATION PAGE
SUMMARY OF CHANGES
SECTION SF 1449 - CONTINUATION SHEET
The following have been modified:
52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (FEB 2012)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers.
Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC 20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.
(ii) If the General Services Administration, Department of Agriculture, or Department of Veterans Affairs issued this solicitation, a single copy of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained free of charge by submitting a request to the addressee in paragraph (i)(1)(i) of this provision.

(j) Data Universal Numbering System (DUNS) Number. (Applies to all offers exceeding $3,000, and offers of $3,000 or less if the solicitation requires the Contractor to be registered in the Central Contractor Registration (CCR) database. The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror's name and address.
The DUNS +4 is the DUNS number plus a 4-character suffix that may be assigned at the discretion of the offeror to establish additional CCR records for identifying alternative Electronic Funds Transfer (EFT) accounts (see FAR Subpart 32.11) for the same concern. The offeror should indicate that it is an offeror for a Government contract when contacting the local Dun and Bradstreet office.
(k) Central Contractor Registration. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the CCR database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the CCR database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. (End of provision) Addendum:
The Government intends to award approximately one or more IDIQ contracts as a result of the solicitation. The Government reserves the right to award more or fewer contracts if it is in the best interest of the Government to meet NTM-A / CSTC-A requirements.

(3) Requests for Information The Government will make the final determination as to whether a proposal is acceptable or unacceptable, and may accept a proposal as initially submitted without requesting further information from any offeror. However, should the Government request additional information via Evaluation Notices (EN), the offeror shall provide a written response. If any response to Government initiated correspondence generates a change to the offeror's proposal, offerors shall annotate such changes and submit page changes to their proposal along with their response.
The Government may request additional information from any offeror at any stage of the acquisition for the purpose of clarification and for determining whether further discussions should be conducted with the offeror. Technical proposal information should be provided for all aircraft proposed. The technical proposal will be used to make an evaluation and arrive at a determination as to whether the contractor’s proposed approach is capable of meeting the minimum requirements as stated in the RFP. Each individual proposal (Medium Lift R/W, Medium F/W & Light F/W) shall be segregated into three subparts (1) Technical Approach (2) Aircraft Technical Capability, (3) FAA Certification Documentation and (4) Pre-Deployment Plan to support the Government’s evaluation of the corresponding factors.
a. Technical Approach: Describe the techniques, procedures and program for achieving the objectives of the specifications/performance work statement. Proposals that merely paraphrase the requirements of the Government’s specifications/Performance Work Statement, or use such phrases as “will comply” or “standard techniques will be employed” may be considered unacceptable and may not be considered further. As part of the Technical Approach, submit a Logistics Plan, a Quality Assurance/Safety Plan and a Maintenance Plan. The Logistics plan shall describe the organizational structure to include the number of employees the offeror intends to place in Afghanistan, communication, and lines of authority that will be utilized to create an effective team in support of the requirements within the solicitation to include any partnering or sub-contracting efforts. b. Aircraft Technical Capability: Provide the following information for each proposed aircraft:
Make, Model and Variant and Aircraft Registration Number. If the aircraft has been modified, provide the description of the Supplemental Type Certificate approved by the FAA or CAA and what if any, additional capabilities are achieved with the modification. Provide any other relative supporting documentation or explanation clearly demonstrating how the capabilities of the proposed aircraft can meet or exceed the minimum requirements of the PWS. Offerors shall also submit information regarding proposed aircraft Hovering Out of Ground Effect in accordance with the PWS for each of the proposed aircraft.
c. FAA Certification Documentation / DOD Approved Carrier: Submit copies of the following: (1)
Current 14 CFR Part 133 Operating Certificate and current FAA letter of authority for each aircraft or similar type aircraft designated to operate under the 14 CFR Part 133 Operating Certificate (2) 14 CFR Part 135 Operating Certificate and current 14 CFR Part 135 Operations specifications (Sections A and D). Each aircraft offered or a similar type aircraft should be listed in Section D of the Operations Specification (as applicable). If you are operating under a foreign flag, provide the equivalent CAA certifications. (3) For US Flag carriers, provide Flight Standards District Office (FSDO) location, as well as, the point of contact to include phone number and E-Mail address for the FSDO Manager, Aviation Safety Inspector, Principal Maintenance Inspector (PMI) and Principal Operations Inspector (POI). An offeror must be an approved Department of Defense (DOD) contractor—and not in a suspended or temporary non-use status—prior to receiving a contract award as determined by HQ AMC/A3B and the Civil Airlift Review Board (CARB). The offeror’s DOD approval must be for service equivalent to the service described in this solicitation. To obtain DOD approval, the offeror must satisfy the obligations contained in the clause entitled “Air Safety” as well as the quality and safety requirements set forth in 32 CFR Part 861 ‘Department of Defense Commercial Air Carrier Quality and Safety Review Program’. Operating Certificates and FAA Letters of Authority will not be counted against the maximum page limit.
d. Pre-deployment Plan – (Medium Lift R/W, Medium F/W & Light F/W). There must be individual proposal sections for each category (Medium Lift R/W, Medium F/W & Light F/W). The offeror’s Pre-deployment Plan must include detailed descriptions in paragraph format, and reasonable milestones in chronological order identifying all major actions and timelines required in the following areas: obtain aircraft (i.e. purchase/lease/own), obtain the necessary regulatory certifications, hire and train personnel, obtain and deploy initial required supplies, equipment and spare parts and deploy the proposed aircraft. The offeror shall submit Proof of aircraft ownership, signed lease agreement or purchase agreement, or other agreement between the parties expressing an intent to lease or purchase/sell aircraft that is binding upon both parties if a contract is awarded to the offeror. Examples of this might include a letter of intent to sell or purchase aircraft, or an option to lease or purchase. Options to lease or purchase shall include a right of first refusal exercisable by the offeror. The submitted documentation must also provide adequate assurance to the Government that the proposed aircraft will be available for the entire term of the contract period of performance, including base and option years, should the Government make an award to the offeror. Each plan shall also detail the number of personnel required in Afghanistan per aircraft (for billeting purposes). If a GANTT chart, diagram and/or graph is included it should not exceed 2 pages. Offerors must state all operational, financial, and regulatory assumptions made in this plan. Entire pre-deployment plan shall not exceed 8 pages, excluding proof of aircraft ownership and any related agreements.
The pre-deployment plan milestones will be based on the award date of the IDIQ contract and the individual task order, which are unkown at this time. Therefore, the Offeror will develop their pre-deployment milestones using an award date of ‘X’. The Offeror will prepare their milestones to state an event occuring within a specified number of days after the award date; e.g., ‘Company XYZ will obtain aircraft in support of the task order within ten (10) days of ‘X’’ or ‘Company XYZ will be capable of performing missions under the task order within fifteen (15) days of ‘X’’.
Offerors must provide an operational readiness date for aircraft based upon a stated number of days following award of a task order. Operational readiness date as defined in the PWS is “aircraft, crews, and support personnel and supplies are in Afghanistan and aircraft are available to receive and perform missions for/from the US Government.”
PART III (Evaluation Factor 2) - Past Performance: Offerors are required to comply with the following format and content requirements for Part III of their proposal. Entire Past Performance Proposal shall not exceed ten (10) pages.
Past performance. Offerors shall submit a maximum of five (5) Past Performance Information (PPI) references from different contracts to support the Government’s evaluation of each offeror’s past performance. Offerors shall ensure the past performance references are as relevant as possible to the requirements of this RFP. PPI references under requirements type or indefinite-delivery, indefinite-quantity (IDIQ) contracts shall reference the specific task order number. Offerors shall include the following past performance information:
(i) Company/division name
(ii) Product/service
(iii) Contracting agency
(iv) Current Government or other points of contact to include name, address, telephone number, fax number and e-mail address for each contract listed

(vi) Contract type
(vii) Contract award date, period of performance
(viii) Basic contract award amount/current value
(ix) Past Performance log including the name, address, telephone number, fax number and e-mail address for each point of contact listed.
Offerors shall determine the mix of contracts that best represent their depth and breadth of past performance under relevant contracts. Include a brief summary of the scope of the contract or task order submitted as it relates to the services to be provided under this solicitation. This includes work for commercial customers, DOD and other Federal agencies, and subcontracts that are similar to the Government requirements.
Offerors shall describe rationale supporting their assertion of relevance of the submitted contract or task order to this acquisition.
Offerors shall provide references for each contract. For Government contracts, provide current information for the Government Program Manager, Project/Task Manager, Contracting Officer, and Administrative Contracting Office, as applicable. 52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)
(a) The Government will award one or more contracts resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
1. Factor 1 Technical Capability:
Sub-factor 1 – Technical Approach Sub-factor 2 – Aircraft Specifications and Capabilities Sub-factor 3- FAA Certifications / DOD Approval Sub-factor 4 – Pre-Deployment Plan
2. Factor 2 Past Performance
3. Factor 3 Fly America Preference
4. Factor 4 Price
1. Introduction. This section outlines the Evaluation Criteria and methodology the Government will use in evaluating IDIQ proposals under this solicitation. The specific criteria are intended to show the scope of the evaluation to be performed on the proposals and to ensure a fair, consistent and standardized evaluation of all proposals submitted. FAR 52.212-1, Proposal Preparation Instructions, defines the proposal elements required from each offeror for this evaluation.
2. Basis for IDIQ Contract Award(s). The IDIQ Contract Award(s) will be awarded based a best value source selection as authorized by FAR 15.101-2, Lowest Price Technically Acceptable (LPTA). The objective of the source selection is to select multiple offerors that represent the best value to the Government, based upon technically acceptable proposals at the lowest price. The Government intends to award one or more IDIQ contracts as a result of the solicitation. IDIQ contract awards may include CLINs for one or more aircraft class category (Medium Lift R/W, Medium F/W & Light F/W) depending on what aircraft are proposed and determined by the Government to meet the standards of technical acceptability at the lowest prices. The Government reserves the right to award more or fewer IDIQ contracts if it is determined to be in the best interest of the Government in meeting CENTCOM requirements.
The evaluation criteria for IDIQ Contract Award(s) are specified below. To receive an IDIQ award, offerors must
(1) be deemed responsible IAW FAR Part 9, (2) conform to all required terms and conditions, (3) be DOD Approved pursuant to HQ AMC Commercial Airlift Division (AMC/A3B) standards, (4) be the entity that will operate the aircraft under this contract, unless subcontracting is required by international agreement and (5) meets the minimum requirements of the RFP at the lowest price.
Proposal Evaluation:
The Government has an immediate need for both fixed wing and rotary wing aircraft. Additional IDIQ contract awards, if necessary, will be made, in order of the evaluated LPTA to the Government, to ensure sufficient capability is available for current and future aircraft needs. Future Task Order competitions among all IDIQ contract awardees will be accomplished to obtain required aircraft once initial IDIQ contracts are awarded.
The Government will first evaluate whether or not an offeror’s Business Proposal (Part I) is compliant with the Instructions as stated in FAR 52.212-1.
The Government will then evaluate the offeror’s Technical Proposal (Part II, Factor 1) for acceptability in accordance with Factor 1 below. If an offeror’s Technical Proposal is not acceptable, the offeror will not be eligible for award.
Following the evaluation of the offeror’s technical proposal, the Government will evaluate the offeror’s Past Performance Proposal (Part III, Factor 2) for recency, relevancy and then assign a confidence rating in accordance with Factor 2 below. If an offeror’s Past Performance Proposal is rated as ‘unsatisfactory’, the offeror will not be eligible for award.
If an offeror’s proposal is both technically acceptable, and receives a ‘satisfactory’ rating or a ‘neutral’ rating for Past Performance, the Government will rank proposals (Part IV, Factor 3) in accordance with the Fly America and Fly CRAF categories detailed below in Factor 3 below.
If the Government can fill its immediate and future needs for aircraft with acceptable, reasonably available Category 1 (Fly America & Fly CRAF) offerors, awards will be made to those offerors in the order of a Lowest Price Technically Acceptable basis.
If sufficient Category 1 offerors are not available to fulfill the Government’s immediate and future needs for aircraft, the Government will make additional awards to those reasonably available Category 2 (Fly America) offerors in the order of a Lowest Price Technically Acceptable basis.
If sufficient Category 2 offerors are not available to fulfill the Government’s immediate and future needs for aircraft, the Government will make additional awards to those reasonably available Category 3 (Foreign Flag) offerors in the order of a Lowest Price Technically Acceptable basis.
For each Fly America & Fly CRAF Preference Category, the Government will evaluate the offeror’s proposed pricing (Part V, Factor 4) in accordance with Factor 4 below.
The Government reserves the right to award more than one contract for each aircraft category.
Task Orders: In the event that the Government awards more than one (1) offeror an IDIQ contract, the requirement will be competed among the offerors who are IDIQ holders for that specific aircraft category.
Only offerors who were awarded an IDIQ for the aircraft category will be permitted to submit proposals in response to the Government’s Request for Task Order Proposal (RFTOP) after award. The Government will issue individual Firm-Fixed-Price (FFP) task orders for each aircraft category, as required, utilizing the same evaluation process contained herein. All orders are subject to the terms and conditions of this contract. Any modifications or changes to the fixed-price order must be issued in writing by the Contracting Officer. The Government will adhere to the same Fly America & Fly CRAF preference requirements in this solicitation when awarding task orders. For example, if one (1) Category 1 Preference Category Carrier and one (1) Category 3 Preference Category Carrier are awarded an IDIQ for Medium Fixed Wing Aircraft, the Government will show preference to the Category 1 carrier in its evaluation of the proposals submitted in accordance with the Fly America Act.
3. Evaluation Criteria (Factors/Subfactors).
