About this file

This sole source justification document and related federal contract opportunity outline a three-year requirements contract awarded to Integrated Electronics Inc. for component level repair of the Integrated Helmet and Display Sight System on Apache attack helicopters. The sole source justification is necessary as Integrated Electronics Inc. is the only company with the technical expertise and proprietary data to perform the specialized repairs on this mission critical system, having acquired the work from Honeywell in 2002 and successfully completing multiple similar contracts. A competitive bid process would introduce an unacceptable delay of at least 96 months as any new contractor would need to extensively reverse engineer the system in order to develop the required diagnostic tools, procedures and technical data to meet sustainment needs.

CMO Control Number: 2019-095 modifications to IHADSS.

IEI is the only known entity with the ability to repair the IHADSS system in accordance with the technical updates and program requirements. The IHADSS repair workload was transferred from Honeywell to IEI via modification P00019 to DAAE20-97-C-0092 on 16 JAN 2002, and IEI successfully completed all terms of the contract. Over the course of the past 17 years multiple service contracts have been awarded to IEI and their performance has been satisfactory. As a result, IEI has demonstrated that it has the technical experience and expertise required to provide IHADSS component repair support needed to satisfy Government requirements.

A Government-owned competitive technical data package for the IHADSS system does not exist. ESA owns the intellectual property and data rights to the IHADSS system. On August 19, 2019, ESA declined the Government request to sell all competitive technical data to the Government for either production or repair. All necessary drawings, functional block diagrams, input/output/internal signal routing and values, logic equations and acceptance test procedures, etc. are proprietary to the OEM. A new contractor would have to reverse engineer the IHADSS in order to develop test equipment, diagnostic procedures, depot level repair parts and acceptance test procedures to prove sustainment level repair capability.

Unacceptable Delay: The IHADSS reverse engineering process would be comprised of seven distinct efforts required to generate a competitive IHADSS depot repair technical data package. The aggregate delay in the acquisition process for reverse engineering, developing vendor qualification procedures, and for the engineering analysis to determine if a new source meets the qualification procedures, is at least 96 months.

Table II below illustrates procedural requirements and approximate timelines required to reverse engineer the IHADSS.

13. Fair and Reasonable Cost Determination: I hereby determine that the anticipated cost to the Government for this contract action will be fair and reasonable.

The negotiated price will be determined fair and reasonable through a combination of cost analysis, which will thoroughly analyze each of the proposed individual cost elements, in addition to conducting a price analysis to ensure that the price agreement is consistent with the IGCE and/or historical pricing for similar items. ACC-WRN will utilize Cost/Price Analysts and Industrial Specialists to assist in performing the Cost and Price analysis. This analysis will also be supported by a technical review. The Contracting Officer will request that personnel familiar with the requirement review labor types and quantities as well as material kinds and quantities to ensure that what is proposed is fair and reasonable. Certified Cost or Pricing Data will be required, in accordance with FAR 15.403-4(a)(1), and will form the basis for this analysis. The final negotiated agreement will give full consideration to all contractual requirements to support a determination of fair and reasonable prices for this effort.
