In consideration of the terms and conditions contained in this Contract and as set forth in Exhibits A-D, attached hereto and incorporated by reference, the parties agree as follows:
1) Project - Contractor Services.
1.1 The Contractor shall do all work and perform all services necessary to construct the public works project known as Turnkey Electric Vehicle Charging Stations, in accordance with and as more fully described in Exhibit A - Scope of Work (“Project”), and the following documents, which are incorporated herein by reference:
i. This Contract and Exhibits A through D
ii. Scope of Work (Exhibit A)
iii. Project Cost (Exhibit B)
iv. Federal Tax Form W-9 (Exhibit C)
v. Non-Discrimination Requirements (Exhibit D)
The Parties acknowledge and agree that Exhibit A is identical to Attachment 3, including any addenda, as included in the Project’s Call For Bids (“CFB”). Any inconsistency in the parts of the Contract referenced above shall be resolved by following an order of precedence in which part i presides over part ii, part ii over part iii, part iii over part iv, and so forth.
1.2 The Contractor shall furnish, at its own cost and expense, all labor, supervision, tools, equipment, facilities, transportation, and materials required to complete the Project. The Contractor shall construct and complete, to the satisfaction of the City, the work designated, described and required by Exhibit A and the approved proposal for construction of the improvements, all of which documents are a part of this Contract.
1.3 The term “work,” as used in this Contract, means the construction and services necessary or incidental to fulfill Contractor’s obligations in conformance with this Contract.
2) Notice to Proceed; Time of Completion. The Contractor shall complete the work within 60 consecutive working days from the indicated starting date appearing in an official Notice to Proceed issued by the City.
3) Compensation and Method of Payment. The City shall pay Contractor the amount of $ according to the rates/proposal set forth in Exhibit B (“Project Cost”). The Project Cost includes all costs associated with the Project, including, but not limited to, labor, materials, overhead, administrative, and permit and regulatory costs, unless otherwise agreed to by the Parties in writing. The Contractor shall submit a request for payment for work performed within five (5) business days from the last day of the month work was performed. Extensions may be granted at the City’s discretion.
The Contractor shall complete and return to the City Exhibit C, federal tax Form W-9, prior to or along with the first billing invoice. The City shall pay the Contractor for services rendered within ten (10) days after City Council voucher approval.
All or a portion of the work may constitute "public road construction" as defined in Washington Administrative Code (“WAC”) §458-20-171 (also referenced as Washington Department of Revenue Rule 171). Under Rule 171, the performance of the work by the Contractor which constitutes "public road construction" does not constitute a "retail sale" to the City. Therefore, state and local retail sales taxes will not be paid by the City on work which constitutes “public road construction.” However, state and local retail sales taxes are payable by the Contractor on all purchases and rentals of materials, tools, machinery, equipment, and supplies used or consumed by the Contractor in the performance of the work.

The bonds shall be released thirty
(30) days after final acceptance of the work performed under this Contract and receipt of all necessary releases from the State Department of Revenue, State Employment Security Department, and the State Department of Labor and Industries, and until settlement of any liens filed under Chapter 60.28 RCW, whichever is later. On contracts of $150,000 or less, the Contractor or general contractor/construction manager as defined in RCW 39.10.210, may request in writing that the City, in lieu of the bond, retain ten percent (10%) of the Contract amount for a period of thirty (30) days after the date of final acceptance, or until the receipt of all necessary releases from the State Department of Revenue, State Employment Security Department, and State Department of Labor and Industries and settlement of any liens filed under Chapter 60.28 RCW, whichever is later.

6. Defective or Unauthorized Work. The City reserves the right to withhold payment from the Contractor for any defective or unauthorized work. Defective or unauthorized work includes, without limitation: work and materials that do not conform to the requirements of this Contract, and extra work and materials furnished without the City’s written approval. If the Contractor is unable, for any reason, to satisfactorily complete any portion of the work, the City may complete the work by contract or otherwise, and the Contractor shall be liable to the City for any additional costs incurred by the City.
"Additional costs" means all reasonable costs incurred by the City, including legal costs and attorneys’ fees, beyond the maximum contract price under this Contract. The City further reserves the right to deduct the cost to complete the work, including any additional costs, from any amounts due or to become due to the Contractor.

Acceptance of final payment shall be in the form of a “canceled” check.
8. Termination. The City may terminate this Contract for good cause. "Good cause" shall include, without limitation, any one or more of the following events:

If the City terminates this Contract for good cause, the Contractor shall not receive any further monies due under this Contract.
9. Independent Contractor. The Contractor is and shall be at all times during the term of this Contract an independent contractor. As the Contractor is customarily engaged in an independently established trade which encompasses the specific work provided to the
City in this Contract, no agent, employee, representative, or subcontractor of the
Contractor shall be or shall be deemed to be the employee, agent, representative, or subcontractor of the City. In the performance of the work, the Contractor is an independent contractor with the ability to control and direct the performance and details of the work, the City being interested only in the results obtained under this Agreement. Nothing in this
Contract shall be considered to create the relationship of employer and employee between the Parties. Neither Contractor nor any employee of Contractor shall be entitled to any benefits accorded to City employees by virtue of the Services provided under this Agreement.
The City shall not be responsible for withholding or otherwise deducting federal income taxes or Social Security taxes, contributing to the State Industrial Insurance Program, or otherwise assuming the duties of an employer with respect to the Contractor, or any employee of the Contractor.
10. Prevailing Wages. Contractor shall comply with and pay prevailing wages as required with Chapter 39.12 RCW, as now in effect or hereafter amended. The hourly wage paid to all laborers, workers, or mechanics for the work under this Contract shall not be less than the prevailing wage rate in King County, Washington. The Contractor is responsible for determining the correct laborer, worker, or mechanic classifications for prevailing wages. The prevailing wages shall be as of the date of the quotation submitted by the Contractor to the City, and are available at the Department of Labor and Industries website at http://www.Ini.wa.gov/TradesLicensing/PrevWage/WageRates. A copy of the applicable prevailing wages is available for viewing at City Hall at the address shown in Paragraph 16.7 of this Contract. The City will mail a hard copy of the applicable prevailing wages to the Contractor upon request.
Prior to making any payment under this Contract, the Contractors and subcontractors must submit to the City an approved copy of the “Statement of Intent to Pay Prevailing Wages” from the Department of Labor and Industries. It is the Contractor’s responsibility to obtain and file the “Statement of Intent to Pay Prevailing Wages.” The Contractor shall be responsible for all filing fees. Notice from the Contractor and all subcontractors of intent to pay prevailing wage rates for the Project must be posted for the benefit of the workers. Each invoice shall include a signed statement that that prevailing wages have been paid by the Contractor and all subcontractors. Following final acceptance of the work, the Contractor shall submit an “Affidavit of Wages Paid” from the Department of Labor and Industries for themselves and any subcontractors.
11. Changes.
11.1 The City may issue a written change order for any change in the work during the performance of this Contract. If the Contractor determines, for any reason, that a change order is necessary, the Contractor must submit a written change order request to the City within two (2) working days of the date the Contractor knew or should have known of the facts and events giving rise to the requested change. If the City determines that the change increases or decreases the Contractor’s costs or time for performance, the City will make an equitable adjustment. The City will attempt, in good faith, to reach agreement with the Contractor on all equitable adjustments. If the parties are unable to agree, the City will determine the equitable adjustment as it deems appropriate. The Contractor shall proceed with the change order work upon receiving the written change order. If the Contractor fails to require a change order within the time frame allowed the Contractor waives its right to make any claim or submit subsequent change order requests for that portion of the work. If the Contractor disagrees with the equitable adjustment, the Contractor must complete the change order work; however, the Contractor may elect to protest the adjustment as provided below.
http://www.ini.wa.gov/TradesLicensing/PrevWage/WageRates
11.2 Procedure and Protest by Contractor. If the Contractor disagrees with anything required by a change order, another written order, or an oral order from the City, including any direction, instruction, interpretation, or determination by the City, the Contractor shall, within two (2) working days, provide a signed written notice of protest to the City that states the date of the notice of protest, the nature and circumstances that give rise to the protest, the provisions in the Contract that support the protest, the estimated cost, if any, of the protested work and how the estimate was determined, and an analysis of the progress schedule showing the schedule change or disruption, if applicable. The Contractor shall keep complete records of extra costs and time incurred as a result of the protested work. The City shall have access to any of the Contractor’s records needed to evaluate the protest. If the City determines that a protest is valid, the City will adjust the payment for work or time by an equitable adjustment. If the City determines the protest is partially or wholly unjustified the City will inform the Contractor of its decision in writing within a reasonable period of time.
11.3 Contractor’s Duty to Complete Protested Work. In spite of any protest, the Contractor shall proceed to promptly complete work that the City has ordered.
11.4 Contractor’s Acceptance of Changes. The Contractor accepts all requirements of a change order, action, determination, decision, or instruction by the City by: (1) endorsing the change order; (2) writing a separate acceptance; or
(3) not protesting in the manner provided in this Section. Acceptance of a change order by Contractor as provided in this Section shall constitute full payment and final settlement of all claims for contract time and for direct, indirect, and consequential costs, including costs of delays related to any work, either covered or affected by the change.
11.5 Failure to Protest or Follow Procedures Constitutes Waiver. By not protesting or following procedures as provided in this Section, the Contractor waives any additional entitlement or claims for protested work, and accepts from the City any written or oral order (including directions, instructions, interpretations, and determinations).
12. Claims. The Contractor shall give written notice to the City of all claims other than change orders within fourteen (14) calendar days of the occurrence of events giving rise to the claim. Any claim for damages, additional payment for any reason, or extension of time, shall be conclusively deemed to have been waived by the Contractor unless a timely written claim is made in strict accordance with the applicable provisions of this Contract.
At a minimum, a Contractor’s written claim must include the information required in Paragraph 11.2 regarding protests.
FAILURE TO PROVIDE A COMPLETE, WRITTEN NOTIFICATION OF CLAIM WITHIN THE
TIME ALLOWED SHALL BE AN ABSOLUTE WAIVER OF ANY CLAIMS ARISING IN ANY WAY
FROM THE FACTS OR EVENTS SURROUNDING THAT CLAIM.
If the Contractor has met all claim and notice provisions for protests and claims as provided in this Paragraph 12, any lawsuit by the Contractor to pursue additional compensation, additional time, or other relief related to this Contract must be filed in King County Superior Court within one hundred twenty (120) calendar days from the date the work is accepted by the City.
13. Warranty & Correction of Defects.
Prior to the City’s acceptance of the Contract work as complete, Contractor must provide the City a two (2) year warranty bond on a form and in an amount acceptable to the City.
The Contractor shall correct all defects in workmanship and/or materials discovered within two (2) years from the date of the City’s acceptance of the work, including but not limited to, replacing vegetation that fails to thrive. In the event any parts are repaired or replaced, only original replacement parts shall be used, and rebuilt or used parts will not be acceptable. When defects are corrected, the warranty for that portion of the work shall extend for one (1) additional year from the date such correction is completed and accepted by the City. The Contractor shall begin to correct any defects within seven (7) days of its receipt of notice from the City of the defect and shall complete such work within a reasonable time agreed to by the Parties. If the Contractor does not accomplish the corrections within a reasonable time, the City may complete the correction, and the Contractor shall pay all costs incurred by the City to accomplish the correction. In emergencies, where damage may result from delay, or where loss of service may result, such corrections may be made by the City, in which case the Contractor shall pay all costs incurred by the City to perform the correction.
14. Indemnification.
14.1. The Contractor shall defend, indemnify, and hold the City, its officers, officials, employees, agents, and volunteers harmless from any and all claims, injuries, damages, liabilities, judgments, losses, or suits, including, but not limited to, attorneys’ fees and costs, and other expenses of any kind arising out of or in connection with the performance of this Contract, except for injuries and damages caused by the sole negligence of the City.
14.2. Should a court of competent jurisdiction determine that this Contract is subject to RCW 4.24.115, then, in the event of liability for damages arising out of bodily injury to persons or damages to property caused by or resulting from the concurrent negligence of the Contractor and the City, its officers, officials, employees, agents, and volunteers, the Contractor's liability, including the duty and cost to defend, hereunder shall be only to the extent of the Contractor's negligence.
14.3. Contractor specifically and expressly waives any immunity granted under Washington Industrial Insurance, Title 51 RCW, solely for the purposes of this indemnification. This waiver has been mutually negotiated and agreed to by the parties.
14.4. The provisions of this Section shall survive the expiration or termination of this Contract.
15. Insurance
15.1 Prior to the execution of the Contract, Contractor shall procure insurance in the amounts and in accordance with the insurance provisions set forth in this Section.
15.2 Insurance Term. The Contractor shall procure and maintain insurance, as required in this Section, without interruption from commencement of the Contractor’s work through the term of the contract and for thirty (30) days after the physical completion date, unless otherwise indicated herein.
15.3 No Limitation.
