About this file

This document contains Special Terms and Conditions for goods and nonprofessional services contracts issued by the Commonwealth of Virginia, specifically applicable to the Ariel Herbicide Spraying Re-Bid project controlled by the MTC Fort Pickett Department of Public Works. The project involves controlling problem tree growth and enhancing early successional wildlife habitat on approximately 441 acres within the Controlled Access Area of Fort Pickett, Virginia. The solicitation requires bidders to provide at least three references demonstrating prior experience with similar goods and services, including organization name, complete mailing address, contact person name, and telephone number. Bids submitted in response to this solicitation remain valid for thirty days, after which they may be withdrawn at the bidder's written request, and any submitted bid not withdrawn remains in effect until award or solicitation cancellation. The Commonwealth reserves the right to cancel and terminate any resulting contract in part or in whole without penalty upon sixty days' written notice.

Award of the contract shall be made on a grand total basis to the lowest responsive and responsible bidder that is a DSBSD-certified micro business if the bid does not exceed $10,000 and the agency determines the price is fair and reasonable; otherwise, award shall be made to a DSBSD-certified small business if the bid does not exceed $100,000 and is deemed fair and reasonable; if neither criterion is met, award goes to the lowest responsive and responsible bidder of any size. The contractor must maintain all books, records, and documents relative to the contract for five years after final payment or until audited by the Commonwealth. All contractors and subcontractors must be properly licensed throughout the contract term and must immediately notify the agency if any license is revoked. Contractors with an average of more than fifty employees over the previous twelve months entering into contracts exceeding $50,000 must register and participate in the E-Verify program to verify employee work authorization. Product substitution after contract award is expressly prohibited unless approved in writing by the Contract Officer, and any damage to existing utilities, equipment, or finished surfaces resulting from contract performance shall be repaired at the contractor's expense. If products become unavailable, the Agency may require substitution of equivalent or better quality items at no price increase.

SPECIAL TERMS AND CONDITIONS

GOODS AND NONPROFESSIONAL SERVICES

1. AUDIT: The contractor shall retain all books, records, and other documents relative to this contract for five (5) years after final payment, or until audited by the Commonwealth of Virginia, whichever is sooner. The agency, its authorized agents, and/or state auditors shall have full access to and the right to examine any of said materials during said period.

2. AWARD OF CONTRACT: All solicitations must contain one of the following award clauses to specify the method of award.

A. AWARD: The Commonwealth will make the award on a grand total basis to the lowest responsive and responsible bidder that is a DSBSD-certified micro business if such a bid is received, provided that the bid is up to and including $10,000 and the agency in its sole discretion determines that the bid price is fair and reasonable. Otherwise, award of the contract shall be made to the lowest responsive and responsible bidder that is a DSBSD- certified small business if such a bid is received, provided that the bid is not more than $100,000 and the agency in its sole discretion determines that the bid price is fair and reasonable.

If, in the agency’s opinion, the criteria in the previous two sentences are not present, then award shall be made to the lowest responsive and responsible bidder of any size, provided the agency in its sole discretion determines that the price is fair and reasonable. If applicable, unit prices, extensions and grand total must be shown. In case of arithmetic errors, the unit price will govern. If cash discount for prompt payment is offered, it must be clearly shown in the space provided. Discounts for early prompt payment will not be considered in making awards. The State reserves the right to reject any and all bids in whole or in part, to waive any informality, and to delete items prior to making an award.

3. CANCELLATION OF CONTRACT: The purchasing agency reserves the right to cancel and terminate any resulting contract, in part or in whole, without penalty, upon 60 days written notice to the contractor. Any contract cancellation notice shall not relieve the contractor of the obligation to deliver and/or perform on all outstanding orders issued prior to the effective date of cancellation.

4. eVA ORDERS AND CONTRACTS: The solicitation/contract will result in one (1) purchase order with the applicable eVA transaction fee assessed for each order.

Vendors desiring to provide goods and/or services to the Commonwealth shall participate in the eVA eProcurement Program and agree to comply with the following: If this solicitation is for a term contract, failure to provide an electronic catalog (price list) or Punch-Out Catalog for items awarded will be just cause for the Commonwealth to reject your bid/offer or terminate this contract for default. The format of this electronic catalog shall conform to the eVA Catalog and/or Punch-Out Catalog Specification. For further information and details please email eVA-catalog- manager@dgs.virginia.gov.

5. BID ACCEPTANCE PERIOD: Any bid in response to this solicitation shall be valid for thirty (30) days. At the end of the days the bid may be withdrawn at the written request of the bidder. If the bid is not withdrawn at that time it remains in effect until an award is made or the solicitation is canceled.

6. CONTRACTOR/SUBCONTRACTOR LICENSE REQUIREMENT: By my signature on this solicitation, I certify that this firm/individual and subcontractor is properly licensed for providing the goods/services specified.

Furthermore, the contractor and subcontractors shall maintain the required license throughout the term of the contract. The contractor or their subcontractor shall immediately notify the contracting agency in writing in the event the license has been revoked.

Pursuant to Code of Virginia, §2.2-4308.2., any employer with more than an average of 50 employees for the previous 12 months entering into a contract in excess of $50,000 with any agency of the Commonwealth to perform work or provide services pursuant to such contract shall register and participate in the E-Verify program to verify information and work authorization of its newly hired employees performing work pursuant to such public contract.
