[ ] ADDENDUM (attach copy of original J&A for add-ons or revisions)

1. The Defense Logistics Agency, DLA Land and Maritime, is the contracting activity.

2. The action being approved is the acquisition of supplies on other than a full and open competition basis. This

DLA Land and Maritime acquisition is for an Indefinite Quantity Contract (IQC) for the various spare parts listed in the table below. The proposed acquisition is for 39 DLA-managed items that are components for various model transmissions manufactured by Allison Transmission, Inc. (CAGE 73342). This acquisition is being pursued to provide continued or improved supply availability to preclude backorders, reduce administrative and production lead-time (ALT and PLT), decrease potential contract administration actions, and obtain reduced and stable unit pricing. In addition to those items listed below, the scope of this contract includes all commercial DAL managed items for which Allison Transmission, Inc. (CAGE 73342) is the sole approved source of supply.

3. The supplies required to meet the using activity’s needs are described as follows:

Identify end item, weapon system, or class of item:

These NSNs are used on various weapon systems to include Family of Medium and Light Tactical Vehicles (FMTV), Opposing Force Surrogate Vehicles (OSV), and Personnel Carriers. See Attachment 1 – Weapon Systems for a complete list of the weapon systems.

4. The statutory authority permitting other than full and open competition is:

10 U.S.C. 2304(c)(1) - Available from only one or a limited number of sources.

5. If restricted to the only source(s) of supply, include source(s) and CAGE code:

For the items coded AMSC B, Allison Transmission, Inc. (CAGE 73342) is the only manufacturing source specified on the source control drawing and suitable technical data is not available to permit acquisition from other sources. For the items code AMSC C, Allison Transmission, Inc. is the only source approved by the design control activity and it retains data rights, manufacturing knowledge, or technical data that is not economically available to the Government and that data or knowledge is essential to maintaining the quality of the part. For the items coded AMSC D and R, only Allison Transmission, Inc. has been identified as having the proper complete technical data and manufacturing expertise to supply these items to DLA and the using military services. For the items coded AMSC L, Allison Transmission, Inc. is the only known source; the items have been screened for additional known resources, but none have been identified.

The use of the authority cited below:

AMC 3. Acquire, for the second or subsequent time, directly from the manufacturer.

AMC 4. Acquire, for the first time, directly from the manufacturer. (CLIN 0016)

The use of the authority cited is based on:

AMSC B: This part must be acquired from a manufacturing source(s) specified on a source control or selected item drawing as defined by the current version of DoD-STD-100. Suitable technical data, Government data rights, or manufacturing knowledge are not available to permit acquisition from other sources, nor qualification testing of another part, nor use of a second source part in the intended application. Although, by DoD-STD-100 definition, altered and selected items shall have an adequate technical data package, data review discloses that required data or data rights are not in Government possession and cannot be economically obtained. If one source is available, AMCs 3, 4, or 5 are valid. If at least two sources exist, AMCs 1 or 2 are valid. (CLINs 0012, 0017, 0037, 0038, and 0039)

AMSC C: This part requires engineering source approval by the design control activity in order to maintain the quality of the part. Existing unique design capability, engineering skills, and manufacturing knowledge by the qualified source(s) require acquisition of the part from the approved source(s). The approved source(s) retain data rights, manufacturing knowledge, or technical data that are not economically available to the Government, and the data or knowledge is essential to maintaining the quality of the part. An alternate source must qualify in accordance with the design control activity's procedures, as approved by the cognizant Government engineering activity. The qualification procedures must be approved by the Government engineering activity having jurisdiction over the part in the intended application. If one source is approved, AMCs 3, 4, or 5 are valid. If at least two sources are approved or if data is adequate for an alternate source to qualify in accordance with the design control activity's procedures, AMCs 1 or 2 are valid. (CLINs 0001, 0014, 0024, and 0029)

AMSC D: The data needed to acquire this part competitively is not physically available, it cannot be obtained economically, nor is it possible to draft adequate specifications or any other adequate, economical description of the material for a competitive solicitation. AMCS 3, 4, or 5 are valid. (CLINs 0002-0008, 0010, 0011, 0013, 0015, 0016, 0018, 0019, 0020, 0021, 0023, 0025, 0026, 0028, 0030, 0031, 0033, and 0036)

AMSC L*: The annual buy value of this part falls below the screening threshold established by DoD components and field activities. However, this part has been screened for additional known sources, resulting in either confirmation that the initial source exists or that other sources may supply the part. No additional screening was performed to identify the competitive or noncompetitive conditions that would result in assignment of a different AMSC. This code shall not be used when screening parts entering the inventory. This code shall be used only to replace AMSC O for parts under the established screening threshold. If one source is available, AMCs 3, 4, or 5 are valid. If at least two sources exist, AMCs 1 or 2 are valid. (CLINs 0032 and 0034)

AMSC R: The Government does not own the data or the rights to the data needed to purchase this part from additional sources. It has been determined to be uneconomical to buy the data or rights to the data. It is uneconomical to reverse engineer the part. This code is used when the Government did not initially purchase the data and/or rights. If only one source has the rights or data to manufacture this item, AMCs 3, 4, or 5 are valid. If two or more sources have the rights or data to manufacture this item, AMCs 1 or 2 are valid. (CLINs 0009, 0022, 0027, and 0035)

*APPLIES TO LTCs - An Item identified by AMSC A, H, or L has been subjected to limited screening. The Government does not physically have in its possession sufficient, accurate, or legible data to purchase this item from other than the identified source. Items identified by AMSC A, H, or L on Long Term Contracts, are subject to annual review for possible assignment of a different or permanent AMSC. DLA Land and Maritime agrees to maintain a continual review of these items to ensure that an annual review at a minimum, in part to determine if new technical data is available to allow for assignment of a more permanent AMSC. Any item determined to be competitively available during the solicitation evaluation phase will be removed from the acquisition requirement. Any item determined after contract award to be competitively available may be deleted from the contract and resolicited.

These items have been determined commercial of a type. A technical review in support of a potential LTC was performed on July 17, 2017, and all NSNs were determined to be suitable for a long-term contract. The Product Specialists reviewed the technical information and have certified it as complete and accurate.

Although these items have been determined commercial of a type, these items are used on military specific vehicles designed to satisfy the needs of the warfighter. These items are determined commercial of a type or commercial of a type with minor modifications to meet military specific needs. Allison Transmission, Inc. is the only known source that has the technical data and manufacturing knowledge necessary to ensure that these repair and replacement parts properly support weapon systems such as the FMTV, OSV, and Personnel Carriers. There is no evidence that standard, similar commercial parts can support these military specific vehicles. It is therefore essential to limit competition to Allison Transmission, Inc. part numbered items.

6. Efforts to ensure that offers are solicited from as many sources as practicable are:

The acquisition will be synopsized on or about May 15, 2019.

The solicitation will be posted to DIBBS for 30 days.

Dealers of the manufacturers will be solicited.

In an effort to encourage participation by manufacturers in the acquisition process and to help decrease barriers for companies looking to become sources of supply, DLA Land and Maritime hosts Captains of Industries bringing in industry leaders for particular commodities or weapon systems. DLA, depending on budget allowance, also holds supplier conferences.

7. I hereby determine that the anticipated cost to the Government will be fair and reasonable.

Based on market research response, previous LTCs, and the buyer’s additional research, the Contracting Officer has determined that these items are commercial items of a type. Given the readily available pricing information for the commercial items, it is anticipated that the pricing received will be fair and reasonable.

8. Market Research/Efforts to Obtain Competition:

DLA Land and Maritime conducted various forms of market research including the publishing of a formal Sources Sought notice and market survey to www.fbo.gov. In addition to the publishing of a Sources Sought notice, the Market Survey team contacted suppliers from the procurement history.

Sources Sought Notice:

The initial Sources Sought Notice was posted to FBO on February 27, 2017, and closed on March 6, 2017. No additional sources responded. An updated Sources Sought Notice was posted to FBO on September 19, 2018, and closed on September 27, 2018. No additional sources responded.

Information received regarding the commerciality of the item(s):

For 19 of the NSNs, Market Survey respondents stated that these items are commercial and prior acquisitions were conducted using FAR Part 12. In addition, the buyer contacted the sole source for these items and conducted online commercial research. Online research consisted of searching for each of the items online by CAGE and part number, commercial database searches, researched past procurements, etc. The buyer was able to locate 19 of the NSNs at Ted Keating Transmission Sales, Diesel Parts Direct, and Ebay (See Attachment 3 – Commercial Support). The sole source also provided their commercial prices for these same 19 NSNs. Based on this information, the Contracting Officer determined these 19 NSNs to be commercial of a type under Subparagraph (1)(ii) of the “Commercial item” definition in FAR 2.101.

For the remaining 20 NSNs identified in Attachment 2, the sole source indicated that these items were either non-commercial or had an invalid part number listed. For the items that had an invalid part number, the Product Specialist was contacted for clarifications. These items were then sent to the Defense Contract Management Agency (DCMA) Commercial Item Group (CIG) for commerciality support. The DCMA CIG recommended the items be considered commercial. The DCMA CIG stated that “the form and fit of transmission components typically vary from one transmission model to another. However, the function of these transmission components is the same as those found in commercial transmissions…the modifications to the fit and form are considered modifications “of a type” customarily available in the commercial marketplace”. The DCMA CIG recommended the subject transmission components be considered commercial in accordance with Subparagraph (3)(i) of the “Commercial item” definition in FAR 2.101 because the components are of a type customarily used by the general public or by non-governmental entities for purposes other than governmental purposes; and multiple distributors were identified which offer the items to the general public (See Attachment 2 – DCMA CIG Case FY19-068-C and FY19-209). Based on this information, the Contracting Officer determined these 20 NSNs to be commercial of a type with minor modifications customarily available in the commercial marketplace under Subparagraph (3)(i) of the “Commercial item” definition in FAR 2.101.

9. Additional facts supporting other than full and open competition are:

Based upon the technical certification on file in DLA Land and Maritime – VEP technical data is not available and cannot be developed to permit full and open competition. The data presently available reflects the minimum needs of the Government.

10. A listing of sources, if any, indicating an interest in the acquisition is: (If none, so state)

Clarke Power Services, Inc. (1SHN6) Supply Core (4V314)

11. The following actions are being taken to identify additional sources:

Solicitation contains DLA Procurement Note, L04 Offers for Part Numbered Items.

Solicitation contains DLA Procurement Note, M06 Evaluation of Offers for Part Numbered Items.

The Government will continue to conduct market research to ascertain if changes occur in the marketplace that would enable future actions for this item to be competitive.

Per PGI 206.304, the requirement states, “the justification shall include a copy of the previous justification to assist the approval authority in determining whether the planned actions to remove any barriers to competition cited on the previous justification were completed”. Based on a review of the contract history, there are five prior awards, SPM7LX-13-D-9008, SPM7LX-13-D-0115, SPM7LX-13-D-0116, SPE7L1- 16-D-0007, and SPE7M1-18-D-0002, that included a Justification and Approval (J&A). The J&As for Other Than Full and Open Competition for SPM7LX-13-D-9008, SPM7LX-13-D-0115, and SPM7LX-13- D-0116 are included as Attachments 4, 5, and 6. The buyer was unable to locate the J&As for SPE7L1-16- D-0007 and SPE7M1-18-D-0002.

No alternate manufacturers were identified for the subject parts with a couple of exceptions listed by TKT. The form and fit of transmission components typically various from one transmission model to another. However, the function of these transmission components is the same. No unique military/government functions were identified in the subject parts. The modifications to the fit and form are considered modifications of a type customarily available in the commercial marketplace. Therefore, DCMA CIG recommends the subject Allison transmission components be considered commercial in accordance with FAR 2.101 “Commercial item” (3)(i).

RISK ASSESSMENT:

The technical risks for the reviewed parts are low as transmission technology is mature. While multiple distributors were identified for the parts, Allison is the sole source manufacturer of the proposed parts with few exceptions. As such a cost risk is present as competition could not be identified to drive competitive prices. No military or inherently governmental features were

identified in the subject parts based on market research. However, no technical information could be obtained from Allison. Therefore, the possibility exists that such features may exist in some of the components. In particular concern is the transmission control modules and the software on such modules. However, if such military features exist it would likely be minor modifications to meet Federal Government requirements.

CONCLUSIONS:

In summary, DCMA CIG recommends the reviewed Allison transmission components be considered commercial in accordance with FAR 2.101 “Commercial item” (3)(i). The components are of a type customarily used by the general public or by non-governmental entities for purposes other than governmental purposes with modifications of a type customarily available in the commercial marketplace. Multiple distributors were identified which were offering the items to the general public.

CONTRACTOR’S COMMERCIAL ITEM ASSERTION PACKAGE

The customer request was submitted for a potential long-term solicitation. As such, Allison Transmission did not submit a commercial item justification package for the subject parts. This is a follow-up to DCMA CIG Case # FY19-068-C.

STATEMENT OF ADEQUACY OF CONTRACTOR’S SUBMISSION

A Commercial Item Recommendation request was received 12 April 2019 for the analysis of the subject transmission components. As this request is pre-solicitation, there was no CIJ provided by Allison Transmission. No RFI was submitted to the contractor due to the turn-around time required and the fact Allison Transmission would not provide additional information on Case # FY19-08- C for similar transmission components.

No alternate manufacturers were identified for the subject parts with a couple of exceptions listed by TKT in Table 1. The form and fit of transmission components typically vary from one transmission model to another. However, the function of these transmission components is the same as those found in commercial transmissions. No military or inherently governmental features were identified in the subject parts, based on market research. However, no technical information could be obtained from Allison. Therefore, the possibility exists that such features may exist in some of the components. In particular concern are two of the transmission control components.

Part numbers 29538371 and 29542904 have demil codes of “Q” and “B”, respectively. A demil code of “Q” requires mutilation to the point of scrap outside the US and a demil code of “B” requires mutilation to the point of scrap worldwide. Table 2 lists the demil codes for all the components reviewed. Due to the lack of technical information it is unknown the reason for the use of these demil codes for those two components. It is within the realm of possibility that there

For Official Use Only – Contains contractor proprietary data are military specific features in those two components. However, if such military features exist they would likely be minor modifications to meet Federal Government requirements.
