About this file

This is a solicitation document for an Invitation to Negotiate (ITN) issued by the University of West Florida in partnership with the Department of the Navy for a housing developer to provide design-build and long-term operations/maintenance services for replacement military barracks facilities. UWF seeks a strategic partner with demonstrated experience in military housing, university housing, or large-scale residential construction to collaboratively plan, finance, design, build, deliver, operate, and maintain unaccompanied military housing. The scope of services includes master planning, site evaluation, feasibility analysis, project structuring and financing, design coordination and construction delivery, and operations/maintenance/lifecycle management. The response submittal deadline is July 31, 2026 at 10:00 AM Central Time, with a written request for explanation due by July 22, 2026 at 10:00 AM CT. The evaluation committee meeting is scheduled for August 12, 2026, with finalist interviews/presentations potentially occurring on August 26, 2026. The resulting agreement is expected to provide a flexible framework under which individual projects may be identified and implemented through future task orders and development agreements. No minimum or maximum contract value or term has been assigned; these will be negotiated based on specific project requirements.

Responses must be submitted as a single PDF document not exceeding 80 consecutively numbered pages through BidNet Direct and must include essential documents such as affidavits, E-Verify certifications, proof of insurance (Commercial General Liability of $2,000,000), professional licenses, and Florida business licenses. The evaluation will be based on overall competence, compliance, and organization, considering criteria including experience with similar projects, financial capacity and sophistication, understanding of the local market environment, ability to structure flexible long-term partnerships, and team qualifications. Respondents must provide at least five current and verifiable references for similar contracts, with three demonstrating comparable project experience, and submit audited financial statements for the prior three years. The University reserves the right to negotiate with any vendor, request additional information, award to a single vendor or multiple vendors, or reject any or all submissions. The selected developer will ensure that facility ownership structures preserve the Navy's long-term interest in the underlying real property, with improvements conveyed to the University or its designated entity upon agreement expiration. UWF seeks financing solutions that are off-balance sheet with neutral or accretive impacts on credit rating, and desires both fixed and performance-based financial returns through mechanisms such as upfront payments, revenue/cash flow participation, guaranteed annual ground rent, or profit participation.

SOLICITATION DOCUMENT

Invitation to Negotiate #26ITN-01MDV Housing Developer for Design–Build and Long-Term Operations/Maintenance Services

Section I – Overview A. Statement of Intent The University of West Florida ("UWF" or the "University") invites responses from highly qualified development teams to establish a long-term partnership with a developer. The purpose of this ITN is to identify a strategic partner with demonstrated experience in military housing, university housing, or large-scale residential construction to collaboratively plan, finance, design, build, deliver, operate, and maintain replacement military barracks facilities.

The resulting agreement will be directly between UWF and the selected developer. UWF will enter into an Intergovernmental Support Agreement with the Department of the Navy. This IGSA will allow UWF to leverage the developer's experience and dorms as a service model to provide mission-ready unaccompanied housing capability to the Navy.

The resulting agreement is expected to provide a flexible framework under which individual projects may be identified, evaluated, approved, and implemented through future task orders, development agreements, or similar instruments, subject to required approvals.

B. University of West Florida Background With a campus of 1,600 acres, the University of West Florida was established in 1963 and is a top-choice institution of higher education. Based in Pensacola with additional locations in the region, UWF is home to four academic colleges, offering a variety of bachelor’s and master’s degree programs, as well as specialist degrees, a doctorate in education and a Ph.D. in intelligent systems and robotics. With a student population of more than 14,000 and an average class size of less than 40, UWF provides an inclusive academic experience with world-class faculty and is consistently ranked as a top regional university by U.S. News and World Report.

UWF is dedicated to serving the military community, having numerous designations including Gold-level Military Friendly, Military Spouse Friendly, Florida Collegiate Purple Star Campus and Best for Vets. The University has awarded more than 121,000 degrees to over 100,000 alumni. UWF also maintains a culture of excellence in athletics, leading the Gulf South Conference in all-time championships and all-sports trophies. A driver of economic impact in Northwest Florida and beyond, UWF generates approximately $1.4 billion in total annual sales across the Florida economy.

C. Overview of Opportunity The Project is intended to provide modern, resilient, and mission-supportive accommodations for unaccompanied military personnel stationed with the Navy. The selected Operator will be expected to collaborate closely with UWF, the Department of the Navy, and other applicable governmental stakeholders throughout planning, design, construction, financing, delivery, and operations.

Through this partnership, the Master Developer will implement a Dorms as a Service framework, ensuring the facilities are managed, sustained, and modernized to meet military standards, while the Navy maintains mission authority, security control, and oversight of the program.

Section II – Scope of Services A. Developer Role The selected Developer will serve as UWF’s private-sector partner and may be responsible, on a project-by-project basis, for some or all of the following services and/or partnership opportunities:

• Master planning and site evaluation

• Feasibility analysis

• Project structuring and financing

• Design coordination and construction delivery

• Operations, maintenance, and lifecycle management

• Stakeholder engagement and approvals support

B. Agreement Structure and IGSA Compliance The selected partner must ensure all services provided align with the goals of UWF and the Navy. Prior to entering into this Agreement, the partner agrees to be responsible for planning, financing, and management of the facilities, and must ensure all agreed-upon services are met, whether through their own efforts of the efforts of subcontractors.

C. Facility Ownership The University intends that all projects developed under this framework will be structured to preserve the Navy’s long-term interest in the underlying real property. Depending on the specific project structure, improvements may be owned by the University, a University Direct Support Organization (DSO), or the Private Party during the term of the agreement, provided that the ownership structure complies with applicable law and applicable requirements.

Any resulting agreement must clearly define ownership rights during the term and provide for the conveyance of improvements to the University or its designated entity at the expiration or earlier termination of the agreement, unless otherwise approved by the University and permitted by law.

Any resulting agreement must have adequate safeguards in place to reasonably mitigate and manage foreseeable risk of future costs or service disruptions for the university in the event of material default or cancellation of the Public-Private Partnership. Examples can include, restrictive covenants, recognition and subordination agreements, and/or recordation obligations, or other protections, may reasonably protect the interests of the university in the Project and, if applicable, the real property owned or controlled by the university on which the Project is located.

D. Financial and Credit Impact UWF envisions a long-term ground sublease or arrangement. UWF seeks development partners to bring financing solutions. The University seeks financing options that will enable an optimized capital strategy consistent with long-term asset ownership. The University would consider a range of possible financing structures that are potentially off the University’s balance sheet and have neutral or accretive impacts on UWF’s credit ranking. The University seeks to benefit from the financial success of the Project. The University is seeking both fixed and performance based financial returns; whether through an upfront payment at financial close, ongoing participation in revenues/cash flows, guaranteed annual ground rent, profit participation at the time of any sale of the Developer’s ownership interests, or a combination of multiple structures.

E. Building Guidelines, Standard UWF in coordination with the Navy will retain sole discretion over the approval for the design guidelines for the project(s). All designs must be submitted for review and receive formal approval from UWF prior to implementation.

The partner will create design guidelines that are approved by UWF for the use in the project(s). Design guidelines are a set of standards established in the early phases of the partnership to ensure consistency and quality of design of the project. These guidelines will include standards for architectural style, materials, landscaping, infrastructure, and site planning. The guidelines will help ensure the project(s) align with the aesthetic and functional goals of the university.
