2. CONTRACT REMITTANCE ADDRESS: All payments by the Government to the contractor will be made in accordance with FAR 52.232-33, Payment by Electronic Funds Transfer – System for Award Management, and VAAR 852.232-72, Electronic Submission of Payment Requests.
3. INVOICES: Invoices shall be submitted in arrears. Submission will be monthly for the previous month of the period of performance and no later than 15 calendar days after the close of the period of performance being invoiced for. Invoices shall be based on the applicable fixed rates for services provided to VA as in accordance with the contract terms and conditions. The VA Technical Representative (VATR) will review all invoices submitted. Invoices shall by submitted for only those services received and deemed acceptable by VA.
4. GOVERNMENT INVOICE ADDRESS: All invoices shall be submitted by the contractor via the Tungsten Network (previously OB10) electronic invoicing system. Refer to the Tungsten Network website at http://www.tungsten-network.com/us/en/veterans-affairs-us/ for additional information for system registration, user guides, and help desk contacts.
5. ACKNOWLEDGEMENT OF AMENDMENTS: The offeror acknowledges receipt of Amendments to the Solicitation numbered and dated as follows:

7. Security Requirements: The Contractor shall comply with all VA privacy and security requirements, including Handbook 6500.6. The VATR shall coordinate with the Contractor to ensure such requirements are met. This requirement is applicable to all subcontractor personnel requiring access.
8. Documenting Performance: The VA may document contract performance. Any report may become a part of the supporting documentation for any contractual action and preparing annual past performance using the Contractor Performance Assessment Reporting System (CPARS) at https://www.cpars.gov. In the event the CO issues a Contract Deficiency Report (CDR), the Contractor shall acknowledge receipt of the CDR in writing within one (1) business day of receipt and provide a response with a corrective action plan to the CDR within one (1) week of receipt.

B.3 PERFORMANCE WORK STATEMENT (PWS)
I. Title: Chiller Maintenance services to support the Department of Veterans Affairs Nebraska – Western Iowa Health Care System (VAHCS)
II. General Overview: The VAHCS has a need for chiller maintenance services. The Contractor shall furnish necessary labor, tools, equipment, and transportation to provide chiller maintenance and repair services located at the Omaha and Grand Island Medical Centers of the Department of Veterans Affairs Nebraska-Western Iowa Health Care System.
The Contractor shall ensure the chiller equipment is in serviceable condition.

c. Reporting: Contractor personnel shall report to the VA site representative to sign in and acquire a badge when arriving at VA property. Contractor personnel shall report to the VA site representative to sign out and return the badge before departing the VA facility at the end of each week. Contractor personnel shall wear an identification badge provided by VA when working on VA property.
VIII. Qualifications:
a. Contractor’s technicians performing services under this contract must
i. possess an EPA Universal Certification and
ii. have been trained on, possess a current certification on (if a certification is available), and have current experience in the repair of York, Daikin-McQuay, and Trane chillers and components thereof.
b. The Contractor must be an authorized Original Equipment Manufacturer (OEM) distributor for parts and services for each piece of equipment serviced under this contract.
c. The Contractor shall provide to the VATR documentation of each technician’s qualifications prior to such technician performing services under this contract.
d. Failure to submit any of the required information, statements, or certifications may result in rejection of the quote without further consideration for award.
IX. Scope of Work:
a. Schedule of Work: The Contractor will provide a schedule to the VATR five days prior to the start of the performance period for completing the PMs required herein.
The maintenance schedules, and any modifications to such schedule, must be approved in advance by the VATR. The Contractor will provide a written report of the PMs performed no later than 15 business days after completion of the PMs. The Contractor shall conduct a performance evaluation of all chillers will be required within ninety (90) calendar days after start-up of the equipment during each period of performance to ensure to the VA that all chillers are preforming in accordance with manufacturer specifications. The Contractor will provide a written statement to the VATR of each chiller performance within fifteen (15) days of the completion of the evaluation.
b. Preventative Maintenance
i. The Contractor shall be responsible for performing all PMs required to maintain all equipment listed herein as prescribed by the original equipment manufacturer’s recommended guidelines. The Contractor shall ensure the equipment is in fully operational condition according to the manufacturer’s specifications.
ii. The Contractor shall notify the VATR in writing of recommended changed or additions to the PM tasks or schedule, including a justification for such.
iii. The Contractor shall immediately notify the VATR in writing of all deficiencies identified.
iv. The Contractor will coordinate with the VATR for any restrictions or operational restraints affecting the execution of services.
v. The Contractor is responsible for the proper and safe securing of the equipment being serviced at all times, including shut down and start-up of the equipment.
vi. The Contractor is responsible for cleanliness during the performance of all its work and from the services they have performed, including removal of all debris, and cleaning of grease and dirt from the equipment.
vii. Contractor shall not leave equipment on location unless the VATR has given prior, written permission to the Contractor to do so.
viii. All work will be done safely and in accordance with OSHA Regulations, VA Directives, and the State of Nebraska regulations. The Contractor shall ensure that workplace safety regulations are adhered to at all times and that a clean, non-cluttered workspace is maintained.
ix. The Contractor will provide all labor, replacement parts, refrigerant, lubricating oil and supplies as necessary to perform PMs.
x. The Contractor will remove the bell housings from each Chiller and remove all scale and foreign matter clean from both bell housings, both tube sheets and the condenser tubes. The tubes shall be rodded out, utilizing proper brushes of a softer material than the tubes.
xi. The Contractor shall inspect and check:
1. The electrical wiring from each starter-disconnect to its respective chiller’s wiring for its drive motor(s), its controls and its internal wiring, variable speed controller/starter.
2. Insulation on the chiller shell, drive motor, compressor, accessories and piping. The Contractor shall restore chiller insulation to a finished appearance after each removal for repair prior to returning the chiller to service.
3. Chiller control panel, pressure and temperature controls thermometers, gauges, thermostats, manual and control valves, and other control devices integral to the chiller assembly and operation.
xii. The Contractor shall lubricate and adjust the listed equipment as required.
Lubrication shall include changing the lubricating oil at the intervals recommended by the equipment manufacturer.
xiii. The Contractor shall perform a minimum of one inspection per contract period of performance of the oil distribution system to include flushing/cleaning of the coil cooler, replacement of the lubricating oil removed from the chiller(s), on site, shall be contained and properly disposed of at no extra costs to the Government.
xiv. The Contractor shall perform corrosion control on the listed equipment as required to protect them from deterioration and to maintain their clean and neat appearance. For example, when a chiller is dismantled into its component parts for repair it typically required touch up or complete painting.
xv. The Contractor at the end of each workday on site shall thoroughly clean the work area, removing all dirt, debris and waste (particularly hazardous waste) that accumulate because of maintenance service or repairs performed.
xvi. It shall be the sole responsibility of the Contractor to comply with State and Federal regulations, and to maintain current State and Federal certification regarding correct handling, removal and disposal of all hazardous waste generated because of performing his contractual tasks of chiller maintenance and repair. All hazardous waste resulting from the maintenance and repair of the chiller(s) on site shall be properly packaged, removed, and disposed of by the contractor at no additional cost to the Government.
xvii. THE CONTRACTOR SHALL PROVIDE AN ANNUAL REFRIGERANT
USAGE REPORT IN ACCORDANCE WITH EPA REGULATIONS.
c. Documentation:
i. The Contractor will provide the VATR a copy of all checklists, data, notes and/or preliminary reports gathered during inspection before departing the facility.
ii. The Contractor will furnish final reports in paper and electronic formats for each service (preventive maintenance and inspections, emergency service) performed.
iii. Report all deficiencies found during inspection and servicing immediately to the VATR.
d. Trane Absorption Chiller: The Contractor shall ensure the following services are provided for the Trane Absorption chiller in addition to the other services required herein.
i. The contractor is to furnish all materials and labor to perform the following Manufacturer Recommended maintenance schedules for Annual, Quarterly, and Seasonal start up items. This is to include grease, cleaning solvents and wiping cloths. Contractor must also include the cost of all required repairs to maintainable components on the systems specified. Contractor must use only Trane certified replacement parts for repairs.
ii. Contractor must perform Manufacturer's recommended Annual Maintenance Schedule for Horizon Two Stage Absorption Chiller to include, but not limited to:
1. Test solution sample and refrigerant water sample.
2. Perform purifier purge check with condensing coil cleaning.
3. Purge pump maintenance
4. Vacuum line leak checks
5. Control panel checks
6. Refrigerant and solution pump checks
7. Absorber spray pump test
8. External solution filter service
9. Absorber condenser/absorber tube brushing with heads removed
iii. Contractor must perform Manufacturer's recommended Quarterly Maintenance for the Trane Horizon Two Stage Absorption Chiller to include, but not limited to:
1. Test refrigerant water sample
2. Perform purifier purge check with condensing coil cleaning
3. Perform recommended maintenance on purge pump
4. Change vacuum oil pump
5. Test sequence of operation with microprocessor
6. Check operating test log with microprocessor
iv. Contractor must perform Manufacturer's recommended seasonal start up Maintenance for Horizon Two Stage Absorption Chiller to include, but not limited to:
1. Absorption unit vacuum check
2. Pre-start service
3. Seasonal start up on Horizon Two Stage Absorption unit
4. Perform maintenance checks on purge pumps v belts, Pulleys, change purge pump vacuum oil, purge pump vacuum test, purge pump motor maintenance, and vacuum line leak check
5. Perform water flow/pressure drop test
6. Check control panel electrical inspection
7. External solution filter service
8. Test sequence of operation with microprocessor

e. Repairs or Emergency Services: The Contractor shall ensure the equipment noted herein is in serviceable condition.
i. In the event the equipment is not functioning in accordance with manufacturer specifications, without additional charge to the VA, the Contractor shall:
1. Respond to the VA within fifteen (15) minutes.
2. Have a qualified technician on-site within two hours of the VA’s request at the Omaha location and within four (4) hours of the VA’s request at the Grand Island location.
3. Provide the VATR with a description of the issue and proposed resolution, and also provide a quote to perform such repairs or emergency services, if the services are not already required under this contract. If the cost for repairs exceeds the amount in the applicable line item in the Price/Cost Schedule, the Contracting Officer may issue a bilateral contract modification to increase funding for authorized repairs after a determination of price fair and reasonableness.
ii. Any additional charges claimed must be approved by the Contracting Officer before service commences. Any additional work performed by the Contractor without the prior, written approval of the CO will be performed by the Contractor at no additional cost to the Government.
iii. The Contractor shall provide all replacement parts needed to keep the system in operating condition as originally designed by the manufacturer.
Parts may be repaired or replaced, as the Contractor deems appropriate, so long as amount listed in CLINs cited in Price/Cost Schedule are not exceeded. No used parts will be used to repair this equipment.
iv. In the event of equipment failure the Contractor shall be expected to work continuously, including Saturdays, Sundays and holidays or to the maximum level necessary to get the equipment back to serviceable condition.
X. General Requirements:
a. It shall be understood that, throughout performance of the contract, the Contractor’s personnel, while on VA property, shall adhere to all requirements and regulations that govern the VA Health Care System and its property.
b. The Contractor shall not store equipment or materials on the VA facility property. Any damage to VA caused by the Contractor shall be repaired to its previous condition, or better, by the Contractor at no additional cost to the Government.
c. The VA Health Care System and its property is now entirely smoke-free.
d. Contractor and their personnel shall follow all U.S. Department of Veterans Affairs
(VA) policies, standard operating procedures, applicable laws, and applicable regulations while on VA property, including access regarding COVID. Violations of this may result in citation and disciplinary measures for persons violating the law.
e. Contractor and their personnel shall wear visible identification at all times while they are on premises.
f. VA does not provide parking spaces at the work site; the Contractor must obtain parking at the work site if needed. It is the responsibility of the Contractor to park in the appropriate designated parking areas. VA shall not invalidate or make reimbursement for parking violations of the Contractor under any conditions.
g. Possession of weapons is prohibited.
h. Contractor shall take all reasonable precautions necessary to protect persons and property from injury or damage during the performance of this contract.
i. All parts and services provided by the Contractor shall be warrantied for one (1) year from the date installed or service provided.
XI. Gray Market Prevention:
Gray market items are Original Equipment Manufacturers’ (OEM) goods sold through unauthorized channels in direct competition with authorized distributors. This procurement is for a services contract for maintenance of equipment for VA Health Care Systems. No remanufactures or gray market items will be acceptable.
The use of gray market items to the VA in the fulfillment of an order/award/contract constitutes a breach of contract. Accordingly, VA reserves the right enforce any of its contractual remedies. This includes termination of the contract or, solely at VA’s election, allowing the Contractor to replace, at no cost to the Government, any remanufactured or gray market item(s) delivered to a VA Health Care System upon discovery of such items.
XII. Invoicing Submissions: Contractor shall invoice in arrears for services completed. Invoices shall correspond with Contract Line Items in the Price/Cost Schedule. In addition to requirements set forth herein, Contractor shall submit final invoice on any services performed no later than 30 days after the end of the period of performance of the contract.
XIII. Documenting Performance: The Government shall document positive and/or negative performance. Any report may become a part of the supporting documentation for any contractual action and preparing annual past performance using the Contractor Performance Assessment Reporting System (CPARS) at https://www.cpars.gov.
If the VA prepares a Contract Discrepancy Report (CDR) due to an issue with the Contractor or performance and presents it to the Contractor for corrective action, the Contractor shall acknowledge receipt of the CDR in writing within one (1) business day of receipt. The Contractor shall review the CDR and provide a response to the CO. Any CDRs may become a part of the supporting documentation for any contractual action deemed necessary by the
CO.
XIV. Security Requirements: The Contractor shall comply with all VA security requirements. The VATR shall coordinate with Contractor to ensure such requirements are met.

XV. Records Management Obligations:
A. Applicability
This clause applies to all Contractors whose employees create, work with, or otherwise handle Federal records, as defined in Section B, regardless of the medium in which the record exists.
B. Definitions
“Federal record” as defined in 44 U.S.C. § 3301, includes all recorded information, regardless of form or characteristics, made or received by a Federal agency under Federal law or in connection with the transaction of public business and preserved or appropriate for preservation by that agency or its legitimate successor as evidence of the organization, functions, policies, decisions, procedures, operations, or other activities of the United States Government or because of the informational value of data in them.
The term Federal record:
1. includes Department of Veterans Affairs records.
2. does not include personal materials.
3. applies to records created, received, or maintained by Contractors pursuant to their
Department of Veterans Affairs contract.
4. may include deliverables and documentation associated with deliverables.
C. Requirements
1. Contractor shall comply with all applicable records management laws and regulations, as well as National Archives and Records Administration (NARA) records policies, including but not limited to the Federal Records Act (44 U.S.C. chs. 21, 29, 31, 33), NARA regulations at 36 CFR Chapter XII Subchapter B, and those policies associated with the safeguarding of records covered by the Privacy Act of 1974 (5 U.S.C. 552a).
These policies include the preservation of all records, regardless of form or characteristics, mode of transmission, or state of completion.
2. In accordance with 36 CFR 1222.32, all data created for Government use and delivered to, or falling under the legal control of, the Government are Federal records subject to the provisions of 44 U.S.C. chapters 21, 29, 31, and 33, the Freedom of Information Act (FOIA) (5 U.S.C. 552), as amended, and the Privacy Act of 1974 (5 U.S.C. 552a), as amended and must be managed and scheduled for disposition only as permitted by statute or regulation.
3. In accordance with 36 CFR 1222.32, Contractor shall maintain all records created for Government use or created in the course of performing the contract and/or delivered to, or under the legal control of the Government and must be managed in accordance with Federal law. Electronic records and associated metadata must be accompanied by sufficient technical documentation to permit understanding and use of the records and data.
4. Department of Veterans Affairs and its contractors are responsible for preventing the alienation or unauthorized destruction of records, including all forms of mutilation.
Records may not be removed from the legal custody of Department of Veterans Affairs or destroyed except for in accordance with the provisions of the agency records schedules and with the written concurrence of the Head of the Contracting Activity.
Willful and unlawful destruction, damage or alienation of Federal records is subject to the fines and penalties imposed by 18 U.S.C. 2701. In the event of any unlawful or accidental removal, defacing, alteration, or destruction of records, Contractor must report to Department of Veterans Affairs. The agency must report promptly to NARA in accordance with 36 CFR 1230.
5. The Contractor shall immediately notify the appropriate Contracting Officer upon discovery of any inadvertent or unauthorized disclosures of information, data, documentary materials, records or equipment. Disclosure of non-public information is limited to authorized personnel with a need-to-know as described in the [contract vehicle]. The Contractor shall ensure that the appropriate personnel, administrative, technical, and physical safeguards are established to ensure the security and confidentiality of this information, data, documentary material, records and/or equipment is properly protected. The Contractor shall not remove material from Government facilities or systems, or facilities or systems operated or maintained on the Government’s behalf, without the express written permission of the Head of the Contracting Activity.
When information, data, documentary material, records and/or equipment is no longer required, it shall be returned to Department of Veterans Affairs control or the Contractor must hold it until otherwise directed. Items returned to the Government shall be hand carried, mailed, emailed, or securely electronically transmitted to the Contracting Officer or address prescribed in the contract or order. Destruction of records is EXPRESSLY PROHIBITED unless in accordance with Paragraph (4).
6. The Contractor is required to obtain the Contracting Officer's approval prior to engaging in any contractual relationship (sub-contractor) in support of this contract requiring the disclosure of information, documentary material and/or records generated under, or relating to, contracts.
