INSTRUCTIONS

CONTRACT PRICE SCHEDULE

All work shall be performed in accordance with the attached specifications, drawings, and wage determination. All lines are “lump sum”. Refer to the Statement of Work and Enclosure A for task definitions and descriptions.

Options may be exercised in any combination, order or grouping deemed in the judgment of the Contracting Officer to offer the best value. The Government reserves the right to award any or no options at contract award.

The Government retains the unilateral right to exercise Options A,B,C,D and E at the proposed prices within 180 calendar days from award of the base contract. Exercise of Options will be determined based on the availability of funds and the desirability of pursuing the additional reports, investigation, and NR determination.

(d) Comptroller General Examination of Record. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. The Contractor shall notify the Contracting Officer in writing, with as much detail as possible, when the COR has taken an action or has issued direction (written or oral) that the Contractor considers to exceed the COR’s appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.

(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.

(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the COR.

(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor’s risk.

Electronic Invoicing and Payment Requirements - Invoice Processing Platform (IPP) (Apr 2013)

Payment requests must be submitted electronically through the U.S. Department of the Treasury's Internet Payment Platform System (IPP; https://www.ipp.gov).

"Payment request" means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions- Commercial Items included in commercial item contracts. The IPP website address is: https://www.IPP.gov.

Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice:

Vendor’s standard business invoice (upload your business invoice as an attachment to the IPP invoice before you click “submit” in IPP). Vendor’s failure to attach the required documentation will result in the IPP invoice being rejected.

NOTE: Content of a proper invoice shall include the following, in accordance with Federal Acquisition Regulation

32.9 – Prompt Payment:

(a) Name and address of the contractor.

(b) Invoice date and invoice number (Contractors should date invoices as close as possible to the date of mailing or transmission).

(c) Contract number or other authorization for supplies delivered or services performed(including order number and contract line item number).

(d) Description, quantity, unit of measure, unit price, and extended price of supplies delivered or services performed.

(e) Shipping and payment terms (e.g., shipment number and date of shipment, discount for prompt payment terms). Bill of lading number and weight of shipment will be shown for shipments on Government bills of lading.

(f) Name and address of contractor official to whom payment is to be sent (must be the same as that in the contract or in a proper notice of assignment).

(g) Name (where practicable), title, phone number, and mailing address of person to notify in the event of http://www.ipp.gov/ a defective invoice.

The Contractor must use the IPP website to register access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in www.SAM.gov record) will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) prior to contract award or no later than 3 - 5 business days after the contract award date. Contractor assistance with enrollment can be obtained by contacting the IPP Production Helpdesk via email ippgroup@bos.frb.org or phone (866) 973-3131.

If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Contractor must submit a waiver request in writing to the Contracting Officer with its proposal or quotation.

Required Statements:

a) This is a contractual arrangement and not a personnel appointment;

b) Payment is based on an end product or the accomplishment of a specific result;

c) The order does not constitute and employer/employee relationship;

d) The Contractor will not be subject to Government supervision, although Contractor performance will be monitored; and

e) The Contractor shall not have any direction or control of federal employees.

Instructions to Quoters / Quotation Submittals:

a. SAM Requirement: Your Company must be registered as a small business in System for Award Management (SAM) prior to submitting a quote for this solicitation, registration must be “ACTIVE”, NO EXCEPTIONS. The direct SAM website for registration is: https://www.sam.gov/portal/public/SAM/.

b. The deadline for receipt of quotes is August 16, 2021 at 12:00 pm PDT. Quotes will be submitted on the Standard Form (SF-1449) provided, and must include, at a minimum the following items in the quote package:

1. Price; Complete block 24 for line item 10 on SF 1449 and the enclosed Contract Price Schedule.

2. Technical Capability: Provide the relevant technical experience of the firm and the expertise of the field director(s) per the factors listed in 52.212-2 Evaluation Commercial Items on page 10.

3. Quote shall provide references for a minimum of three customers where the company has provided similar services for evaluation of past performance per the factors listed in 52.212-2 Evaluation Commercial Items on page 10. References shall include the company name, contact person, phone number, physical address, and email address (if available);

4. Contractor remittance address and DUNS number;

5. Name, phone number, e-mail, and mailing address of your point of contact;

6. Signature of official authorized to bind your organization.

7. Offeror is required to fill out and include provisions 52.204-24(d)(1)&(2) and 52.204-26(c)(1)&(2) with their submitted quotation unless the offeror has responded “does not” in their annual SAM representation at 52.204–26, Covered Telecommunications Equipment or Services—Representation, or in paragraph (v)(2)(ii) of 52.212–3, Offeror Representations and Certifications.

(a) The Government will award a contract resulting from this solicitation to the responsible quoter whose quote conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate quotes:

a) Relevant Experience of the firm. Experience is the direct participation in comparable projects, including, but not limited to, satisfactory completion of projects of a similar or broader scope.

b) Expertise of the field director(s) in the following areas:

i) Conducting fieldwork in remote environments requiring hiking and camping lacking the usual services of electricity, telephones, grocery store, etc.;

ii) An understanding of the Wilderness Act of 1964 as it relates to historic structures and their maintenance.

3. Past Performance: of the quoter on projects similar in scope and complexity. The Government may contact sources listed by the quoter and/or other sources of information including, but not limited to, Federal, State and Local governments, better business bureaus, published media, and electronic databases to verify the information provided in your quote.

a) Demonstrated ability to stay on schedule and successfully meet project deadlines.

b) Business relations skills - capable, reasonable, committed to customer satisfaction, and cooperative during the performance period.

Technical and past performances, when combined, are approximately equal to price.

(a) Options. The Government will evaluate offers or award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
