180, three miles northeast of Mendota, Fresno County, California.

Subject Acreage: 155.69 acres.

Total owned acreage based on information from various sources is about 1,054.07 acres. Fresno County public information often is slightly different than Bureau of Reclamation (BOR) official surveys. A BOR survey is available, AVSO requests the appraiser utilize descriptions and figures contain herein for the subject property.

Property Type: Irrigated cropland developed to mixed use permanent plantings.

Case Type: Fee acquisition of 155.69 acres.

Client The selected appraiser’s client is the U.S. Department of the Interior, Appraisal and Valuation Services Office.

Other Intended Users

The other intended user is the California Great Basin Region of the United States Department of Interior Bureau of Reclamation representing the United States of America.

Intended Use The appraisal will be utilized to assist in negotiating acquisition of the described subject property (155.69 acres). It is not intended for any other use.

Project Description

The property to be acquired is planned for use as part of the San Joaquin River Restoration Program Mendota Pool Bypass and Reach 2b Improvements Project. Levees are proposed to be constructed to channel flows across the proposed acquisition area. A complete description of this portion of the program can be found at:

http://www.restoresjr.net/projects/restoration/2b-and-mendota- reach-bypass/ .

Property Description The suggested access route to the subject property begins at the intersection of State Highway 33 and State Highway 180 (Hwy 180) in the community of Mendota, California. From there travel southeasterly on Hwy 180 as highlighted in red above approximately 5.1 miles to the intersection with North San Mateo Avenue. http://www.restoresjr.net/projects/restoration/2b-and-mendota-reach-bypass/

Loc ation and Ac c ess Rou te Google Earth Aerial Ex h ib it

The subject property is located on the south side of the San Joaquin River, north of Highway 180 and east- northeast of Mendota in Fresno County, California. The proposed acquisition area is irregularly shaped and consists of 155.69 acres of mixed-use irrigated agricultural farmland that is developed to pistachio orchards with a minor block of palm trees and minor open space (riparian lands). The total acreage with proximity under same ownership name comprises 1,054.07 acres.

The subject property is outlined in light blue and the total ownership acreages is outlined in orange on the Location and Access Route exhibit above. Please see larger parcel discussion later in this statement of work. Improvements within the proposed acquisition area include five groundwater wells, ditches, drains, irrigation system, field roads, electrical utility infrastructure, and permanent plantings comprising mostly of pistachio orchards with a minor block of palm trees, and a small related agricultural building but no significant structures or residential dwellings.

There are five existing irrigation wells identified as wells BF-1 through BF-5 labeled on the well location exhibit later in the SOW, reportedly supply water conveyed for different purposes. Owner representatives state wells BF-1 and BF-2 supply water for irrigating the Panoche Farming Company LLC orchards (Panoche Farming), and the adjoining Juan Calderon Trustee (a.k.a. Baker Trust) orchards, and occasionally supply the Mendota Pool Group (MPG). Wells BF-3 through BF-5 are stated to supply water to the MPG. All real property well components, irrigation system, pipelines, and appurtenances located on the 155.69-acre subject property are proposed to be acquired as part of the fee acquisition. Any components of said irrigation system or utility facilities which the appraiser identifies as personal property must still be described but excluded from valuation in compliance with UASFLA Section 4.6.2.3.

A complete description of the permanent plantings and production records is expected as part of the appraisal. This and other expectations for report contents are identified in the report format outline, a copy of which is included in this SOW as an exhibit attachment labeled “Appraisal Report Outline”.

The irrigation wells infrastructure supports 1) irrigated agriculture on the subject property (Panoche); a supply of water to Juan Calderon Trustee (a.k.a. Baker Trust) holdings adjoining the subject property and 3) water transfer with the MPG. Per information contained in an owner provided document, Panoche Farming leases and maintains the existing orchards on the Juan Calderon Trustee property. The lease document will be provided to the selected appraiser which also states both entities are operated as a single agricultural production.

The acquisition area is comprised from portions of three Fresno County Assessor’s Parcels and a swamp and overflow area identified by document reference. *Please note that the acreage reported on the Fresno County Assessor’s Parcel Map page and those estimated by the USBR surveyor do not match. The “Reclamation Exception” exhibit forwards the following figures based on survey to be relied on in the appraisal. Total acres could be greater if the appraisal determines the larger parcel is greater in size inclusive of land area in addition to parcels in the table below.

Partial BOR Survey Exhibit Cropped Subject Acquisition Area

San Mateo Road legally terminates at the southern subj ect boundary, but physically extends northerly forming the ownership boundary separating the two separately owned, but jointly operated agricultural properties. U tility facilities located on the subject property (Panoche Farming) are situated westerly of this roadway and for the most part those involved with Juan Calderon Trustee orchard are situated east of the roadway. The roadway itself is maintained and shared, therefore, at least partly a contributing improvement to the subject property. Additional descriptions about the various sources of irrigation water benefitting the subj ect start in the next paragraph.

The selected appraiser is responsible for independently verifying the quality, condition, and quantity of all real property improvements on the subject property sufficiently in compliance with appraisal standards. An extensive analysis and description of water conveyance system and capacities as improved is required by the client. I f excess water production exist it should be conspicuously stated separately in addition to its contributory value if any to the whole real property in the appraisal.

The property is within the boundaries of Farmers Water District (FWD), a public agency of the State of California.

Please see a later exhibit for visual outline of the boundaries. It is reported that the Farmers Water District pumps groundwater for irrigation use by its member landowners on land within the district’s boundaries, and for transfer and exchange through the Mendota Pool for transfer to lands owned by Panoche Farms within other water district through the integrated water conveyance system which Mendota Pool distributes to, further discussion later. Farmers Water District (FWD), an irrigation district, is stated owner of a supply/drain component transporting water across the subject property, located outside the subject acquisition area, therefore will also transport water across the subject property in the after condition. Representatives of Panoche Farming indicate the subject property is entitled to receive water from FWD. According to the manager of FWD, members receive their proportionate share of the extracted water based on their respective irrigable acres in FWD. FWD apparatuses on the proposed remainder property do not appear to be permitted by conspicuous recorded easements or ground leases, therefore, no FWD related legal description documentation is available to provide with this statement of work. The appraisal must describe the successful or unsuccessful investigative efforts to gather evidence supporting contribution if any to market value of the real property from this water source.

California Sustainable Groundwater Management Act (SGMA): The management of the FWD groundwater basin is underway with studies and proposals available at the following link https://www.farmerswd.com/_files/ugd/638e4a_d46ca0fd4dd54b3c977a14aaa88fcfd8.pdf.

Consideration of SGMA influence on the market and the subject is expected in the description, discussion, and analysis of the subject property and if applicable the comparable sales. Specifically, the appraisal should consider how SGMA in the short-term future influences acre- feet per acre annual irrigation water capacity from groundwater wells. It is worth noting ownership representatives indicate that participation in the Mendota Pool Group is required to benefit from extracted irrigation water within Farmer Water District.

Mendota Pool Group (MPG) The MPG is an 11-member unincorporated association of farmers located in the San Joaquin Valley. The group has members located in the San Luis Canal (SLC) service area of San Luis Water District (SLWD) and Westlands Water District (WWD) with approximately 50,000 acres of historically irrigated farmland. The MPG also has members located near Mendota Pool in WWD and Farmers Water District (FWD) with approximately 65 groundwater wells. These lands are not adjacent to the Mendota Pool and depend on deliveries from the SLC for irrigation water. There are limited other regularly reliable and affordable supplemental sources of surface water that can be used for these lands. More information is available through the following link:

https://www.usbr.gov/mp/nepa/includes/documentShow.php?Doc_ID=41117 .

This section is included to assist the potential quoter’s understanding of how the water extracted from irrigation wells proposed to be acquired are currently utilized.

A thorough understanding, description, and evaluation of available water from all sources to determine any damages that may be associated with loss of available water for transfer due to a reduction in the FWD allocation which is based on acres of individual ownership within the District is required by the selected appraiser for participation in this appraisal.

http://www.farmerswd.com/_files/ugd/638e4a_d46ca0fd4dd54b3c977a14aaa88fcfd8.pdf https://www.usbr.gov/mp/nepa/includes/documentShow.php?Doc_ID=41117

The following exhibit is intended to assist with visual representation of the discussion above and throughout this statement of work. The area on the map located between the top and bottom black lines are proposed for Federal acquisition and eventual reconstruction with levees in the location of the black lines. The various shaded ownerships represent members of the Farmers Water District. This information could be useful as well for describing either cost to cure damages or identifying any possible damages in the after-condition appraisal as required by UASFLA

4.6.2. Relocation cost have not been provided however relocation of the existing infrastructure within the take and necessary to keep the remainder within agricultural production and to allow for future transfer of MPG water is proposed by the agency.

Project Well Location / Proposed Re -location Exhibit

SJ RRP

A small structural agricultural improvement associated with the irrigation system is reported to be in the acquisition area. No residential dwellings are reported in the acquisition area. The property is improved with underground irrigation wells/ pipelines, and drainage ditches. Table 3-1 “Summary of MPG Well Construction” below was found during research and included for basic well improvement information only, see BF-1 through BF-5. The property is improved to permanent tree plantings, mostly pistachios orchard but minor palm tree block and associated irrigation systems. A thorough site inspection and detailed inventory and qualification of improvements is required in this assignment, including but not limited to number and spacing of permanent plantings, number and capacity of wells, pumps, and all irrigation apparatuses. Where possible, a contributory valuation of improvements (in place) is needed in both the before and after appraisals. The itemized depreciated cost is necessary for acquisition negotiations. Additionally, salvage value for irrigation components (pumps, valves, lines, or pipes, etal) above the surface is needed. If any irrigation components are identified as personal property, only the salvage value for personal property is applicable in the appraisal. The after-condition appraisal of the remainder could involve a cost to cure analysis that considers comparative deficiency reflecting any diminished irrigation capacity to the reminder.

Legal Description The legal description of the proposed acquisition area for this appraisal copied from the signed legal survey provided by BOR and Exhibits “A” and “B” of the draft general warranty deed attached to this statement of work follows.

RFQ: 140D0423Q0676

http://www.usbr.gov/mp/nepa/includes/documentShow.php?Doc_ID=41114

Property Interest The property interest to be appraised is the fee simple estate subject to existing encumbrances and reservations of record.

More specifically, property interest in the parcels of land as described in the preceding Legal Description section, along with all real property water rights including but not limited to surface, subsurface groundwater rights; surface and subsurface mineral rights of any sort; and other rights as stated in the attached draft “General Warranty Deed” attached to this statement of work.

The Uniform Appraisal Standards for Federal Land Acquisitions (UASFLA) compliant appraisal in the before condition will value fee interest subject to existing encumbrances of record. In the after condition, a UASFLA compliant appraisal will value the same rights for the larger parcel minus those involved in the proposed acquisition area.

A mineral report is attached. The USBR has stated mineral rights are mostly reserved by others. A mineral evaluation is attached. The Division of Minerals Evaluation prepared a document to address the status of any viable minerals that may be present on the property described in this SOW. The mineral preview discloses that aggregate sand pits associated with river frontage have occurred and could similarly be associated with the subject property. The appraiser is expected to investigate the history of mineral extraction with the property owner and identify the extent of valuation process necessary to reflect the market considerations. If the appraiser discovers a valuation issue beyond initial expectations, the AVSO review appraiser is to be notified so the scope of the work can be appropriately expanded.

If any of the property considered in this appraisal assignment is under a Williamson Act contract, a statement must be included in the appraisal document indicating what impact, if any, the contract has on the values presented in the report.

The appraiser must immediately notify the AVSO review appraiser of any indications of rights contrary to these described. This may result in amended instructions.

Outstanding Rights The preliminary title report amended last in November 2021 is attached to this statement of work. The identified documents, conditions, agreements, easements and/or encumbrances must be considered and discussed in the appraisal report in relation to their impact on value. In addition, the appraiser is expected to investigate for additional, or incorrect, encumbrances on the property.

Reservations The current property owner is reserving no real property rights in the proposed acquisition area.

Personal Property:

Any irrigation components identified as personal property must be described and listed in the appraisal, but typically, no personal property is valued in a UASFLA compliant appraisal. If there are any concerns or questions about personal property during the assignment, please contact the AVSO review appraiser.

SECTION 2 – Appraisal Requirements & Instructions Appraisal Standards The appraisal must conform to the following appraisal standards:

• Uniform Standards of Professional Appraisal Practice (USPAP), 2018-2019 edition

• Uniform Appraisal Standards for Federal Land Acquisitions (UASFLA), 6th Edition

Market Value Definition The amount in cash or on terms reasonably equivalent to cash, for which in all probability the property would have sold on the effective date of the appraisal, after a reasonable exposure time on the open competitive market, from a willing and reasonably knowledgeable seller to a willing and reasonably knowledgeable buyer, with neither compelled to buy or sell, giving due consideration to all available economic uses of the property. [Interagency Land Acquisition Conference, Uniform Appraisal Standards for Federal Land Acquisitions, 6th edition, Section 1.2.4, page 10.]

Date of Value The date of value is the date of the last property inspection, which must be within 30 calendar days prior to the submission of the completed appraisal report, unless the AVSO review appraiser approves in advance other conditions in writing.

Extraordinary Assumptions

No extraordinary assumptions are authorized for this appraisal. If the appraiser determines that any additional extraordinary assumption is necessary, he/she must contact the AVSO review appraiser for prior written approval.

If a subsequent use of an extraordinary assumption is approved, the appraisal must note that it may have affected assignment results.

Hypothetical Conditions None. If a subsequent use of a hypothetical condition is approved, the appraisal must note that it may have affected assignment results.

Jurisdictional Exceptions The definition of value describes exposure time as “reasonable.” UASFLA 4.2.1.2 states, “… appraisers should not link opinions of market value for federal acquisitions to a specific exposure time.” This deviates from exposure time requirements in USPAP 1-2(c) and AO 35; therefore, the appraiser should invoke USPAP’s Jurisdictional Exception Rule to comply with the UASFLA.

If the appraiser determines that other jurisdictional exceptions are necessary for the completion of the assignment, the appraiser must contact the AVSO review appraiser for prior written approval.

Legal Instructions None.

Placement in Report The appraiser must clearly identify all extraordinary assumptions, hypothetical conditions, and jurisdictional exceptions wherever the final value conclusion is stated, including the Letter of Transmittal and the Summary of Salient Facts. These must also be communicated with any general assumptions and limiting conditions.

Property Inspection The primary appraiser must inspect the subject property and all the market properties used in the analysis, unless the AVSO review appraiser has approved other conditions in writing.

The appraiser must give the property owner, or the owner’s designated representative, an opportunity to accompany the appraiser during the property inspection, and the results of such offer must be stated in the appraisal report certification. [Uniform Relocation Assistance & Real Property Acquisition Policies Act of 1970 (PL 91-646) as amended and the Uniform Appraisal Standards for Federal Land Acquisitions, 6th Ed. (Section 2.3.1.4, pages 58)].

Prior to the property inspection, the appraiser must notify the USBR realty specialist and AVSO review appraiser of the time, as they may wish to accompany the appraiser on the inspection. Due to statewide pandemic conditions, in this instance, the AVSO review appraiser does not expect to accompany the appraiser on the initial property inspection, but official decision will occur when notified as instructed.

Pre-Appraisal Meeting The appraiser will be required to attend a pre-work meeting with the assigned AVSO review appraiser, the USBR realty specialist or other bureau representative, and other interested parties. The AVSO review appraiser will coordinate the date and time of the pre-appraisal meeting. At the discretion of the AVSO review appraiser, the pre-appraisal meeting may be conducted telephonically or at the subject property in conjunction with the property inspection.

If any significant items of concern are observed during the property inspection, from aerial photographs, or from other materials researched during the appraisal process that were not discussed in the pre-appraisal meeting, the appraiser must contact the AVSO review appraiser before continuing with the appraisal assignment.

Controversies/Issues Irrigation District: The subject property as described is located within Farmers Water District (FWD) and the subject owners’ and FWD manager during a recent meeting said the subject is entitled to receive groundwater from FWD. According to the manager of Farmers Water District, members receive their proportionate share of the extracted water based on their respective irrigable acres in FWD as a ratio of the total members combined irrigated acreage within FWD. The members in the District may choose to utilize this surface water right to irrigate their crops or supplement it with ground water that they have developed separately. They then may choose to forgo utilizing their proportionate share of FWD water and make that water available for transfer through the Mendota Pool Group exchange agreement or other agreements negotiated with other parties to receive and utilize the water for agricultural purposes. Annual permitted groundwater extractions fluctuate are not static or consistent within the district. Annual FWD allotment is further complicated predicated upon a complex formula that involve acres of ownership within the FWD and also involves in part availability of transfer capacity and need for water to exchange from the Central Valley Water Project, exchange contractors or others that make or take deliveries from the Mendota Pool The appraisal must describe the successful or unsuccessful investigative efforts to gather evidence supporting any contribution if any to market value of the real property from this water source or the damages associated with a proportional loss of land within the District and thus access to water for use on lands under ownership in other water Districts.

Project Influence: The San Joaquin River Restoration Program is a project that requires property acquisition at numerous locations for facility construction and project impacts. The influence on the market, including on sales prices, must be excluded in the before condition valuation. The sales confirmation process should include specific inquiry regarding the potential for this influence on prices and this should be reported on the sales sheet.

Mineral Evaluation: The AVSO Division of Mineral Evaluation notes that sand and gravel extraction has occurred on property in the vicinity of the subject and a commodity valuation, or a full evaluation, could be necessary.

The appraiser is directed to consider the mineral estate in the analysis of the property. If mineral inventory and extraction is an influence on the highest and best use of the property and would contribute above agricultural land value, the review appraiser should be contacted and plans for an appropriate analysis will be made.

Complexity: The parsing of the property interest will require a level of diligence and research for market data to develop opinions of the contributory value of improvements to the whole property as well to properly support exclusion of any personal property. Care should be taken that the appropriate data be investigated to arrive at supported conclusions. If specific market transaction data is not available to support the appraiser’s opinion, a complete description of the investigation conducted and reasoning to reach that conclusion is required.

Should the appraiser identify additional controversies or issues during the assignment that were not previously discussed with the AVSO review appraiser, the appraiser must immediately notify the AVSO review appraiser before proceeding with the assignment.
