About this file
This is a Non-Disclosure Agreement (NDA) between the State Housing Finance and Development Authority (SC Housing), located at 300-C Outlet Pointe Blvd. Columbia, SC 29210, and contractors and vendors providing consulting services. The agreement establishes confidentiality obligations for all parties performing work at SC Housing's offices, including owners, officers, employees, subcontractors, and consultants. The NDA does not establish an employer-employee relationship, principal-agent relationship, partnership, or joint venture between SC Housing and the contractor/vendor. The contractor/vendor is explicitly prohibited from acting as an agent for SC Housing or binding the organization in any manner. The agreement commences on the Effective Date and continues in perpetuity unless SC Housing terminates it in writing. No specific response dates, due dates, site visits, bidders' meetings, or award dates are referenced in this NDA, as it functions as a supporting legal document rather than a standalone solicitation.
Confidential Information under this agreement encompasses all non-public information disclosed to or discovered by the contractor/vendor during work performance, including documents, records, personally identifiable information, financial data, pricing information, trade secrets, customer lists, technical specifications, contracts, designs, studies, and work products containing or derived from confidential materials. The contractor/vendor must maintain strict confidentiality, exercise reasonable care to prevent unauthorized access or disclosure, and implement appropriate security measures. All property rights, including intellectual property, in work products created for SC Housing become the exclusive property of SC Housing, with the contractor/vendor waiving all rights to authorship identification and subsequent modifications. The contractor/vendor is prohibited from soliciting SC Housing employees or customers without prior written consent. SC Housing retains the right to seek injunctive relief for any breach, and all confidential information must be returned or destroyed upon request or contract termination. This agreement is governed by South Carolina law and subject to South Carolina court jurisdiction.
