About this file

This is a Global Entrepreneurs in Residence (Global EIR) program agreement between a local nonprofit organization and a university, establishing collaborative terms to support international startup founders in the design industry sector within Southeast Michigan. The agreement outlines a partnership model where the nonprofit provides program funding, marketing, applicant vetting, and evaluation support, while the university provides part-time employment opportunities for selected Global EIR founders and offers business development assistance including customer introductions, talent recruitment support, investor connections, and market research guidance. The program aims to grow the regional design industry startup ecosystem while leveraging the skills and expertise of international entrepreneurs to support the university's educational and economic development initiatives through student and faculty engagement. The agreement is effective upon the last signature date and continues until a specified termination date, with either party able to terminate with ninety days' prior written notice.

The agreement provides for monthly invoicing by the university to the nonprofit for actual program operating costs plus a 10% administrative charge, payable within thirty days. The nonprofit assumes indemnification obligations to protect the university from liability, claims, and damages arising from program activities, excluding losses resulting from the university's gross negligence or willful misconduct. Intellectual property rights generated through founders' independent companies remain the sole property of the founders, while work products from university employment are treated as standard employee-generated materials. The agreement includes standard provisions for confidentiality with a two-year post-project obligation, limitations on liability for consequential damages, force majeure protections, and independent contractor status for both parties. No prior contract incumbents are identified, and the agreement permits termination with payment of actual costs and noncancelable obligations incurred through the effective termination date.
