CLASS JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

1. Contracting Activity.

Naval Air Warfare Center Aircraft Division (NAWCAD) Lakehurst, NJ.

2. Description of the Action Being Approved.

This Class Justification and approval (CJ&A) authorizes and approves on a sole source basis a five-year Basic Ordering Agreement (BOA) with SAAB Sensis Corporation (SAAB Sensis), East Syracuse, NY, CAGE Code 1EG52, for the support and supplies associated with the engineering and technical services to install, repair, upgrade, and procure hardware and software for the Multi-Static Dependent Surveillance (MDS) Wide Area Multi-lateration (WAM) system of the Range Position Location Information system in support of the Air Traffic Control & Landing Systems Division (AD-4.11.7). Orders will be Firm Fixed Price (FFP) and Cost Plus Fixed Fee (CPFF).

3. Description of Supplies/Services.

This action is intended to procure hardware and software supplies; Original Equipment Manufacturer (OEM) components and subassemblies; and provide engineering and technical services to install, repair, and upgrade obsolete and aging RU5 MDS/WAM systems. In addition, this action is to procure and install new RU6/7 MDS/WAM systems and sensors at MCAGCC TwentyNine Palms, CA; MCAS Cherry Point, NC; MCB Camp Lejeune, NC; MCAS Yuma, AZ; MCB Camp Pendleton, CA; MCB Quantico, VA; NAS Patuxent River/Webster Field, MD; and other various bases if the need arises.

MDS/WAM systems are surveillance capabilities that enable fire desk operators to track aircraft flying into and out of training areas in remote locations with little to no radar coverage. The MDS/WAM system interfaces with the Government owned Integrated Range Status System (IRSS) and provides near real-time cooperative aircraft position, altitude, discrete transponder code, speed, and bearing while the aircraft are operating at low altitude in the training range. SAAB Sensis has upgraded the MDS, which provides an additional layer of information that improves range control, enhances situational awareness, and provides near real-time updates to the fire desk operator.

The estimated total value of the SAAB Sensis BOA is $41,264,908.00 and will be funded as set forth in the table below. The estimated contract value includes initial costs of field support; warranty costs; initial provisioning; training materials; technical documentation; and facility/site activation and recurring costs of repair labor; Contractor logistics support; scheduled maintenance and overhaul; replenishment spares; inventory holding costs; integrated material management; post production systems; engineering and project management; and system hardware changes.

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C. 2304(c)(1), FAR 6.302-1, Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority.

SAAB Sensis is the original designer, developer and manufacturer of the MDS/WAM system and is the only source with the requisite knowledge, experience, and technical expertise to provide the essential technical, engineering, repair, installation, and upgrade support with the compatibility and interchangeability necessary for the immediate integration into multiple sites. SAAB Sensis has several military and commercial contracts worldwide, including a current contract (M67399-16-C-0010) for the MCAGCC TwentyNine Palms, CA location for the maintenance and logistic support of the MDS/WAM RU5 legacy system.

The services and hardware being procured under this BOA are for OEM support products and services to support the In-Service Engineering Agent (ISEA) during this critical installation period. The installs will take approximately 14 to 20 months. AD-4.11.7 conducted research and determined if another vendor provided the support for this requirement, it would impact the ability to support fleet operability and would result in substantial duplication of cost. The cost to procure, integrate, install, test, and activate a site replacement for the MDS/WAM system is estimated at over $3.5M per each of the 12 sites, totaling over $42M and includes non-recurring engineering costs, testing, and re-verification of the system to ensure integration with IRSS. The previous sole source procurement was approximately $12.4M, which consisted of $4.3M for the initial acquisition and installation; $3.3M for certifications; $200K for communications updates; and $4.6M for maintenance support to replace the communications system. If a new vendor were selected to perform these upgrades, the entire MDS/WAM system family would need to be replaced to ensure compatibility, estimated to take up to eight years.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

AD-4.11.7 conducted market research via Google searches to ascertain what vendors were capable of providing the required supplies and services. SAAB Sensis was highlighted in aviation sites within the Google search for being the OEM with the technical capabilities and expertise for MDS/WAM systems. When searching "WAM" in the Federal Procurement Data System, Turner Strategic Technologies, LLC returned a result for an awarded delivery order. Upon further research, it was determined that Turner Strategic Technologies, LLC is a construction company and is unable to meet the requirements of this package. Additionally, SAAB Sensis was contacted to determine the possibility of any authorized distributors of the required equipment and was informed there are none. Therefore, SAAB Sensis is the only company that can provide the services and materials required to upgrade and install the MDS/WAM components and subassemblies.

A Request for Information for this requirement was posted via the Federal Business Opportunities website on 5 April 2018 and closed on 11 May 2018. Only SAAB Sensis expressed an interest in this requirement. A pre-solicitation synopsis was posted on 29 May 2019 and closed on 13 June 2019. No responses were received.

7. Determination of Fair and Reasonable Cost.

As part of this BOA, individual orders will be negotiated on a FFP and CPFF basis, as applicable. In accordance with FAR 15.402, the Contracting Officer shall ensure that all supplies and services provided under this contract are procured at a fair and reasonable price. The Contractor will submit a formal price proposal with certified cost or pricing data and sufficient information to support the accuracy and reliability of the estimate. SAAB Sensis' proposal will be reviewed by experienced technical analysts, cost analysts, and Contract Specialists with the aid of necessary field pricing support. The Contracting Officer will utilize cost and price analysis as the basis for negotiating a fair and reasonable price.

8. Actions to Remove Barriers to Future Competition.

For the reasons set forth in Paragraph 5, NAWCAD has no plan to compete future contracts for the types of supplies and services covered by this CJ&A at this time. As the OEM, SAAB Sensis is the only company that currently possesses the technical expertise and special tooling required to engineer, repair, install, and offer hardware procurements for these complex systems. There are no other sources for spare parts. If another potential source emerges, or NAWCAD is capable of receiving the Technical Data Package required for the repairs of the MDS/WAM system components and subassemblies, AD-4.11.7 will assess whether competition for future requirements is feasible.
