This is a Request for Proposals (RFP) issued by the Richmond Redevelopment and Housing Authority (RRHA), a political subdivision of the Commonwealth of Virginia established in 1940. The RFP seeks qualified firms to provide Armed Security services for RRHA facilities and operations. Proposals are due by September 23, 2026, at 2:00 PM, with submission accepted through Virginia's electronic procurement system (eVA) or by mail to RRHA's Division of Procurement and Contract Administration at 600 E. Broad Street, Suite 400, Richmond, Virginia 23219. The contract term will be one year with four optional one-year renewal periods. All inquiries must be directed to Dorothy Morris, AVP of Procurement, by email at dorothy.morris@rrha.com, with the deadline for written questions set for September 10, 2026. The RFP allows for cooperative purchasing, permitting other local governments, school boards, and agencies to access the resulting contract at negotiated prices. Offerors may be required to provide oral presentations of their proposals at RRHA's designated time and location.

Proposals will be evaluated based on proposed costs (30 points), demonstrated understanding of requirements (10 points), quality of technical approach (20 points), technical capabilities and management plan (20 points), relevant experience and past performance (15 points), and overall proposal quality and organization (5 points), for a total of 100 points. RRHA has established participation goals for disadvantaged business enterprises, including 30 percent for minority-owned businesses, 10 percent for women-owned businesses, and 30 percent for Section 3 businesses. Contractors must make affirmative efforts to ensure small businesses, minority-owned businesses, women-owned businesses, and Section 3 businesses participate in contract performance. Offerors must provide detailed fee schedules identifying all costs and reimbursable expenses, with costs to be held firm for at least ninety days following proposal submission. RRHA is not liable for any costs incurred by offerors in preparing or submitting proposals.

II. BACKGROUND:

The Richmond Redevelopment and Housing Authority (RRHA) was established by the City Council of the City of Richmond, Virginia (the City), in October 1940 as a political subdivision of the Commonwealth of Virginia. RRHA is responsible for operating affordable housing programs, which provide housing for eligible families, for operating redevelopment and conservation programs per the City’s Master Plan and delivering services to citizens of low-income housing and revitalization areas through encouraging and developing social and economic opportunities. The City Council has appointed the Board of Commissioners of RRHA.

Under Section 2.2-4304 of the Virginia Public Procurement Act, this solicitation intends to allow for cooperative purchasing. In addition, other local governments, school boards, and other agencies serving local governments may have access to this contract(s).

Participation in this cooperative procurement is strictly voluntary. If authorized by the Contractor(s), the resultant contract(s) will be extended to the public bodies indicated above to purchase at contract prices by contract terms. The Contractor shall notify RRHA in writing of any authorized users accessing the contract. No modification of this contract or execution of a separate contract is required to participate. The Contractor will provide annual usage reports for all users of the contract(s). Authorized users shall work directly with the Contractor(s) and administer their use of the contract(s), including contractual disputes, invoicing, and payments, without direct administration from RRHA. Richmond Redevelopment and Housing Authority shall not be held liable for any costs or damages incurred by any other participating public body due to any authorization by the Contractor to extend the contract. It is understood and agreed that RRHA is not responsible for the acts or omissions of any user of the contract(s) and will not be considered in default of the agreement, no matter the circumstances. Use of this contract(s) does not preclude any participating public body from using other contracts or competitive processes as required by law.

III. SMALL, WOMEN-OWNED, MINORITY-OWNED AND SECTION III

BUSINESSES PARTICIPATION: Both the Contractor and the Agency have certain responsibilities regarding the hiring and retention of personnel and subcontractors, pursuant to HUD regulation.

A. Within 2 CFR §200.321, it states: When possible, the recipient or subrecipient should ensure that small businesses, minority businesses (MBE), women’s business enterprises (WBE), veteran-owned businesses, and labor surplus area firms are considered as set forth below.

1. These considerations mean:

a. Placing qualified small and minority businesses and women’s business enterprises on solicitation lists;

b. Assuring that small and minority businesses, and women’s business enterprises are solicited whenever they are potential sources:

c. Dividing total requirements, when economically feasible, into smaller tasks or quantities to permit maximum participation by small and minority businesses, and women's business enterprises;

d. Establishing delivery schedules, where the requirement permits, which encourage participation by small and minority businesses, and women's business enterprises;

e. Using the services and assistance, as appropriate, of such organizations as the Small Business Administration and the Minority Business Development Agency of the Department of Commerce; and

f. Requiring the prime contractor, if subcontracts are to be let, to take the affirmative steps listed in paragraphs (1) through (5) of this section.

B. Within HUD Procurement Handbook 7460.8 REV 2 it states:

1. Section 15.5.A, Required Efforts. Consistent with Presidential Orders

11625, 12138, and 12432, the RRHA shall make every effort to ensure that small businesses, MBEs, WBEs, and labor surplus area businesses participate in RRHA contracting.

2. 2. Section 15.5.B, Goals. The RRHA is encouraged to establish goals by which it can measure the effectiveness of its efforts in implementing programs in support of Section 3 and contracting with disadvantaged firms.

C. Within the RRA’s Agency Procurement Policy - Section VII, it states that our Agency will:

1. Establish goals for Small Businesses, Minority-owned Businesses, Woman-owned Businesses, Labor Surplus Area Businesses, and Section 3 Business Concerns (collectively, “Disadvantaged Business Enterprises” or “DBE”) participation in RRHA prime contracts and subcontracting opportunities.

These goals are set as such:

o Minority-owned Businesses – 30% o Women-owned Businesses – 10% o Section 3 Businesses – 30%

2. At a minimum, RRHA’s goals shall reflect all applicable requirements in

Applicable Law, including, without limitation, 24 CFR Part 75.

D. Required Efforts:

1. Consistent with Applicable Law, including but not limited to 2 C.F.R. Part 200, Presidential Executive Orders 11625, 12138, and 12432, Section 3 of the HUD Act of 1968, and HUD implementing regulations at 24 C.F.R. Part 75, RRHA shall make all reasonable efforts to ensure that, to the greatest extent feasible, DBE and other individuals or firms located in or owned in substantial part by persons residing in the area of any RRHA project are used.

2. Such efforts may include, but shall not be limited to:

3. Including DBE firms, when qualified, on solicitation mailing lists;

4. Encouraging DBE participation through direct solicitation of bids or proposals whenever they are potential sources;

5. Dividing total requirements, when economically feasible and permitted by

Applicable Law, into smaller tasks or quantities to permit maximum participation by DBE firms;

6. Establishing delivery schedules, where the requirement permits, which encourage participation by DBE firms;

7. Using the services and assistance of the Small Business Administration and the Minority Business Development Agency of the Department of Commerce;

8. Including in contracts, to the greatest extent feasible, a clause requiring contractors to provide opportunities for training and employment for lower-income residents of the project area and to award subcontracts for work in connection with the project to business concerns that provide opportunities to low-income residents, as described in 24 CFR Part 75 (so-called Section 3 businesses); and

9. Prime contractors are required to take the positive steps listed above when subcontracting is anticipated.

E. MINORITY BUSINESS PARTICIPATION: The Contractor shall use its best efforts to comply with the commitment it has made in the Proposal relative to the participation of businesses primarily (at least 51%) owned by minorities, women or public housing residents, Section III individuals or Section III businesses, small businesses (collectively, "Disadvantaged Business Enterprises") in the performance of this Contract. By executing this Contract, the Contractor accepts the right of RRHA to appoint a RRHA employee to monitor the Contractor's compliance with the commitments and requirements of this Paragraph. The Contractor agrees to promptly submit reports to RRHA on request detailing the level of participation by Disadvantaged Business Enterprises in this Contract.

RRHA shall have the right to review all relevant documents of the Contractor relating to the participation of Disadvantaged Business Enterprises in this Contract on an ongoing basis. RRHA reserves the right to evaluate the Contractor's performance with regard to the commitments and requirements of this Paragraph on an annual basis.

STATEMENT OF NEEDS

The Contractor shall furnish all labor, travel, and incidentals necessary to provide the Armed Security described herein.

Richmond Redevelopment and Housing Authority is seeking sealed proposals for Armed Security as detailed in Attachment A. The objective of this solicitation is to obtain the services of a qualified individual or firm to provide Armed Security for the Richmond Redevelopment and Housing

Authority.

IV. PROPOSAL PREPARATION AND SUBMISSION INSTRUCTIONS

A. RFP RESPONSE: To be considered for selection, offerors must submit a complete response to this RFP. Proposals can be submitted through eVA (Virginia’s electronic procurement system) and/or by mail to the issuing agency. DO NOT EMAIL YOUR RESPONSE. If mailed: One (1) original unbound copy and one (1) electronic copy of each proposal must be received by the issuing agency on or before the closing date.

The electronic copy can be on a removable device, such as a flash drive. Faxed or electronically transmitted proposals will not be accepted. Offerors are solely responsible for ensuring the timely delivery of their proposals. Sealed bids received after the time specified in the RFP will be recorded as a late bid and kept unopened in the contract file. All proposals will become part of RRHA’s official files and will not be returned to the offeror.

B. PROPOSAL PREPARATION:

1. The proposals shall be in a sealed envelope or sealed package and addressed as directed in the solicitation; however, electronic submission through eVA is encouraged. The sealed envelope or sealed package should be clearly marked and identified in the lower left corner as follows:

RFP 2026-29:

Closing Date: September 23, 2026 Armed Security

Point of Contact: Dorothy Morris, AVP of Procurement e-mail: dorothy.morris@rrha.com

2. Proposals shall be signed by an authorized representative of the Offeror. All information requested should be submitted. Failure to submit all information requested may result in RRHA requiring prompt submission of missing information and/or giving a lowered evaluation of the proposal. RRHA may reject proposals that are substantially incomplete or lack key information.

Mandatory requirements are those required by law or regulation or are such that they cannot be waived and are not subject to negotiation.

3. Proposals should be prepared simply and economically, providing a straightforward, concise description of capabilities to satisfy the requirements of the RFP. Emphasis should be placed on completeness and clarity of content.

4. Proposals should be organized in the order in which the requirements are presented in the RFP. All pages of the proposal should be numbered. Each paragraph in the proposal should reference the paragraph number of the corresponding section of the RFP. It is also helpful to cite the paragraph number, sub letter, and repeat the text of the requirement as it appears in the RFP. If a response covers more than one page, the paragraph number and sub letter should be repeated at the top of the next page. The proposal should contain a table of contents that cross-references the RFP requirements.

mailto:dorothy.morris@rrha.com

Information which the Offeror desires to present that does not fall within any of the requirements of the RFP should be inserted at an appropriate place or be attached at the end of the proposal and designated as additional material.

Proposals that are not organized in this manner risk elimination from consideration if the evaluators are unable to find where the RFP requirements are specifically addressed.

5. As used in this RFP, the terms "must", "shall", "should" and “may” identify the criticality of requirements. "Must" and "shall" identify requirements whose absence will have a major negative impact on the suitability of the proposed solution. Items labeled as "should" or “may” are highly desirable, although their absence will not have a large impact and would be useful, but are not necessary. Depending on the overall response to the RFP, some individual "must" and "shall" items may not be fully satisfied, but it is the intent to satisfy most, if not all, "must" and "shall" requirements. The inability of an Offeror to satisfy a "must" or "shall" requirement does not automatically remove that Offeror from consideration; however, it may seriously affect the overall rating of the Offerors’ proposal.

6. Each copy of the proposal should be contained in a single volume where practical. All documentation submitted with the proposal should be contained in that single volume.

7. Ownership of all data, materials, and documentation originated and prepared for the RRHA pursuant to the RFP shall belong exclusively to RRHA and be subject to public inspection in accordance with the Virginia Freedom of Information Act. Trade secrets or proprietary information submitted by an offeror shall not be subject to public disclosure under the Virginia Freedom of Information Act; however, the offeror must invoke the protections of § 2.2- 4342F of the Code of Virginia, in writing, either before or at the time the data or other material is submitted. The written notice must specifically identify the data or materials to be protected and state the reasons why protection is necessary. The proprietary or trade secret material submitted must be identified by some distinct method such as highlighting or underlining and must indicate only the specific words, figures, or paragraphs that constitute trade secret or proprietary information. The classification of an entire proposal document, line item prices, and/or total proposal prices as proprietary or trade secrets is not acceptable and will result in rejection of the proposal.

8. Oral Presentation: Offerors who submit a proposal in response to this RFP may be required to give an oral presentation of their proposal to RRHA. This provides an opportunity for the offeror to clarify or elaborate on the proposal.

This is a fact finding and explanation session only and does not include negotiation. RRHA will schedule the time and location of these presentations.

Oral presentations are an option of RRHA and may or may not be conducted.

C. SPECIFIC PROPOSAL INSTRUCTIONS: Proposals should be as thorough and detailed as possible so that RRHA may properly evaluate your capabilities to provide the required services.

Offerors are required to submit the following items as a complete proposal:

1. TAB 1: Return the RFP cover sheet and all addenda acknowledgments, if any, signed and filled out as required. Please provide the names of the person(s) authorized to make representations for the Offeror and their titles, addresses, and telephone numbers. Provide information that the person signing the RFP is authorized to bind the firm(s).

2. TAB 2: HUD Forms, Statement of Offeror’s Qualification (Attachment C), attachments to the RFP, and other specific items or data requested in the

RFP.

3. TAB 3: A written narrative statement to include:

a. Experience in providing Armed Security or other related services for Public Housing Authorities, highlighting your company's and its staff's specific accomplishments in providing the services described in the Statement of Needs.

b. Name, qualifications, and personnel experience to be assigned to the contract.

c. Resumes of staff to be assigned to the contract.

d. Proof of license and professional designation for each person who will perform under the contract.

4. TAB 4: The Offeror’s ability to successfully complete a project of this scope, size, and nature. Information outlines the experience in providing the services.

5. TAB 5: Provide information defining similar projects, services performed, changes recommended in the operations, and benefits realized by the clients.

6. TAB 6: Provide information outlining specific plans for providing the services outlined, including: (i) a list of proposed services, (ii) how services will be performed and scheduled, (iii) the Method of initiating services, and

(iv) the proposed approach and methodology.

7. TAB 7: Description of any other services the Offeror may wish to propose.

Examples of possible services could include offering different types of planning services not outlined in the solicitation.

8. TAB 8: A list of at least three (3) references where the Offeror has provided the services described in the RFP. Include the organization, contact name, title, location, telephone number, and email address. Provide information on past and current contracts.

9. TAB 9: Detailed Proposed Fees: Proposers must include a fee schedule for the services to be rendered under this contract. The schedule should indicate the cost of services and specify that the firm will hold all costs firmly and fix them for at least ninety days following the submission of the proposal.

The fee proposals shall also identify anticipated reimbursable expenses.

Firms must clearly and unambiguously specify the cost of the services in their proposals. Any other taxes, fees, or commissions applicable to the proposed contract are the responsibility and liability of the vendor, who must include these cost items in the price of the goods and services

10. TAB 10: RRHA’s goal is to take all necessary steps to assure that qualified small, women-owned, and minority-owned businesses, public housing resident-owned, and Section III vendors are used when possible. RRHA promotes economic opportunity by encouraging participation by small, women-owned, minority-owned and Section III vendors in RRHA contracts through subcontracting, joint ventures, or other contracting methods. Please address the actions that the Offeror will take if awarded the contract to assist and support RRHA in achieving the economic opportunity goals as described.

• Instructions to Evaluators.

• Proposal Tabulation Form.

• Written Narrative Form for each proposer.

• Recap of each proposer’s responsiveness.

• Copy of all pertinent RFP documents

Evaluation Committee. The Agency anticipates that it will select a minimum of a three-person committee to evaluate each responsive “hard copy” proposal submitted in response to this RFP. PLEASE NOTE: No proposer shall be informed during or after the RFP process about the identity of any evaluation committee member. If, by chance, a proposer becomes aware of the identity of such person(s), they SHALL NOT attempt to contact or discuss anything related to this RFP with such person. As detailed within this document, the designated CO is the only person at the Agency that the proposers shall contact about this RFP. Failure to abide by this requirement may (and most likely will) cause such proposer(s) to be eliminated from consideration for the award.

Evaluation. The CO will evaluate and award points for Evaluation Factor No. 1 (the “Objective” Factors). The appointed evaluation committee, independent of the CO or any other person at the Agency, shall evaluate the responsive proposals submitted and award points on Evaluation Factors No. 2, 3, 4, 5, and 6 (the “Subjective” Factors). Upon completion of the proposal evaluation process, the evaluation committee will forward the completed evaluations to the CO.

**Total available points to be awarded, including cost points, minus preference points.

Potential "Competitive Range" or “Best and Final” Negotiations. The Agency reserves the right to, as detailed within Section 7.2.N through Section 7.2.R of HUD Procurement Handbook 7460.8 REV 2, conduct a “Best and Final” Negotiation, which may include oral interviews, with all firms deemed to be in the competitive range. Any firm deemed not to be in the competitive range shall be notified of such in writing by the Agency in as timely a manner as possible, but in any case within no longer than 10 days after the beginning of such negotiations with the firms deemed to be in the competitive range.

Determination of Top-ranked Proposer. Typically, the subjective points awarded by the evaluation committee will be combined with the objective points awarded by the CO to determine the final rankings, which the CO normally forwards to the ED for approval.

If the evaluation was performed to the satisfaction of the ED, the final rankings may be sent to the Housing Authority Board of Commissioners (BOC) at a scheduled meeting for approval. Contract negotiations may be conducted at the Agency's option before or after the BOC approval.

Minimum Evaluation Results. To be considered to receive an award a proposer must receive a total calculated average of at least 70 points (of the 100 total possible points detailed within Section 4.1).

Ties. In the case of a tie-in point award, the award shall be decided as detailed in Section 6.12.C of HUD Procurement Handbook 7460.8 REV 2, by “drawing lots or other random means of selection.”

Notice of Results of Evaluation. If an award is completed, all proposers will receive by e-mail a Notice of Results of Evaluation. Such notice shall inform all proposers of:

• Which proposer received the award;

• Where each proposer placed in the process as a result of the evaluation of the proposals received;

• The cost or financial offers received from each proposer;

• Each proposer’s right to a debriefing and to protest.

Restrictions. All persons having familial (including in-laws) and/or employment relationships (past or current) with principals and/or employees of a proposer entity will be excluded from participation on the Agency evaluation committee. Similarly, all persons having ownership interest in and/or contract with a proposer entity will be excluded from participation on the Agency evaluation committee.

B. AWARD OF THE CONTRACT: Selection shall be made of the offeror deemed fully qualified and best suited among those submitting proposals based on the evaluation factors included in the Request for Proposals, including price, if so stated in the Request for Proposals. Negotiations shall be conducted with the offeror so selected. Price shall be considered but need not be the sole determining factor. After negotiations have been conducted with the offeror chosen, the agency shall select the offeror that, in its opinion, has made the best proposal and shall award the contract to that offeror. RRHA may cancel this Request for Proposals or reject proposals at any time before an award and is not required to furnish a statement of why a particular proposal was not deemed the most advantageous (Code of Virginia, § 2.2-4359D). Should RRHA determine in writing and its sole discretion that only one offeror is fully qualified, or that one offeror is clearly more highly qualified than the others under consideration, a contract may be negotiated and awarded to that offeror. The award document will be a contract incorporating by reference all the requirements, terms, and conditions of the solicitation and the contractor’s proposal as negotiated.

VI. REPORTING AND DELIVERY INSTRUCTIONS:

The Contractor(s) shall provide the following immediately following contract signing:

• Progress report for the involvement of small, women-owned, minority-owned, and Section III Businesses and Individuals as agreed to by RRHA.

• Contract Administrator for the contract.

• Procedures for receiving and responding to requests.

VII. GENERAL TERMS AND CONDITIONS

A. APPLICABLE LAWS AND COURTS: This solicitation and any resulting contract shall be governed in all respects by the laws of the Commonwealth of Virginia, City of Richmond, and any litigation with respect thereto shall be brought in the courts of the Commonwealth. This contract is made, entered into, and shall be performed in the jurisdiction of the City of Richmond, Commonwealth of Virginia. The contractor shall comply with all applicable federal, state, and local laws and regulations. The Contractor shall procure any permits and licenses required for its business or the services to be provided by it hereunder.

B. AWARD: Selection shall be made of two or more offerors deemed to be fully qualified and best suited among those submitting proposals based on the evaluation factors included in the Request for Proposals, including price, if so stated in the Request for Proposals. Negotiations shall be conducted with the offerors so selected. Price should be considered but need not be the sole determining factor.

After negotiations have been conducted with each offeror chosen, the agency shall select the offeror that, in its opinion, has made the best proposal and shall award the contract to that offeror. The award document will be a contract incorporating by reference all the requirements, terms and conditions of the solicitation and the contractor’s proposal as negotiated.

C. SOLICITATION OR AWARD PROTEST: Any actual or prospective contractor may protest the solicitation or award of a contract for violations of the principles of the RRHA Procurement Policy. Any protest against a solicitation must be received before the deadline for submitting bids or proposals, and any protest against a contract award must be received within ten (10) days after the award, or the protest will not be considered. All bid protests must be in writing and submitted to the Vice President of Procurement and Contract Administration, who will issue a written decision. The Vice President may, at his/her discretion, suspend the procurement pending resolution of the protest if the facts warrant.

D. ANTI-DISCRIMINATION: By submitting their proposals, offerors certify to

RRHA that they will conform to the provisions of the Federal Civil Rights Act of 1964, as amended, as well as the Virginia Fair Employment Contracting Act of 1975, as amended, where applicable, the Virginians With Disabilities Act, the Americans With Disabilities Act and § 2.2-4311 of the Virginia Public Procurement Act (VPPA). Suppose the award is given to a faith-based organization. In that case, the organization shall not discriminate against any recipient of goods, services, or disbursements made according to the contract based on the recipient's religion, religious belief, refusal to participate in a religious practice, or based on race, age, color, gender or national origin and shall be subject to the same rules as other organizations that contract with public bodies to account for the use of the funds provided; however, if the faith-based organization segregates public funds into separate accounts, only the accounts and programs funded with public funds shall be subject to audit by the public body. (Code of Virginia, § 2.2-4343.1E).

In every contract over $10,000, the provisions in 1 and 2 below apply:

1. During the performance of this contract, the contractor agrees as follows:

a. The contractor will not discriminate against any employee or applicant for employment because of race, religion, color, sex, national origin, age, disability, or any other basis prohibited by state law relating to discrimination in employment, except where there is a bona fide occupational qualification reasonably necessary to the regular operation of the contractor. The contractor agrees to post notices in conspicuous places available to employees and applicants for employment, setting forth the provisions of this nondiscrimination clause.

b. In all solicitations or advertisements for employees placed by or on behalf of the contractor, the contractor will state that such contractor is an equal opportunity employer.

c. Notices, advertisements, and solicitations placed following federal law, rules, or regulation shall be deemed sufficient for meeting these requirements.

2. The contractor will include the provisions of 1 above in every subcontract or purchase order over $10,000, which will make the provisions binding upon each subcontractor or vendor.

E. ETHICS IN PUBLIC CONTRACTING: By submitting their proposals, offerors certify that their proposals are made without collusion or fraud and that they have not offered or received any kickbacks or inducements from any other offeror, supplier, manufacturer or subcontractor in connection with their proposal, and that they have not conferred on any public employee having official responsibility for this procurement transaction any payment, loan, subscription, advance, deposit of money, services or anything of more than nominal value, present or promised, unless consideration of substantially equal or greater value was exchanged.

F. IMMIGRATION REFORM AND CONTROL ACT OF 1986: By submitting their proposals, offerors certify that they do not and will not employ illegal alien workers during this contract or otherwise violate the provisions of the federal Immigration Reform and Control Act of 1986.

G. DEBARMENT STATUS: By submitting their proposals, offerors certify that they are not currently debarred by RRHA, The Commonwealth of Virginia or the Federal Government from submitting proposals on contracts for the type of goods and/or services covered by this solicitation, nor are they an agent of any person or entity that is currently so debarred.

H. ANTITRUST: By entering into a contract, the contractor conveys, sells, assigns, and transfers to RRHA all rights, title and interest in and to all causes of action it may now have or hereafter acquire under the antitrust laws of the United States and the Commonwealth of Virginia, relating to the particular goods or services purchased or acquired by RRHA under said contract.

I. CLARIFICATION OF TERMS: If any prospective offeror has questions about the specifications or other solicitation documents, the prospective offeror should contact the Contract Officer whose name appears on the face of the solicitation no later than five working days before the due date. Any revisions to the solicitation will be made only by an addendum issued by the buyer.

J. PAYMENT:

1. To Prime Contractor:

a. Invoices for items ordered, delivered, and accepted shall be submitted by the contractor directly to the payment address shown on the purchase order/contract. All invoices shall show the contract number and/or purchase order number; social security number (for individual contractors) or the federal employer identification number (for proprietorships, partnerships, and corporations).

b. Any payment terms requiring payment in less than 30 days will be regarded as requiring payment 30 days after invoice or delivery, whichever occurs last. This shall not affect offers of discounts for payment in less than 30 days, however.

c. All goods or services provided under this contract or purchase orders to be paid for with public funds shall be billed by the contractor at the contract price.

d. The following shall be the date of payment: the date of postmark in all cases where payment is made by mail, or the date of offset when offset proceedings have been instituted as authorized under the Virginia Debt Collection Act.

e. Unreasonable Charges. Under certain emergency procurements and for most time and material purchases, final job costs cannot be accurately determined when orders are placed. In such cases, contractors should be notified that final payment in full is contingent on determining reasonableness concerning all invoiced charges.

Charges that appear unreasonable will be researched and challenged, and that portion of the invoice will be held in abeyance until a settlement can be reached. Upon determining that invoiced charges are not reasonable, RRHA shall promptly notify the contractor, in writing, of the unreasonable charges and the basis for the determination. A contractor may not institute legal action unless a settlement cannot be reached within thirty (30) days of notification. The provisions of this section do not relieve RRHA of its prompt payment obligations with respect to those charges which are not in dispute (Code of Virginia, § 2.2-4363).

2. To Subcontractors:

a. A contractor awarded a contract under this solicitation is hereby obligated:

(1) To pay the subcontractor(s) within seven (7) days of the contractor’s receipt of payment from RRHA for the proportionate share of the payment received for work performed by the subcontractor(s) under the contract; or

(2) To notify RRHA and the subcontractor(s), in writing, of the contractor’s intention to withhold payment and the reason.

b. The contractor is obligated to pay the subcontractor(s) interest at the rate of one percent per month (unless otherwise provided under the terms of the contract) on all amounts owed by the contractor that remain unpaid seven (7) days following receipt of payment from RRHA, except for amounts withheld as stated in (2) above. The date of mailing of any payment by U. S. Mail is deemed to be payment to the addressee. These provisions apply to each sub-tier contractor performing under the primary contract. A contractor’s obligation to pay an interest charge to a subcontractor may not be construed to be an obligation of RRHA.

K. PRECEDENCE OF TERMS: The following Terms and Conditions, APPLICABLE LAWS AND COURTS, ANTI-DISCRIMINATION, ETHICS IN

PUBLIC CONTRACTING, IMMIGRATION REFORM AND CONTROL ACT

The contractor shall be as fully responsible to RRHA for acts and omissions of the contractor’s subcontractor’s and of persons either directly or indirectly employed by its subcontractors, as the contractor is for the acts and omissions of persons directly employed by the contractor. The contractor shall include in each subcontract the contractor enters into for the provision of services under this contract, all provisions required to be included in such subcontracts established elsewhere within this contract.

c. By ordering the contractor to proceed with the work and record all costs incurred and savings realized. A markup for overhead and profit may be allowed if the contract provides. The same markup shall be used for determining a decrease in price as the result of savings realized. The contractor shall present RRHA with all vouchers and records of expenses incurred and savings realized.

RRHA shall have the right to audit the records of the contractor as it deems necessary to determine costs or savings. Any claim for an adjustment in price under this provision must be asserted by written notice to RRHA within thirty (30) days from the date of receipt of the written order from the RRHA. If the parties fail to agree on an amount of adjustment, the question of an increase or decrease in the contract price or time for performance shall be resolved in accordance with the procedures for resolving disputes provided by the Disputes Clause of this contract or, if there is none, in accordance with state and federal guidelines.

P. DEFAULT: In case of failure to deliver goods or services in accordance with the contract terms and conditions, RRHA, after due oral or written notice, may procure them from other sources and hold the contractor responsible for any resulting additional purchase and administrative costs.
