RFQ27-4143CA – Master Services Agreements for As-Needed Professional Consulting Services

Request for Qualifications

The City of Carlsbad and the Carlsbad Municipal Water District (CMWD), a subsidiary district of the City

(collectively, the “Agency”), are requesting Statements of Qualifications (SOQ) from qualified consultants to enter into Master Services Agreements. The Agency may retain multiple consultants to provide highly qualified professional consulting services for the disciplines identified below in the Discipline Categories section. Master Services Agreements are anticipated to be awarded in late September 2026 for an initial term of three (3) years from the date of execution. The Agency reserves the right to extend each agreement for up to two (2) additional one-year periods or parts thereof (five-year maximum), if authorized by the City Manager/Executive Manager. Execution of a Master Services Agreement does not guarantee or obligate the Agency to issue any work; Services will be assigned on an as-needed, task-order basis through individual Project Task Descriptions and Fee Allotments (PTD&FA) at the Agency's sole discretion.

Please review Exhibit D of this RFQ, Sample Master Agreement. The agreement terms will not be subject to negotiation; therefore, if you are not able to comply with the terms of this agreement, do not submit a Statement of Qualifications.

Existing Master Services Agreements

The Agency currently maintains multiple Master Services Agreements for a variety of disciplines. This solicitation is intended to maintain a healthy and diverse pool of qualified consultants by replenishing disciplines where additional contract capacity is needed and establishing new Master Services

Agreements for disciplines identified to support current and anticipated Agency needs.

Firms that currently hold an active Master Services Agreement with the Agency are encouraged to submit a Statement of Qualifications and will be evaluated in the same manner as all other respondents.

Holding a current Master Services Agreement shall not preclude a firm from being considered for award under this solicitation.

For disciplines with existing Master Services Agreements, it is the Agency's intent to continue utilizing agreements that have available capacity and remain appropriate for the required services. Newly awarded Master Services Agreements are intended to supplement the Agency's existing consultant pool and provide continuity as current agreements become fully utilized, expire, or are otherwise unavailable.

The Agency reserves the right to assign work under any applicable Master Services Agreement based on consultant qualifications and expertise, available contract capacity, project-specific requirements, funding availability, scheduling, and the best interests of the Agency.

Cooperative Purchasing

Subject to the Contractor's consent, other public agencies (including but not limited to other cities, counties, special districts, and public entities within the State of California) may be permitted to purchase services under the same terms, conditions, and pricing established through this solicitation, via a separate agreement or purchase order directly between the Contractor and the participating agency.

The City is not a party to, and bears no responsibility for, any such cooperative purchase. See Exhibit D

(Sample Master Agreement, Section 26) for the applicable contract language.

Statement of Qualifications

The firm must submit a Statement of Qualifications (SOQ) for each discipline for which the firm applies.

Each SOQ must include the following:

1. Statement of Qualifications Questionnaire – Complete Exhibit A as provided in this RFQ and include as page 1 of the SOQ. Exhibit A does not count toward the 25-page limit.

2. Project Team and Approach – Provide the names and qualifications of the key individuals responsible for coordination and production of project/task deliverables, their respective roles, and the organizational structure of the team. Technical support staff should be included if they will perform a significant role in the preparation of work products. The office of record for each team member shall be listed, as well as the primary office location where the work is to be performed.

Resumes pertaining to Project Team and Approach are to be provided as an appendix or attachment and do not count toward the 25-page limit; resumes pertaining to Form SF330 should be kept in Section E of the SF330.

Project Approach: Provide a summary of the firm's proposed approach to typical projects, including a description of quality assurance and schedule control measures to be utilized. It is likely that during the course of the contract the consultant will have two or more Task Descriptions active at the same time; describe how concurrent tasks/projects will be managed efficiently, with references relative to past success in this regard.

Subcontractors: Firms must identify any subcontractors they intend to use in performance of the

Services, including the subcontractor's name, discipline, and role on the team, or state “None” if no subcontractors are proposed. Work may not be subcontracted unless authorized in writing by the

Agency; see the Fee Schedule and Exhibit D (Sample Master Agreement, Section 8) for subcontracting authorization and fee requirements.

3. Three (3) Project Reference Summaries (minimum) – Narrative format, not to exceed one (1) page per summary, describing projects that exemplify the firm's capability to provide the services proposed for this SOQ. Summaries must include:

5 of 33 RFQ27-4143CA

◦ The name of the firm at the top of each summary

◦ Whether the firm was the Prime Consultant or a Subconsultant

◦ Name, address, and current phone number of the public agency (or private developer/other entity for those without Public Works experience) for which the firm provided the service, plus an agency or other contact person with personal knowledge of the project

◦ Approximate beginning and completion dates of project phases (studies, planning, design, construction)

◦ Description of the services performed

◦ Any special problems or difficulties encountered and how they were resolved

◦ Discussion of project cost control, including total fee, cost estimate versus low bid award (if applicable), and cost-control efforts

◦ Discussion of the project schedule and any time/resource constraints

◦ Any awards or special recognition received

The Agency, at its discretion, may contact other firms or agencies for additional consultant information.

Failure to provide accurate contact information, adequate information, or project reference summaries may be cause for rejection of the submittal as nonresponsive.

4. Standard Form SF330 (current revision, SF330 Rev. 7/2021) – Download the current version, including instructions, from PlanetBids or directly from the GSA Forms Library at https://www.gsa.gov/forms-library/architect-engineer-qualifications; include with each SOQ.

Required Sections. Firms are only required to complete and submit the following sections of the SF330:

Part I – Section C (Proposed Team), Section D (Organizational Chart), Section E (Resumes of Key

Personnel), Section F (Example Projects), Section H (Additional Information), and Section I (Authorized

Representative signature); and Part II – General Qualifications (one Part II per branch office involved in this SOQ). Part I Sections A, B, and G are not required and should be omitted.

When preparing the required sections, emphasize the specific type of service for which the firm is submitting the SOQ.

• If the SF330 is incomplete or nonconforming, the submittal may be disqualified as nonresponsive.

• Firms not providing all required attachments may be disqualified as nonresponsive.

• Additional brochures, exhibits, charts, or displays are prohibited and may cause disqualification; up to two pages of project photos per project example are acceptable within Section F.

• Include Section D, “Organizational Chart of Proposed Team,” directly after Section C.

• Each resume (Section E) may not exceed one (1) page and may list no more than five (5) projects. A complete resume for each team member may be submitted separately in an appendix in the firm's own format; Section E is reserved for key personnel.

6 of 33 RFQ27-4143CA https://www.gsa.gov/forms-library/architect-engineer-qualifications

• If the firm has multiple branch offices, list personnel office locations in Section E; offices outside vs.

inside San Diego County must be clearly distinguished.

• Include Professional Registration Numbers where applicable (Section E, No. 17).

• Project descriptions (Section F) may not exceed one (1) page each; no more than ten (10) projects total, including subconsultant projects, per discipline.

• Credit for a project belongs to the firm performing the corresponding role (prime or subconsultant);

firms not directly involved in a project may not list it in their own Section F, even if a current employee worked on it previously.

• Section H – Additional Information shall not exceed five (5) pages; exceeding this may cause disqualification.

• Branch information (Part II) is mandatory; include a separate Part II for each branch. Do not include Part II information or separate SF330s from subconsultants.

5. Joint Venture Agreement – If applying as a joint venture, include a copy of the Joint Venture Agreement and submit one SF330 for each member of the joint venture.

Fee Schedule

Follow prompts in PlanetBids to upload cost file(s). Upload the fee schedule with a cover sheet displaying the corresponding discipline number. The fee schedule should indicate the title and hourly billing rate for each team member (see Exhibit B for a sample). Include rates for other direct/indirect costs such as mileage and materials; the mileage reimbursement rate will be set annually per the IRS rate. The Agency will not separately reimburse business or travel-related expenses – such costs must be absorbed in the hourly or lump-sum fee structure.

Work under any resulting Agreement may not be subcontracted unless authorized in writing by the

Agency. Any subcontractors proposed in the SOQ, and any subcontractors the Contractor later wishes to add during the term of the Agreement, are subject to the Agency's prior written approval. Where a subcontractor is used, the fee billed to the Agency for that subcontractor's services shall not exceed the subcontractor's direct cost plus a markup of no more than ten percent (10%).

Pricing shall remain firm for the initial three (3) year term of the Agreement. The Agreement will not allow for annual adjustments to the rate schedule during the initial term; rate adjustments may be considered in connection with any renewal option.

If the City elects to extend the term of the Master Services Agreement, adjustments to the rate schedule may be permitted. Upon receipt of a written request from the Contractor, the City may consider approving a rate schedule increase. Rate schedule increases will be considered for each anniversary of the Agreement effective date after the initial three-year term. An increase to the rate schedule will be calculated based on the preceding 12-month percentage change in the Consumer Price Index, San Diego

Area, for All Urban Consumers (CPI-U), as reported by the Bureau of Labor Statistics, or 5.0%, whichever is lower. If the CPI-U is negative, the rate schedule will not be adjusted for that year. The Contractor

7 of 33 RFQ27-4143CA must submit a request and justification for a rate schedule increase at least sixty (60) days prior to the anniversary of the Agreement's effective date if the City elects to extend the Master Services Agreement.

Evaluation Criteria and Selection

SOQs will be reviewed and ranked by a selection committee composed of Agency staff members. Ranking will be based on a weighted scoring system:

1. Specialized Experience, Technical Competence, References, and Past Performance – 45 points.

Specialized experience, expertise, past performance, and competence that qualify a firm to perform the services described in the scope of services for the selected consultant rotation list, including consideration of past performance on projects in terms of cost control, quality of work, and compliance with performance schedules and standards.

2. Capacity to Accomplish Work in the Required Time – 35 points. Capacity and resources to deliver services within the required period; sufficient qualified staff and required support resources (e.g., computer hardware/software, special equipment, facilities, vehicles, office work area).

3. Personnel – 10 points. Education, experience, training, and skills of key personnel assigned to provide the services described in the SOQ.

4. Location/Local Environment – 10 points. Location of the project manager's and project staff's office(s), and familiarity with the local environment, including policies and procedures of the Agency and other local agencies.

Selection will be based on the SOQ submittal; interviews will not be conducted as part of this solicitation.

The amount billed to the Agency for subconsultant services shall not exceed the subconsultant’s direct cost plus a maximum markup of ten percent (10%).

Personnel Changes. The Contractor may replace, add, or reassign personnel during the term of the

Agreement due to promotion, separation, staffing changes, or other business needs, subject to the

Agency's approval where required by the Agreement. Replacement personnel assigned to perform

Services shall possess qualifications and experience appropriate for the applicable classification and assigned work.

Personnel changes shall not, by themselves, constitute a basis for an increase to the approved rate schedule. New or replacement personnel shall be billed at the approved rate for the applicable classification. If a new classification is necessary and is not included in the approved rate schedule, the classification and corresponding rate must be approved in writing by the Agency before any services are performed or billed under that classification. Any approved rate for a new classification shall be consistent with the Contractor's existing approved rate structure and shall not be used to circumvent the firm-fixed pricing requirements of the Agreement.

Promotion of an individual to a higher classification does not automatically authorize billing at a higher rate. The higher classification and applicable rate must already be included in the approved rate schedule, and the individual must actually perform services appropriate to that classification.
