The vendor is required to perform wetland delineation confirming jurisdictional wetland boundaries, identify and quantify invasive vegetation species, provide treatment recommendations, develop a supplemental planting plan with success criteria for survivability, and develop a comprehensive Adaptive Management Plan for approval by the Interagency Review Team (IRT). The Rowan Branch site encompasses 78.667 stream mitigation units and 8.760 wetland mitigation units (4.880 riparian and 3.880 non-riparian). The mandatory pre-bid site visit is scheduled for September 30, 2026 at 10:00 AM ET at GPS coordinates 34.967990, -78.270012; failure to attend will result in quote rejection. Written questions must be submitted by October 7, 2026, with responses provided October 20, 2026 at 2:00 PM ET. Quotes are due October 20, 2026 at 10:00 AM ET. The pricing structure is milestone-based with four deliverables: confirmation of wetland boundaries (35% of contract value, due 2/1/2027), invasive vegetation management and supplemental planting plan (15%, due 3/1/2027), draft Adaptive Management Plan for DMS/IRT review (30%, due 4/1/2027), and final Adaptive Management Plan with IRT approval (20%, due 6/1/2027 or within 30 days of receiving IRT comments). Payment is contingent upon DMS approval of each deliverable. The quote price must constitute the total cost to the State, inclusive of all handling, transportation, and administrative fees. Vendors must be registered in good standing with the North Carolina Electronic Vendor Portal (eVP), comply with E-Verify requirements, and possess valid North Carolina Secretary of State registration. All deliverables must comply with Americans with Disabilities Act requirements, including Web Content Accessibility Guidelines 2.1 Level AA standards, and conform to current DMS digital/spatial data formatting requirements. No portion of work may be subcontracted without prior written State consent. 1.0 PURPOSE AND BACKGROUND
The mission of NCDMS is to provide cost-effective mitigation alternatives that improve the state’s water resources.
This solicitation and any resulting procurement are in accordance with GS 143-214.11(i), and the current Department of Administration/Department of Environmental Quality (DOA-DEQ) Special Delegation Agreement for compensatory mitigation.
Rowan Branch Mitigation Site (DMS#317) is a stream and wetland preservation-only mitigation site located three miles southeast of the Town of Clinton. The site is situated south of Rowan Road (SR1924), approximately 1.7 miles east of the intersection with US 701 Business in central Sampson County. The Interagency Review Team (IRT) conducted the initial closeout site visit on 12/17/2024. The IRT considered 78.667 stream mitigation units (SMUs), 4.880 riparian and 3.880 non-riparian wetland mitigation units (WMUs) for final release. The IRT commented that the site may be closed upon resolution of the identified contingencies.
DMS is seeking a qualified firm to provide the following services described in the Scope of Work (Section 5.0):
• perform a wetland delineation
• identify and quantify the extent of invasive vegetation species
• provide recommendations for treatment of invasive vegetation species
• provide recommendations on a supplemental planting plan and monitoring plan designed to achieve success criteria for survivability
• develop an Adaptive Management Plan for approval by the IRT
The intent of this solicitation is to award an Agency Specific Contract.
1.1 CONTRACT TERM
The Contract shall have an initial term of three (3) years, beginning on the date of final Contract execution (the “Effective Date”).
The Vendor shall begin work under the Contract within three (3) business days of the Effective Date
At the end of the Contract’s initial term, the State shall have the option, in its sole discretion, to renew the Contract on the same terms and conditions for up to two (2) additional one-year terms. The State will give the Vendor written notice of its intent to exercise each option no later than ninety (90) days before the end of the Contract’s then-current term. In addition to any optional renewal terms, and with the Vendor’s concurrence, the State reserves the right to extend the Contract after the last active term.
Quotes shall be submitted in accordance with the terms and conditions of this RFQ and any addenda issued hereto.

Tips for Using the Sourcing Tool
1. Vendors should review available training and confirm that they are able to access the Sourcing Event, enter responses, and upload files well in advance of the date and time response are due to allow sufficient time to seek assistance from the North Carolina eProcurement Help Desk.
2. Vendors may submit their responses early to make sure there are no issues, and then submit a revised response any time prior to the response due date and time. The State will only review the most recent response.
https://eprocurement.nc.gov/training/vendor-training
Ver: 07/2026 8
3. Vendors should respond to all relevant sections of the Sourcing Event. Certain questions or items are required in order to submit a response and are denoted with an asterisk. The Sourcing Tool will not allow a response to be submitted unless all required items are completed. The Sourcing Tool will provide error messages to help identify any required information that is missing when response is submitted.
4. Simply saving your response in the Sourcing Tool is not the same as submitting your response to the State. Vendors should make sure they complete the submission process and receive a message that their response was successfully submitted.
5. Only Quotes submitted through the Content Section of the Ariba Sourcing Event will be considered. Quotes submitted through the Message Board will not be accepted or considered for award.
If confidential and proprietary information is included in the quote, also submit one (1) signed, REDACTED copy of the quote. Such information may include trade secrets defined by N.C. Gen. Stat. § 66-152 and other information exempted from the Public Records Act pursuant to N.C. Gen. Stat. §132- 1.2. Vendor may designate information, Products, Services, or appropriate portions of its response as confidential, consistent with and to the extent permitted under the statutes and rules set forth above. By so redacting any page, or portion of a page, the Vendor warrants that it has formed a good faith opinion, having received such necessary or proper review by counsel and other knowledgeable advisors, that the portions determined to be confidential and proprietary and redacted as such, meet the requirements of the Rules and Statutes set forth above. However, under no circumstances shall price information be designated as confidential.
If the Vendor does not provide a redacted version of the quote with its quote submission, the Department may release an unredacted version if a record request is received.
2.8 QUOTE CONTENTS
Vendors shall provide responses to all questions and complete all attachments for this RFQ that require the Vendor to provide information and upload them to the Sourcing Event in the Sourcing Tool. Vendor may not be able to submit its response in the Sourcing Tool unless all required items are addressed. Vendors shall provide authorized signatures where requested. Failure to provide all required items, or Vendor’s submission of incomplete items, may result in the State rejecting Vendor’s quote, in the State’s sole discretion.

a) Quotes are requested for the items as specified, or item(s) equivalent in design, function, and performance. The State reserves the right to reject any quote on the basis of fit, form and/or function, as well as cost.
b) The State shall review the responses to this RFQ to confirm that they meet the specifications and requirements. The State reserves the right to waive any minor informality or technicality.
c) For all responses that pass the initial review process, the State will review and assess the Vendors’ pricing. The State may request additional formal responses or submissions from any or all Vendors for the purpose of clarification or to amplify the materials presented in any part of the quote. Vendors are cautioned, however, that the State is not required to request clarification, and often does not. Therefore, all quotes should be complete and reflect the most favorable terms available from the Vendor. Prices quoted cannot be altered or modified as part of a clarification.
Ver: 07/2026 11
d) Quotes will be evaluated based on the award criteria identified in Section 3.1 METHOD OF AWARD.
Award of a Contract to one Vendor does not mean that the other quotes lacked merit, but that, all factors considered, the selected quote was deemed most advantageous and represented the best value to the State.
Vendors are cautioned that this is a request for quote, not a request or an offer to contract, and the State reserves the unqualified right to reject any and all offers at any time if such rejection is deemed to be in the best interest of the State.
3.4 PERFORMANCE OUTSIDE THE UNITED STATES
Vendor shall complete ATTACHMENT E: LOCATION OF WORKERS UTILIZED BY VENDOR. In addition to any other evaluation criteria identified in this RFQ, the State may also consider, for purposes of evaluating proposed or actual contract performance outside of the United States, how that performance may affect the following factors to ensure that any award will be in the best interest of the State:
a) Total cost to the State
b) Level of quality provided by the Vendor
c) Process and performance capability across multiple jurisdictions
d) Protection of the State’s information and intellectual property
e) Availability of pertinent skills
f) Ability to understand the State’s business requirements and internal operational culture
g) Particular risk factors such as the security of the State’s information technology
h) Relations with citizens and employees
i) Contract enforcement jurisdictional issues
3.5 INTERPRETATION OF TERMS AND PHRASES
This RFQ serves two functions: (1) to advise potential Vendors of the parameters of the solution being sought by the State; and (2) to provide (together with other specified documents) the terms of the Contract resulting from this procurement. The use of phrases such as “shall,” “must,” and “requirements” are intended to create enforceable contract conditions. In determining whether quotes should be evaluated or rejected, the State will take into consideration the degree to which Vendors have proposed or failed to propose solutions that will satisfy the State’s needs as described in the RFQ. Except as specifically stated in the RFQ, no one requirement shall automatically disqualify a Vendor from consideration. However, failure to comply with any single requirement may result in the State exercising its discretion to reject a quote in its entirety.
4.0 REQUIREMENTS
This Section lists the requirements related to this RFQ. By submitting a quote, the Vendor agrees to meet all stated requirements in this Section as well as any other specifications, requirements, and terms and conditions stated in this RFQ. If a Vendor is unclear about a requirement or specification or believes a change to a requirement would allow for the State to receive a better quote, the Vendor is urged to submit these items in the form of a question during the question-and-answer period in accordance with the Quote Questions Section above.
4.1 PRICING
Quote price shall constitute the total cost to the State for complete performance in accordance with the requirements and specifications herein, including all applicable charges for handling, transportation, administrative and other similar fees. Complete ATTACHMENT A: PRICING FORM and upload in the Sourcing Tool. The pricing provided in ATTACHMENT A, or resulting from any negotiations, is incorporated herein and shall become part of any resulting Contract.
INVOICES MAY NOT BE PAID UNTIL AN INSPECTION HAS OCCURRED AND THE GOODS OR SERVICES ACCEPTED.
Ver: 07/2026 12
4.1.1 Import Tariff Temporary Surcharge
Pricing shall be exclusive of any pending tariffs or temporary tariff surcharge. Vendor may request a temporary tariff surcharge in ATTACHMENT A: PRICING SUBMITTAL WORKBOOK as a charge separate from the contract price. Any temporary tariff surcharge(s) associated with purchases shall be provided by way of a percentage tariff surcharge. All tariff surcharges proposed are intended to be temporary and based on current tariff implications specific to related commodities with evidence of submitted documentation of affected MSRP products. Vendor understands that the agency may request additional justification. Any temporary tariff surcharge percentage will be negotiated and mutually agreed upon. The state is not obligated to accept any proposed import tariff surcharge. Proposed tariff surcharges may be used as a factor for evaluation and award.
4.2 FINANCIAL STABILITY
As a condition of contract award, the Vendor must certify that it has the financial capacity to perform and to continue to perform its obligations under the Contract; that Vendor has no constructive or actual knowledge of an actual or potential legal proceeding being brought against Vendor that could materially adversely affect performance of this Contract; and that entering into this Contract is not prohibited by any contract, or order by any court of competent jurisdiction.
Each Vendor shall certify it is financially stable by completing ATTACHMENT F: CERTIFICATION OF FINANCIAL CONDITION. The State is requiring this certification to minimize potential issues from contracting with a Vendor that is financially unstable. From the date of the Certification to the expiration of the Contract, the Vendor shall notify the State within thirty (30) days of any occurrence or condition that materially alters the truth of any statement made in this Certification. The Contract Manager may require annual recertification of the Vendor’s financial stability.
4.3 REFERENCES
Vendor shall upload to the Sourcing Tool at least three (3) references, using ATTACHMENT E: CUSTOMER REFERENCE FORM, for which it has provided Services of similar size and scope to those proposed herein. References shall not be from the same company or from the soliciting State entity. . In addition, Vendor shall provide references for and identify other government contracts it has received, for which your company has provided services of similar size and scope to those proposed herein. The State may contact these users to determine whether the Services provided are substantially similar in scope to those proposed herein and whether Vendor’s performance has been satisfactory. The information obtained may be considered in the evaluation of the Quote.
4.4 BACKGROUND CHECKS
Any personnel or agent of Vendor performing Services under any Contract arising from this RFQ may be required to undergo a background check at the expense of the Vendor, if so requested by the State.
4.5 PERSONNEL
Vendor warrants that qualified personnel shall provide Services under this Contract in a professional manner. “Professional manner” means that the personnel performing the Services will possess the skill and competence consistent with the prevailing business standards in the industry. Vendor will serve as the prime contractor under this Contract and shall be responsible for the performance and payment of all subcontractor(s) that may be approved by the State. Names of any third-party Vendors or subcontractors of Vendor may appear for purposes of convenience in Contract documents; and shall not limit Vendor’s obligations hereunder. Vendor will retain executive representation for functional and technical expertise as needed in order to incorporate any work by third party subcontractor(s).
Should the Vendor’s quote result in an award, the Vendor shall be required to agree that it will not substitute key personnel assigned to the performance of the Contract without prior written approval by the Contract Lead. Vendor shall further agree that it will notify the Contract Lead of any desired substitution, including the name(s) and references of Vendor’s recommended substitute personnel. The State will approve or disapprove the requested substitution in a timely manner. The State may, in its
Ver: 07/2026 13 sole discretion, terminate the Services of any person providing Services under this Contract. Upon such termination, the State may request acceptable substitute personnel or terminate the contract Services provided by such personnel.
4.6 VENDOR’S REPRESENTATIONS
If Vendor’s quote results in an award, Vendor agrees that it will not enter any agreement with a third party that may abridge any rights of the State under the Contract. If any Services, deliverables, functions, or responsibilities not specifically described in this solicitation are required for Vendor’s proper performance, provision and delivery of the Service and deliverables under a resulting Contract, or are an inherent part of or necessary sub-task included within such Service, they will be deemed to be implied by and included within the scope of the Contract to the same extent and in the same manner as if specifically described in the Contract.

5.0 SPECIFICATIONS AND SCOPE OF WORK
5.1 OBJECTIVES
The Department of Environmental Quality (NCDEQ), Division of Mitigation Services (NCDMS) requires the services of a VENDOR to develop an Adaptive Management Plan (AMP) for the Rowan Branch (DMS #317) compensatory mitigation site (hereinafter referred to as “PROJECT”). The Project is a preservation-only compensatory mitigation site located in Sampson County. The Project occurs within a State-owned conservation easement.
The up-to-date version of the Google Earth KML DMS project boundaries, as of April 2026, can be found at:
https://www.deq.nc.gov/mitigation-services/document-management-library/property/nc-deq-mitigation-project-boundaries-kmz https://www.sosnc.gov/ https://www.deq.nc.gov/mitigation-services/document-management-library/property/nc-deq-mitigation-project-boundaries-kmz https://www.deq.nc.gov/mitigation-services/document-management-library/property/nc-deq-mitigation-project-boundaries-kmz
Ver: 07/2026 14
The conservation easement documents for the PROJECT are available on the DMS Property website:
The Interagency Review Team (IRT) conducted the initial closeout site visit on 12/17/2024. The IRT considered 78.667 stream mitigation units (SMUs), 4.880 riparian and 3.880 non-riparian wetland mitigation units (WMUs) for final release. The IRT commented that the site may be closed upon resolution of the following contingencies:
• Removal of stream credit from closeout consideration
• Invasive species must be treated in the conservation easement.
• Wetlands, riparian and non-riparian, are approved for closure at a ratio of 10:1, subject to effective invasive species treatment. Wetlands identified as seep wetlands in the baseline/closeout reports must be refined to exclude any non-wetland areas.
• All permanent structures, fences and trash located within the areas subject to the conservation easements/fee simple deed must be removed, or alternatively, the protection mechanisms must be revised to exclude these areas. Boundary sign refresh/verification is required. *DMS is responsible for this contingency item. DMS will address it separately and provide the Vendor with applicable information for inclusion in the Adaptive Management Plan (AMP) for IRT Review.
5.2 TASKS/DELIVERABLES
Documents referenced in this section are available for review and download at the following link:
https://edocs.deq.nc.gov/MitigationServices/Browse.aspx?id=1714&dbid=0&repo=MitigationServices&cr=1 Deliverables will not be approved without adherence to the current version of the DMS digital/spatial data formatting requirements (spatial data submission tool).
In addition to the requirements of the State General Terms and Conditions, all deliverables provided to DEQ shall comply with the requirements of 28 CFR Part 35, implementing Title II of the Americans with Disabilities Act, including conformance with the Web Content Accessibility Guidelines 2.1 Level AA.
5.2.1 Task 1 Confirmation of Wetland Boundaries
A Jurisdictional Determination (JD), dated 12/1/2009 (Expired 12/1/2014), quantified the wetland boundaries measuring 89.200 acres of wetland. The JD (pdf) and project boundary (georeferenced pdf) are available for review and download at the above link.
The VENDOR will perform a field delineation to determine existing wetland acreages and confirm the wetland boundaries as defined in the 1987 US Army Corps of Engineers Wetland Delineation Manual and USACE regional supplements. Delineations and soils report must be completed and sealed by a Licensed Soil Scientist (LSS).
Wetlands, riparian and non-riparian, are approved for closure by the IRT at a ratio of 10:1, subject to effective invasive species treatment. Wetlands, identified as seep wetlands on the Rowan Branch_317_Georeferenced Closeout Map.pdf (provided at the above link), must be refined to exclude any non-wetland areas.
5.2.2 Task 2 Invasive Vegetation Management and Supplemental Planting Plan
The VENDOR will identify and quantify the extent of invasive vegetation species and provide recommendations for a treatment plan. In the areas of treatment, the vendor will provide recommendations for a supplemental planting plan, including vegetation type, size, and planting density suitable for the natural community. The plan will include soil amendments as necessary, fertilization, and monitoring designed to achieve success criteria for survivability. Standard success criteria and additional guidelines can be found throughout the following link: NC IRT 2016 Guidance. Final success criteria will be determined during project development in Task 3 and approved by the IRT in Task 4.
5.2.3 Task 3 Draft Adaptive Management Plan (AMP)
The VENDOR will develop an Adaptive Management Plan (AMP) for review and approval by the IRT including:
• Delineated wetland boundaries completed and sealed by a Licensed Soil Scientist (LSS) (as determined by VENDOR)
• Soils Report completed and sealed by a Licensed Soil Scientist (LSS) (as determined by VENDOR) https://edocs.deq.nc.gov/MitigationServices/DocView.aspx?id=1682&dbid=0&repo=MitigationServices&cr=1 https://edocs.deq.nc.gov/MitigationServices/Browse.aspx?id=1714&dbid=0&repo=MitigationServices&cr=1 https://edocs.deq.nc.gov/WaterResources/DocView.aspx?id=3344194&dbid=0&repo=WaterResources&cr=1
Ver: 07/2026 15
• Identified and quantified extent of invasive vegetation species (as determined by the VENDOR)
• Work Plan recommendations for treatment of invasive vegetation species
• Work Plan recommendations on a supplemental planting plan and success criteria for survivability
The AMP format will include, at a minimum, the following content descriptions including supporting tables and mapping as needed:
• Project Overview and conservation easement boundaries
• Existing Conditions o Original wetland boundaries o Verified/updated wetland boundaries o Invasive species (species, density, location)
• Work Plan recommendations o Treatment of invasive vegetation species o Supplemental planting plan (in anticipated denuded areas post treatment) and success criteria for survivability
• Wetland Mitigation Quantity and Credit
The Draft AMP will be submitted to DMS for initial review. Upon review, DMS will provide comments and requested changes to the VENDOR to be incorporated into the Draft AMP before submittal to the IRT for review.
Upon IRT review and comment, all provided comments and requested changes must be incorporated into the Final AMP (Task4).
If requested, VENDOR will attend site visit or meeting with the IRT.
5.2.4 Task 4 Final Adaptive Management Plan (AMP) and Receipt of IRT Approval
The VENDOR will incorporate any DMS/IRT comments and requested changes to the Final Adaptive Management Plan (AMP) and provide to DMS for submittal to the IRT for final review and approval. DMS must receive written approval from IRT before final payment of Task 4 may be authorized.
The VENDOR will prepare draft and final versions of the AMP.
