About this file

This is a Request for Proposals (RFP) issued by the State of Maine Public Utilities Commission seeking consulting services to conduct a management audit of interconnection costs assessed by investor-owned transmission and distribution utilities to small generator interconnection customers. The audit will focus on verifying that costs charged to small interconnecting generators are accurate, properly reconciled, reasonable, and assessed in accordance with governing Interconnection Agreements and applicable regulatory standards, with particular emphasis on indirect costs allocated to small generators. The RFP requires bidders to demonstrate expertise in utility accounting, cost allocation, and forensic auditing. Questions from interested bidders must be submitted by April 24, 2026, at 4:00 p.m. local time, and completed proposals are due by May 8, 2026, at 4:00 p.m. local time via the Vendor Self Service System. The anticipated contract period is July 1, 2026 through June 30, 2028, with one optional renewal period from July 1, 2028 through June 30, 2029. Bidders must deliver a draft comprehensive report by January 31, 2027, and a final report by February 28, 2027. The Department anticipates making one award from this RFP process.

The cost proposal must be submitted as a fixed amount covering the initial contract period and will be scored using a mathematical formula where the lowest bid receives 30 points with higher bids receiving proportionally fewer points. The overall proposal evaluation utilizes a 100-point scale with Organization Qualifications and Experience weighted at 35 points, Proposed Services at 35 points, and Cost Proposal at 30 points. Bidders must disclose any business relationships with Maine's two investor-owned utilities (Central Maine Power Company and Versant Power) or their affiliates within the past ten years, or with any entity that has entered into an interconnection agreement with these utilities within the past three years, as such relationships will be evaluated for potential conflicts of interest. Bidders awarded a contract may not accept work from these utilities during the pendency of the examination and any follow-on Commission proceeding. The State will not seek or accept best and final offers, and all bidders are expected to submit their best value pricing with their initial proposal. Payment terms are net 30 upon receipt of acceptable invoices, and the State reserves the right to negotiate with the awarded bidder to finalize the contract or withdraw the award and negotiate with the next-highest ranked bidder if acceptable terms cannot be reached.

Consulting Services to Evaluate Small Generator Interconnection Costs

PART I INTRODUCTION

A. Purpose and Background

The Maine Public Utilities Commission (Department or Commission) is seeking proposals for consulting services to conduct a management audit of interconnection costs assessed by investor-owned transmission and distribution utilities to small generator interconnection customers to ensure accuracy and reasonableness as defined in this Request for Proposals (RFP) document. This document provides instructions for submitting proposals, the procedure and criteria by which the awarded Bidder will be selected, and the contractual terms which will govern the relationship between the State of Maine (State) and the awarded Bidder.

In several recent proceedings, generator customers have raised concerns with respect to T&D utilities’ assessment of interconnection costs, alleging charges contain excessive and unauthorized fees. (See, for example, Docket Nos 2025-00303, 2026-00005, 2026-00055). The Commission desires to conduct a management audit to assess whether the IOU T&D utilities have proper internal controls, accounting practices and allocation methodology to ensure costs charged to interconnecting generators are reasonable, accurate and in compliance with applicable agreements, terms and conditions and Commission rules. The primary focus of the audit will be on the assessment of “indirect costs” allocated to small interconnecting generators.

Bidders should assume that their comprehensive analysis will be detailed in a draft report due to the Commission by January 31, 2027, with a final report due by February 28, 2027.

B. General Provisions

1. From the time the RFP is issued until award notification is made, all contact with the State regarding the RFP must be made through the RFP Coordinator. No other person/ State employee is empowered to make binding statements regarding the RFP. Violation of this provision may lead to disqualification from the bidding process, at the State’s discretion.

2. Issuance of the RFP does not commit the Department to issue an award or to pay expenses incurred by a Bidder in the preparation of a response to the RFP. This includes attendance at personal interviews or other meetings and software or system demonstrations, where applicable.

3. All proposals must adhere to the instructions and format requirements outlined in the RFP and all written supplements and amendments (such as the Summary of Questions and Answers), issued by the Department. Proposals must follow the format and respond to all questions and instructions specified below in the “Proposal Submission Requirements” section of the RFP.

4. Bidders will take careful note that in evaluating a proposal submitted in response to the RFP, the Department will consider materials provided in the proposal, information obtained through interviews/presentations (if any), and internal Departmental information of previous contract history with the Bidder (if any). The Department also reserves the right to consider other reliable references and publicly available information in evaluating a Bidder’s experience and capabilities.

5. The proposal must be signed by a person authorized to legally bind the Bidder and must contain a statement that the proposal and the pricing contained therein will remain valid and binding for a period of 180 days from the date and time of the bid opening.

6. The RFP and the awarded Bidder’s proposal, including all appendices or attachments, will be the basis for the final contract, as determined by the Department.

7. Following announcement of an award decision, all submissions in response to this RFP will be public records, available for public inspection pursuant to the State of Maine Freedom of Access Act (FOAA) (1 M.R.S. § 401 et seq.). State contracts and information related to contracts, including bid submissions, are generally public records per FOAA.

8. In the event that a Bidder believes any information that it submits in response to this RFP is confidential, it must mark that information accordingly and include citation to legal authority in support of the Bidder’s claim of confidentiality. In the event that the Department receives a FOAA request that includes submissions marked as confidential, the Department shall evaluate the information and any legal authority from the Bidder to determine whether the information is an exception to FOAA’s definition of public record. If the Department determines to release information that a Bidder has marked confidential, it shall provide advance notice to the Bidder to allow for them to seek legal relief.

9. The Department, at its sole discretion, reserves the right to recognize and waive minor informalities and irregularities found in proposals received in response to the RFP.

10. If awarded a contract resulting from this RFP, vendors shall be required to disclose, in writing and in accordance with applicable Maine law, any actual or potential conflicts of interest. Such disclosure must include any financial, professional, or personal relationships that could give rise to a conflict of interest or the appearance of a conflict of interest. Failure to disclose a known conflict or appearance of conflict may result in disqualification, contract termination, or other remedies as provided by law.

11. All applicable laws, whether or not herein contained, are included by this reference. It is the Bidder’s responsibility to determine the applicability and requirements of any such laws and to abide by them.

C. Eligibility to Submit Bids

Any business relationship between a Bidder and any Maine IOU (Central Maine Power Company and Versant Power) or any of their affiliates (i.e. including but not limited to their subsidiaries) within the last ten (10) years or any entity that has entered into an interconnection agreement with any Maine IOU within the last three (3) years, including any payment made by these entities or any of their affiliates to the Bidder during these periods, must be disclosed and described in the Bidder’s proposal.

Any such relationships or transactions will be reviewed as part of the evaluation criteria described in Part V of this RFP to determine whether the relationship would constitute a conflict of interest. If the Commission determines that a conflict(s) may jeopardize the Bidder’s ability to perform the work, the proposal may be rejected in the Commission’s sole discretion. In addition, any Bidder that is awarded a contract through this RFP may not accept or perform work for these entities or any of their affiliates during the pendency of the examination and any follow-on Commission proceeding directly related to the examination.

D. Contract Term

The Department is seeking cost-efficient proposals to provide services, as defined in this RFP, for the anticipated contract period defined in the table below. The dates below are estimated and may be adjusted, as necessary, in order to comply with all procedural requirements associated with the RFP and the contracting process. The actual contract start date will be established by a completed and approved contract.

Contract Renewal: Following the initial term of the contract, the Department may opt to renew the contract for one (1) renewal period, as shown in the table below, and subject to continued availability of funding and satisfactory performance.

The term of the anticipated contract, resulting from the RFP, is defined as follows:

Period
Start Date
End Date
Initial Period of Performance
July 1, 2026
June 30, 2028
Renewal Period #1
July 1, 2028
June 30, 2029

E. Number of Awards

The Department anticipates making one (1) award as a result of this RFP process.

PART II SCOPE OF SERVICES TO BE PROVIDED

As described in Part I, the Commission seeks proposals for expert consulting services from Bidders with strong and relevant utility accounting, cost allocation and forensic auditing expertise to conduct a management audit of interconnection costs assessed by Maine’s IOU T&D utilities to small generator interconnection customers pursuant to Commission Rule Chapter 324. The primary objective is to verify that all costs charged to small interconnecting generators are accurate, properly reconciled, reasonable and assessed in accordance with the governing Interconnection Agreement (IA), applicable terms and conditions and applicable regulatory standards. The primary focus of the audit will be on the assessment of “indirect costs” allocated to small interconnecting generators.

A. Tasks

In conducting the examination described above, the awarded Bidder will be expected to perform, at minimum, the following tasks:

1. Understand and Document Methodology

i. Determine and document CMP and Versant’s methodology for estimating, documenting, determining, allocating and reconciling all interconnection costs assessed to small interconnection generators.

Explain any changes to the methodology occurring during the last three (3) years and assess the impact of such changes

ii. Assess the approach used to assign indirect costs to interconnection customers and compare it with that used by the utility for core internal business construction projects.

iii. Summarize differences between CMP’s and Versant’s methods including an explanation of any material differences in outcomes.

2. Assess Sufficiency

i. Determine if the methodology is sufficient to accurately assign costs, including indirect costs, to each project based on costs incurred and does not result in duplicative charges for the same costs.

ii. Evaluate whether the utility has proper internal controls to ensure the methodology is consistently applied.

iii. Assess whether the resulting charges are in compliance with applicable interconnection agreements, utility tariffs, and regulatory requirements.

3. Examine Indirect Charges

i. Audit the indirect costs applied to projects to ensure accuracy, is equitable and does not result in over-recovery.

ii. Confirm that direct costs (labor/materials) used to calculate overheads were actually incurred and properly attributed to the project.

iii. Verify that fixed rates, pass-through charges, and offsets or credits are correctly applied.

Assess whether the Administrative & General (A&G) services provided actually supported the interconnection work.

iv. Test for redundant staffing charges, ensuring that A&G labor is not being billed as a percentage if the same personnel are already billing time directly to the project as a direct cost.

4. Ensure overhead rates and application methods comply with the Interconnection Agreement, internal utility policies and utility tariffs.

5. Determine whether billed direct and indirect costs (including overheads) exclude unallowable costs (e.g., lobbying, certain advertising, or unrelated capital projects).

6. Assess the utilities’ cost estimation policies and procedures to determine whether they produce a reasonable estimate of interconnection costs.

7. Assess the utilities’ cost control policies and procedures to determine whether they are sufficient to adequately control interconnection costs.

8. To the extent the examination identifies miscalculation, overcharges, improper allocation, or other errors

i. Identify specific instances and provide examples

ii. Assess whether these instances are isolated or indicate that a systemic problem exists.

iii. Estimate the cumulative financial impact of the error(s) to both the utility and interconnecting generators

9. Evaluate the reconciliation process to ensure it produces an accurate and reasonable result.

Provide recommendations, if any, to correct or improve the utilities’ methodology, accounting, record keeping or internal controls necessary to ensure interconnecting generators are properly charged for costs to interconnect.

Bidders must assume that their comprehensive analysis, findings and recommendations will be detailed in a draft report due to the Commission by January 31, 2027, with a final report due February 28, 2027.

B. Performance of Work

In conducting the above audit examination, Bidders are expected to

1. Provide the Commission Staff with a workplan detailing each area of the analysis. Work with the Commission Staff to develop mutually agreeable formats and schedules for the analysis and tasks detailed above.

2. Review and evaluate relevant Dockets including 2025-00303, 2026-00005, 2026-00055.

3. Review and evaluate requirements contained in applicable interconnection agreement provisions, utility tariffs and regulatory requirements.

Review all applicable utility cost allocation policies and related internal audit reports.[footnoteRef:2] [2: For example, in Docket No. 2026-0008, CMP cites an internal audit performed to lower overheads for developers.]

4. Prepare written information requests to CMP and Versant as needed to gather all materials and information relevant to the areas detailed above.

5. Conduct interviews with utility employees, contractors, suppliers, customers and other stakeholders as necessary.

6. Communicate with the Commission Staff on a regular basis as to the analysis being conducted and the progress and content of the analysis areas and provide draft work product/deliverables for Commission Staff to review.

7. Where applicable, conduct analysis in conformance with any statutory requirements.

8. Provide independent analyses and recommendations in all areas described in this RFP to be submitted in a comprehensive report to the Commission which fully sets forth the findings and rationale for all conclusions and recommendations.

Please note that Bidders maybe required to participate in a subsequent adjudicatory Commission proceeding related to the final report including, without limitation, responding to discovery requests, filing expert testimony and evaluating responsive testimony. Bidders fixed price bid must only include the cost to conduct the analysis described in this RFP and produce the draft and final reports. Should an adjudicatory proceeding commence, the Commission will use the consultant’s hourly rates from any resulting contract, and the work will be conducted on a time and materials basis.

Evaluation of the submitted proposals will be accomplished as follows:

A. Evaluation Process – General Information

1. An evaluation team, composed of qualified reviewers, will judge the merits of the proposals received in accordance with the criteria defined in the RFP.

2. Officials responsible for making decisions on the award selection will ensure that the selection process accords equal opportunity and appropriate consideration to all who are capable of meeting the specifications. The goals of the evaluation process are to ensure fairness and objectivity in review of the proposals and to ensure that the contract is awarded to the Bidder whose proposal provides the best value to the State of Maine.

3. The Department reserves the right to communicate and/or schedule interviews/presentations with Bidders, if needed, to obtain clarification of information contained in the proposals received. The Department may revise the scores assigned in the initial evaluation to reflect those communications and/or interviews/presentations.

4. Changes to proposals, including updating or adding information, will not be permitted during any portion of the evaluation process. Therefore, Bidders must submit proposals that present their rates and other requested information as clearly and completely as possible.

B. Scoring Weights and Process

1. Scoring Weights: Proposal scores will be based on a 100-point scale and will measure the degree to which each proposal meets the following criteria. The proposal materials that will be evaluated under each section below are identified in Part IV of the RFP.

Section I.
Preliminary Information
(No Points – Eligibility Requirements)
Section II.
Organization Qualifications and Experience
35
Section III.
Proposed Services
35
Section IV.
Cost Proposal
30
Total
100

2. Scoring Process: For proposals that demonstrate meeting the eligibility requirements in Section I, if applicable, the evaluation team will use a consensus approach to evaluate and score Sections II & III above. Members of the evaluation team will not score those sections individually but, instead, will arrive at a consensus as to assignment of points for each of those sections. Section IV, the Cost Proposal, will be scored as described below.

3. Scoring the Cost Proposal: The total cost proposed for conducting all the functions specified in the RFP will be assigned a score according to a mathematical formula. The lowest bid will be awarded 30 points. Proposals with higher bid values will be awarded proportionately fewer points calculated in comparison with the lowest bid.

The scoring formula is:

(Lowest submitted cost proposal / Cost of proposal being scored) x 30 = pro-rated score

No Best and Final Offers: The State of Maine will not seek or accept a best and final offer (BAFO) from any Bidder in this procurement process. All Bidders are expected to provide their best value pricing with the submission of their proposal.

C. Negotiations

1. The Department reserves the right to negotiate with the awarded Bidder(s) to finalize a contract. Such negotiations may not significantly vary the content, nature, or requirements of the proposal or the Department’s Request for Proposal to an extent that may affect the price of goods or services requested.

2. The Department reserves the right to terminate contract negotiations with an awarded Bidder who submits a proposed contract significantly different from the proposal they submitted in response to the advertised RFP.

3. In the event that an acceptable contract cannot be negotiated with the highest ranked Bidder, the Department may withdraw its award and negotiate with the next-highest ranked Bidder, and so on, until an acceptable contract has been finalized. Alternatively, the Department may cancel the RFP, at its sole discretion.

D. Selection and Award

1. The final decision regarding the award of the contract will be made by representatives of the Department subject to approval by the State Procurement Review Committee.

2. Notification of conditional award selection or non-selection will be made in writing by the Department.

3. Issuance of the RFP in no way constitutes a commitment by the State of Maine to award a contract, to pay costs incurred in the preparation of a response to the RFP, or to pay costs incurred in procuring or contracting for services, supplies, physical space, personnel or any other costs incurred by the Bidder.

4. The Department reserves the right to reject any and all proposals or to make multiple awards.

E. Appeal of Contract Awards

Any person aggrieved by the award decision that results from the RFP may appeal the decision to the Director of the Bureau of General Services in the manner prescribed in 5 M.R.S.A. § 1825-E and 18-554 Code of Maine Rules Chapter 120. The appeal must be in writing and filed with the Director of the Bureau of General Services, 9 State House Station, Augusta, Maine, 04333-0009 within fifteen (15) calendar days of receipt of notification of conditional contract award.

PART VI CONTRACT ADMINISTRATION AND CONDITIONS

A. Contract Document

1. The awarded Bidder will be required to execute a State of Maine Service Contract with appropriate riders as determined by the issuing department.

All exceptions will be negotiated between the awarded Bidder(s) and the State. The State will not accept any proposed exceptions as part of this RFP process. The State is not obligated to accept, negotiate, or compromise of any proposed exceptions.

The complete set of standard State of Maine Service Contract documents, along with other forms and contract documents commonly used by the State, may be found on the Office of State Procurement Services’ website at the following link: Office of State Procurement Services Forms Page

2. Allocation of funds is final upon successful negotiation and execution of the contract, subject to the review and approval of the State Procurement Review Committee. Contracts are not considered fully executed and valid until approved by the State Procurement Review Committee and funds are encumbered. No contract will be approved based on an RFP which has an effective date less than fourteen (14) calendar days after award notification to Bidders. (Referenced in the regulations of the Department of Administrative and Financial Services, Chapter 110, § 3(B)(i).)

This provision means that a contract cannot be effective until at least fourteen (14) calendar days after award notification.

3. The State recognizes that the actual contract effective date depends upon completion of the RFP process, date of formal award notification, length of contract negotiation, and preparation and approval by the State Procurement Review Committee. Any appeals to the Department’s award decision(s) may further postpone the actual contract effective date, depending upon the outcome.
