LIMITED SOURCE JUSTIFICATION

FOR AN ORDER EXCEEDING

THE SIMPLIFIED ACQUISITION THRESHOLD

(AUTHORITY: FAR 8.405-6)

NEEG2200-21-00066

This acquisition is conducted under the authority of the Multiple Award Schedule Program.

1. Agency and contracting activity.

Department of Commerce, National Oceanic and Atmospheric Administration (NOAA) Acquisition and Grants Office (AGO), Satellite and Information Division (SIAD) and NOAA National Environmental Satellite, Data, and Information Service (NESDIS), Office of Satellite Ground Services (OSGS).

2. Nature and/or description of the action being approved.

This is a limited source justification for a new task order. The purpose of the task order is to provide continuity of sustainment services for the Environmental Satellite Processing and Distribution System (ESPDS). Soler’s Incorporated, who provides these services for the EPSDS has been acquired by Peraton Incorporated. Effective January 1, 2021, for any award seeking to have Solers’ institutional knowledge and capability and to be available for NOAA’s use, the contract must be awarded to Peraton’s General Service’s Administration (GSA) contract number GS-35F-6949A. For the purpose of clarity in this justification, the Contractor will be referred to as Solers in that Solers will perform as Peraton’s subsidiary. NOAA seeks to solicit and award a time and materials (T&M) task order to only one source.

The sole source: Peraton Incorporated 12975 Worldgate Drive, Suite 7322 Herndon, Virginia 20170-6008

DUNS# 602938771

3. Description of the supplies or services required to meet the agency’s needs (including the estimated value).

NOAA currently has a task order with Solers to provide sustainment services for the EPSDS which will expire January 31, 2021. Thus far, Solers has developed and integrated this system specifically for NOAA. Continuation of current sustainment services are still needed for a period of six (6) months. These sustainment services include systems engineering, project management, technical management, and business management. Once the current sustainment services are complete, future operations and maintenance of ESPDS and any future sustainment efforts will be transitioned to the Operations, Maintenance, and Sustainment (OMS) contract that it estimated to

NEEG2200-21-00066

be awarded in April 2021. The sustainment services being obtained through this Justification include:

Testing and implementing new or improved science algorithms or application capabilities, or new sub-components of an existing system

Modernizing (or refreshing) existing hardware or software

Enhancing operations by improving existing system components or capabilities

Pre Launch, Launch, and Post Launch Support for JPSS and GOES Programs

Identification of, coordination with, and integration of new data providers and consumers

Continuous support for resolution of Center for Internet Security (CIS), Tenable/ NESSUS, and Security Control Assessment (SCA) findings including security patching and adhering to NOAA Security policy directives

OSPO anomaly/emergency call-in support

Retrace requirements to new government enterprise requirements documents

Troubleshoot and resolve any issues found during operations (break fix)

CLIN Description Quantity Unit Cost 0001 Labor 1 Lot 0002 Travel 1 Lot 0003 Other Direct Costs (ODC) 1 Lot

Period of Performance: 1 February 2021 through 31 July 2021 Total Estimated Cost:

Option Periods: None.

4. Authority and supporting rationale. The following circumstance justifies limiting the source as supported below:

Only one source under the authority of FAR 8.405-6(a)(1)(i)(B) - Only one source is capable of providing the supplies or services required at the level of quality required because the supplies or services are unique or highly specialized. Solers is the only contractor who can complete the refresh and upgrade and sustainment. Once that has been completed, the operation and maintenance of the completed system can be transitioned to any replacement contractor engaged in OMS, since the new contractor will not be responsible for creating or engineering the system. Not continuing with the incumbent contractor would severely impair NOAA’s effective execution of the technology refresh effort, and increasing the risk to the future operability of the ESPDS system. A new contractor would have no experience or understanding of how to transition ESPDS operations from one ground system to another without the risk of unacceptable data loss and end user availability impact. A new contractor would substantially increase the cost of the upgrade, as the new contractor would not possess sufficient knowledge and understanding of the existing system to plan and execute an effective upgrade of its disparate hardware and software elements at the current level of funding; this increase in cost would further delay completion of the upgrade, again resulting in an unacceptable level of technical risk with respect to obsolete component failures. Consideration of any other contractor would represent an unacceptable degree of technical, schedule and cost risk to the Government.

5. Determination by the ordering activity contracting officer that the order represents the best value consistent with FAR 8.404(d).

In accordance with FAR 8.404(d), GSA has already determined rates for services offered at the hourly rates under schedule contracts to be fair and reasonable. Therefore, the Contracting Officer will only complete a price evaluation as required by FAR 8.405-2(d) and request additional discounts and price reductions before task order award, consistent with FAR 8.405-4.In order to determine that the Other Direct Costs (ODC) outlined in the Independent Government Cost Estimate (IGCE) are fair and reasonable, the program office shall provide the Contracting Officer with three (3) quotes for the ODC purchases. The Contracting Officer in addition to the Contracting Officer’s Representative (COR), will then determine if the requested ODCs are approved and in-line with the sustainment efforts required.

6. Market research conducted among schedule holders (or reason market research was not conducted).

Market research was conducted within GSA Advantage and among known industry partners, however, no contractors were found that could continue the required sustainment efforts of ESPDS without a considerable and unacceptable risk to ongoing operations.

7. Any other facts supporting the justification.

All supporting facts have been documented herein.

8. Actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for supplies and services is made.

There are no actions that the agency can currently take to remove or overcome any barriers that will lead to restricted consideration. As indicated above, the required sustainment work is a continuation of current efforts. Once those sustainment activities are complete, the operations and maintenance of ESPDS will transition to the OMS contract.

9. Technical/Requirements Representative Certification.
