CJ&A Number: 20-0031
CLASS JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity.
Naval Air Systems Command (NAVAIR) Headquarters
2. Description of the Action Being Approved.
This Class Justification and Approval (CJ&A) authorizes and approves, on a sole source basis, the issuance of contract actions under FAR Part 12 Basic Ordering Agreement (BOA) N68335-16-G-0008 to Teledyne Controls, LLC (Teledyne) in El Segundo, CA.
Authority to act under this CJ&A expires after 30 September 2020.
3. Description of Supplies/Services.
The planned contract actions will procure the following commercial items: (1) approximately eight AirFASE® (Flight Analysis and Safety Explorer) software licenses with a planned delivery date of 30-60 days after contract award; (2) software support of approximately thirteen AirFASE® and ADSQ licenses for 5 years with a planned period of performance of June 2020 – June 2025; and (3) a software modification to the ground-based AirFASE® software toolset used by NAVAIR for the determination of airframe and engine usage from flight data generated by the P-8A Poseidon aircraft with a planned period of performance of July 2020 – December 2021. The software modification must associate P-8 flight data of any age with the appropriate AirFASE® Flight Analysis Program (FAP) regardless of ACMS (Aircraft Condition Monitoring Software) version.
The estimated total value of the contract actions and associated funding by fiscal year and type is as set forth in the table below.

4. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.
DEPARTMENT OF THE NAVY
NAVAL AIR SYSTEMS COMMAND
RADM WILLIAM A. MOFFET BUILDING
47123 BUSE ROAD, BLDG 2272
PATUXENT RIVER, MD 20670-1547
CJ&A Number: 20-0031
5. Rationale Justifying Use of Cited Statutory Authority.
Teledyne is the Original Equipment Manufacturer (OEM) of AirFASE®. The AirFASE® software toolset is used by NAVAIR for the determination of airframe and engine usage from flight data generated by the P-8A Poseidon aircraft. Teledyne is also the OEM of the Multi-Function Data Acquisition Unit (MFDAU), which captures the flight data used by AirFASE®. No other tool exists that can be used with the proprietary software Teledyne installs on the MFDAU. The Government possesses neither the technical data nor the computer software to enable a source, other than Teledyne, to meet the requirements. In order to enable other sources, besides Teledyne, to compete for the requirements at hand, NAVAIR would need to: (1) conduct competitive procurements for replacements to both the MFDAU and AirFASE®; and (2) procure the production and retrofit MFDAU replacement incorporations into the P-8A aircraft. Assuming, without concluding, that this could be accomplished, pursuing such a course is estimated to take 5-7 years, resulting in unacceptable delays in fulfilling the agency’s requirements at hand, which must be fulfilled prior to P-8A engines reaching their initially estimated cycle limits planned to occur during calendar year 2021.
6. Description of Efforts Made to Solicit Offer from as Many Offerors as Practicable.
In accordance with FAR 5.201, a sources sought notice for this requirement was posted to the Federal Business Opportunities (FedBizOpps) website on 3 September 2019 and closed on 18 September 2019. Only one response was received-- a capability statement and sales quote from [REDACTED]. NAVAIR notified [REDACTED] that the information provided by [REDACTED] did not demonstrate that [REDACTED] was capable of fulfilling the requirements. [REDACTED] did not respond in objection to NAVAIR’s notification. In addition to the sources sought notice, prior to issuing each solicitation for requirements within the scope of this CJ&A, a presolicitation notice will be posted to the Government Point of Entry website. Each presolicitation notice will notify the public of NAVAIR’s intention to issue a sole source contract action to Teledyne and provide an opportunity for any interested party to submit a capability statement that NAVAIR will evaluate to determine whether or not fulfillment of the requirements will be procured competitively or procured sole source from Teledyne.
7. Determination of Fair and Reasonable Cost.
In accordance with FAR 15.402(a), the Contracting Officer shall ensure that all supplies and services are procured at a fair and reasonable price. These contract actions will be conducted in accordance with FAR Part 12 Acquisition of Commercial Items; therefore, for each contract action the Contracting Officer will use price analysis as the basis for determining a fair and reasonable price in accordance with FAR 12.209 Determination of Price Reasonableness, FAR 15.404-1(b) Price Analysis, and DFARS PGI 215.403-1(c) Prohibition on Obtaining Cost or Pricing Data. The Contracting Officer will also require the contractor to submit commercial sales data and data other than cost or pricing data in order to analyze the proposal to ensure the price is fair and reasonable. In addition, the Contracting Officer will compare the proposed price with previous Government contract prices contracted for the same or similar items once the validity of the comparison and the reasonableness of previous prices have been established. Analysis of the proposal will be performed by the Contracting Officer with the assistance of qualified technical analysts, to ensure appropriate analysis is performed.
8. Actions to Remove Barriers on Future Competition.
For the reasons set forth in Paragraph 5, NAVAIR Headquarters has no plans at this time to compete future contracts for the types of supplies/services covered by this document.
If another potential source emerges, NAVAIR Headquarters will assess whether competition for future requirements is feasible.
