This is a combined synopsis/solicitation for commercial items prepared in accordance with the format in Subpart 12.6, as supplemented with additional information included in this notice. This announcement constitutes the only solicitation; quotes are being requested and a written solicitation will not be issued.
The Request for Quotation (RFQ) number FA700025Q0053 shall be used to reference any written quote provided under this RFQ.
The RFQ document and incorporated provisions and clauses are those in effect through Federal Acquisition Circular 2025-3; Effective 17 January 2025.
This is a 100% set-aside for Service-Disabled Veteran Owned Small Business (SDVOSB).
The North American Industry Classification System (NAICS) code for this project is 611620, Other Education and Training Services with a size standard of $9M.
The Government bears no legal liability for the costs associated with preparing a quote. Vendors should not submit a quote unless they are willing to absorb all costs associated with submitting a quote.
Before submitting a quote, please read the instructions in the addenda to FAR 52.212-1, Instructions to Offerors - Commercial Items, listed below and comply with all requirements for submitting a quote. Failure to comply with all instructions contained within this synopsis/solicitation could result in the quote being ineligible for award. It is the quoter’s responsibility to ensure their quote meets all the requirements identified herein. The quotes will be evaluated IAW FAR 52.212-2, found herein.
NONPERSONAL SERVICES: This is an appropriated fund requirement for one part-time assistant men's football coaching services at the United States Air Force Academy Preparatory School. Required services consist of demonstrating practice drills, leading skill-development workouts, assisting with stretching and fundamental work, assisting with teaching team offensive and defensive concepts, assisting with teaching game situations, teaching strength training movements, assisting with pre-game activities, and in-game coaching.
Duties to be performed in accordance with Football Coach performance work statement (PWS) dated 18 Mar 2025 and Service Contract Act (SCA) Wage Determination 2015_2417 _Revision28_23 Dec 2024.
This position shall provide coaching management and administration within all aspects of a competitive National Collegiate Athletic Association (NCAA) football program resulting in a positive and beneficial intercollegiate experience for student-athletes. It is responsible for the organization and coordination of a wide variety of administrative tasks as assigned by the Head Coach, which include, but not limited to, team travel, game scheduling, budget preparation & administration, facility usage, public relations, marketing, community service and other daily operations for the Air Force Prep School Football Program.
Key areas of responsibility will include day-to-day operations under the direction of the Head Football Coach or designated appointee with an emphasis on game planning and preparation.
Prices quoted must be Firm-Fixed Price based on F.O.B Destination.

Addendum to FAR 52.212-1, Instructions to Offerors -- Commercial Items (Sep 2023):
The following words stating “offer”, “offeror”, and “proposal” are replaced with “quotation”, “vendor”, and “quote”.
Paragraph (a) first sentence revised as follows: “The NAICS code and small business size standard for this acquisition appear above.”
Paragraph (c) first sentence revised as follows: “The vendor agrees to hold the prices in its quote firm for 60 calendar days from the date specified for receipt of quotes, unless another time period is specified in an addendum to the quote.”
NOTICE TO OFFERORS: The Government reserves the right to cancel this solicitation, either before or after the closing date. In the event the Government cancels this solicitation, the Government has no obligation to reimburse a quoter for any costs.
Quotes must comply with all instructions contained IAW FAR 52.212-1 and the addenda to FAR 52.212- 1, Instructions to Offerors--Commercial Items (listed below).
1. General Instructions. To assure timely and equitable evaluation of quotes, the quoter must follow the instructions contained herein. Quoters are required to meet all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements. Failure to meet a requirement may result in a quote being ineligible for award. Quoters must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.
Quotes and contract documentation shall be provided NLT 2:00 pm Mountain Standard Time (MST), 13 June 2025 at 10 CONS/PKB. Please submit quotes to both individuals listed below by e-mail to the attention of Fenton Fitzgerald, Contracting Officer, fenton.fitzgerald.2@us.af.mil.

Please submit no more than 4 pages (2 technical and 2 past performance) in response to this request. After 2 pages, the Contracting Officer will not continue to evaluate information. One page is considered to be one side of an 8 ½” x 11” piece of paper in a minimum of 12 font, single spaced. It is the quoter’s responsibility to complete their representations and certifications at https://www.sam.gov for the quote to be eligible to be evaluated for award.

All companies must have an active registration in the System for Award Management at https://www.sam.gov to be considered for award. The Government will not provide contract financing for this acquisition. Invoice instruction shall be provided at time of award.
Late submissions: Quoters are responsible for submitting quotations so as to reach the Government office designated in the solicitation by the time specified in the solicitation. Any quotes received at the Government office designated in the solicitation after the exact time specified for receipt of quotations is late and may not be considered unless it is received before award is made and the Contracting Officer determines that accepting the late quotation would not unduly delay the acquisition.
The contractor’s quote/response shall consist of two (3) separate parts:
Part I – Price Quote Part II – Technical –Coaching Qualifications (IAW Appendix B of PWS) Part III- Past Performance

The quoter shall submit a quote identifying unit prices for each Item Number as shown below. Use the price quote table and PWS (Attachment 1) to determine price.

Part II – Technical Effort –Coaching Qualifications
Quoter shall submit coaching qualifications based on Appendix B of FB Coach PWS Dated 18Mar2025;
Limit to 2 pages for technical effort.
Part III- Past Performance
The vendor’s exclusions will be checked on sam.gov. In addition, the vendor’s supplier performance risk system (SPRS) will be assessed. Authorized representatives of the Offeror for which the assessment was conducted may access SPRS to view their own summary level scores, in accordance with the SPRS Software User’s Guide for Awardees/Contractors available at https://www.sprs.csd.disa.mil/pdf/SPRS_Awardee.pdf
Quoters shall provide only two past performance experience for similar services with description of service, points of contact, email, and phone number in the contractor’s format.
NOTE: Do not leave any of the above information blank. This information may also be used in determining responsibility. If a joint venture is contemplated, provide complete information as to the agreement. The submitted technical effort citation must have been completed by the joint venture itself or by one of the joint venture partners individually.
FAR 52.212-2, Evaluation -- Commercial Items (Nov 2021) This tailored clause takes precedence over the clause incorporated by reference.
(a) Award will be made based on the competitive quote with the best value to the Government.

(b) A written notice of award or acceptance of a quote, mailed or otherwise furnished to the successful vendor within the time for acceptance specified in the quote, shall result in a binding contract without further action by either party. Before the quote’s specified expiration time, the Government may accept a quote (or part of a quote), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award. Award will be made subject to the availability of funds.
Addendum to FAR 52.212-2 -- Evaluation -- Commercial Products and Commercial Services (Nov 2021).
1. Evaluation:
This is a competitive acquisition in accordance with FAR part 12 and part 13. The Government will submit an offer in the form of a purchase order to the quoter that represents the best value to the Government. All quotes submitted will be reviewed for completeness. Quotes that are incomplete or missing information may be considered non- responsive and excluded from the evaluation. The Government will select the awardee that represents the best value based on price, technical, and past performance. The evaluation process shall proceed as follows:
Step I – Solicitation Requirements
All quotes submitted will be reviewed for completeness to determine if they contain all information requested in the addenda to FAR 52.212-1. Quotes that are incomplete or missing information may be excluded from the evaluation.
Step II – Price Evaluation Quotes will be ranked according to total price of CLIN 0001 - CLIN 4003. The price evaluation will document the reasonableness and affordability of the proposed total price. Proposed price should be all inclusive to include labor hours, transportation, etc..
Step III – Technical Evaluation
Acceptable/Unacceptable, contractor’s must provide technical coaching qualifications. Limit 2 pages.
Technical Factor:
Rating Description Acceptable Quote meets the requirements of the solicitation.
Unacceptable Quote does not meet the requirements of the solicitation
Step IV – Past Performance
Provide past performance references for similar work accomplished. Limit 2 pages.

Defense Priorities and Allocations System (DPAS) and assigned rating do not apply to this acquisition.

FAR clause at 52.212-4, Contract Terms and Conditions -- Commercial Items (Dec 2022), applies to this acquisition with the following Addendum: Paragraph (c) of this clause is tailored as follows:
ADDENDUM 52.212-4(c) Changes in terms and conditions of this contract may be made only by written agreement of the parties with the exception of certain changes such as administrative changes including changes in paying office, appropriations data, etc. authorized by the Federal Acquisition Regulation and its supplements that may be made unilaterally by the Contracting officer (for a complete list of changes that may be made unilaterally, see FAR 43.103(b)).

ADDENDUM TO FAR 52.228-5
IAW FAR 28.307-2, Required Insurance Reference FAR Clause 52.228-5, entitled "Insurance--Work on a Government Installation", the Contractor shall, at its own expense, procure and thereafter maintain the following kinds of insurance with respect to performance under the contract.
1) Workmen's Compensation and Employers Liability Insurance as required by law that if this contract is to be performed in a State which does not require or permit private insurance, then compliance with the Statutory or administrative requirements in any such State will be satisfactory. The required Workmen's Compensation insurance shall extend to cover employer's
7 | P a g e liability for accidental bodily injury or death and for occupational disease with a minimum liability limit of $100,000.
2) General Liability Insurance. Bodily injury liability insurance, in the minimum limits of $500,000 per occurrence shall be required on the comprehensive form of policy.
3) Automobile Liability Insurance. This insurance shall be required on the comprehensive form of policy and shall provide bodily injury liability and property damage liability covering the operation of all automobiles used in connection with the performance of the contract. At least the minimum limits of $200,000 per person and $500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage shall be required.

In the performance of this contract, or lease agreement, all contractors, sub-contractors, non- Federal entities, or recipients, shall promptly report pertinent facts regarding mishaps involving reportable damage or injury to government personnel or government property damage coincident to work performed as part of the Statement of Work, that occurs on or off of an Air Force installation, in accordance with para 2.14, DAFI 91-204, Safety Investigations & Reports.
"Promptly report pertinent facts regarding mishaps involving reportable damage or injury to the DAF and to cooperate in accordance with this instruction, in any DAF investigation. WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (JAN 2023)
(a) As used in this clause- Definitions.
"Department of Defense Activity Address Code (DoDAAC)" is a six position code that uniquely identifies a unit, activity, or organization.
"Document type" means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
"Local processing office (LPO)" is the office responsible for payment certification when payment certification is done external to the entitlement system.
"Payment request" and "receiving report" are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(b) The WAWF system provides the method to electronically process Electronic invoicing.

(c) To access WAWF, the Contractor shall- WAWF access.

(d) The Contractor should follow the training instructions of the WAWF Web- WAWF training.
Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the "Web Based Training" link on the WAWF home page at https://wawf.eb.mil/
(e) Document submissions may be via web entry, WAWF methods of document submission.

(a) Contract line item(s) is/are incrementally [Contracting Officer insert after negotiations] funded. (b) For item(s) identified in paragraph (a) of this clause, the Contractor agrees to perform up to the point at which the total amount payable by the Government, including reimbursement in the event of termination of those item(s) for the Government's convenience, approximates the total amount currently allotted to the contract. The Contractor is not authorized to continue work on those item(s) beyond that point. The Government will not be obligated in any event to reimburse the Contractor in excess of the amount allotted to the contract for those item(s) regardless of anything to the contrary in the clause entitled "Termination for Convenience of the Government." As used in this clause, the total amount payable by the Government in the event of termination of applicable contract line item(s) for convenience includes costs, profit, and estimated termination settlement costs for those item(s).
(c) Notwithstanding the dates specified in the allotment schedule in paragraph (j) of this clause, the Contractor will notify the Contracting Officer in writing at least ninety days prior to the date when, in the Contractor's best judgment, the work will reach the point at which the total amount payable by the Government, including any cost for termination for convenience, will approximate 85 percent of the total amount then allotted to the contract for performance of the applicable item(s). The notification will state
(1) the estimated date when that point will be reached and (2) an estimate of additional funding, if any, needed to continue performance of applicable line items up to the next scheduled date for allotment of funds identified in paragraph (j) of this clause, or to a mutually agreed upon substitute date. The notification will also advise the Contracting Officer of the estimated amount of additional funds that will be required for the timely performance of the item(s) funded pursuant to this clause, for a subsequent period as may be specified in the allotment schedule in paragraph (j) of this clause or otherwise agreed to by the parties. If after such notification additional funds are not allotted by the date identified in the Contractor's notification, or by an agreed substitute date, the Contracting Officer will terminate any item
(s) for which additional funds have not been allotted, pursuant to the clause of this contract entitled "Termination for Convenience of the Government."
(d) When additional funds are allotted for continued performance of the contract line item(s) identified in paragraph (a) of this clause, the parties will agree as to the period of contract performance which will be covered by the funds. The provisions of paragraphs (b) through (d) of this clause will apply in like manner to the additional allotted funds and agreed substitute date, and the contract will be modified accordingly.
(e) If, solely by reason of failure of the Government to allot additional funds, by the dates indicated below, in amounts sufficient for timely performance of the contract line item(s) identified in paragraph (a) of this clause, the Contractor incurs additional costs or is delayed in the performance of the work under this contract and if additional funds are allotted, an equitable adjustment will be made in the price or prices (including appropriate target, billing, and ceiling prices where applicable) of the item(s), or in the time of delivery, or both. Failure to agree to any such equitable adjustment hereunder will be a dispute concerning a question of fact within the meaning of the clause entitled "Disputes."
(f) The Government may at any time prior to termination allot additional funds for the performance of the contract line item(s) identified in paragraph (a) of this clause.
(g) The termination provisions of this clause do not limit the rights of the Government under the clause entitled "Default." The provisions of this clause are limited to the work and allotment of funds for the contract line item(s) set forth in paragraph (a) of this clause. This clause no longer applies once the contract is fully funded except with regard to the rights or obligations of the parties concerning equitable adjustments negotiated under paragraphs (d) and (e) of this clause.
(h) Nothing in this clause affects the right of the Government to terminate this contract pursuant to the clause of this contract entitled "Termination for Convenience of the Government."
(i) Nothing in this clause shall be construed as authorization of voluntary services whose acceptance is otherwise prohibited under 31 U.S.C. 1342.

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(a) This clause does not apply to the unrestricted portion of a partial set-aside.
(b) , as used in this clause, means a first-tier subcontractor, Definition. Similarly situated entity including an independent contractor, that-
(1) Has the same small business program status as that which qualified the prime contractor for the award ( , for a small business set-aside contract, any small business concern, without regard to its e.g.
socioeconomic status); and
(2) Is considered small for the size standard under the North American Industry Classification System (NAICS) code the prime contractor assigned to the subcontract.
(c) This clause applies only to-Applicability.
(1) Contracts that have been set aside for any of the small business concerns identified in 19.000(a)(3);
(2) Part or parts of a multiple-award contract that have been set aside for any of the small business concerns identified in 19.000(a)(3);
(3) Contracts that have been awarded on a sole-source basis in accordance with subparts 19.8, 19.13, 19.14, and 19.15;

(e) By submission of an offer and execution of a contract, the Limitations on subcontracting.
Contractor agrees that in performance of a contract assigned a North American Industry Classification System (NAICS) code for-
(1) Services (except construction), it will not pay more than 50 percent of the amount paid by the Government for contract performance to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 50 percent subcontract amount that cannot be exceeded. When a contract includes both services and supplies, the 50 percent limitation shall apply only to the service portion of the contract;
(2) Supplies (other than procurement from a nonmanufacturer of such supplies), it will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 50 percent subcontract amount that cannot be exceeded. When a contract includes both supplies and services, the 50 percent limitation shall apply only to the supply portion of the contract;
(3) General construction, it will not pay more than 85 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 85 percent subcontract amount that cannot be exceeded; or
(4) Construction by special trade contractors, it will not pay more than 75 percent of the amount paid by the Government for contract performance, excluding the cost of materials, to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor's 75 percent subcontract amount that cannot be exceeded.
(f) The Contractor shall comply with the limitations on subcontracting as follows:
(1) For contracts, in accordance with paragraphs (c)(1), (2), (3) and (6) of this clause-

Work performed by the small business protégé in the joint venture must be more than administrative functions.
(2) In an 8(a) joint venture, the 8(a) participant(s) shall perform at least 40 percent of the work performed by the joint venture. Work performed by the 8(a) participants in the joint venture must be more than administrative functions.

(a) . As used in this clause-Definitions
Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.
Small business concern-
(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in its field of operation, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (d) of this clause.
(2) , as used in this definition, means business concerns, one of whom directly or indirectly Affiliates controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.
(b) If the Contractor represented that it was any of the small business concerns identified in 19.000(a)
(3) prior to award of this contract, the Contractor shall rerepresent its size and socioeconomic status according to paragraph (f) of this clause or, if applicable, paragraph (h) of this clause, upon occurrence of any of the following:
(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.
(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.
(3) For long-term contracts-
(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and

(d) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code(s) assigned to this contract.
