Pierce County Elections Ballot Sorting System Contract
This is a Pierce County Service Agreement template document for establishing a professional services contract between Pierce County and a qualified contractor to provide an election ballot mail sorting system for the County Auditor's Office. The contract establishes a framework for service delivery with an initial contract funding amount to be determined and specified on the cover page. The agreement permits Pierce County to extend the contract for additional periods based on funding availability, continued service need, and satisfactory contractor performance, with extension notifications required prior to expiration. The contract term options include provisions for renewal at the County's discretion for up to five years, automatic renewal for additional 12-month terms unless either party provides 30 days' notice of non-renewal, discretionary extension at no additional cost, or no extension capability, depending on which option is selected by Pierce County.
The compensation structure is based on satisfactory performance as outlined in the Statement of Work, with payment terms defined in Exhibit B and contingent upon receipt of funds from Pierce County, state government, federal government, or other sources. The County will not reimburse costs incurred prior to the contract start date or any work performed after suspension or termination orders. Direct labor rates, overhead allowances, and professional fees are subject to adjustment no more than once every 12 months, with increases limited to the Consumer Price Index change for the Seattle-Tacoma-Bellevue Metropolitan Statistical Area, capped at five percent annually. Invoicing occurs monthly or upon milestone completion, with payment issued within 30 days of receipt of properly completed invoices. The contractor must maintain comprehensive insurance coverage including commercial general liability of $1,000,000 per occurrence, workers compensation as required by Washington state law, professional liability of $1,000,000 per occurrence, and cyber liability of $2,000,000 per occurrence. For work involving prevailing wages under RCW 39.12, the contractor must file Intent to Pay Prevailing Wage forms with the Washington Department of Labor and Industries and maintain certified payroll records for three years. The contractor is responsible for compliance with all applicable federal, state, and local laws, including non-discrimination requirements, public records obligations, and data security measures.

This requirement does not apply, however, to a religious corporation, association, or educational institution with respect to the employment of individuals of a particular religion to perform work connected with the operation of such corporation, association, or educational institution, in pursuit of its activities.
21.2.2. Contractor will, in all solicitations or advertisements for employees placed by or on behalf of Contractor, state that all qualified applicants will receive consideration for employment without regard to race, color, religion, creed, national origin, sex, sexual orientation, age, marital status, veteran status, or the presence of any sensory, mental, or physical disability, genetic information, or the use of a trained guide dog or service animal by a disabled person. For newspaper advertisements, Contractor may state that Contractor is an Equal Opportunity Employer, instead of using the longer qualification.
21.2.3. Contractor will not, on the basis of race, color, religion, creed, national origin, sex, age, disability, sexual orientation, marital status, or veteran status:
21.2.3.1. Deny an eligible individual any services or other benefits provided under this Agreement, or any subcontracts awarded pursuant to this Agreement.

Contractor agrees to promptly cooperate with any search for and production of records in response to a Public Records Request, including records held by Contractor.

Such right of recapture shall exist for a period not to exceed one (1) year following Agreement termination or Agreement completion.
