About this file
This is a Justification and Approval for Exception to Fair Opportunity Memo from the Department of Veterans Affairs, Network Contracting Office (NCO) 21, on behalf of the VA Southern Nevada Healthcare System (VASNHCS) in Las Vegas, Nevada.
The document justifies a sole-source award to Thundercat Technology LLC for the replacement and installation of an Audio Visual (A/V) system in the Education Department at VASNHCS. The requirement involves providing a "turnkey" solution for complete removal of antiquated A/V support systems from seven classrooms and installation of new equipment that allows individual and/or combined usage across rooms. The work will be performed via a firm fixed price delivery order under Thundercat Technology's Solutions for Enterprise-Wide Procurement (SEWP) contract NNG15SD26B, with an estimated one-year period of performance. The total estimated value is redacted in the document. The justification cites FAR 16.505(b)(2)(i)(B) as the statutory authority, asserting that Thundercat Technology is the only qualified awardee because the new A/V system must integrate with Thundercat's existing proprietary programming, current service agreement, and Emergency Notification System already in place at the facility. Any alternative vendor would require costly overhaul of these systems, creating unnecessary financial burden on the Government. The Contracting Officer conducted market research across multiple databases and resources including SAM.gov, NASA SEWP, GSA Advantage, ADDS UP, and SBA.gov, which yielded no alternative sources capable of meeting requirements. The acquisition will be synopsized at award with the justification made publicly available per FAR requirements.

DEPARTMENT OF VETERANS AFFAIRS
Justification and Approval
For
Exception to Fair Opportunity Memo
Acquisition Plan Action ID: 36C261-26-AP-2757
JOFOC TRACKER ID: FY26 - NCO 21 - 1007
1. Contracting Activity: Department of Veterans Affairs, Network Contracting Office (NCO) 21, on behalf of Veterans Integrated Service Network (VISN) 21, VA Southern Nevada Healthcare System (VASNHCS) located at 6900 N Pecos Rd, Las Vegas, NV 89086.
2237: 593-26-2-163-0012
2. Description of Action: This is a sole source requirement for the replacement of the Education
Department’s Audio Visual (A/V) system at the VASNHCS. It is proposed to sole source this action to
Thundercat Technology LLC in a firm fixed price delivery order via their Solutions for Enterprise-
Wide Procurement (SEWP) contract NNG15SD26B, the replacement and installation of equipment is estimated to have a Period of Performance of one year.
3. Description of Supplies or Services: The proposed action is to provide VASNHCS a “turnkey” solution for the purchase and installation of a new A/V support system for each room located withing the
Education Services department. This contract will provide a complete removal of the antiquated
Education A/V support systems in a total of seven (7) classrooms and installation of a new A/V support system that provides individual and/or combined usage amongst each room.
This action is being treated as a sole source requirement due to Thundercat Technology’s incumbency on the facility’s electrical systems that this requirement would need to be integrated into. The equipment and install work independently could be completed by a variety of firms, however any new firm would likely need to overhaul the incumbent’s proprietary programming, current service agreement, and Emergency Notification System; which would result in an unnecessary financial burden on the Government.
The total estimated value of the proposed action is
4. Statutory Authority: The statutory authority permitting an exception to fair opportunity is Section
41 U.S.C. 4106(c) as implemented by the Federal Acquisition Regulation (FAR) 16.505(b)(2)(i):
( ) FAR 16.505(b)(2)(i)(A): The agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays.
(X ) FAR 16.505(b)(2)(i)(B): Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized.
Effective Date: 12/30/2025 Page 2 of 3
Acquisition ID#:
( ) FAR 16.505(b)(2)(i)(C): The order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order.
( ) FAR 16.505(b)(2)(i)(D): It is necessary to place an order to satisfy a minimum guarantee.
( ) FAR 16.505(b)(2)(i)(E): For orders exceeding the simplified acquisition threshold, a statute expressly authorizes or requires that the purchase be made from a specified source”. The statutory authority permitting an exception to fair opportunity for this action is 38 U.S.C. 8127(c), known as the Veterans First Contracting Program which provides the authority to directly contract with a
Service-Disabled Veteran-Owned Small Business (SDVOSB) or a Veteran-Owned Small Business
(VOSB).
5. Rationale Supporting Use of Authority Cited Above: Thundercat Technology LLC is the incumbent on two (2) delivery orders related to Information Technology (IT) infrastructure at VASNHCS:
NNG15SD26B 36C26126F0029 is a main IT infrastructure Service Maintenance Agreement, and
NNG15SD26B 36C26125F0392 is the Digital Signage order that covers the “AppSpace/Brightsign” equipment. The Education Department’s required A/V overhaul must be integrated into the current system(s) and infrastructure. Much of the programming in these systems is proprietary in nature to
Thundercat Technology LLC, and the two contracts have a cumulative total value of that would be in jeopardy of nullification if another vendor was awarded this requirement. The costs associated with selecting another vendor would be imprudent and burdensome to the Government.
As stated, independently, procuring and installing new A/V equipment could be completed by any number of vendors; but the nature of the current incumbency of related systems at VASNHCS necessitates a sole source delivery order to Thundercat Technology LLC. The Contracting Officer (CO) recommends this sole source IAW FAR 16.505(b)(2)(i)(B).
6. Efforts to Obtain Competition: Market research was conducted, details of which are in the market research section of this document. This effort did not yield any additional sources that can meet the
Government’s requirements. There is no competition anticipated for this acquisition. In accordance with FAR 5.301 and 16.505(b)(2), this action will be synopsized at award and the justification will be made publicly available.
7. Actions to Increase Competition: The Government will continue to conduct market research to ascertain if there are changes in the marketplace that would enable future actions to be competed.
8. Market Research: The CO reviewed several databases and Government resources, including: The
Supply Chain Master Catalogue (SCMC), System for Award Management (SAM), the General Services
Administration’s (GSA) advantage, the National Aeronautics and Space Administration’s (NASA) SEWP, ADDS UP, and the Small Business Administration’s (SBA) SBA.gov. The CO also exchanged email correspondence on 04/02/2026 with a Point of Contact from Thundercat Technology LLC, confirming that their SEWP contract can be utilized for this requirement.
