Each project will be awarded as a separate task order with individually negotiated scope of work, fee estimates, schedules, and project team organization.

Pricing will be based on hourly labor rates submitted by respondents for core team members including Principal, Project Manager, Project Engineer, CAD Technicians, and Clerical/Administrative staff. The total estimated value of engineering services under all on-call agreements is approximately $3,000,000 shared among awarded consultants. Proposed fee rates shall not increase more than 3% per calendar year, and respondents must submit rate schedules for calendar years 2026, 2027, 2028, and 2029. Responses will be evaluated on a 100-point scale based on proposal completeness and quality, technical approach and methodology, project team qualifications and resumes, project management skills and tools, relevant project experience, fee schedule rates, and compliance with insurance requirements. Small Business Enterprises and Local Business Enterprises submitting as prime consultants receive three additional points (six points if both designations apply), while subcontractor participation from SBEs or LBEs qualifies for one additional point if at least 30% of total compensation is allocated to such subcontractors. Respondents must meet prevailing wage requirements under California Labor Code, obtain current California Department of Industrial Relations registration, maintain commercial general liability insurance of $2,000,000, business automobile liability of $2,000,000, workers' compensation of $1,000,000, and professional liability of $2,000,000, and be prepared to provide financial statements upon request.

1. Introduction

1.1. Summary

West Basin is a public agency that provides imported and recycled drinking water to 17 cities and nearly one million people in the coastal Los Angeles area. West Basin is member agency of the Metropolitan Water District of Southern California. West Basin is an internationally recognized expert in water recycling, conservation, water education, and water resource management.

Proposals from Professional qualified engineering consulting firms (Consultant) are being accepted by West Basin Municipal Water District (West Basin), a Municipal Water

District, for On-Call Professional Engineering Services. The Consultant will provide professional design and consulting services to support the West Basin Engineering and

Operations Departments on an as-needed basis for various New Infrastructure, Rehabilitation and Replacement (R&R), Planning, Customer Development Projects, Production, and Operations Support.

As an overview, the projects may consist of, but are not limited to, the following:

• Hydraulic modeling of West Basin’s distribution systems;

• Engineering evaluations and improvement studies;

• Planning and design of water, recycled water, and wastewater treatment related capital facility improvements;

• Water quality studies and evaluations;

• Engineering services during construction;

• Geotechnical and Environmental work;

• Rehabilitation and Replacement evaluations;

• Asset Management support and evaluations;

Agreement is included in Exhibit B.

1.2. Background

West Basin utilizes on-call engineering services to deliver Capital Improvement, R&R, Customer Development, and Operations Support projects in a cost efficient and effective manner. The existing on-call engineering services agreements will expire in the summer of 2026; therefore, new professional services agreements will be needed.

West Basin’s mission is providing a safe and reliable supply of high-quality water to its customers. West Basin has identified numerous Capital Improvement, R&R, and operation support projects scheduled for completion in the next three years. It is estimated that the total value of engineering services rendered under the on-call agreements will be approximately $3,000,000 to be shared amongst the on-call consultants.

It is anticipated that up to five (5) separate Engineering Firms (Consultants) will be awarded with an Agreement to provide on-call engineering services on a task order basis to help implement these various projects. The term of this new on-call Agreement will be in effect through June 30, 2029.

Each project will be awarded within the Agreement as a task order. Each task order shall be negotiated separately and be awarded as a task order, complete with a scope of work, fee estimate, schedule, and project team organization chart, on an as-needed basis. The Consultant must provide a task order proposal in response to each solicitation from the West Basin project manager. Failure to provide proposals may result in the Consultant being found to be in breach of the Agreement.

Task orders under the on-call agreements will be issued as follows:

• West Basin will provide a scope of work for the task order to each Consultant.

• Consultants will submit abbreviated proposals for each task order to identify the fee estimate, design/engineering technical approach, design/engineering team members, Consultant qualifications, design/project schedule, and number of deliverables.

• Fee estimates shall include hourly labor rates for each proposed team member;

subtotals and totals for labor, other direct costs (ODCs), and sub-consultant costs by task; and total costs for each project.

• Task orders will be awarded to a Consultant based on evaluations of proposals for completeness, qualifications, and best value.

• Consultant shall not proceed with the task until West Basin issues a Task Order

Release.

• West Basin reserves the right to negotiate the fee for each task order with the

Consultant.

• With respect to Task(s) and depending on the size of a specific project, West

Basin reserves the right to waive certain sub-tasks mentioned in Section within the Scope of Work and Services (Exhibit A).

• With respect to Design Task(s), and depending on the size of a specific project, West Basin reserves right to request a comprehensive preliminary design report that outlines studies, agencies, permitting and easement requirements, geotechnical investigations, recommendations regarding design and construction constraints, and the design and construction schedule.

• Consultant’s fee schedule. Rate schedules included in the Respondent’s proposal shall serve as the basis for fee estimates in each task order proposal.

2. Scope of Work

2.1. Scope of Work

The specific Scope of Services requested by West Basin will vary by task order, but will generally include one or more of the following: hydraulic modeling of West Basin’s distribution systems, planning, design of recycled water and wastewater treatment https://teams.microsoft.com/meet/248057647700801?p=rBrZc7H3LdRUfxNF71 https://teams.microsoft.com/meet/248057647700801?p=rBrZc7H3LdRUfxNF71 related capital improvement projects, permits, water quality evaluation, technical engineering, feasibility studies, environmental assessment, geotechnical assessments, recycled water treatment, capital facility improvements, engineering (civil, mechanical, electrical, traffic, chemical, etc. as applicable for task), rehabilitation and replacement related assessments, asset management, surveying, easement assessment, property appraisal, I&C support services, membrane monitoring, membrane optimization, cost estimations, operations support, and engineering services during construction.

West Basin will solicit abbreviated proposals for each task order from the Consultants selected to provide on-call services. Task orders will be reviewed and awarded based the prescribed task but typically include professional qualifications of key personnel;

respondent qualifications, capabilities and specific project experience; technical approach and methodology; fee proposal; and completeness and quality of the proposal.

3. General Proposal Information

A. Respondents are encouraged to carefully review this RFP in its entirety prior to preparation of their Proposals.

B. All Proposals submitted will become the property of West Basin.

C. Respondent may modify or amend its Proposal only if West Basin receives the amendment prior to the deadline stated herein for receiving Proposals.

D. A Proposal may be considered non-responsive if conditional, incomplete, or if it contains alterations of form, additions not called for, or other irregularities that may constitute a material change to the Proposal.

E. Proposal Validity – Proposals must be valid for a period of at least 12 Months from the closing date and time of this solicitation. Proposals may not be withdrawn after the submission date.

F. Pre-Contractual Expenses – West Basin shall not, under any circumstance, be liable for any pre-contractual expenses incurred by Respondents in the preparation of their Proposals. Respondents shall not include any such expenses as part of their Proposals. Pre-contractual expenses are defined as expenses incurred by the Respondent in preparing its Proposal in response to this solicitation; submitting that Proposal to West Basin; negotiating with West

Basin any matter related to the Proposal; and, any other expenses incurred by the Respondent prior to the date of award and execution of an Agreement.

G. Right to Audit – Following execution of an agreement and for a period of three years following the completion of the services, West Basin will have the right to audit the successful Respondent’s (Awardee’s) invoices and all supporting documentation generated in performance of services under the agreement

H. Confidentiality – Confidentiality of Proposals is subject to the following:

o West Basin is subject to the Public Records Act, California Government Code

Section 6250 et. seq. As such, all required submittal information is subject to disclosure to the general public.

o Respondent may provide supplemental information exempt from public disclosure under Gov. Code § 6254, including “trade secrets” under Evidence

Code § 1060. Such supplemental information shall not be material to the required submittal information and West Basin shall be under no obligation to consider such supplemental information in its evaluation.

o If submitting confidential, supplemental information, such information shall be clearly marked "Confidential." Upon completion of its evaluation, West Basin will delete any confidential, supplemental information submitted.

I. West Basin reserves the right to:

o Reject any or all Proposals;

o Select the Proposal most advantageous to West Basin;

o Verify all information submitted in the Proposal;

o Withdraw this solicitation at any time without prior notice and furthermore, makes no representations that any contract will be awarded to any

Respondent responding to this solicitation;

o Award its total requirements to one Respondent or to apportion those requirements among two or more Respondents as West Basin may deem to be in its best interests;

o Negotiate the final contract with any Respondent(s) as necessary to serve the best interests of West Basin;

o Amend this solicitation;

o Amend the final contract to incorporate necessary attachments and exhibits or to reflect negotiations between West Basin and the successful

Respondent.

4. Prevailing Wage and Labor Compliance Requirements

Certain labor categories under this Project may be subject to prevailing wages as identified in the State of California Labor Code commencing at sections 1720 et seq.

and 1770 et seq. If applicable, employees working in these categories at the site must be paid not less than the basic hourly rates of pay and fringe benefits established by the

California Department of Industrial Relations (“DIR”). Copies of the State of California wage schedules are available for review at www.dir.ca.gov/dlsr/. In addition, a copy of the prevailing rate of per diem wages will be made available at the District’s office upon request. The successful Respondent shall post a copy of the prevailing wage rates at each job site. It shall be mandatory upon the Respondent to whom the contract is awarded, and upon any subcontractors, to comply with all Labor Code provisions, which include but are not limited to the payment of not less than the said specified prevailing wage rates to all workers employed by them in the execution of the Contract, employment of apprentices, hours of labor and debarment of contractors and subcontractors.

Pursuant to Labor Code sections 1725.5 and 1771.1, all contractors and subcontractors that wish to bid on, be listed in a bid proposal, or enter into a contract to perform public work must be registered with the DIR. No Proposal will be accepted nor any contract entered into without proof of the Respondent and subcontractors’ current registration with the DIR to perform public work. If awarded a contract, the Respondent and its subcontractors, of any tier, shall maintain active registration with the DIR for the duration of the project. The contract awarded pursuant to this proposal may also be subject to compliance monitoring and enforcement by the DIR.

The complete Labor Compliance and Prevailing Wage Requirements are listed in the

Sample Agreement, included in the Attachments.

5. Respondents Questions, Requests for Clarification and Exceptions

In the event that the Respondent has any questions or requests for clarification, the

Respondent should notify West Basin with their concerns no later than the date and time noted in the timeline. Questions and Requests for Clarification must be submitted by this date through the OpenGov Question and Answer Module.

West Basin will respond to questions and requests for clarifications and exceptions via the OpenGov Question and Answer Module.

6. Small and Local Business Enterprise Program

6.1. Small and Local Business Enterprise

The District encourages the utilization of small and local businesses. To promote the participation of Small and Local Business Enterprises in the competitive Solicitation https://procurement.opengov.com/portal/westbasin/projects/252023/document?section=2411421 process, the District has established a program that provides incentives to encourage small and local Vendors to participate in District Solicitations

6.2. Definition of Terms - The following definitions shall apply:

A. Local Business Enterprise (LBE) - To be considered as a local business enterprise, a firm must provide evidence, in the form of a business license, that the firm is located at a fixed commercial or residential address where administrative, clerical, professional or other productive work is performed relative to its commercial purpose. The firm must be located either within the

District’s service area or within 25 miles of the District’s Carson headquarters for a minimum of one year. Click HERE to verify your firm's Local status.

B. Small Business Enterprise (SBE) - To be considered as a Small Business

Enterprise and to encourage maximum participation, the District will accept a

Vendor that meets and is certified to the federal U.S. Small Business

Administration (SBA) size standards or the SBE standards set by the California

Department of General Services (DGS). In addition, the District will accept a

Vendor’s self-certification of any local agency within the State of California. All certifications are subject to verification.

6.3. Verification

To qualify as a Small and/or Local Business Enterprise, the Respondent must provide verification of their Business Enterprise status in the Proposal Response Section of this

RFP.

6.4. Evaluation Scoring

All Formal and Informal Proposals for Professional Services will be evaluated on a 100-point scale. A value of three (3) additional points will be added to the evaluation scores of SBE or LBE participants who propose as Prime Consultants on Professional Services

Agreements. If the participant is both a SBE and LBE, the Vendor will be awarded six

(6) points.

If a Prime Consultant includes a SBE or LBE as a Sub(s)in its Proposal, the District will award one (1) point for participation from SBE and/or LBE Sub(s) only if at least 30% of the total compensation paid by the District under the terms of the contract are allocated to and received by the SBE an/or LBE Sub(s).

In the event the proposed Services will be evaluated on a price basis only, the price

Proposals of SBE or LBE will be reduced by 3% (6% if both SBE & LBE) based on the percentage of SBE or LBE participation consistent with the policy described in the paragraph above. If, after this adjustment, the SBE or LBE is determined to be the most competitive price Proposal, the actual Contract amount will be the amount originally proposed.

7. Selection Process

For the selection of this on-call consultant solicitation, a panel comprised of West Basin staff, and an outside panelist will review the proposals and consider the following factors to select the most qualified Respondent:

• Proposal Completeness & Quality

• Technical Approach, Understanding, and Methodology

• Project Team, Manager, Resumes and References. Professional Qualifications of Key Personnel. Experience of key personnel relevant to recycled water system improvement design, studies, planning, modeling, optimization, and engineering administration. Emphasis is placed on the experience and capabilities of the proposed Project Manager.

• Project Management Skills & Tools, including cost controls, project schedule control, and project quality on previous projects.

• Project Experience. Emphasis in the various areas described on the RFP (e.g., hydraulic modeling, planning, design, studies, membrane monitoring and optimization, asset management, permits, etc.)

• Rate schedule, including individual labor rates and subconsultants

• Compliance with Insurance Requirements

• Willingness to Provide Financial Information

• Proposal Acceptance

• Interview (for shortlisted)

• SBE/LBE Qualification

Based on review of the proposals, a short list of Respondents may be selected to participate in an interview / presentation. Short-listed Respondents must be prepared to give their presentation as soon as five (5) business days following West Basin's request.

The interview / presentation will afford the Respondent an opportunity to present the key personnel assigned to the engagement and discuss their qualifications. The selection panel may ask questions about the Respondent’s written Proposal and other issues related to their proposed Scope of Services. Presentations will be evaluated and a successful Respondent will be selected for recommendation of contract award. The selection panel will recommend the firm that provides the best overall value to West

Basin. Contract award is subject to the approval of West Basin’s Board of Directors.

By submitting responses to this solicitation, respondents understand and agree that

West Basin may award a contract to a firm whose approach exceeds or varies from the requirements listed. West Basin will be the sole judge of which proposal best satisfies its needs of West Basin.

Negotiations regarding agreement terms, conditions, scope of services, and pricing may or may not be conducted with the selected Respondent. Therefore, Proposals submitted should represent the Respondent’s most favorable terms and offering, since the selection and award may be made without discussion with any Respondent. If West

Basin engages the Respondent in negotiations and satisfactory agreement provisions cannot be reached, then negotiations may be terminated. West Basin may elect to contact another firm submitting a proposal. This sequence may continue until an agreement is reached.

9. Sample Agreement and Insurance Requirements

A Sample Agreement has been attached for your review. This agreement is representative of the agreement that will be executed upon award to the successful Respondent. Submission of your proposal in response to this solicitation constitutes your acceptance of all terms and conditions set forth in this sample agreement, provided that a proposer may state exceptions to terms and conditions with its proposal, and provided further that exceptions to terms and conditions not included with a proposal shall, at the District’s option, be deemed waived.

The successful Respondent shall procure and maintain, for the duration of the agreement insurance against claims for injuries to persons or damages to property arising from or in connection with the performance of the work performed. The successful Respondent shall provide the following coverage:

Prior to the start of work, the successful Respondent shall provide evidence of insurance from an insurer(s) certifying to the coverage, including an endorsement naming West Basin as an additional insured. For a complete description of the insurance requirements, please see Section 14 of the

Sample Agreement.

10. Proposal Response Instructions

A. Submittal

1. Respondent shall submit their proposal ONLINE through the e-procurement system.

2. Proposals are due BEFORE 2:00 pm, Tuesday, July 14, 2026. The E-

Procurement System will block submittal attempts after the deadline. To be clear – 2:00 PM IS LATE. THERE ARE NO EXCEPTIONS.

B. Response Requirements

1. The information requested below will be used to evaluate the Respondent’s

Proposal. Respondents may be deemed non-responsive if they do not respond to all items under Section 11.

2. Proposals must be prepared simply and economically, providing a straightforward, concise description of methodology and approach to satisfy the requirements of this solicitation. Emphasis should be on completeness and clarity of content with sufficient detail to allow for accurate evaluation and comparative analysis.

3. Respondent’s Proposal shall be clear, concise, accurate, and comprehensive. Excessive or irrelevant materials will not be favorably received.

4. For the sake of efficient review, please restrict the Proposal to a total not-to-exceed limit of 30 one-sided 8½ by 11 pages including charts, rate schedules, design write-up, graphics, forms, pictures, etc. The 30-page limit does not include the front or back cover.

11. Proposal Response

11.1. Proposal Response*

• Executive Summary Letter

This letter shall be a brief formal letter from Respondent that provides information regarding the firm and its ability to perform the requirements of this solicitation. This letter must include the following information: complete legal company name (as it should appear in a contract), address, contact person, telephone number, and e-mail address. This letter shall identify all materials and enclosures being forwarded in response to this solicitation. The letter must be signed by an individual authorized to bind the proposing entity or by the two corporate officers authorized to bind the proposing entity, as set forth in the California Corporations Code. A proposal submission with an unsigned Executive Summary Letter may result in the proposal being considered non-responsive.

• Qualifications, Capabilities, and Experience

Respondent shall provide a brief discussion of its qualifications and capabilities to perform work similar in nature to the services requested herein. Respondent shall provide a brief discussion of its previous experience with engagements that are the same or similar in nature to the services requested herein. In addition, fill out Attachment C and upload it accordingly to include your company's and subconsultants' core skill expertise areas as they relate to the scope of work.

Respondents shall provide information regarding their team ability and capability to respond to any potential task described in Attachment A as part of this on-call services.

• Key Personnel

Respondent shall provide the names, resumes, office location, and a statement of qualifications of key personnel who are expected to be assigned to this project and shall identify their specific responsibilities. Project team (consultant and subconsultant) descriptions should include California Professional Registrations, and the areas of expertise each team member will be responsible for.

In addition, Respondent shall submit a complete list of all subconsultants they intend to utilize in the provision of services requested in this solicitation. Prevailing wages shall be paid to any subconsultant who provides labor on the project for which a prevailing wage classification has been established by the State of California Department of Industrial Relations. The District reserves the right to request copies of certified payrolls and any other documentation necessary to verify payment of prevailing wages and fringe benefits from subconsultants at any tier, in accordance with the California Labor Code. Add the corresponding resumes as attachments; please label them as Resumes.

• Technical Approach and Methodology

Respondent shall provide a discussion of ways to maximize benefits or services to West Basin, as well as discuss objectives, recommendations and solutions. Respondents are encouraged to identify and recommend any improvements/ enhancements for the proposed service, as well as highlight any other issues Respondent deems appropriate. Describe how the consultant intends to utilize its subconsultants. Emphasis should be placed on the Respondent’s project management approach, tools, communication, Earned Value Analysis (EVA) and QA/QC procedures as they apply to wastewater treatment design projects.

• References

Respondent shall provide a minimum of three (3) references from different clients for engagements performed in the last five (5) years, where the services provided were of the same or similar nature to the services requested herein.

Respondent’s Reference Information should include:

o Client’s name, contact person, contact person’s responsibility and relationship to the project, address, telephone number, and e-mail address o A description of the type and extent of the services provided by Respondent to the client o Names of key personnel on Respondent’s team that participated in named projects and their specific responsibilities o Completion dates (estimated, if not yet completed) o Total fees received (or projected)

11.2. Fee Schedule*

Consultant shall identify the standard core team members that would serve as Principal, Project Manager, Project Engineer, Cad Technicians, and Clerk Administrative. Should more than one position/classification fall under the core standard team structure, the

Consultant should allocate them accordingly. The information of supportive classifications that are part of the team but that do not necessarily fall under the standard core team should still be provided

Consultant’s fee rates shall take effect upon execution of the contract and shall be limited to a maximum increase of 3% per calendar year for the duration of the contract for in subsequent years. The Consultant shall include a rate schedule for calendar years 2026, 2027, 2028, and 2029 in its proposal. These rate schedules shall be incorporated into the contract documents and remain in effect for the term of the contract. The rate schedules included in the Respondent’s proposal shall serve as the basis for fee estimates in each task order proposal. While the specific scope of work for each task order will vary, the hourly rates included in this Price Proposal will remain in effect for the term of this Agreement.
