B.1 BRIEF PROJECT TITLE AND WORK DESCRIPTION (AUG 2011)

(a) The title of this project is: Digital Instrumentation and Control - Technical Engineering Services

(b) Summary work description:

The objective of this project is to obtain high quality professional engineering and scientific services from the Contractor to perform an independent technical peer review of the research information letter (RIL)-1101, and to perform follow-up activities as a result of the peer review findings. The project seeks knowledge from multiple experts in different disciplines and diverse perspectives.

B.2 CONSIDERATION AND OBLIGATION--COST-PLUS-FIXED-FEE (AUG 2011) ALTERNATE I (AUG 2011)

(a) The total estimated cost to the Government for full performance of this contract is $ TBD , of which the sum of $ TBD represents the estimated reimbursable costs, and of which $ TBD represents the fixed-fee.

(b) There shall be no adjustment in the amount of the Contractor's fixed fee.

(c) The amount currently obligated by the Government with respect to this contract is $ TBD , of which the sum of $ TBD represents the estimated reimbursable costs, and of which $ TBD represents the fixed-fee.

(d) It is estimated that the amount currently obligated will cover performance through TBD.

(e) This is an incrementally-funded contract and FAR 52.232-22 - "Limitation of Funds" applies.

(f) In accordance with FAR 52.216-8 - Fixed Fee, it is the policy of the NRC to withhold payment of fee after payment of 85 percent of the fee has been paid in order to protect the Government's interest. The amount of fixed-fee withheld from the contractor will not exceed 15 percent of the total fee or $100,000, whichever is less. Accordingly, the maximum amount of fixed-fee that may be held in reserve is $ TBD .

SECTION C - DESCRIPTION/SPECIFICATIONS/STATEMENT OF WORK

STATEMENT OF WORK FOR COMMERCIAL
PROJECT TITLE:DIGITAL INSTRUMENTATION AND CONTROL – TECHNICAL ENGINEERING SERVICES
1.0BACKGROUND

In support of a user need request from the Office of New Reactors (NRO), the Office of Nuclear Regulatory Research (RES) is developing guidance for regulatory review of hazard analysis (HA) relevant to digital instrumentation and control (DI&C) safety systems in nuclear power plants (NPPs). This guidance, in the form of a research information letter (RIL-1101 titled “Technical Basis for Review Guidance for Digital Instrumentation and Control Safety Systems”), provides an integrated perspective for reviewing various aspects of HA, addressed in different parts of NRC’s standard review plan (SRP), NUREG-0800, chapter 7. RIL-1101 focuses on integration of existing knowledge, including knowledge from the review of publicly available technical literature, as well as knowledge from respective experts – the latter being obtained through this contract. RIL-1101 provides the technical basis to assist the U.S. Nuclear Regulatory Commission (NRC) staff in the exercise of judgment in the evaluation of HA for DI&C safety systems in NPPs, in a risk-informed performance-based manner.

The initial application of RIL-1101 is targeted for the licensing reviews of Small Modular Reactors (SMR), in support of NRO’s “Design Specific Review Standard” (DSRS), i.e., design-specific SRP, for individual advanced reactor designs beginning with mPower. Lessons learned from the mPower application will be incorporated for use in future reviews,

2.0 OBJECTIVE

The objective of this project is to obtain high quality professional engineering and scientific services from the Contractor to integrate into RIL-1101 relevant knowledge from respective experts through technical peer reviews, and perform follow up activities as a result of the peer review findings. The project seeks knowledge from multiple experts in different disciplines (as identified in the section titled “TECHNICAL AND OTHER SPECIAL QUALIFICATIONS REQUIRED”) and diverse perspectives.

The expected results of these activities will include stage-wise reports, as described in the “Deliverables” paragraph within the “Scope of Work” section.

3.0 SCOPE OF WORK

The scope of this work is to provide guidance to NRC instrumentation and control (I&C) staff in the exercise of judgment during licensing review they perform on an applicant’s HA of a DI&C system for safety functions in a NPP. The deliverables from this project will contribute to the effectiveness and efficiency of the regulatory reviews and inspections in the I&C area.

3.1 Specific Tasks:

The Contractor shall provide high quality engineering/scientific experts who shall in turn provide to the NRC with the following range of technical support:

1. Perform an independent technical peer review of the evolving RIL-1101, as identified in 3.2 Table 1. Expertise sought includes global knowledge from research in various safety-critical applications of digital systems as well as knowledge of HA techniques and applications. Specific assignments shall be made to suit project needs in the duration of this contract. The scope of the experts’ reviews will be bounded to the context of the NPP safety systems domain. Furthermore, the scope is limited to a digital system effecting the realization of a safety function, a digital system contributing to it, a digital system on which the safety function is dependent, or a digital system that may affect the safety function. Other elements interfacing with, interacting with or affecting such a digital system are treated as parts of its environment. To that extent, such environment is also within the scope.

The technical reviews will be performed at iteratively evolving stages of RIL-1101 (see Table 1):

· Written comments as described in the Deliverables section below,

· Followed by teleconferenced walk-through and discussion, and

· Followed by a face-to-face discussion with the NRC staff, when remote communications and interaction are not adequate to understand and resolve the issues.

Each execution of the individual technical reviews will be treated as a knowledge-acquisition cycle from which results will be integrated into the development of RIL-1101 for the next review cycle. Work performed must be of high quality, and effectively coordinated with the involved individuals, to meet all necessary deadlines.

2. In addition, the Contractor shall:

a. Perform peer reviews on the NRC furnished documents including scope boundary, characterization of the application domain, expected deliverables, and expected interactions. The contractor should ensure that the reviews are performed by experts with adequate diversity in order to improve the degree of validity of the affected content.

b. As part of the interactions with the NRC staff and the experts, it is expected that the Contractor should:

i. Review the experts’ technical capability in accordance with the SOW, consolidate all responses, identify gaps and overlaps in review coverage, and interact with NRC/RES staff and experts to fill gaps with adequate diversity, and recommend statement of work, required deliverables, required interactions, and expected travel.

ii. Interact with each expert, as needed to ensure that the expert’s review includes the expected. Ensure the information included in the Deliverables items 1-4, is supported, is usable, and is integrate-able. The contractor should consolidate and organize the information received from various experts, in a manner conducive to understanding, resolving and reconciling the differences, and assessing the degree of validity of the affected content.

iii. Organize and facilitate teleconferences and face-to-face meetings, as needed, for understanding, resolving and reconciling the differences, and for assessing and improving the degree of validity of the affected content. This process is expected to require multiple modify-review-comment cycles with the experts.

c. The Contractor shall hold a kickoff meeting with NRC staff to: identify, clarify and document goals and the scope of the project. This kickoff meeting shall set expectations and serve as input to the project plan. The Contractor shall keep the NRC’s Contracting Office Representative (COR) apprised of any changes or deviations from the agreed-upon tasks, deliverables, and schedule.

3. Finally, additional support will be necessary to address some of the findings of the technical peer reviews from the review of RIL 1001. In general, this information shall be consolidated and documented such as a NUREG/CR document, to aid the NRC technical staff in their future decision-making. The NRC COR will coordinate with the Contractor to identify, clarify and document goals and the scope of the NUREG/CR.

Precondition: The HA has already gone through an independent verification and validation (IV&V) cycle by a RIL-1101- aware agent. The NRC review is not intended to be another round of IV&V.

NRC reviewer’s focus: What to watch out for; what is commonly missed; contributory hazards, especially in the system & software development lifecycle, including changes.

3.3 Deliverables:

1. The deliverable at each stage of the evolving RIL-1101 will be a report, including the following:

a) A marked-up copy of RIL-1101 (incorporated by reference), with tracked proposed changes (which would bring the reviewed content to the expert’s acceptance level), from each expert engaged in that stage;

b) Supporting references (incorporated by reference);

c) Other supporting rationale or explanation provided by the expert; results of discussions with individual experts;

d) Supporting examples or case studies in the expert's experience or research to support an assertion or guidance item, e.g. through abduction or induction or other manner of generalization applicable to the scope of RIL-1101.

e) Consolidation and organization of the information received from various experts, in a manner conducive to understanding, resolving and reconciling the differences and assessing and improving the degree of validity of the affected content;

f) Results of discussions with group of experts with differing positions on the same issue;

g) Recommendations for changes where high degree of consensus is reached;

h) Identification of items on which adequate consensus has not been reached and the reasons for the differences.

2. NRC technical document, such as a NUREG/CR addressing the findings of the technical peer reviews from RIL-1001.

The Contractor shall provide all required deliverables to the NRC COR in accordance with the anticipated schedule below for review and comment. The technical experts will provide comments to the contractor’s project manager no later than (NLT) the number of days specified below. Comments will be provided to the NRC COR by email NLT 10 working days after receipt. If adjustments to this schedule are required, the revised dates agreed upon by the contractor and the NRC COR will be incorporated into this order via a formal modification to this agreement.

3.4 Deliverables Schedule

4.0 RESEARCH QUALITY

The quality of NRC research programs are assessed each year by the Advisory Committee on Reactor Safeguards. Within the context of their reviews of RES programs, the definition of quality research is based upon several major characteristics:

Results meet the objectives (75% of overall score)
Justification of major assumptions (12%)
Soundness of technical approach and results (52%)
Uncertainties and sensitivities addressed (11%)
Documentation of research results and methods is adequate (25% of overall score)
Clarity of presentation (16%)
Identification of major assumptions (9%)

The Contractor shall strive for excellence in these criteria throughout the course of the research that is performed. The NRC project manager and technical monitor will review all research products with these criteria in mind.

5.0 TECHNICAL AND OTHER SPECIAL QUALIFICATIONS REQUIRED

Key expert personnel proposed to support this project shall have commensurate knowledge in some area identified in Table 1 and shall be recognized leaders in the academia or in their respective fields. The expertise shall include the understanding of causality and dependency relationships in such systems needed to indentify contributory hazards. The expertise may be acquired, demonstrated, and recognized in a variety of safety-critical DI&C application areas, e.g.: flight control systems; life-critical medical devices; exploration of outer space; automated train control; automotive motion control. The experience may be accumulated through various aspects of engineering in safety-critical application sectors, e.g.: Analysis of accidents and mishaps; root cause analysis; HA during the system development lifecycle; evaluation of a safety case; change impact analysis; independent verification and validation.

The required experience and skills and expected standards of performance for technical expertise are as follows:

1. Knowledge of the limitations and inappropriate use of hazard analysis techniques. as applied to complex DI&C systems, e.g.:

a) Hazard and Operability (HAZOP)

b) Fault Tree Analysis (FTA)

c) Event Tree Analysis (ETA)

d) Failure Mode and Effects Analysis (FMEA)

e) Fault Hazard Analysis

f) Functional Hazard Analysis

2. Knowledge of the following areas :

a) Hazard prevention

b) Best practices in system and software engineering for safety-critical or mission-critical control systems, with strength of fault prevention

c) Interactions across elements of the various processes and systems during abnormal conditions, and potential vulnerabilities in safety systems

d) Interactions among the instrumentation measurements, the control systems, and the protection systems during the normal and abnormal operational conditions

e) Representing and reasoning about a dependency or causality network qualitatively

3. Demonstrate the ability to get familiarized quickly or demonstrated familiarity with the NPP application environment:

a) Current practice in NPPs

b) Power reactor systems, including the physical processes and equipment,

c) DI&C systems for safety functions

4. Demonstrated ability to effectively communicate complex technical information (oral and written) to practitioner engineers and scientists in the nuclear energy field.

6.0 CONTRACTOR RESPONSIBILITIES

The services performed under this order by the contractor's personnel, technical experts, or subcontractors are provided by the contractor as an independent contractor in performing the requirements set forth herein. The contractor is responsible for the management, supervision, benefits, employment, termination, oversight, and assignment of the contractor's personnel. The contractor is responsible for its personnel's proper conduct and performance under this Statement of Work. Contractor's assigned personnel shall be required to attend RES technical review meetings at the NRC offices.

8.0 REPORTING REQUIREMENTS

Monthly Letter Status Report.

A Monthly Letter Status Report (MLSR) is to be submitted to the NRC Project Manager by the 20th of the month following the month to be reported with copies provided to the following:

The MLSR will identify the title of the project, the job code, the Principal Investigator, the period of performance, the reporting period, summarize each month’s technical progress, its monthly spending, total spending to date, and the remaining funds and will contain information as directed in NRC Management Directive 11.1. Any administrative or technical difficulties which may affect the schedule or costs of the project shall be immediately brought to the attention of the NRC project manager.

The contractor shall provide a Monthly Status Report to the NRC COR by the 20th of each month. Each monthly report shall include the task number and task name, the period covered by the report; a summary of the work performed during the period by each individual assigned to work on the project along with the number of hours worked; and a status of expenditures under the order for the reporting period, cumulative expenditures to date, funds obligated to date and balance of funds required to complete the order.

9.0 PUBLICATIONS NOTE

RES encourages the publication of the scientific results from RES sponsored programs in refereed scientific and engineering journals as appropriate. If the laboratory proposes to publish in the open literature or present the information at meeting in addition to submitting the required technical reports, approval of the proposed article or presentation should be obtained from the NRC Project Manager. The RES Project Manager shall either approve the material as submitted, approve it subject to NRC suggested revisions, or disapprove it. In any event, the RES Project Manager may disapprove or delay presentation or publication of papers on information that is subject to Commission approval that has not been ruled upon or which has been disapproved. Additional information regarding the publication of NRC sponsored research is contained in NRC Management Directives 3.7, “NUREG Series Publications,” and 3.9, “NRC Staff and Contractor Speeches, Papers, and Journal Articles on Regulatory and Technical Subjects.”

If the publication is disapprove by the NRC, the NRC reserves the right to require that such presentation or publication will not identify the NRC’s sponsorship of the work.

10.0 NEW STANDARDS FOR CONTRACTORS WHO PREPARE NUREG-SERIES MANUSCRIPTS

The U.S. Nuclear Regulatory Commission (NRC) began to capture most of its official records electronically on January 1, 2000. The NRC will capture each final NUREG-series publication in its native application. Therefore, please submit your final manuscript that has been approved by your NRC Project Manager in both electronic and camera-ready copy.

All format guidance, as specified in NUREG-0650, Revision 2, will remain the same with one exception. You will no longer be required to include the NUREG-series designator on the bottom of each page of the manuscript. The NRC will assign this designator when we send the camera-ready copy to the printer and will place the designator on the cover, title page, and spine. The designator for each report will no longer be assigned when the decision to prepare a publication is made. The NRC's Publishing Services Branch will inform the NRC Project Manager for the publication of the assigned designator when the final manuscript is sent to the printer.

For the electronic manuscript, the Contractor shall prepare the text in Microsoft Word, and use any of the following file types for charts, spreadsheets, and the like.

If a portion of your manuscript is from another source and you cannot obtain an acceptable electronic file type for this portion (e.g., an appendix from an old publication), the NRC can, if necessary, create a tagged image file format (file extension.tif) for that portion of your report. Note that you should continue to submit original photographs, which will be scanned, since digitized photographs do not print well.

If you choose to publish a compact disk (CD) of your publication, place on the CD copies of the manuscript in both (1) a portable document format (PDF); (2) a Microsoft Word file format, and (3) an Adobe Acrobat Reader, or, alternatively, print instructions for obtaining a free copy of Adobe Acrobat Reader on the back cover insert of the jewel box.

11.0 MEETINGS AND TRAVEL

The NRC staff will approve all travel arrangements on a case-by-case basis prior to actual travel for work on this project. Final details of trips will be worked out cooperatively between Contractor and the NRC staff as appropriate to effectively and efficiently complete the work efforts.

Travel needs are estimated below but will be refined during project planning efforts and finalized upon NRC staff discussion with the Contractor. Travel costs are based on an estimate of $2,500 for each person per trip.

1. 10 trips; Estimate of 10 experts for one-day trip to the NRC Headquarters to present the results of the technical reviews to the NRC staff, and clarify and resolve issues.

(a) The Contractor shall package material for shipment to the NRC in such a manner that will ensure acceptance by common carrier and safe delivery at destination. Containers and closures shall comply with the Surface Transportation Board, Uniform Freight Classification Rules, or regulations of other carriers as applicable to the mode of transportation.

All technical reports required by Section C and all Technical Progress Reports required by Section F are to be prepared in accordance with the attached Management Directive 3.7, " NUREG Series Publications." Management Directive 3.7 is not applicable to any Contractor Spending Plan (CSP) and any Financial Status Report that may be included in this contract. (See List of Attachments).

F.3 2052.211-72 FINANCIAL STATUS REPORT (OCT 1999)

The contractor shall provide a monthly Financial Status Report (FSR) to the contracting officer representative and the contracting officer. The FSR shall include the acquisition of, or changes in the status of, contractor-held property acquired with government funds valued at the time of purchase at $50,000 or more. Whenever these types of property changes occur, the contractor shall send a copy of the report to the Chief, Property and Acquisition Oversight Branch, Office of Administration. The report is due within 20 calendar days after the end of the report period and must identify the title of the project, the contract number, the appropriate financial tracking code (e.g., Job Code Number or JCN) specified by the NRC Contracting officer representative, project manager and/or principal investigator, the contract period of performance, and the period covered by the report. Each report must include the following for each discrete task:

(a) Total estimated contract amount.

(b) Total funds obligated to date.

(c) Total costs incurred this reporting period.

(d) Total costs incurred to date.

(e) Detail of all direct and indirect costs incurred during the reporting period for the entire contract or each task, if it is a task ordering contract.

(f) Balance of obligations remaining.

(g) Balance of funds required to complete contract/task order.

(h) Contractor Spending Plan (CSP) status: A revised CSP is required with the Financial Status Report whenever the contractor or the contracting officer has reason to believe that the total cost for performance of this contract will be either greater or substantially less than what had been previously estimated.

(1) Projected percentage of completion cumulative through the report period for the project/task order as reflected in the current CSP.

(2) Indicate significant changes in the original CSP projection in either dollars or percentage of completion. Identify the change, the reasons for the change, whether there is any projected overrun, and when additional funds would be required. If there have been no changes to the original NRC-approved CSP projections, a written statement to that effect is sufficient in lieu of submitting a detailed response to item "h".

(i) Property status:

(1) List property acquired for the project during the month with an acquisition cost between $500 and $49,999. Give the item number for the specific piece of equipment.

(2) Provide a separate list of property acquired for the project during the month with an acquisition cost of $50,000 or more. Provide the following information for each item of property: item description or nomenclature, manufacturer, model number, serial number, acquisition cost, and receipt date. If no property was acquired during the month, include a statement to that effect. The same information must be provided for any component or peripheral equipment which is part of a "system or system unit."

(3) For multi-year projects, in the September monthly financial status report provide a cumulative listing of property with an acquisition cost of $50,000 or more showing the information specified in paragraph (i)(2) of this clause.

(4) In the final financial status report provide a closeout property report containing the same elements as described above for the monthly financial status reports, for all property purchased with NRC funds regardless of value unless title has been vested in the contractor. If no property was acquired under the contract, provide a statement to that effect. The report should note any property requiring special handling for security, health, safety, or other reasons as part of the report.

(j) Travel status: List the starting and ending dates for each trip, the starting point and destination, and the traveler(s) for each trip.

(k) If the data in this report indicates a need for additional funding beyond that already obligated, this information may only be used as support to the official request for funding required in accordance with the Limitation of Cost (LOC) Clause (FAR 52.232-20) or the Limitation of Funds (LOF) Clause FAR 52.232-22.

(b) Performance of the work under this contract is subject to the technical direction of the NRC contracting officer representative. The term "technical direction" is defined to include the following:

(1) Technical direction to the contractor which shifts work emphasis between areas of work or tasks, authorizes travel which was unanticipated in the Schedule (i.e., travel not contemplated in the Statement of Work (SOW) or changes to specific travel identified in the SOW), fills in details, or otherwise serves to accomplish the contractual SOW.

(2) Provide advice and guidance to the contractor in the preparation of drawings, specifications, or technical portions of the work description.

(3) Review and, where required by the contract, approval of technical reports, drawings, specifications, and technical information to be delivered by the contractor to the Government under the contract.

(c) Technical direction must be within the general statement of work stated in the contract. The contracting officer representative does not have the authority to and may not issue any technical direction which:

(1) Constitutes an assignment of work outside the general scope of the contract.

(2) Constitutes a change as defined in the "Changes" clause of this contract.

(3) In any way causes an increase or decrease in the total estimated contract cost, the fixed fee, if any, or the time required for contract performance.

(4) Changes any of the expressed terms, conditions, or specifications of the contract.

(5) Terminates the contract, settles any claim or dispute arising under the contract, or issues any unilateral directive whatever.

(d) All technical directions must be issued in writing by the contracting officer representative or must be confirmed by the contracting officer representative in writing within ten (10) working days after verbal issuance. A copy of the written direction must be furnished to the contracting officer. A copy of NRC Form 445, Request for Approval of Official Foreign Travel, which has received final approval from the NRC must be furnished to the contracting officer.

(e) The contractor shall proceed promptly with the performance of technical directions duly issued by the contracting officer representative in the manner prescribed by this clause and within the contracting officer representative's authority under the provisions of this clause.

(f) If, in the opinion of the contractor, any instruction or direction issued by the contracting officer representative is within one of the categories as defined in paragraph (c) of this section, the contractor may not proceed but shall notify the contracting officer in writing within five (5) working days after the receipt of any instruction or direction and shall request the contracting officer to modify the contract accordingly. Upon receiving the notification from the contractor, the contracting officer shall issue an appropriate contract modification or advise the contractor in writing that, in the contracting officer's opinion, the technical direction is within the scope of this article and does not constitute a change under the "Changes" clause.

(g) Any unauthorized commitment or direction issued by the contracting officer representative may result in an unnecessary delay in the contractor's performance and may even result in the contractor expending funds for unallowable costs under the contract.

(h) A failure of the parties to agree upon the nature of the instruction or direction or upon the contract action to be taken with respect thereto is subject to 52.233-1 -Disputes.

(i) In addition to providing technical direction as defined in paragraph (b) of the section, the contracting officer representative shall:

(1) Monitor the contractor's technical progress, including surveillance and assessment of performance, and recommend to the contracting officer changes in requirements.

(2) Assist the contractor in the resolution of technical problems encountered during performance.

(3) Review all costs requested for reimbursement by the contractor and submit to the contracting officer recommendations for approval, disapproval, or suspension of payment for supplies and services required under this contract.

(4) Assist the contractor in obtaining the badges for the contractor personnel.

(5) Immediately notify the Security Branch, Division of Facilities and Security (SB/DFS) (via e-mail) when a contractor employee no longer requires access authorization and return of any NRC issued badge to SB/DFS within three days after their termination.

(6) Ensure that all contractor employees that require access to classified Restricted Data or National Security Information or matter, access to sensitive unclassified information (Safeguards, Official Use Only, and Proprietary information) access to sensitive IT systems or data, unescorted access to NRC controlled buildings/space, or unescorted access to protected and vital areas of nuclear power plants receive approval of SB/DFS prior to access in accordance with Management Directive and Handbook 12.3.

(7) For contracts for the design, development, maintenance or operation of Privacy Act Systems of Records, obtain from the contractor as part of closeout procedures, written certification that the contractor has returned to NRC, transferred to the successor contractor, or destroyed at the end of the contract in accordance with instructions provided by the NRC Systems Manager for Privacy Act Systems of Records, all records (electronic or paper) which were created, compiled, obtained or maintained under the contract.

G.2 2052.215-77 TRAVEL APPROVALS AND REIMBURSEMENT (OCT 1999)

(a) All foreign travel must be approved in advance by the NRC on NRC Form 445, Request for Approval of Official Foreign Travel, and must be in compliance with FAR 52.247-63 Preference for U.S. Flag Air Carriers. The contractor shall submit NRC Form 445 to the NRC no later than 30 days before beginning travel.

(b) The contractor must receive written approval from the NRC Contracting Officer Representative before taking travel that was unanticipated in the Schedule (i.e., travel not contemplated in the Statement of Work, or changes to specific travel identified in the Statement of Work).

(c) The contractor will be reimbursed only for those travel costs incurred that are directly related to this contract and are allowable subject to the limitations prescribed in FAR 31.205-46.

(d) It is the responsibility of the contractor to notify the contracting officer in accordance with the Limitations of Cost clause of this contract when, at any time, the contractor learns that travel expenses will cause the contractor to exceed the estimated costs specified in the Schedule.

(e) Reasonable travel costs for research and related activities performed at State and nonprofit institutions, in accordance with Section 12 of Pub. L. 100-679, shall be charged in accordance with the contractor's institutional policy to the degree that the limitations of Office of Management and Budget (OMB) guidance are not exceeded. Applicable guidance documents include OMB Circular A-87, Cost Principles for State and Local Governments; OMB Circular A-122, Cost Principles for Nonprofit Organizations; and OMB Circular A-21, Cost Principles for Educational Institutions.

G.3 2052.216-71 INDIRECT COST RATES-ALTERNATE 2 (OCT 1999)

(b) In the event that indirect rates developed by the cognizant audit activity on the basis of actual allowable costs result in a lower amount for indirect costs, the lower amount will be paid. The Debt Collection Improvement Act of 1996 requires that all payments except IRS tax refunds be made by Electronic Funds Transfer. Payment shall be made in accordance with FAR 52.232-33, entitled "Payment by Electronic Funds- Central Contractor Registration".

To receive payment, the contractor shall prepare invoices in accordance with NRC's Billing Instructions. Claims shall be submitted on the payee's letterhead, invoice, or on the Government's Standard Form 1034, "Public Voucher for Purchases and Services Other than Personal," and Standard Form 1035, "Public Voucher for Purchases Other than Personal - Continuation Sheet." The preferred method of submitting invoices is electronically to the Department of the Interior at NRCPayments_NBCDenver@nbc.gov. SECTION H - SPECIAL CONTRACT REQUIREMENTS

H.1 2052.209-72 CONTRACTOR ORGANIZATIONAL CONFLICTS OF INTEREST (JAN 1993)

(a) Purpose. The primary purpose of this clause is to aid in ensuring that the contractor:

(1) Is not placed in a conflicting role because of current or planned interests (financial, contractual, organizational, or otherwise) which relate to the work under this contract; and

(2) Does not obtain an unfair competitive advantage over other parties by virtue of its performance of this contract.

(b) Scope. The restrictions described apply to performance or participation by the contractor, as defined in 48 CFR 2009.570-2 in the activities covered by this clause.

(c) Work for others.

(1) Notwithstanding any other provision of this contract, during the term of this contract, the contractor agrees to forego entering into consulting or other contractual arrangements with any firm or organization the result of which may give rise to a conflict of interest with respect to the work being performed under this contract. The contractor shall ensure that all employees under this contract abide by the provision of this clause. If the contractor has reason to believe, with respect to itself or any employee, that any proposed consultant or other contractual arrangement with any firm or organization may involve a potential conflict of interest, the contractor shall obtain the written approval of the contracting officer before the execution of such contractual arrangement.
