2.0 APPLICABLE DOCUMENTS

2.1 Gyro Subassembly Product Baseline P/N 639AS6503, Attachment (1), is applicable to this PWS to the extent specified herein.

2.1.1 OPNAVINST S5513.2B “ID 02-215.04 Sidewinder AIM-9M Missile Security Classification Guide of 16 Sep 2013.”

2.2 Availability of NAVAIR Documents. Unless otherwise indicated, copies of documents listed within Attachment (1) are available from NAWCWD Code 471L00D, 1900 N. Knox Rd MS 6518, China Lake, CA 93555-6106.

3.0 REQUIREMENTS

3.1 Optical Barrel and Gimbal Assembly Repair and Refurbishment. The contractor shall repair and refurbish the Optical Barrel and Gimbal Assembly in accordance with the drawing requirements of drawing 639AS6504 to a “like new” condition.

3.1.1 Gyro Subassembly parts may be interchanged at the contractor’s discretion. The contractor shall not replace unrepairable parts found during the inspection with new parts except as noted below. The contractor is authorized to replace damaged or unusable components as required, as long as the agreed to negotiated repair cost is not exceeded. If a repair action will cause a price increase, authorization from the Procuring Contracting Officer (PCO) is required prior to repair of that specific unit.

3.1.2 The contractor shall disassemble, clean and inspect all components, protecting the Primary Mirror (P/N 639AS3112), Edge Guard, and Gimbal Post (P/N 639AS537) from damage. The contractor shall not remove the Primary Mirror and Edge Guard from the Optical Barrel, Machined (P/N 639AS3184).

3.1.3 The contractor shall perform runout inspection of Mirror Stud during gyro disassembly to complete the bond joint evaluation. The contractor shall measure runout of the mirror stud 0.2498 diameter (which aligns the secondary mirror to the gyro spin axis) relative to the spin bearing trunnion of the forward lens housing. The machined optical barrel is to be rejected if the runout measurement exceeds 0.002 inch.

3.1.4 The contractor shall refurbish the Gimbal Assembly (P/N 639AS3169) and inspect inner and outer trunnions and bearing bores for wear and damage, and repair as required, to meet the drawing requirements. The contractor shall replace damaged or unusable gimbal components as required. The contractor shall replace the Gimbal Bearings (P/N 639AS3168), Gimbal Screws (P/N 639AS750), Gimbal Bearing Shims (P/N 639AS627) and Spin Bearings (P/N 639AS6561) with new components. Gimbal Bearing Shims (P/N 639AS627) may be reused.

3.1.5 The contractor shall inspect the Machined Optical Barrel (P/N 639AS3184), clean, rework, and repaint. The contractor shall not repair any Machined Optical barrel if damage is found during the inspection. The contractor shall inform the Technical Point of Contact of the noted conditions by FAX or e-mail, identifying the unit serial number and description of damage, within five business days. The contractor may exchange the unserviceable assembly with a different subassembly during repair. The contractor shall apply adhesive to the internal thread of the preload nut (P/N 639AS1467) in accordance with specification AS6063 paragraph 3.2.1.1.4.

3.1.6 The contractor shall inspect and clean the Aft Housing and Lens Assembly (P/N 639AS3926), replace Reticle Aperture (P/N 639AS3980) or clean and repaint as required; and apply epoxy in accordance with drawing 639AS3926 Note 11; and repaint. The contractor shall not disassemble the Aft Housing and Lens Assembly. The contractor shall not repair any Aft Housing Lens Assembly if damage is found during the inspection. The contractor shall inform the Technical Point of Contact of the noted conditions by FAX or e-mail, identifying the unit serial number and description of damage, within five business days. The contractor may exchange the unserviceable assembly with a different subassembly to complete AIM-9M Gyro Subassembly repairs.

3.1.7 The contractor shall assemble and test the Gimbal Assembly in accordance with the requirements of drawing 639AS3169, notes 3, 4 and 5. The contractor shall record the actual data for each unit.

3.1.8 The contractor shall reassemble and inspect the hardware to the requirements of drawings and specifications 639AS6504, AS-6062, 639AS6503 and AS-6063, except the test and inspection requirements associated with the Primary Mirror (P/N 639AS3112) are not required. The contractor shall ensure epoxy has been applied to Aft Housing and Lens Assembly in accordance with specification AS6063 paragraph 3.2.1.1.9.

3.2 Government Furnished Property (GFP). The Government will deliver AIM-9M Gyro Subassemblies (P/N 639AS6503), which includes an Edge Guard (P/N 639AS3142) to the contractor within Government furnished shipping containers. The Government plans to ship 60 units (tracked by serial number) within 5 days after award for a yield of 52 refurbished AIM-9M Gyro Subassemblies. The Government anticipates a rejection rate of unrepairable AIM-9M Gyro Subassemblies of approximately 4-7 %, which equates to approximately four units, and four additional AIM-9M gyro subassemblies are provided to assist with overcoming matching issues. If additional orders are awarded, the GFP units will be shipped within 5 days after award.

3.3 Packing and marking. The contractor shall preserve and pack the hardware in accordance with ASTM 3941, “Standard Practice for Commercial Packaging.” Marking shall be in accordance with MIL-STD-129P, “Military Marking for Shipment and Storage.” Hardware shall be shipped back in GFP shipping containers.

3.4 Serialization. On the label of each subassembly shipping container the contractor shall provide the serial number of the Gimbal Assembly (P/N 639AS3169) contained within that AIM-9M Gyro Subassembly. If the contractor removes a gimbal and replaces the gimbal with a different gimbal, the shipping container label shall be marked with the original Gimbal Assembly serial number and the new gimbal serial number. This is important so that the original shim, secondary mirror, balance screw and sunshade can be replaced on the correct gyro.

3.5 Schedule. The contractor shall deliver 52 refurbished AIM-9M Gyro Subassemblies to the following schedule: twelve (12) repair gyro subassemblies shall be delivered within 45 days after award of contract; twelve (12) repaired gyro subassemblies shall be delivered each month for the next three months subsequent to the first delivery, and the final 4 units in the fourth month subsequent to the first delivery. Partial shipment of the Gyro Subassemblies is acceptable and encouraged. Partial payment is acceptable. Early Delivery of Gyro Subassemblies is acceptable. Delivery schedules for subsequent orders shall start within 45 days after award and will be addressed in each individual order.

3.5.1 The contractor shall deliver a data sheet in contractor format for each AIM-9M Gyro Subassembly, which details the inspection record results, parts replaced, test data, and repairs made (CDRL A001).

3.6 Inspection and Acceptance. The cognizant DCMA office is responsible for periodic monitoring of manufacturing operations, and witnessing of inprocess inspections performed by the contractor, specifically preload and torque inspections in accordance with specification AS6059. The source of the requirement for AS6059 flows down from the Gimbal Assembly drawing 639AS3169. The contractor shall notify the cognizant DCMA office no less than 24 hours prior to start of preload and torque inspections. Final acceptance of the repaired assemblies shall be at destination and will be performed by NAWCWD China Lake. Acceptance criteria will be in accordance with the requirements of drawing 639AS3169 notes 3, 4, 5 and 6. Material Inspection and Receiving Report DD250 is required.

3.7 Warranty. The contractor shall provide a six month warranty for the repairs performed.

3.8 Disposition of non-repairable hardware. AIM-9M Gyro Sub‑Assemblies (P/N 639AS6503) that are beyond repair will be reported to NAWCWD, China Lake as “H” condition. The contractor shall provide basis for the determination (i.e. inspection record results detailing the non-repairable parts and basis for non-repair). On all Gyro Subassemblies returned as "H" condition, replace nylon shipping screw and place in gyro container to prevent shipping damage to the unit. Unusable assemblies and parts such as aft lens housings, preload nuts, etc. may be shipped back to the Government POC, at NAWCWD China Lake in any quantities without the need to reassemble, as contractor deems necessary (CDRL A001).

3.8.1 Any residual parts shall be returned to the Government after the completion of the contract.

3.9 Security Classification and Control. This contract will involve hardware and information up to the Security Classification of SECRET. The following Security Classification Guide(s) applies and will be provided by the User Agency as required: OPNAVINST S5513.2B “ID 02-215.04 Sidewinder AIM-9M Missile Security Classification Guide of 16 Sep 2013.”

3.9.1 The contractor shall be responsible for protection of Government Sensitive data (as defined by Public Law 100-235). Such protection will be equivalent to the protection the Contractor affords its own proprietary data and trade secrets: but in any event, Government sensitive data shall not be discussed, processed, or transmitted over unsecure telephone, facsimile, computer or communication circuits.

3.10 First article testing shall be required for any AIM-9 gyro subassembly repair sources that have not been approved by the Government within the last 12 months. Previously approved AIM-9 gyro subassembly repair sources shall also require first article testing if the source has not performed repairs within the last 12 months.

(1) For each proposed order, the contracting officer will provide the contractor with a statement of work (SOW) and an independent Government cost estimate (IGCE).

(2) Within three (3) working days of receipt of the SOW and IGCE, the contractor will respond with a confirmation letter agreeing to perform the SOW within the IGCE. If the requirement remains valid and the contracting officer determines the IGCE to represent a fair and reasonable price, a fully negotiated, priced order will be issued to the contractor.

(3) If the contractor does not agree with the SOW and/or IGCE, a proposal will be submitted to the contracting officer within five (5) working days of receipt of the SOW and IGCE, addressing only the specific areas of differences. Once the differences are resolved between the contracting officer and the contractor, and the contracting officer determines that the price is fair and reasonable, a fully negotiated, priced order will be issued to the contractor.

(b) There may be occasions when the Government determines, in circumstances of emergency or exigency, that the need for specific supplies or services is unusually urgent. On such occasions, the Ordering Officer may issue an order based solely on the Government estimate, requiring the contractor to provide the supplies or services specified without having an opportunity to review the Government estimate before the order is issued. This type of order shall be a unilaterally unpriced order.

(1) The unilaterally unpriced order shall specify the estimated cost and fee and the desired delivery schedule for the work being ordered. The Government's desired delivery shall apply unless the Ordering Officer receives written notification from the Contractor within fifteen (15) days after receipt of the order that the proposed delivery schedule is not acceptable. Such notification shall propose an alternative delivery schedule. The Contractor shall either provide written acceptance of the order or submit its cost proposal within thirty (30) days after receipt of the order.

(2) The Government has no obligation to pay for the supplies or services ordered until the actual price and delivery schedule have been negotiated. In no event shall the costs incurred exceed the estimated cost of the order.

(3) The contractor shall include in its proposal a statement of costs incurred and an estimate of costs expected to complete the work. Data supporting the accuracy and reliability of the cost estimate should also be included. After submission of the contractor's cost proposal and supporting data, the contractor and the Ordering Officer shall negotiate a bilateral modification to the original order finalizing the price and delivery schedule.

(4) Should the Ordering Officer and the contractor be unable to reach an agreement as to the terms of the order, the conflict shall be referred to the Contracting Officer who shall issue such direction as is required by the circumstances. If a bilateral agreement is not negotiated within sixty (60) days after submission of the contractor's cost proposal, the Contracting Officer will issue a modification to the unilaterally unpriced order that establishes the Government's total estimated cost for the order. This price will remain in effect unless the contractor requests to negotiate the price by submission of a proposal.

(5) Failure to arrive at an agreement shall be considered a dispute in accordance with the clause entitled "Disputes".

(c) For orders under $100,000, the procedures for reaching agreement are as follows:

(1) The Ordering Officer shall issue a fully funded, unilaterally executed order representing a firm order for the total requirement.

(2) In the event the contractor cannot perform in accordance with the terms and conditions and within the estimated cost of the order, the contractor shall:

(i) notify the Ordering Officer with in three working days

(ii) submit a proposal for the work requested in the order,

(iii) not commence performance until such time that the differences between the order and contractor's proposal are resolved and a modification, if necessary, is issued.

5252.223-9501

MATERIAL SAFETY DATA SHEET (MSDS)(NAVAIR) (APR 2009)

(a) The contractor shall forward an electronic copy of the Material Safety Data Sheet (MSDS) required under FAR Clause 52.223-3, "Hazardous Material Identification and Material Safety Data", to Mar-navyhmirs@med.navy.mil and the Naval Inventory Control Point (NICP) at wraps.prime.fct@navy.mil.

(b) One copy of the MSDS shall be enclosed with the shipping documents. If the shipment is received without an attached copy of the MSDS, the Government has the right to refuse receipt.

5252.225-9506 VERIFICATION OF "SHIP TO" AND/OR "NOTICE OF AVAILABILITY" ADDRESS (NAVAIR) (JAN 1992)

The contractor shall submit a request in duplicate to the Transportation Office of the cognizant Contract Administration Office for verification of the "Ship to" address. If the offer/release instructions require a "Notice of Availability" the contractor shall also request verification of the address to which notification will be made (the 'IAC 3' address). Such requests shall be submitted at least ten (10) days in advance of (i) date Notice of Availability is to be submitted, or (ii) actual shipping date, if shipment is to be released automatically.

POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (JUL 2013)

(a) Definitions. As used in this clause--

Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.

Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause. Such a concern is “not dominant in its field of operation” when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.

(b) If the Contractor represented that it was a small business concern prior to award of this contract, the Contractor shall rerepresent its size status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon the occurrence of any of the following:

(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.

(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.

(3) For long-term contracts--

(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and

(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.

(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code assigned to this contract. The small business size standard corresponding to this NAICS code can be found at http://www.sba.gov/content/table-small-business-size-standards/ .

(d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.

(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the rerepresentation required by paragraph (b) of this clause by validating or updating all its representations and Certification section of the System for Award Management (SAM) and its other data in SAM, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting office in writing within the timeframes specified in paragraph (b) of this clause that the data have been validated or updated, and provide the date of the validation or update.

(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.

(g) If the Contractor does not have representations and certifications in SAM, or does not have a representation in SAM for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:

The Contractor represents that it [ ] is, [ ] is not a small business concern under NAICS Code [_______] assigned to contract number [______________].
