JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity.
Naval Air Warfare Center Weapons Division (NAWC-WD)- China Lake, CA
2. Description of the Action Being Approved.
This Justification and Approval (J&A) authorizes and approves the award of a follow-on Cost Plus Fixed Fee/Firm Fixed Price contract to Bell Helicopter Textron, Incorporated (BHTI) in support of the H-1 Weapons System Support Activity (WSSA), China Lake, CA.
3. Description of Supplies/Services.
This contract provides upgrades for the H-1 aircraft, including Foreign Military Sales (FMS) variants based on System Configuration Set (SCS) life cycle phases. An SCS consists of all software and hardware required to implement new capabilities on the aircraft, including fleet documentation and updated trainers.
While BHTI provides significant portions of the SCS, the actual SCS is delivered to the fleet by the Government.
BHTI SCS activities include designing, developing, and implementing upgrades to existing software in the Aircraft, Trainers, logistics data updates, maintenance data updates and ancillary hardware and/or improved functionality and obsolescence management of the aircraft. Other deliverables include system improvement and demonstration products associated with SCS block upgrades such as proposed prototypes, pre-production products, and support equipment enhancements, or simulations and models of weapon systems. System improvements will also provide obsolete type of parts replacements, improved processors, and technology demonstrations. Other activities include on-site engineering and studies and analysis that will require BHTI to investigate future improvements required by the Government, provide analysis of alternatives, and deliver documentation that may result in SCS implementation, system improvement, or demonstration products.
This will be an Indefinite Delivery Indefinite Quantity contract with Cost Plus Fixed Fee and Firm Fixed Price contract line items with an ordering period of five years starting approximately December 2014 and ending December 2019 for a total value of approximately $84,992,977.
The supplies and support acquired in this procurement will satisfy the Government's minimum needs. In addition, this effort is consistent with Combined Acquisition Plan/Acquisition.

4. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C. 2304(c)(1), Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authority.
BHTI is the prime H-1 aircraft manufacturer, and is the only source capable of performing this effort to meet fleet needs. As the sole designer, developer, integrator, manufacturer, and supplier of the H-1 aircraft, BHTI is the only firm that possesses the requisite knowledge of the aircraft and its unique weapon systems.
As such, BHTI has the unique combination of airframe and weapons system integration knowledge needed to perform the required mission support. Only BHTI has the engineering design expertise for H-1 Flight systems software and integration into the aircraft weapon system. In addition, BHTI has developed both hardware and software for H-1 Flight systems that are unique to the H-1 Upgrades aircraft. Changing aircraft discrete and analog signals into digital data and relaying said information to the 1553 muxbus would require access to detailed aircraft drawings. The Government does not currently possess the aircraft technical data package that would be required to perform this effort which is not expected to be delivered until 2019 with the end of the aircraft production life cycle. In order for any other vendor to accomplish updating the hardware and software they would require access to BHTI's technical data package for the aircraft.
The SCS is comprised of both hardware and software from multiple avionics components and managed by government adjudicated interface control documents. These SCS's are installed in aircraft to be delivered under the H-1 full-rate production contract as well as retrofit into existing fleet aircraft. Only BHTI has the technical data to ensure compatibility between software and aircraft systems due to the ongoing changes, upgrades, and system enhancements that are made to production aircraft.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
In accordance with FAR 5.201(b)(1), this requirement was synopsized via the Federal Business Opportunities website on 18 MAR 2014. No responses or inquiries have been received. Any future responses will be evaluated by the Contracting Officer.
7. Determination of Fair and Reasonable Cost.
In accordance with FAR 15.402(a), the Contracting Officer must ensure that all supplies and support are procured at a fair and reasonable price. Analysis of the proposal will be performed by technical analysts and contract specialists, with the assistance of DCMA analysts and DCAA auditors as needed. The Contracting Officer will analyze the various cost elements that are presented in the proposal, as well as review the actuals from previous procurements. The Procuring Contracting Officer (PCO) will use Government expertise, including DCMA, DCAA, the PMA, and other Government resources, to evaluate the proposal's material, labor, and subcontract positions. A detailed report developed as part of the Government evaluation will be utilized to establish a NAVAIR position. There is not currently a rate agreement in place between BHTI and DCMA for the time period covered under this procurement. The PCO will work with DCMA and DCAA to establish a rate position for this contract. As discussed in this paragraph, the PCO will use cost and price analysis as the basis for negotiating a fair and reasonable price for the supplies/support covered by this J&A.
8. Actions to Remove Barriers to Future Competition.
Due to the reasons stated in paragraph 5, future requirements will not be competed. Some of the upgrades to the legacy aircraft, the UH-1N and AH-1W, are performed in-house by the WSSA, and by competitively selected contractors. For example, DCS Corporation was selected under a small business set aside competitive process to provide systems engineering, software development and integration and flight test engineering under N68936-11-D-0001. Booz Allen Hamilton was competitively selected under the multiple awards IDIQ SURVIAC contract SP0?00-03-D-1380 to provide program and test data analysis and documentation.
