4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U.S.C. 2304(c}(1), Only one responsible source and no other supplies or services will satisfy agency requirements.

5. Rationale Justifying Use of Cited Statutory Authority.

J&A 12 22705

Rolls Royce Defense Services Inc. is the Original Equipment Manufacturer (OEM) of the A-427 series engine, subsystem and associate equipment and the only source capable of performing this effort to meet Fleet needs. Rolls Royce Defense Services Inc. is the only firm that possesses or can access the requisite knowledge of the engine and subsystems and without these services NATEC's Fleet customers would experience mission failure. The Government did not procure a complete Level Ill Engineering Technical Data Package (TOP) on the aforementioned aircraft engines, modifications, and upgrades. Based on the original acquisition strategy. the OEM is not required to relinquish proprietary engineering and technical data rights. The acquisition of engineering and technical data is beyond the scope and mission of the NATEC Integrated Warfighter Support Services (IWSS). This requirement is to provide (GETS) to the Fleet based on the state of the TOP and is intended to fill the gap between the technical capabilities of Government personnel and the proprietary engineering and technical data necessary to maintain the Power Plant (PP) F-402 and T56 series to include A-427 series Engine, sub-systems, and associated equipment in a high Ready-for-Tasking (RFT} state. In order for any vendor to accomplish the contractor engineering technical services and contractor fteld services, they would require access to the Rolls Royce Defense Services Inc's technical data package for the equipment. No other contractor possesses the requisite knowledge and expertise to satisfy this requirement.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

In accordance with FAR 5.201 (B)(1), this requirement was synopsized via the Federal Business Opportunities website on 22 March 2013. No responses or inquiries have been received. Any future responses will be evaluated by the Contracting Officer.

7. Determination of Fair and Reasonable Cost.

In accordance with FAR 15.402, the Contracting Officer must ensure that all supplies and services provided under this contract are procured at a fair and reasonable price. Analysis of the proposal will be performed by technical analysts and contract specialists, with the assistance of DCMA analysts and DCAA auditors as needed. The Contracting Officer will analyze the various cost elerrtents that are presented in the proposal, as well as review the actuals from previous procurements. The Procuring Contracting Officer (PCO) will use Government expertise, including DCMA, DCAA, The technical customer, and other Government resources, to evaluate the proposal's material, labor and subcontract positions. A detailed report developed as part of the Government evaluation will be utilized to establish a NAVAIR position. As discussed in the paragraph, the PCO will utilize cost and price analysis as the basis for negotiating a fair and reasonable price for the supplies/support covered by this J&A.

B. Actions to Remove Barriers to Future Competition.

None at this time. Based on the rationale identified in paragraph 5, the efforts under this J&A are sole source to Rolls-Royce Defense Services, Inc.
