This Justification and Approval authorizes and approves on a sole source basis a contract modification providing an additional Level of Effort (LOE) of 77.152 hours within the current period of performance (POP) under contract N68936-11-D-0028, Airborne Electronic Attack (AEA) Integrated Product Team (IPT) Engineenng Services. The sole source contractor is Northrop Grumman Systems Corporation (NGSC) located at 600 Grumman Road West, Bethpage. NY 11714-5000

This AEA IPT Engineering Services contract provides systems and in-service engineering. test support, and data in support of: (1i EA-68 Operational Flight Software (OFS) specifically: Time Sharing Algorithm, Controls & Displays Navigation Unit, Information Manager, Mission Manager, Tactical D1splay System, and Central Mission Computer and Embedded Global Positioning/Inertial Navigation System Navigation software; (2) EA-68 Unique Planning Component, including Foreign Military Sales (FMS); (3) EA-18G OFS. mcluding FMS. specifically: Electronic Attack Unit. ALQ-218 Tactical Jamming System Receiver, ALQ-227 Communications Countermeasures Set and ALQ-99 Tactical Jamming System. Platforms to be supported include EA-68, EA-18G and other advanced electronic attack derivatives. The goal of th1s procurement is to upgrade weapon system software to keep pace with emerging threats. to ensure that weapons systems interfaces are integrated and inter-operable with the Naval Aviation Enterprise and to correct deficiencies identified by fleet operators.

This modification will increase the cost ceiling by $12.285.977. The POP remains unchanged at 28 July 2011 through 31 July 2014.

5. Rationale Justifying Use of C1ted Statutory Authontv.

The follow-on for continued AEA Weapons Systems Modifications for the AEA lPT at NAWCWD, Point Mugu, CA is currently in process on an other than full and open competition bas1s. The current contract ends on 31 July 2014. However, With the addition of the FMS requirements post-award, the contract ceiling has been utilized quicker than anticipated. This additional LOE will sustain critical engineering serv1ces for the AEA IPT NAWCWD, Point Mugu, CA.

As the sole des1gner. developer. Integrator, manufacturer. and supplier of the EA-6B aircraft and EA-18G AEA system. NGSC is the only source that has the unique combination of airframe and weapons system integration knowledge needed to perform the required mission support. Furthermore, NGSC holds all rights to the technical data package for these requirements and is currently unwilling to sell the technical data package to the Government. As a result, only NGSC can ensure compatibility between software and aircraft systems due to the ongomg changes. upgrades. and system enhancements that are being made to EA-18G a1rcraft and post-production EA-6B a~rcraft.

Laboratory facilities have been developed at NGSC to evaluate the effectiveness of software enhancements. Complementary and compatible facilities have also been developed at Government facilities to ensure technical integrity of testing of new or upgraded avionics. To require any other contractor to purchase new laboratory equipment would introduce technical uncertainties related to testing comparisons with the Government's existing equipment, and is also cost prohibitive. The Contractor property at NGSC is used during the design phase to perform subsystem development. NGSC eqUipment is a combination of government furnished property and contractor furnished equipment that has been accumulated over the last 35 years under previous contracts and has an estimated value of $55 million.

The contractor furnished equipment is integral to the performance of this work. In the event this equipment is not available. weapons programs, software programs, and future EA-6B and EA-18G development schedule milestones will be significantly impacted, and development and fleet introduction schedules will slip.

Based on the foregoing, not issuing the LOE Increase would result in; (1) delayed/cancelled improvements to currently deployed AEA weapon systems, (2) degraded mission readiness of USN EA-18G and USMC EA-6B squadrons, (3) delayed/cancelled deliveries of EA-18G aircraft to Redacted and (4) delayed integration of the ACAT 10 Next Generation Jammer (NGJ) program. The delayed integration of NGJ could result in program termination since ACAT 1 D acquisition milestones would not be achieved, which would have signif1cant impact to fleet readmess and the USN/USMC AEA Five-Year Defense Plan.

It is in the best interest of the Government to allow the current contractor to continue performance so that the Government does not experience a break in service.

6. Descnption of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

7. Determination of Fair and Reasonable Cost.

In accordance w1th FAR Part 15.402. the Contracting Officer will ensure that all supplies and services provided under this contract are procured at a fair and reasonable price. The contractor will subm~ a cost proposal with certified cost and pricing data and sufficient information to support the accuracy and reliability of the estimate. The NGSC proposal will be reviewed by experienced technical analysts, cost analysts and contract specialists with the aid of necessary DCMA field pricing support. The Contracting Officer will utilize cost and price analysis as the basis for negotiating a fair and reasonable price.

8. Actions to Remove Barriers to Future Competition.

For the reasons set forth herem, NAVAIR has no plans at th1s time to award future competitive contracts for the types of supplies and services covered by this document. If another potential source emerges, NAVAIR Will assess whether competition for future requirements is feasible. NAVAl A has identified tasks that are bemg performed by Government personnel and another contractor such as jamming technique software and miss1on planning software that was previously sole sourced to NGSC. Other competitive tasking mcludes Small Business Innovative Research efforts to develop innovative AEA hardware and software for use in the EA-68 and EA-18G System Configuration Sets that have the potential to reduce reliance on NGSC in the future.
