DEPARTMENT OF THE NAVY
NAVAL AIR WARFARE CENTER AIRCRAFT DIVISION
IN REPLY REFER TO:
J&A_19-0065
JUSTIFICATION AND APPROVAL
FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
1. Contracting Activity.
Naval Air Warfare Center Aircraft Division (NAWC-AD) Lakehurst, NJ
2. Description of the Action Being Approved.
This justification and approval authorizes and approves on a sole source basis, a five-year, Fixed Price, Indefinite
Delivery/Indefinite Quantity type contract to Dart Aerospace (CAGE: 3AL64) Hawkesbury, ON, for the manufacture and delivery of Peculiar Support Equipment end items required to perform daily operations and maintenance on MQ-8C
Unmanned Aircraft Systems (UAS).

4. Statutory Authority Permitting Other Than Full and Open Competition.
10 U.S.C 2304(c)(1) and FAR 6.302-1(a)(2), Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authority.
These PSE items are modified Bell Helicopter commercial items that have been designed for use with the MQ-8C Aircraft. Red
Barn Machine (now Dart Aerospace) changed their materials and manufacturing processes to make the commercial Bell tools more corrosion resistant and suitable for use in harsh military environments. The tools have been tested and validated for use on the aircraft, are logistically supported, and are currently being used by the fleet. The procurement of alternate tools that have not been designed to properly interface with the MQ-8C could cause damage to the aircraft and jeopardize the safety of Fleet maintainers.
Bell Helicopter has identified Dart Aerospace as the actual manufacturer of the PSE end items, in possession of the required drawings and capable of manufacturing these items. Technical data and drawings for the modified commercial
19-0065 tools are proprietary to Dart Aerospace. The Government does not possess the technical data required to solicit by full and open competition.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
Market research was conducted through various internet search engines (Google, Small Business Database). Synopsis was posted on the Federal Business Opportunities (FBO) site on 2/13/2019. No alternate sources are found that are able to manufacture these modified commercial items without the required technical data. An adequate purchase description or other information suitable to solicit by full and open competition has not been developed because the Government does not have sufficient engineering data or drawings to organically design the above items and enable a competitive procurement.
7. Determination of Fair and Reasonable Cost.
The negotiation and establishment of a fair and reasonable price will be conducted in accordance with FAR 15.4. As stated in FAR 15.402, the Contracting Officer shall purchase all supplies and services at a fair and reasonable price. Based upon historical cost data, the Contracting Officer, Defense Contract Management Agency, and Defense Contract Audit Agency auditors have adequate information and background to determine a fair and reasonable price.
8. Actions to Remove Barriers to Future Competition.
For the reasons set forth in Paragraph 5, NAWC-AD has no plans at this time to compete future contracts for the types of supplies/services covered by this document. If another potential source emerges, NAWC-AD will assess whether competition for future requirements is feasible.
