CLAUSES INCORPORATED BY FULL TEXT

HQ B-2-0017 REFUNDS (SPARES AND SUPPORT EQUIPMENT) (NAVSEA)

(SEP 1990)

(a) In the event that the price of a spare part or item of support equipment delivered under this contract significantly exceeds its intrinsic value, the Contractor agrees to refund the difference. Refunds will only be made for the difference between the intrinsic value of the item at the time an agreement on price was reached and the contract price. Refunds will not be made to recoup the amount of cost decreases that occur over time due to productivity gains (beyond economic purchase quantity considerations) or changes in market conditions.

(b) For purposes of this requirement, the intrinsic value of an item is defined as follows:

(1) If the item is one which is sold or is substantially similar or functionally equivalent to one that is sold in substantial quantities to the general public, intrinsic value is the established catalog or market price, plus the value of any unique requirements, including delivery terms, inspection, packaging, or labeling.

(2) If there is no comparable item sold in substantial quantities to the general public, intrinsic value is defined as the price an individual would expect to pay for the item based upon an economic purchase quantity as defined in FAR 52.207-4, plus the value of any unique requirements, including delivery terms, inspection, packaging or labeling.

(c) At any time up to two years after delivery of a spare part or item of support equipment, the Contracting Officer may notify the Contractor that based on all information available at the time of the notice, the price of the part or item apparently exceeds its intrinsic value.

(d) If notified in accordance with paragraph (c) above, the Contractor agrees to enter into good faith negotiations with the Government to determine if, and in what amount, the

Government is entitled to a refund.

(e) If agreement pursuant to paragraph (d) above cannot be reached, and the Navy's return of the new or unused item to the Contractor is practical, the Navy, subject to the Contractor's agreement, may elect to return the item to the Contractor. Upon return of the item to its original point of Government acceptance, the Contractor shall refund in full the price paid.

If no agreement pursuant to paragraph (d) above is reached, and return of the item by the

Navy is impractical, the Contracting Officer may, with the approval of the Head of the

Contracting Activity, issue a Contracting Officer's final decision on the matter, subject to

Contractor appeal as provided in the "DISPUTES" clause (FAR 52.233-1).

(f) The Contractor will make refunds, as required under this requirement, in accordance with instructions from the Contracting Officer.

(g) The Contractor shall not be liable for a refund if the Contractor advised the Contracting

Officer in a timely manner that the price it would propose for a spare part or item of support equipment exceeded its intrinsic value, and with such advice, specified the estimated proposed price, the estimated intrinsic value and known alternative sources or item, if any, that can meet the requirement.

(h) This requirement does not apply to any spare parts or items of support equipment whose price is determined through adequate price competition. This requirement also does not apply to any spare part or item of support equipment with a unit price in excess of $100,000;

or in excess of $25,000 if the Contractor submitted, and certified the currency, accuracy and completeness of, cost or pricing data applicable to the item.

4.1 Task 1 - MMS Repairs

MMS serial numbers will be provided by the government COR as failed MMS's are returned from the fleet or during the NUWCDIVNPT checkout process. NUWCDIVNPT will provide a Maintenance Action Report (MAR) for each unit detailing the failure indications and reason for return. All returned MMS assemblies will be initially inducted into the contractors standard repair process that will include; Test, Inspection and Evaluation (TI&E) and the associated level of repair determination. The contractor shall repair MMS assemblies returned to their facility in accordance with their standard repair procedures, drawings and specifications current at the time of repair. MMS repair services shall include the following:

4.1.1 T e s t , I n s p e c t , E v a l u a t e a n d P e r f o r m Standard Repair:

A. Perform incoming test, inspection and evaluation. Attempt to determine/replicate

NUWC failures.

B. Perform repairs up to and including the following scope: up to 2 SRU (card) level repairs and 1 “instrument” (Gyro or Triad). Includes replacement of 1 gyro, with a new gyro, otherwise does not include any additional SRU replacements.

C. If during TI&E or repair and test, the anticipated scope exceeds the standard FFP repair requirement, the contractor shall provide the NUWC COR with supporting documentation for Over and Above Repairs (OAR) as described in Section 4.1.2 below.

D. If during TI&E the contractor determines the MMS to be Beyond Economic Repair

(BER) the contractor shall provide the NUWC COR with supporting documentation and actions as describe in 4.1.3.

E. If there is no fault found (RTOK), continue to F.

F. As required, perform sensor calibration, A0 trim and minibias to bring the unit up to maximum performance.

G. Reload the MMS firmware and perform MMS specific acceptance test procedure

(ATP).

H. Perform failure analysis and root cause corrective action.

4.1.2 Over and Above Repairs (OAR)

A. Repair of MMS units that are outside the scope of the Standard Repair (Paragraph

4.1.1) are considered Over and Above Repair (OAR). All OAR recommendations, including the basis for the recommendations and the repair required, shall be provided by the contractor prior to continuing the repair of the item. OAR repairs shall be quoted on a unit-by-unit basis and shall include the Firm Fixed Price (FFP) estimate required in addition to the FFP funded standard repair. NUWCDIVNPT may determine to use Government Furnished Property (GFP) lay-in spare SRUs for OAR repairs in which case the repair quote shall not include the cost of this GFP hardware.

B. After receipt of the required OAR quote, NUWC shall provide the contractor disposition instructions and/or a contractual modification with cost adjustment for repair of the item as a separate task order.

C. Contractor shall perform required OAR repairs and complete the standard repair process, E-G in 4.1.1.

4.1.3 Beyond Economic Repair (BER)

A. If the contractor determines during the TI&E performed in 4.1.1 that repair is not feasible due to excessive damage, out of date revisions or other conditions, the MMS may be considered Beyond Economic Repair (BER). The contractor shall provide documentation stating the basis for the BER determination. NUWCDIVNPT shall review the documentation and it is within NUWCDIVNPT's discretion to proceed with the repair of the BER item or determine that the item shall be disposed per government furnished information (GFI) disposition instructions. Additionally, NUWCDIVNPT can make a BER determination if funding of repair at the quoted repair cost is deemed not in the best interest of the government.

B. NUWCDIVNPT shall provide the contractor disposition instructions or contractual authority for further actions. The contractor is not authorized to proceed with any action until further notification is received from NUWCDIVNPT.

4.1.4 Deliverables

The contractor shall prepare and deliver a Technical Reports for the items identified in paragraphs 4 .1.1, 4.1.2, & 4.1.3 in accordance with the CDRLs provided under individual task orders. The Technical Reports will consist of the contractor’s standard

Failure Analysis and Summary Report (FSAR) to include TI&E findings and corrective actions, and Repair Activity Report (RAS).

4.1.5 Authorization to Transfer Shop Replacement Units (SRUs)

In an effort to facilitate repair turnaround time, the contractor is authorized to transfer

SRUs between inducted MMSs accountable under this contract in the current repair cycle.

Transfers between MMSs are contingent upon proper documentation in the records of affected MMSs (to be reported in CDRLs provided under individual task orders). This documentation shall be sufficient to ensure each SRU can be traced to its original MMS.

Repairs shall be made as if each MMS was repaired with the SRUs in the MMS as inducted, that is, as if transfer of SRUs has not occurred. Transfers of SRUs are also authorized from

Government owned inventory lay-in spares. If a gyro or accelerometer is deemed un-repairable, NUWCDIVNPT shall provide separate disposition instructions for its disposal. If a gyro or accelerometer is disposed, NUWCDIVNPT will not incur a disposal charge.

Transfer of SRUs shall not result in an increase in repair price when:

1. A transfer takes place between Government-owned inducted MMS’s

2. A Government owned inventoried SRU is transferred to an inducted MMS

The contractor shall maintain adequate records to ensure proper billing and payment has taken place. These records are subject to Government audit and review. Any transfer of

SRUs shall not be the basis for the contractor claiming or being reimbursed for Over and

Above repair effort, Beyond Economical Repair or Beyond Physical Repair for the

LRUs/SRUs involved in the transfer.

Replacement parts lay-in spare LRU’s, will be procured by NUWCDIVNPT through individual task orders and will remain at the contractor's facility. The replacement parts will be maintained and managed by the contractor. The contractor shall notify

NUWCDIVNPT prior to depletion of minimum replacement part requirements. The contractor shall take into consideration manufacturing lead time as a factor in notifying

NUWCDIVNPT as to when to purchase new replacement parts.

4.2 Task 2 - MMS Overhaul

As the fleet of MMSs ages and they exceed the Mean Time Between Failure (MTBF) predictions, NUWCDIVNPT will designate units for overhaul based on MMS hours and repair history. The contractor shall perform FFP MMS overhauls to bring the units to a like new condition. MMS serial numbers will be provided by the government COR. All returned

MMS assemblies will be initially inducted into the contractors standard repair process for Test, Inspection and Evaluation (TI&E) to determine if any other repairs outside the scope of the overhaul are required. The contractor shall overhaul MMS assemblies returned to their facility in accordance with their standard repair procedures, drawings and specifications current at the time of overhaul.

4.2.1 Standard Overhaul

A. Perform incoming test, inspection and evaluation as specified in 4.1. Determine if additional repairs are required beyond the overhaul replacements.

B. Without further contract action, replace the 3 gyros and triad with new units. Units to be used from GFE stock purchased under Task 3 (sec 4.3). Reset the internal time meter to zero.

C. If during TI&E or overhaul and test, the anticipated scope exceeds the standard overhaul, the contractor shall provide NUWC COR with supporting documentation for OAR repairs as described in Section 4.1.2 above.

D. Perform full sensor calibration.

E. Reload the MMS firmware, and perform MMS specific acceptance test procedure
