SECTION SF 30 BLOCK 14 CONTINUATION PAGE

The following items are applicable to this modification:

AMENDMENT 0003

1) The purpose of this amendment is to respond to questions received

QUESTION:

1. The Government is requested to clarify the source selection method for this procurement.

Is it Best Value or LPTA?

ANSWER:

1. The source selection method for this procurement is LPTA.

QUESTION:

2. Section L, page 46 of 52, references “cost proposal spreadsheets” that should be submitted by offerors. Since this is a firm fixed price procurement, a cost spreadsheet does not seem applicable. Is submission of a completed SF 33 and Section B sufficient without any spreadsheets? If not, then please specify what data the Government requires in a cost proposal spreadsheet.

2. "Cost proposal spreadsheets" are not required. The submission of a completed SF 33 and Section B are sufficient without any additional cost spreadsheets.

The following shall be DELETED from Page 46 OF 52 of SECTION L OF THE SOLICITATION under PD-L01 PROPOSAL PREPARATION REQUIREMENT (JUL 2007) (NSWCPD), Paragraph 3, which states:

"In order to facilitate the evaluation process, it is requested that offerors also submit their cost proposal spreadsheets on compact disk (in addition to the hard copy requirements stated above). It is requested that spreadsheet files be compatible with Microsoft Windows 2000 Professional, Microsoft Office Excel 2003, and Microsoft Office 2007.

The submission of spreadsheet files on compact disk in no way relinquishes the offeror's responsibility to provide hard copies of the cost proposal."

QUESTION:

3. CDRLs A001, A002 and A003, as well as NOTE A on RFP page 3 of 52, refer to cost data for four different Price Groups. As this is a firm fixed price procurement, are these Price Groups applicable? Please clarify.

3. This is a Firm Fixed Price procurement. The Price Groups contained on CDRLS A001, A002, and A003 are not applicable. In addition, HQ-B-2-0009 NOTE (CDRL) contained in Section B, Page 3 of 52, shall be deleted in its entirety.

4. Did the Government contract with a company to design the new AN/BRR-6 Tow Cable Shipping/Storage Boxes? If so, will the Government identify that company, and is that company(ies) prohibited from competing for this production contract based on potential organizational conflict of interest (OCI)?

4. The solicitation is being amended to add the following Clause HQ 2-C-0037 ORGANIZATIONAL CONFLICT OF INTEREST (NAVSEA) (JUL 2000) by full text to the solicitation and any resultant award.

HQ C-2-0037 ORGANIZATIONAL CONFLICT OF INTEREST

(NAVSEA) (JUL 2000)

(a) "Organizational Conflict of Interest" means that because of other activities or relationships with other persons, a person is unable or potentially unable to render impartial assistance or advice to the Government, or the person's objectivity in performing the contract work is or might be otherwise impaired, or a person has an unfair competitive advantage. "Person" as used herein includes Corporations, Partnerships, Joint Ventures, and other business enterprises.

(b) The Contractor warrants that to the best of its knowledge and belief, and except as otherwise set forth in the contract, the Contractor does not have any organizational conflict of interest(s) as defined in paragraph (a).

(c) It is recognized that the effort to be performed by the Contractor under this contract may create a potential organizational conflict of interest on the instant contract or on a future acquisition. In order to avoid this potential conflict of interest, and at the same time to avoid prejudicing the best interest of the Government, the right of the Contractor to participate in future procurement of equipment and/or services that are the subject of any work under this contract shall be limited as described below in accordance with the requirements of FAR 9.5.

(d) (1) The Contractor agrees that it shall not release, disclose, or use in any way that would permit or result in disclosure to any party outside the Government any information provided to the Contractor by the Government during or as a result of performance of this contract. Such information includes, but is not limited to, information submitted to the Government on a confidential basis by other persons. Further, the prohibition against release of Government provided information extends to cover such information whether or not in its original form, e.g., where the information has been included in Contractor generated work or where it is discernible from materials incorporating or based upon such information. This prohibition shall not expire after a given period of time.

(2) The Contractor agrees that it shall not release, disclose, or use in any way that would permit or result in disclosure to any party outside the Government any information generated or derived during or as a result of performance of this contract. This prohibition shall expire after a period of three years after completion of performance of this contract.

(3) The prohibitions contained in subparagraphs (d)(1) and (d)(2) shall apply with equal force to any affiliate of the Contractor, any subcontractor, consultant, or employee of the Contractor, any joint venture involving the Contractor, any entity into or with which it may merge or affiliate, or any successor or assign of the Contractor. The terms of paragraph (f) of this Special Contract Requirement relating to notification shall apply to any release of information in contravention of this paragraph (d).

(e) The Contractor further agrees that, during the performance of this contract and for a period of three years after completion of performance of this contract, the Contractor, any affiliate of the Contractor, any subcontractor, consultant, or employee of the Contractor, any joint venture involving the Contractor, any entity into or with which it may subsequently merge or affiliate, or any other successor or assign of the Contractor, shall not furnish to the United States Government, either as a prime contractor or as a subcontractor, or as a consultant to a prime contractor or subcontractor, any system, component or services which is the subject of the work to be performed under this contract. This exclusion does not apply to any recompetition for those systems, components or services furnished pursuant to this contract. As provided in FAR 9.505-2, if the Government procures the system, component, or services on the basis of work statements growing out of the effort performed under this contract, from a source other than the contractor, subcontractor, affiliate, or assign of either, during the course of performance of this contract or before the three year period following completion of this contract has lapsed, the Contractor may, with the authorization of the cognizant Contracting Officer, participate in a subsequent procurement for the same system, component, or service. In other words, the Contractor may be authorized to compete for procurement(s) for systems, components or services subsequent to an intervening procurement.

(f) The Contractor agrees that, if after award, it discovers an actual or potential organizational conflict of interest, it shall make immediate and full disclosure in writing to the Contracting Officer. The notification shall include a description of the actual or potential organizational conflict of interest, a description of the action which the Contractor has taken or proposes to take to avoid, mitigate, or neutralize the conflict, and any other relevant information that would assist the Contracting Officer in making a determination on this matter. Notwithstanding this notification, the Government may terminate the contract for the convenience of the Government if determined to be in the best interest of the Government.

(g) Notwithstanding paragraph (f) above, if the Contractor was aware, or should have been aware, of an organizational conflict of interest prior to the award of this contract or becomes, or should become, aware of an organizational conflict of interest after award of this contract and does not make an immediate and full disclosure in writing to the Contracting Officer, the Government may terminate this contract for default.

(h) If the Contractor takes any action prohibited by this requirement or fails to take action required by this requirement, the Government may terminate this contract for default.

(i) The Contracting Officer's decision as to the existence or nonexistence of an actual or potential organizational conflict of interest shall be final.

(j) Nothing in this requirement is intended to prohibit or preclude the Contractor from marketing or selling to the United States Government its product lines in existence on the effective date of this contract; nor, shall this requirement preclude the Contractor from participating in any research and development or delivering any design development model or prototype of any such equipment. Additionally, sale of catalog or standard commercial items are exempt from this requirement.

(k) The Contractor shall promptly notify the Contracting Officer, in writing, if it has been tasked to evaluate or advise the Government concerning its own products or activities or those of a competitor in order to ensure proper safeguards exist to guarantee objectivity and to protect the Government's interest.

(l) The Contractor shall include this requirement in subcontracts of any tier which involve access to information or situations/conditions covered by the preceding paragraphs, substituting "subcontractor" for "contractor" where appropriate.

(m) The rights and remedies described herein shall not be exclusive and are in addition to other rights and remedies provided by law or elsewhere included in this contract.

(n) Compliance with this requirement is a material requirement of this contract.

5. On page 12 of 52, the quantity for shipment to the NSLC OMS Warehouse should be changed from “110” to “109”. The previous page specified that the first lot (quantity one) should be shipped to NSWC Building 542 in Philadelphia.

5. The Delivery Schedule on page 12 of 52 of the solicitation shall be deleted. Contractors are required to use the delivery schedule that is contained in Amendment 0002 of the Solicitation under ANSWER 3, which is as follows:

Lot Number 1 (1 unit) shall be delivered to:

Naval Surface Warfare Center- Philadelphia Division Building 542 542 Langley Avenue, Philadelphia, PA 19112 Attn: Mark Del Duke, Code 437 (215)897-1919

ADDITIONAL UNITS SHOULD NOT BE STARTED UNTIL THE FIRST UNIT HAS

BEEN ACCEPTED BY THE GOVERNMENT.

Lot Numbers 2 through 4 (109 units) shall be delivered to:

NSLC OM&S Warehouse MF: Alan Wurst/Justin Rothrock 5450 Carlisle Pike, Bldg. 209 Mechanicsburg, PA 17055

(717) 319-4717

6. Page 47 of 52 refers to three separate volumes: Introduction, Technical Proposal, and Price Proposal. The inference is that both Technical and Price can be summarized in the separately bound Volume I; however, mid-way down the page it states “It is noted that the entire technical proposal shall not exceed TWENTY-FIVE (25) pages in length.”

Please clarify the scope and intent of Volume I, Introduction, and the page limit for the Technical Proposal. Furthermore, if the Introduction and Technical Proposal are purely Technical, can they be bound in the same binder as part of one volume?

6. As stated in the solicitation on Page 47, under (2) TECHNICAL PROPOSAL, the proposal shall consist of Three (3) Volumes:

VOLUME I - INTRODUCTION (Maximum length: 5 pp.)

VOLUME II - TECHNICAL PROPOSAL (Maximum length: 20 pp.)

VOLUME III – PRICE PROPOSAL (NO PAGE LIMIT)

Technical and Price shall not be summarized in the separately bound Volume I. The Technical Proposal is Volume II and Price Proposal is Volume III. The technical proposal shall not contain any pricing information.

As stated on Page 47, VOLUME I - INTRODUCTION "This section shall provide any necessary background information and an overview of the proposal which the offeror believes will assist in the understanding and accurate evaluation of the proposal."

The scope and intent of this is to invite Offerors to include any additional information that they would like to provide that will aid the Government in their understanding of the Offeror's proposal and to accurately evaluate their proposal.

Although the INTRODUCTION and TECHNICAL PROPOSAL are purely technical, they are required to be separated into 2 separate volumes as stated in the solicitation.

However, they can be bound in the same binder.

7. Page 48 of 52, in the first paragraph under FACTOR 4 – PRICE states that “One original copy of the price proposal shall be submitted.” This contradicts the Section L table on page 46 of 52, which specifies 1 Original and 1 Copy. Please clarify.

7. One (1) Original and one (1) Copy of the Price Proposal shall be submitted.

On Page 48 of 52, under FACTOR 4, first paragraph, revise the following sentence from "One original copy of the price proposal shall be submitted.” To " One (1) original and one

(1) copy of the price proposal shall be submitted.”

8. Subparagraph (a) on page 48 of 52 specifies that Section B should be completed for CLIN and Sub-CLIN Unit Prices and for evaluation purposes, the Total Prices. Section B lists only a priced CLIN 0001 and a CLIN 0002 that is Not Separately Priced. Is offeror correct in assuming that there are no Sub-CLINs to price?

8. The solicitation does not contain any Sub-CLINS to price.

On page 48 of 52, under VOLUME III – PRICE PROPOSAL (NO PAGE LIMIT), FACTOR 4 - PRICE, Subparagraph (a), "and Sub-CLIN" shall be deleted. Subparagraph

(a) is revised as follows:

(a) This Volume shall contain a signed SF33 for the basic solicitation; a signed copy of each amendment; the signed Representations, Certifications and Acknowledgements or Online Representations and Certifications Application (ORCA) and a copy of Section B with the Contract Line Item (CLIN) Unit Prices and for evaluation purposes, the Total Prices filled in Supplies and/or Services and Prices and/or using the estimated quantities value in the solicitation and the instructions below.

9. Item #5, Part 8628118-1 Spool Q. Can this be a manufactured part (Rolled, Welded and x-rayed) or is it to be aluminum pipe?

ANSWER:

9. Item #5, Part of 8628118-1 is the tow staff mounting rod which is fabricated from bar stock, so manufacturing from rolled plate is not feasible and therefore, not an approved change.

10. Item #8, Angle, Bearing Support Q. I can purchase 2"x1"x1/4" Angle, but I can't find 2"x1.16"x1/4", is this a regular 1"x2"x1/4" or will this part need to be machined to size?

10. Item #8, Part of 8628117-1, Bearing Support Angle shall be machined to the dimensions indicated on drawing 8628117, sheet 6, Detail 42-C using material that conforms to the specified ASTM B221, Aluminum Alloy - T6, type 6063.

11. Part number 8628119-1 is called out as ASTM B221 Aluminum Alloy T6 and is drawn as sharp corner. Is T52 an acceptable replacement for the T6 temper for this part?

ANSWER:

11. Clarification on all aluminum alloys was provided in a previous response above. ASTM B221 Aluminum Alloy T6, type 6063 was used in the fabrication of the prototype reel assembly and was found to be acceptable. ASTM B221 Aluminum Alloy T52 has a lower tensile and yield strength than ASTM B221 Aluminum Alloy T6 and is therefore not an acceptable substitution.

12. Does T651 fulfill the T6 requirement for aluminum plate?

ANSWER

12. For ASTM B221 Aluminum Alloy, type T651 has a higher tensile and yield strength than ASTM B221 Aluminum Alloy T6 and is therefore an acceptable substitution.

QUESTION:

13. My company is interested in quoting the above referenced Sol#. I have a question concerning the material. On the Hub, the material called for is 16” NPS Sch 100 Pipe. Is this pipe T6 Aluminum alloy. My suppliers don’t carry that size. Can you suggest a place to get this pipe? Any help you can give will be greatly appreciately.

13. We are not able to provide this information.

2) Replace REVISED CDRL A003 from Amendment 0002 with FINAL Redlines to Tow Cable Box CDRL A003 – 04May18.

3) Replace chart that was previously provided in Amendment 0002 under Question 1 (supplementary information to clarify material selection) with the chart below. Some of the columns shifted when the previous amendment was generated.

HQ C-2-0037 ORGANIZATIONAL CONFLICT OF INTEREST (NAVSEA) (JUL 2000)

(a) "Organizational Conflict of Interest" means that because of other activities or relationships with other persons, a person is unable or potentially unable to render impartial assistance or advice to the Government, or the person's objectivity in performing the contract work is or might be otherwise impaired, or a person has an unfair competitive advantage. "Person" as used herein includes Corporations, Partnerships, Joint Ventures, and other business enterprises.

NOTES

The period of time in paragraphs (e) and (f) may be varied; however, the time period must be for a fixed period of duration sufficient to avoid the circumstance of unfair competitive advantage or potential bias. Termination of the restriction can be by occurrence of a specified event, e.g., award of the second production contract.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

SECTION L OF THE SOLICITATION

PD-L01 PROPOSAL PREPARATION REQUIREMENT (JUL 2007) (NSWCPD)

It is requested that offerors prepare their proposals in accordance with the following organization, content and format requirements to assist the government in making a complete and thorough evaluation of all proposals.

Proposals shall be submitted as three separate documents, as follows:

Documents Original Copies Solicitation, Offer and Award Document (SF-33) 1 1 Technical Proposal 1 3 Price Proposal 1 1

The “originals” shall be clearly identified as the “ORIGINAL”, and bear the original signature(s) of the offeror. The “copies” shall be complete and clearly identified as “COPY” or “DUPLICATE”.

(1) SOLICITATION, OFFER AND AWARD DOCUMENTS (SF-33 RFP)

This document, which may be used as part of the contract award document, shall be fully executed and returned as a separate document from the technical and cost proposals. Special attention should be taken to accurately enter the prices required in Section B, complete all Representations and Certifications in Section K and ensure that an authorized person signs the offer in Block 17 of Page 1.

The document SHALL NOT be embellished with any cover or binding.

If the offeror makes any qualifications to any provisions in the RFP, all such qualifications shall be listed in a cover letter to the proposal. Qualifications may also be annotated on the Solicitation, Offer and Award document, if such annotation is necessary to clarify the qualifications.

(2) TECHNICAL PROPOSAL

The technical/management proposal should be written so that management and engineering oriented personnel can make a thorough evaluation and arrive at a sound determination as to whether the proposal meets the requirements of this solicitation. To this end, the technical proposal shall be so specific, detailed and complete as to clearly and fully demonstrate that the prospective contractor has a thorough understanding of the technical requirements contained in Section C of this solicitation.

Statements such as "the offeror understands," "will comply with the statement of work," "standard procedures will be employed," "well known techniques will be used" and general paraphrasing of the statement of work are considered inadequate. The technical proposal must provide details concerning what the contractor will do and how it will be done. This includes a full explanation of the techniques, disciplines, and procedures proposed to be followed.

The technical proposal shall not contain any reference to cost; however, information concerning labor allocation and categories, consultants, travel, materials, equipment and any information of interest to technical reviewers shall be contained in the technical proposal in sufficient detail so that the offeror’s understanding of the scope of the work may be adequately evaluated. The technical proposal shall be page numbered, contain a table of contents, be organized in the following three (3) volumes, and shall address in detail the information identified below.

It is noted that the entire technical proposal shall not exceed TWENTY-FIVE (25) pages in length.

VOLUME I - INTRODUCTION (Maximum length: 5 pp.)

This section shall provide any necessary background information and an overview of the proposal which the offeror believes will assist in the understanding and accurate evaluation of the proposal.

VOLUME II – TECHNICAL PROPOSAL (Maximum length: 20 pp.)

The offeror’s proposal shall contain a Technical Proposal and a separate Price Proposal. The technical proposal shall not contain any pricing information. The offeror shall submit one original and three (3) copies of the technical proposal. The Technical Proposal shall contain sufficient information to enable Government personnel to make a thorough evaluation and arrive at a sound determination as to whether or not the technical proposal demonstrates the offeror’s ability to understand and comply with the solicitation’s requirements. Statements which paraphrase the specifications or attest that “standard procedures will be employed” will be considered inadequate in demonstrating the offeror’s actual capability of meeting the specification requirements. At a minimum, the offeror’s Technical Proposal must clearly address, with narratives, drawings, charts, schematics, etc., the following technical factors:

FACTOR 1 – Technical Capability: Offerors shall provide documentation which clearly demonstrates that their proposed technical approach and performance characteristics are in accordance with the Government’s specifications cited in Section C. Further, the Offeror may be required to provide a Certificate of Current Cost or Pricing Data prior to award, pursuant to FAR 15.406-2. Offeror shall acknowledge the requirement to provide additional cost or pricing information and certify the data prior to award if/when requested by the Government.
