4. Statutory Authority Permitting Other Than Full and Open Competition
10 U.S.C. 2304(c)(1), only one responsible source and no other supplies or services will satisfy agency requirement as implemented by Federal Acquisition Regulation (FAR) 8.405- 6(a)(1)(i)(B).
This acquisition is conducted under the authority of the MAS Program. The primary statutory authority for the MAS program is 41 U.S.C. 152 (3).
5. Rationale Justifying Use of Cited Statutory Authority
NAVSEA Headquarters as well as its Warfare Center (WC) Divisions have a requirement for OpenText software maintenance to provide NAVSEA enterprise-wide support for document management, records management and workflow management.
OpenText components include Content Suite, which is the foundational component for enterprise content management, File system Archival, PDF Forms, Content Server Developers Kit and Web Reports. As a federally certified records management tool, the Content Server Platform allows NAVSEA to store essential documents as official records under a formal retention schedule. OpenText, Inc. is the only company that can provide the annual software maintenance support necessary to preserve the health and accreditation posture of the system.
The OpenText Content Suite provides maximum flexibility and control over documents and business content across the NAVSEA enterprise by securing and storing it throughout its lifecycle.
Ser 02/3634
As a large organization, NAVSEA has many systems, which produce large volumes of structured and unstructured content. If the software maintenance was not procured, NAVSEA would lose its Authority to Operate (ATO), which would require the OpenText system to be shut down.
OpenText software is currently deployed by NAVSEA and its activities, and pursuing another solution would require NAVSEA to integrate, reconfigure, migrate 20 years of legacy data and train personnel to work with a new tool/product. The export, translation and migration of 20 years of data would be a non-recoverable cost. As would be the costs to recreate the workflows that have enhanced the business processes across the enterprise. In order to recreate this capability it would take a minimum of .25 man-year per site. This estimate is based on the implementation of the OpenText software. As the OpenText environment is utilized by 35 sites across the enterprise, the combined labor would represent a total investment of more than eight man-years.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable
A Sources Sought Notice was posted to beta.sam.gov notifying industry of the Government’s intent to solicit to OpenText, Inc. from 8/15/2020 to 8/20/2020. No responses were received. OpenText, Inc. is the original developer of the software and is the sole provider for the licenses and the renewals of the licenses. Based on the information provided above, OpenText Content Suite is the only solution that meets the Government’s requirements.
7. Determination of Fair and Reasonable Costs
The Contracting Officer has determined that the anticipated costs to the Government for the items covered by this J&A will be fair and reasonable. The anticipated delivery order will be awarded against the underlying Federal Supply Schedule. For the purpose of establishing the schedule contract, the schedule price has already been determined to be fair and reasonable.
8. Actions to Remove Barriers to Competition
For the reasons set forth in Paragraph 5, Corona Division has no plans at this time to compete future contracts for the types of supplies/services covered by this document. If another potential source emerges, Corona Division will assess whether competition for future requirements is feasible.
