52.212-1 (ADDENDUM) ADDITIONAL INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS
SUBMISSION PACKAGE
This is a FAR Part 12 procurement that uses FAR Part 13 Simplified Acquisition Procedures conducted under the FAR 13.5 test program. After receipt of quotes the Government may, with or without notice, negotiate with and, if desired, seek quote revisions from as many or as few quoters as it, in its discretion, deems appropriate.
The term “offeror” or “offer” as used in FAR 52.212-1 shall be understood to mean “quoter” and “quote,” respectively. Further, the term “award” shall be understood to describe the Government’s issuance of an order in response to a request for quotes (RFQ).
The Government will consider all quotes that are timely received and may consider late quotes. Failure of a quote to address any items listed in the attached submission package may make a quote unacceptable.
Proposals may be hand delivered, mailed, or sent electronically. Hand delivery and mailed proposals shall be made to the location stated below.
Military Sealift Command Attention: Ms. Karoline Duffy, Code N1023 914 Charles Morris Ct., SE, Building 157 Washington Navy Yard, DC 20398-5540
Electronic submissions shall be made using either the Adobe format, Microsoft Word or Microsoft Excel and addressed to Karoline Duffy (karoline.duffy@navy.mil). Offerors are advised that the Government may be unable to receive other types of electronic files (e.g., .zip files) or files in excess of 10 megabytes. In all cases, Offerors are responsible for the risks associated with the chosen delivery method and for ensuring that the Government is in receipt of the complete proposal prior to the due date and time. To be timely, an E-mail proposal must be received in its entirety in the designated E-mail inbox by the due date and time for proposal submission. An E-mail proposal that resides on a Government server, but has not appeared in the designated E-mail inbox by the due date and time for proposal submission will be considered late unless the exception at FAR 52.212-1(f)(2)(i)(A) applies. The exception at FAR 52.212-1(f)(2)(i)(B) shall not apply to E-mail proposals.
The proposal must demonstrate an understanding of and ability to meet all of the requirements set forth in the Performance Work Statement (PWS) referenced herein. Throughout the proposal, the Offeror shall provide sufficient detail to substantiate the validity of all statements. The Offeror shall demonstrate that the proposal is in compliance with the requirements, terms, and conditions of the solicitation.
Comprehensive responses to the requirements of this solicitation are required to enable the Government to evaluate the Offeror’s understanding of and capability to accomplish the requirements of the PWS. The proposal must clearly demonstrate the Offeror’s ability to meet the requirements of the solicitation and successfully accomplish and manage all requirements of the solicitation. General statements that the Offeror can or will comply with the requirements, that standard procedures will be used, that well known techniques will be used, or paraphrasing the solicitation’s requirements in whole or in part, will NOT constitute compliance. Failure to conform to any of the requirements of the solicitation may form the basis for rejection of the proposal.
Brochuremanship is not desired; clarity, completeness, and conciseness are essential and the overall quality of the proposal will be evaluated in the context of being representative of the Offeror’s services. An Offeror’s proposal is presumed to represent the best efforts to respond to the solicitation.
Since only the proposal submitted in response to this solicitation will be evaluated, Offerors should make certain that their proposal is complete with regard to the information provided. Data previously submitted, or presumed to be known, e.g., previous projects performed for the Government, will not be considered in the evaluation unless that information is physically contained in the proposal.
Offerors are advised that the Government may selectively verify any information provided in the proposal. Offerors are cautioned that they are responsible to ensure that material that they desire to have evaluated for a particular section is contained in that specific section.
PROPOSAL REQUIREMENTS
Offers shall contain the following:
FACTOR 1: TECHNICAL CAPABILITY
The technical capability must demonstrate an understanding of and an ability to comply with all requirements covered in the solicitation. Offerors shall not simply rephrase the requirements, but instead shall, where appropriate, provide relevant examples and references to demonstrate how they meet the requirements.
Subfactor 1: Understanding of PWS / Technical Approach
Offerors shall provide a written narrative that demonstrates their overall understanding of and approach to the type of service that they would deliver and perform if awarded a Contract. The narrative shall address the elements set forth below:
1. A detailed description of Offeror’s approach including a detailed step-by-step methodology that would be used in accomplishing each task required by the PWS.
2. A demonstration of the Offeror’s ability to mitigate any technical risks that may impact successful performance. Offerors shall address their ability to manage and identify any technical risk and their planned actions to mitigate or eliminate the risks.
3. A list of the recommended equipment for installation and a demonstration of the equipment’s conformance to ABS and USCG requirements.
4. A description of the modifications to be made to the existing Propulsion Control System (PCS) and the Alarm and Monitoring Control System (AMCS) as well as how these modifications will be performed.
5. A recommended spare parts and maintenance equipment list that the Contractor will be responsible for providing as part of the installation during the Optional Tasks.
6. A list of all shipboard documents and test procedures affected by the replacement design (to include, for example, technical manuals, drawings, and test procedures) that will require verification and updating.
7. A list of all items to be prefabricated to allow for the pre-assembly of the replacement SCC into modular sections to minimize installation activity onboard the USNS ZEUS.
8. An estimate of the labor hours required to complete the base period task and all optional period tasks.
Labor hour estimates shall be broken down by deliverable (as identified in the PWS).
9. Pre-Bid ship check survey notes, drawing mark-ups, draft drawings, photos, and sketches.
10. A detailed description of conditions found during the ship check including any concerns about existing equipment, arrangement, and condition and a list of interference items that would require temporary removal to provide access for installation of the replacement SCC.
Subfactor 2: Schedule
Offerors shall provide a Plan of Action & Milestones (POA&M) demonstrating their understanding of the sequencing of events and interdependencies between deliverables. The POA&M shall clearly show milestones for all deliverables as well as:
1. Contract Award (Estimated date: 23April 2015)
2. Optional Task One Exercise
3. Optional Task Two Exercise
4. Shipyard Availability: 26 Feb 2016 – 05 May 2016
5. Contract Completion
The schedule shall demonstrate 1) sequencing of events; 2) interdependencies between deliverables; 3) sufficient time to complete each deliverable; 4) review time; and 5) ability to meet the overall schedule.
Deviations from the proposed delivery schedule contained in the PWS can be submitted provided adequate justification is provided and the overall schedule is maintained.
Subfactor 3: Management Approach / Quality Assurance Plan
Offerors shall provide a narrative describing their experience in performing the work specified in the PWS as well as their approach for managing the Contract. The narrative shall address the following:
1. A description of the Offeror’s overall management philosophy and guiding principles.
2. A demonstration of experience in performing the work specified in the PWS and in managing projects of similar magnitude and scope to this requirement.
3. A description of the Quality Assurance Plan.
Subfactor 4: Key Personnel
Offerors shall provide resumes for all key personnel (project manager, lead electrical engineer, quality assurance engineer, and installation team lead). Offerors shall provide letters of intent for any key personnel who are not current employees of the Offeror, or current employees of a subcontractor identified in the quote. Letters of intent must be signed by the proposed employee and include the name of the proposed employee, date, and a statement affirming the intent of the proposed employee to begin employment with the Offeror or the Offeror’s subcontractor following Contract award.
FACTOR 2: PAST PERFORMANCE
Past Performance: Quoters are requested to provide information on up to three (3) Government contracts whose effort is/was recent and relevant to the effort required by this solicitation.
i. “Recent” is defined as a contract in-progress or completed within the last five (5) years. If the Quoter has not had three (3) Government contracts within the last five (5) years, information on recent and relevant subcontracts and/or commercial contracts may be submitted.
ii. “Relevant” is defined as a contract that is of similar scope, magnitude, and complexity to the requirements as set forth in this solicitation.
Scope: Experience in the areas defined in the PWS.
Magnitude: The measure of the similarity of the volume, dollar value and/or duration of the work actually performed under the offeror’s submitted contracts to the PWS.
Complexity: The measure of the similarity of technical difficulty, managerial intricacy and/or required coordination of efforts and disciplines performed by the offeror in its submitted contracts to the PWS. For complexity, not only will the tasks performed by the offeror be considered, but also the offeror’s ability to coordinate tasks (e.g., concurrent performance requirements).
A Past Performance Data Sheet Exhibit (1) is requested to be submitted for each contract to be considered as past performance. Quoters shall provide a detailed explanation demonstrating the similarity of the contracts to the requirements of this solicitation; a detailed description of the work performed for the contract; and the role performed, including whether the Quoter acted as a prime contractor or a subcontractor. Quoters are responsible for the accuracy of all data provided.
Past performance information regarding predecessor companies and subcontractors that will perform major or critical aspects of the requirement may be provided as past performance submissions.
For each of the contracts the Quoter describes in a Performance Data Sheet Exhibit (1), the Quoter is requested to provide a Past Performance Questionnaire Exhibit (2) to a reference at the organization that awarded the contract. It is requested that the reference, not the offeror, email or fax the completed Past Performance Questionnaire Exhibit (2) BEFORE THE DUE DATE FOR PROPOSALS directly to Karoline Duffy, Military Sealift Command, 914 Charles Morris Court SE, Washington Navy Yard DC 20398-5540, e-mail: karoline.duffy@navy.mil and stefani.nick@navy.mil; Fax Number: (202) 685-5965. The Quoter, NOT THE GOVERNMENT, is responsible for ensuring that the Government receives a sufficient number of questionnaires.
All Quoters are required to address historical compliance with the requirements of FAR Part 52.219-8 (Utilization of Small Business Concerns) in the Performance Data Sheet Exhibit (1). In addition, large businesses shall address historical compliance with the requirements of FAR Part 52.219-9 (Small Business Subcontracting Plan) and DFARS 252.219-7003 (Small Business Subcontracting Plan, DOD Requirements.) in the Performance Data Sheet Exhibit (1).
FACTOR 3: PRICE
The price proposal shall cover all aspects of the proposed effort. Offerors shall provide a price for all labor to perform each task identified in the PWS (Base Period Task and all Optional Period Tasks included). The Offeror shall propose costs associated with Travel and ODCs, which will be reimbursed by the Government in accordance with the PWS.

(5) EXPIRATION OF OFFERS

(End of Provision)
52.212-2 EVALUATION--COMMERCIAL ITEMS (JAN 1999)
(a) The Government will award a single contract resulting from this solicitation to the responsible quoter whose quote, conforming to the solicitation, will be most advantageous to the Government, price and other factors considered. The Government will determine which quotes will be most advantageous to the Government utilizing Lowest Price, Technically Acceptable source selection procedures, to include acceptable past performance.
FACTOR 1- TECHNICAL CAPABILITY
The Technical Capability factor will be evaluated on an acceptable or unacceptable basis. All proposals will be evaluated to determine whether they conform with all minimum technical requirements of the solicitation and satisfy the submission requirements delineated in FAR 52.212-1 ADDENDUM for the 1) Understanding of PWS / Technical Approach; 2) Schedule; 3) Management Approach / Quality Assurance Plan; and 4) Key Personnel subfactors. To receive an acceptable rating, offers must be found acceptable in all technical subfactors and conform fully to the minimum technical requirements of the solicitation. Technical tradeoffs will not be made and no additional credit will be given for exceeding the minimum requirements of the solicitation.
FACTOR 2- PAST PERFORMANCE
The past performance evaluation will assess the offeror’s probability of meeting the solicitation requirements. The Government’s evaluation will take into account relevant information submitted and the Government’s assessment and evaluation of other sources of information. Other sources of information for past performance may include, but are not limited to, Past Performance Information Retrieval System (PPIRS) reports, the Federal Awardee Performance and Integrity Information System (FAPIIS), Electronic Subcontract Report System (ESRS), other databases, questionnaires and interviews.
(1) The Government will consider the recency and relevancy of past performance information compared to the requirements detailed in the PWS, the source of the information, the context of the data and general trends in the offeror’s performance and any associated risk.
(2) The Government will consider the extent of the offeror’s ability to perform a previous contract successfully in the areas of; (a) Quality of Product or Service; (b) Timeliness or Scheduling of Supplies/Deliveries; (c) Business Relations/Customer Satisfaction; and (d) Key Personnel and Staffing (including subcontractors).
(3) The Government will consider the company itself, predecessor companies, and subcontractors who will perform major or critical aspects of the requirement.
(4) For all offerors, the Government will consider historical compliance with the requirements of FAR Part 52.219-8 (Utilization of Small Business Concerns). In addition, for large businesses, the Government will consider historical compliance with the requirements of FAR Part 52.219-9 (Small Business Subcontracting Plan) and DFARS 252.219-7003 (Small Business Subcontracting Plan, DOD Requirements).
The Government reserves the right to consider Past Performance Questionnaires received after the due date for receipt of proposals. The Government reserves the right to contact references for verification or additional information and the right to consider other relevant past performance information. The Government may call customers, whether or not provided by the offeror, to inquire about the offeror’s past performance. The Government does not assume the duty to search for data to cure the problems it finds with the information provided by the offeror. The burden of providing thorough and complete past performance information remains with the offeror.
In accordance with FAR 15.305(a) (2) (iv), an offeror without a record of relevant past performance or for whom information on past performance is not available, will not be evaluated favorably or unfavorably on past performance.
FACTOR 3- PRICE
(a) Price will be evaluated based upon fairness and reasonableness. The total evaluated price will include the value of all CLINS inclusive of each period of performance's price for Labor, Travel and ODCs. The Government will award a Contract resulting from this RFP to the lowest priced technically acceptable offer.
(b) Options: The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the options.
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful Offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
