J&A No. JA-16-015

JUSTIFICATION AND APPROVAL

FOR USE OF OTHER THAN FULL AND OPEN COMPETITION

Authority: 10 U.S.C. 2304(c)(l), as implemented by FAR 6.302-1

Pursuant to the Competition in Contracting Act (CICA) and in accordance with FAR 6.303-1 Requirements and FAR 6.303-2 Contents, the justification shall incorporate sufficient facts and rationale to support the use of the statutory authority cited.

1. Contracting Activity.

This is a Justification for Other Than Full and Open Competition to procure a new Inherent/ Apparent Optical Instrument System for the Marine Optics Branch Code NP33 l to be executed by Naval Oceanographic Office (NA VOCEANO) Contracts Department.

NA VOCEANO proposes to enter into a contract award with the SEABIRD Scientific, parent company of WETLABS, Inc and SA TLANTIC, Inc.

2. Description of the Action Being Approved.

The Government anticipates awarding a firm-fixed price contract on a sole source basis to Seabird Scientific. At this time, SeaBird Scientific and its subsidiaries are the only source for the supplies and services required to satisfy the NA VOCEANO ' ·

~quirements. This contract will use to procure one (1) oceanographic winch system, two (2) Underwater mommmescence Assessment Tool (UBA T), and repair/calibration/reconfiguration of an existing apparent optical instrument in support of the Marine Optics Branch. Anticipated delivery date for this portion of the contract is May 2016. The contract will also utilize FY16 Other Procurement, Navy funding to procure two (2) complete Inherent/ Apparent Optical Instrument Suites. The proposed period of performance consists of one (1) base year plus three (3) one-year option years. Anticipated delivery date is September 30, 2016.

3. Description of Supplies/Services.

The proposed contract action is to support Naval Oceanographic

The proposed system must be capable of measuring reflectivity, diffuse attenuation, chlorophyll, spectral absorption, optical backscattering, and bioluminescence potential. This system will also provide surface and at depth measurements and will be co located with conductivity, temperature, and depth (CTD) measurements. The proposed optical system will include one ( 1) 2 HYPERPRO II (AOP spectral radiometer) hyperspectral profilers, two (2) 2 HYPERSAS (AOP spectral radiometer) for measuring surface reflectance, three (3) 2 standard T-AGS CTD sensor suites to include two (2) transmissometers, FLNTU sensor

(fluorometer) for chlorophyll and turbidity, pH sensor per system, four ( 4) 2 ACS attenuation meters (IOP spectroradiometer) for hyperspectral absorption and transmissivity, five (5) UBAT for bioluminescence potential, six (6) 2 oceanographic winch systems containing 400-500 meters of at least 7-conductor electromechanical cable with shipping crates to facilitate deployment, seven (7) 4 altimeters, eight (8) 2 STOR-X data loggers to mux and demux all instrument data streams, nine (9) 2 customized deployment cage, ten (10) all necessary software and associated hardware, eleven ( 11) any necessary training and support, twelve (12) calibration/repair of stated instruments in subsequent performance period and thirteen (13) shipping and handling.

4. Statutory Authority Permitting Other Than Full and Open Competition.

10 U. S.C 2304( c )(1 ), Only one responsible source and no other supplies or services will satisfy agency requirements, as implemented by FAR 6.302-1.

5. Rationale Justifying Use of Cited Statutory Authority.

Historically, NA VOCEANO has used three separate companies to provide the instruments needed to acquire the required optical measurements. They are WET Labs, SA TLANTIC, and SeaBird. Presently, all of these companies have now merged under the parent company of SeaBird. NAVOCEANO has a long standing historv with each of these companies

IL

FOR OFFICIAL USE ONLY

Knowledge in this particular area of oceanography is limited. SeaBird Scientific, along with its subsidiaries, possess the most complete and current understanding of marine optics. They are the only company that possesses the expertise to provide this system or provide the required calibrations, services, or repairs that may be needed.

6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.

Among the optics instrumentation community, there are very few manufacturers. This issue has been discussed with numerous professional contacts via telephone calls, personal meetings, and electronic mail. These contacts include other manufacturers, scientists at the Naval Research Lab (NRL), university researchers, and qualified technical personnel. Efforts were also made to find viable companies via their websites. Companies researched via their websites are Wetlabs, Satlantic, Seabird, Biospherical, Hobilabs, Laser World Focus, Zygo, Wyko, and Interocean Systems Inc. SeaBird and its subsidiaries are the only companies that maintain the proprietary rights to this equipment. No other source can provide this equipment. NA VOCEANO does not have the funding nor lead time available to redesign components and all operational equipment due to a change in the manufacturer.

7. Determination of Fair and Reasonable Cost.

Fair and reasonable determination will be made in accordance with FAR 13.106-3(a)(2)(iv) comparison to similar items in a related industry and in accordance with FAR 13.106-3(a)(2)(vi) comparison to an independent Government estimate.

8. Actions to Remove Barriers to Future Competition.

For the reasons set forth in paragraph 5, NA VOCEANO has no plans at this time to compete future contracts for the supplies/services covered in this document. If another potential source emerges, efforts will be made to compete in the future.
