MEMORANDUM

Subj: SOLE SOURCE JUSTIFICATION TO ACQUIRE OCEANEERING SPACE SYSTEMS

(OSS) EXPERIMENTAL LIQUID THERMAL GARMENT (PR TBD)

1. Identification of the agency and the contracting activity, and specific identification of the document as a “Limited Source Justification.”

This is a sole source justification. Contracting activity is the Naval Sea Systems Command, Naval Surface Warfare Center, Panama City Division (NSWC PCD), 110 Vernon Avenue, Panama City, FL 32407-7001 (Contracts Division Code 024).

2. Nature and/or description of the action being approved.

This action will award a firm fixed price purchase order, on a sole source basis, to Oceaneering International, Inc. (CAGE code 2F262, OSS) to develop and produce one experimental liquid thermal garment (eLTG) with option for two additional garments.

3. A description of the supplies or services required to meet the agency’s needs (including the estimated value).

The contract effort is to acquire the following:

Item Quantity eLTG per specifications 1 each Option 2 each

The Government’s minimum needs have been verified by the certifying technical and requirements personnel. This memo does not authorize acquisition for other requirements. This acquisition will be conducted using simplified acquisition procedures with a total dollar value not exceeding the simplified acquisition threshold of $150,000.00. The Government's minimum needs have been verified by the certifying technical and requirements personnel. This memo does not authorize acquisition for other requirements. This procurement will be funded with Other Procurement, Navy (OPN) funds.

4. Identification of the justification rationale (see FAR 6.302-1(2)(i)(A) and, if applicable, a demonstration of the proposed contractor’s unique qualifications to provide the required supply or service.

This acquisition is conducted under the authority of 10 U.S.C. 2304(c)(1) or 41 U.S.C.

3304(a)(1). FAR 6.302-1(2)(i)(A) Only One Responsible Source:

The Navy Experimental Diving Unit (NEDU) has a requirement to acquire an experimental diving suit to support future testing and evaluation of improved long duration dive performance using thermal management of a diver’s core and skin temperatures. NEDU currently has existing test support equipment and it is crucial that an advanced diving thermal garment can connect with this equipment. OSS owns the technical and proprietary data for their Navy and NASA approved liquid thermal garment and have the capacity to modify to meet experimental garment specifications unique to NEDU and upon approval produce units to order. OSS is operationally capable of providing a liquid thermal suit as a system with 12 separate supply and return connectors and numerous manifolds that distribute temperature controlled liquid to 19 total regions. Flow within zones will be either 1.0 or 1.5L/minute and liquid and flow within regions will be uniformly distributed due to OSS’s knowledge of fluidics and application in design and manufacture of appropriate length, volume, radii and overall characteristics/dimensions of the distribution network. Each of the 19 regions will contain 2 disconnects that self-seal, are easily accessible near the manifold, and contain no dead-end passages that may prevent appropriate flushing of the system. The suit system will not leak or burst when tested at 105 degrees F, at 1.5 L/min, and/or at pressure of 35psi. A 6’0” 200lbs person will fit optimally and comfortably within the suit as all tubing, connectors, manifolds, padding, and plastics will not be bulky, cause pressure points or restrict blood flow. OSS has the capabilities to start and deliver on or about 120 days after placement of order. OSS is the only approved source that can meet these requirements without having to develop a liquid thermal suit, test, approve, modify for NEDU needs, and produce. Not awarding to OSS on sole source basis will cause redundancy in processes and prevent NEDU from obtaining the highest graded privately-owned technology for this equipment and the associated costs are not expected to be recovered through competition.

Therefore, it is in the U.S. Government’s best interest to award on a sole source basis to OSS.

5. A determination by the ordering activity contracting officer that the order represents the best value consistent with FAR 13.106-1(b).

The Contracting Officer has determined that the order represents the best value and results in the lowest overall cost alternative (considering price, special features, administrative costs, etc.) to meet the Government’s needs.

6. A description of the market research conducted among schedule holders and the results or a statement of the reason market research was not conducted.

Market research was conducted to support the claims under paragraph 4 per FAR 10.001(a)(2)(iii). This justification will be made available in fbo.gov.

7. Any other facts supporting the justification.

None.

8. A statement of the actions, if any, the agency may take to remove or overcome any barriers that led to the restricted consideration before any subsequent acquisition for the supplies or services is made.

As stated in paragraph 4 above, Oceaneering Space Systems is the only source that can provide this necessity.

TECHNICAL AND REQUIREMENTS REQUESTING OFFICIAL

I certify that the facts and representations under my cognizance, which are included in this justification, are complete and accurate to the best of my knowledge and belief.

CONTRACTING OFFICER REVIEW AND APPROVAL

I, as contracting officer for the contracting activity, have reviewed this justification and certify that the justification is accurate and complete to the best of my knowledge and belief.
