CLAUSES INCORPORATED BY FULL TEXT

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Please see Addendum to 52.212-2.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

ADDENDUM TO PROVISION 52.212-2

Basis of Award:

A. Award will be made in accordance with the procedures specified in the solicitation and on the basis of the lowest priced proposal meeting or exceeding the acceptability standards for the non-price factors. The non-price factors will be Technical Approach and Subcontracting Plan. A contract may be awarded to the offeror who is deemed responsible IAW FAR 9.1, as supplemented, whose proposal conforms to the solicitation requirements (to include all stated terms, conditions, representations, certifications, and all other information required by the solicitation instructions) and is judged to represent the lowest priced proposal meeting or exceeding the acceptability standards for the non-price factors.

B. The Government will organize the proposals based on the lowest price and will evaluate the technical approach and the subcontracting plan of the lowest priced offeror first. If the lowest priced offeror is technically acceptable and includes an acceptable subcontracting plan, that offer represents the best value for the Government and the evaluation process ceases at this point. Award shall be made to that offeror without further consideration to any other offers.

C. The Government intends to make award based on the initial proposal submissions without conducting exchanges. Therefore, each offer should contain the Offeror’s best terms from a price and technical standpoint.

However, the Government reserves the right to hold exchanges if, during the evaluation, it is determined to be in the best interest of the Government. Exchanges are fluid interaction(s) between the Contracting Officer (CO) and the contractors that may address any aspect of the proposal. Offeror responses to exchanges will be considered in making the award selection decision. Exchanges may be conducted with one, some or all offerors as the Government is not required to conduct exchanges with any or all contractors responding to this solicitation.

3. Evaluation Factors

A. Responses to this solicitation will be evaluated against the following factors:

Factor 1: Technical Approach Factor 2: Subcontracting Plan Factor 3: Price

FACTOR 1: Technical.

The offeror’s proposal shall thoroughly demonstrate how the offeror intends to meet the SOO requirements.

Do not simply restate the SOO requirements.

Offerors may submit an invoice structure with milestone payments which may be considered by the Government.

The technical factor will be rated on an acceptable/unacceptable basis as defined below:

TABLE A – Technical Ratings

Rating Description

Acceptable Proposal meets the requirements of the SOO and solicitation.

Unacceptable Proposal does not meet the requirements of the SOO and solicitation.

FACTOR 2: Subcontracting Plan.

The offeror’s proposal shall include a subcontracting plan IAW the Addendum to 52.212-1.

The subcontracting plan factor will be rated on an acceptable/unacceptable basis as defined below:

FACTOR 3: Price.

A. Price proposals should support the proposed technical approach and will be evaluated for fair and reasonableness. Offerors whose price is determined to be incomplete or unreasonable may not be considered for award.

B. Reasonableness. For a price to be reasonable, it must represent a price to the Government that a prudent person would pay in the conduct of competitive business. The Government will determine prices fair and reasonable through the use of one or more of the price analysis techniques at FAR 15.404-1.

4. Although past performance will not be used as an evaluation factor, information obtained from sources available to the Government such as the Past Performance Information Retrieval System (PPIRS) and Contractor Performance Assessment Reporting System (CPARS) may be used as part of the responsibility determination made IAW FAR 9.104-1. The Government reserves the right to obtain information relative to present and past performance on its own.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (OCT 2018)

ALTERNATE I (OCT 2014)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u)) of this provision.

(a) Definitions. As used in this provision--

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
