75. Cancellation Fee: The Contractor and Government agree the purpose of this clause is to induce the Contractor to offer to and to provide the required services when the Contractor otherwise would not offer to provide them because of the Contractor’s inability to recover its out-of-pocket costs in the event the Government does not exercise an option to extend the term of the contract or terminates the contract for the convenience of the Government.
In the event the Government does not exercise an option to extend the term of the contract or terminates the contract for convenience, the Contractor shall be entitled to not-to-exceed cancellation costs subject to the following conditions and according to the following schedule:

"Cancellation costs" means, and only means, costs specifically identified by the Contractor in its proposal and actually incurred by the Contractor between contract award and vessel delivery to the Government including, and limited to, the following categories of costs: costs incurred by the Contractor for vessel acquisition, reflagging costs and modification, or conversion costs, and only to the extent such modification, or conversion costs were incurred in order for the vessel to meet contract requirements. The Government has sufficient working capital funds for these cancellation costs.
When requesting payment of cancellation costs, the Contractor shall provide evidence satisfactory to the Contracting Officer verifying that Contractor actually incurred the specified categories of cancellation costs prior to delivery of the vessel to the Government and the amount thereof.
The cancellation costs must be reasonable, allowable, and allocable to the contract as defined in FAR 31.201. The Government will not be obligated in any event to reimburse the Contractor for the specified categories of cancellation costs in excess of the amount allotted in the schedule above for each contract period regardless of anything to the contrary in the clause entitled "Termination for Convenience of the Government." The Contractor agrees that payment of the specified cancellation costs according to the schedule above for any contract period fully compensates the Contractor for the specified categories of cancellation costs. The Contractor waives any right it may have to claim any additional costs for the specified categories of cancellation costs in the event such cancellation costs become payable, whether as a result of a termination for convenience or as a result of the Government's failure to exercise an option. As used in this clause, the total amount payable by the Government for the specified categories of cancellation costs in the event the Government does not exercise an option or terminates the contract for convenience is as set forth in the schedule above.
This clause does not limit the rights of the Government under the clauses entitled “Default,” “Termination for Convenience of the Government,” “Loss of Vessel,” “No Cost Cancellation – Deficiencies,” “Remedies,” or “Excessive Time Lost.” The clauses entitled “Default,” “Loss of Vessel,” “No Cost Cancellation – Deficiencies,” “Remedies,” and “Excessive Time Lost” are not subject to cancellation costs.
Note: Pursuant to 10 U.S.C. § 2401, the Government is prohibited from entering into a vessel charter that contains a substantial termination liability. Offerors who submit substantial termination liabilities will not be considered for award. A substantial termination liability is defined by the statute as:
i. An agreement by the U.S., under the contract, to pay an amount equal to or greater than 25% of the value of the vessel for the termination liability; or
ii. An agreement by the U.S., under the contract, to pay an amount equal to or greater than 50% of the value of the vessel for the sum of the termination liability and the value of the total payments attributable to capital-hire.
1. PERFORMANCE WORK STATEMENT - Augusta Bay Maritime Support Vessel (MSV)
1.1 General. Military Sealift Command (MSC) requests a U.S. flagged vessel which will function as a
Maritime Support Vessel (MSV) supporting various size craft both organic and non-organic.
1.2 Operating Scenario. The vessel will provide hotel services for 29 sponsor personnel with the ability to surge to 44 sponsor personnel and shall support sponsor operations on a continuous 24-hour basis as needed. The vessel will also serve as a small boat platform and be capable of performing launch and recovery operations, refueling, re-provisioning and assisting with routine small boat maintenance. In addition, the vessel will provide space for equipment stowage, messing, berthing, administrative / operational planning, and equipment maintenance. Contractor must be able to conduct emergency towing of Sponsor boats and provide logistics services in support operations. The Contractor shall operate all deck equipment to include the elevator, cranes, and davits.
1.3 Area of Operations. Operations are anticipated to be conducted worldwide. It is intended for the vessel to be on-station conducting independent operations in a remote environment.

1.8 Certifications. The vessel must meet all federal, state, and local regulations for the operations they will be conducting.
1.9 Endurance and Seakeeping. The vessel must be capable of supporting at-sea operations for up to 90 days without re-supply.

CLASSIFICATION
The vessel shall be USCG certified (COI) under Sub Chapter I with no restrictions and be classed by the American Bureau of Shipping. The Contractor shall submit its most recent Certificate of Inspection (COI) for evaluation. The Contractor shall obtain and submit with its proposal for evaluation and maintain throughout contract performance the required helipad, elevator, and heavy lift crane and boat davit certifications with its proposal for evaluation.
DECK EQUIPMENT The contractor shall provide redundant launch and recovery capabilities for Four
(4) 12m x 3m craft with a minimum of 2m draft. The launch and recovery system shall be capable of lifting / supporting 30,000 pounds (includes boat, personnel and equipment) per small boat. The contractor shall also provide
1) Four (4) boat davits or crane’s that will be ABS man-rated certified.
The davits/crane shall be able to launch and recover the watercraft described above in a minimum of sea state 3. The davits shall be evenly distributed between port and starboard sides of the ship. The 4 davits shall have a minimum vertical dimension from keel of craft to apex of lift slings to sufficiently lift the boats.
2) Two (2) 110v 30 A outlets near the launch and recovery system. Each outlet should be sealed to prevent salt water intrusion.
3) Water Supply. The Contractor shall provide a minimum of 2,760 gallons of potable water production to support the forty-four (44) personnel plus crew living onboard (minimum 40 gallons per day (GPD) per person) and for daily fresh water wash down of embarked equipment, gear and machinery (1,000 GPD). Water must be able to reach all parts of the mission deck for fresh water wash down.
4) The ability to launch or recover up to four (4) small boats in ten (10) minutes or less per boat.
5) Small boat fueling capability at each stowage position.
6) Storage capacity for 8,000 gallons F-76/DFM/#2 diesel and 2,000 gallons 100LL aviation fuel for small boat/rotary wing fueling. The Contractor shall install three GFE Bryant Fuel System (USCG approved) containers. Two shall be 20’x8’x8’ (LWH) containers with a 4,000 gallon capacity for small boat refueling and one shall be 10’x8’x8’ (LWH) container with 2,000 gallon capacity for rotary wing refueling. The Contractor shall provide a shelter for each of the Bryant Fuel Systems.
7) Storage for one (1) ISU 90 mechanic pallet 8x9x8 (LWH)
8) Small boat storage locations require access to either the ships crane or small crane capable of 2,000 lbs. lift capacity or a 10’ (w) x 18’ (h) rolling overhead chain hoist 2,000lb capacity (ability to pull boat engines inside).
9) Elevator. The Contractor shall provide a stern elevator that will accommodate (2) 12m x 3m craft with a minimum of 2m draft of clearance from aft end of elevator to aft extremity of craft. The elevator shall be capable of lifting/supporting 60,000 pounds. The Contractor shall provide float/on and float off capability from the elevator for launch and recovery using a removal boat cradle system which will provide maintenance space for swapping out engines, out drives, and other minor repairs. The elevator shall be able to launch and recover in a minimum of sea state 3.
10) Rotary Wing Support. The Contractor shall provide a minimum 30’ x 30’ USCG/ABS certified helicopter deck, capable of supporting a 25,000 pound helicopter. The Contractor shall provide adequate tie-down locations for an Unmanned Arial Vehicle (UAV) to be restrained in sea state 3. The Contractor shall provide a clear deck area to launch, recover, and support facilities for helicopter landing with adequate tie downs for restraint in sea state 5. The Contractor shall provide the required lighting and fire prevention equipment.
11) Electrical Power. The Contractor shall provide electrical power in the vicinity of two government furnished equipment shelters. At a minimum, four (4) 220VAC, 60 AMP, 3-Phase, 60HZ outlets and four
(4) 110VAC, 30 AMP, 60HZ outlets shall be provided. Locations to be defined after award.
12) Crane Operations. The Contractor shall provide 24 hour crane services in support of Government requirements. The crane shall be capable of lifting 30,000 pounds at an adequate distance to load full expanse of open deck area from pier or underway in a minimum of sea state 3. Assume craft sling apex is 15 feet from side of ship during underway launch and recovery. The crane shall be capable of lifting suspended items to a height that provides sufficient clearance from the crane hook to gunwales all the way to the helo deck. The Contractor shall also provide a stern crane capable of lifting 2,000 lbs. to replace engines on craft staged on the elevator.
13) Rigging Equipment. The Contractor shall provide sufficient rigging equipment to support sponsor operations to include a man rated 30,000lbs lift.
14) Lifesaving Equipment. The Contractor shall operate all lifesaving support systems in accordance with manufacturer’s instructions at the time intervals and frequencies as required. Lifesaving support systems include, but are not limited to life rafts, davits, winches, and boat engines.
15) Support Small Boat Operations. The Contractor shall support all small boat launch and recovery operations.
16) Cradle Stowage. The Contractor shall provide a means to store the removable boat cradle when not in use. The boat cradle is 50’ long 9’ wide.
17) Jet Ski Stowage. The Contractor shall provide stowage for two Government provided jet skis on the forward end of the elevator. Each jet ski shall be stowed on a government provided cradle, L- 12.5 FT, W-
5.5 FT, H- 4.5 FT, their combined weight (including cradle) is 2000 lbs.
18) Low Pressure (LP) Air Supply. The Contractor shall provide two LP air lines from the ship service air system with a retractable reel system with standard air nozzles and 50 ft. hoses to allow for repairs on the aft end of the elevator.
STABILITY The vessel shall be able to operate up to and including sea state 5 and be capable of station keeping to conduct boat launch and recovery operations up to and including sea state 3. The vessel must be capable of anchoring in water depths for a vessel of its class and size. The vessel must be capable of conducting unassisted pier side mooring/undocking. The vessel will be required to loiter for long periods of time as a re-supply station for small boats.
VESSEL ENDURANCE The vessel must be capable of supporting at sea operations for up to 90 days without resupply.
CREW REQUIREMENTS Citizenship: The master, Contractor personnel, officers, and entire crew are required to be U.S. citizens.
Certifications: The vessel will be crewed to safely and efficiently operate the vessel, operate deck equipment and small boats, and perform mission operations on a 24-hour basis as described herein. Additionally, crewing for voyages in accordance with USCG Subchapter I certification shall be maintained throughout the charter period. Licensing, STCW endorsements, and documentation are required in accordance with U.S. Coast Guard regulations as applicable to the vessel’s type, size, class, and service. The Master, officers, and crew shall possess valid and current licenses, certificates, and documents for the capacity in which each is employed. At all times while underway, the Contractor shall have at least one shipboard employee aboard who has U.S.C.G. recognized first aid and CPR certification within the past 12 months.
Clearances: The Master, Contractor personnel, officers, and entire crew are required to have and maintain a SECRET clearance throughout contract performance.
Compliance with EPIC Screening: Per EPIC Instructions found in Attachment E.
SPONSOR MESSING, BERTHING AND
WORK SPACES
Sponsor Berthing Accommodations. The Contractor shall provide adequate berthing accommodations for up to forty four (44) sponsor personnel. Vessel to supply three hot meals per person per day. Adequate showers/heads shall be provided. All accommodations shall be air conditioned and heated. The Sponsor staterooms shall be configured as follows:
4 - 4 man rooms with private head and shower 14 – 2 man rooms with private head and shower Two man staterooms shall be sized 10’x15’ and 4 man rooms shall be 14’ x 15’.
Sponsor Conference Room. The Contractor shall furnish a dedicated and lockable planning conference space for fifteen (15) personnel with desk space to accommodate fifteen (15) GFE laptop computers with four (4) GFE computer screens and two (2) GFE printers. The space shall be built to ICD 705 standards and include tables, chairs, and multiple power outlets/strips to support GFE computer and data display equipment. The space shall also include one (1) 220v source for a GFE shredder.
The Contractor shall prewire the space for Contractor installation of five (5) large TV screens (GFE) and GFE TV screen mounts. The Contractor shall provide an 18-in shelf for display computers with a power strip beneath it. The Contractor shall provide Electrical optical/Infrared optical (EO/IO) camera feeds to the space. The feeds will be centrally located/terminated to a Contractor-provided switching system in the conference room (for display on GFE large screens).
The Contractor shall ensure adequate cooling/AC with a maximum temperature of 80 degrees F. The Contractor shall ensure all cable runs from spaces to antennae platforms are less than 150 feet. The conference room shall have a single entry. The Contractor shall convert any additional entryways to emergency exits only. External windows to the space with adjacent passageways shall be blacked out.
Workout Room. The Contractor shall provide a 500 sq. ft. workout room. The space shall have an overhead height of greater than or equal to 9 feet for at least 100 sq. ft. The space shall have the following characteristics:
- Twelve (12) receptacles placed throughout the space - Support for one (1) TV monitor (GFE)
- Two (2) LAN drops for SIPR and UNCLAS internet capability The space shall be uninterrupted by walls with flat decking to support continuous use.
Communications Room. The Contractor shall furnish a dedicated and lockable communications room (built to ICD 705 standards). The room shall accommodate the following equipment:
- Four (4) server racks (GFE)
- Two (2) desks (CFE) The room shall have the following characteristics:
- Two (2) CAT-VI patch panels (CFE)
- Four (4) 30A circuits (CFE)
- Four (4) 20A circuits (CFE) The Contractor will ensure adequate cooling with a maximum temperature of 80 degrees F.
Medical Space. The Contractor shall provide one dedicated medical space with a minimum of one bed and one exam table, hot and cold water sink, eight electrical outlets, a safe, refrigerator, and storage cabinets. The Contractor shall provide brackets to mount two (2) GFE oxygen bottles near the head of the exam table, install GFE surgical lights, and GFE litter stanchions/brackets. The Contractor shall ensure the hospital doors allow easy litter access.
VESSEL DECK SPACE Equipment Stowage Space. The Government will provide seven (7) 20' x 8.7' x 8' (LWH) containers, four (4) 12.5m x 3m craft, and two (2) standard 108" x 88" (LXW) ISU boxes. This GFE must be stored on an external deck of the vessel.
Stacking of containers is allowed if the deck level containers are provided sufficient clearance to allow the doors to open freely. The Contractor shall provide sufficient clearance around the aft and one side of the craft (starboard or port) to allow for engine/drive removal as well as repairs. The Contractor shall provide power to the ISU boxes and five containers in the following circuit sizes and quantities: 110v, 60Hz, 10A and three (3) 110v, 60Hz, 20A, per container.
The contractor shall provide power for the remaining two (2) containers in the following circuit sizes and quantities: 60A service (220/110v, 3-phase, 60Hz).
Ordnance Storage Space. The Government will provide five (5) GFE Ready service Lockers (RSLs). The exterior dimensions of each locker are 11' x 9' x 9' (LWH). The RSLs may be stored on an internal deck or an external deck. The RSLs shall be secured to the deck with sufficient restraint to accommodate all vessel motions. The RSLs shall be installed to allow the doors to swing open freely and not be visible to outside observers. The Contractor shall provide110v/60HZ/20A power and potable or fresh water for each RSL.
Minimum flow rate required is 28.8 gpm. If RSLs are stored on an internal deck of the vessel, the Contractor shall install appropriate lighting, fire suppression, and alarm systems and must conform to NAVSEA OP 4 and OPNAVINST 5530.13c requirements.
General /Weapon Repair Stowage – The Contractor shall provide one dedicated locker for the storage of Government furnished weapon repair equipment and general items. The locker will be an 8’x8’x8’ Armory made by

1.11 DAILY HIRE: Except as otherwise provided herein, the daily charter hire rate shall be considered payment in full for all services of the Vessel and Associated Equipment and all other requirements under this Charter Party contract, including, but not limited to penalty time, bonuses, payments, and emoluments payable to Master, Officers and crew for services under this Charter, irrespective of the geographic scope of said service and the nominal carriage of ammunition and hazardous cargoes. Daily charter hire rate shall also be considered payment in full for all overtime. Port charges and fuel expenses are reimbursable.

FPCON NORMAL – This condition applies when a general global threat of possible terrorist activity exists and warrants a routine security posture. At a minimum, access control will be conducted at all DoD installations and facilities.
FPCON ALPHA - This condition is declared as a general warning of possible terrorist activity, the nature and extent of which is unpredictable, when the circumstances do not justify full implementation of the measures of FPCON BRAVO. FPCON BRAVO - This condition is declared when there is an increased and more predictable threat of terrorist activity even though no particular target is identified. FPCON CHARLIE - This condition is declared when an incident occurs or when intelligence is received indicating that some form of terrorist action against installations or personnel is imminent. FPCON DELTA - This condition is declared when a terrorist attack has occurred or when intelligence has been received that terrorist action against a specific location is likely. Normally this FPCON is declared as a localized warning.

3. DELIVERY
Vessel delivery within the laydays specified in Box B1 is of paramount importance to the Government. It is anticipated by the parties that the Vessel will be delivered within the laydays specified in Box B1 and any delay in delivery beyond the laydays ending date shall constitute a material breach of this contract. The Vessel and all Associated Equipment shall be delivered to the Charterer at a port or place in accordance with Box B1 at place of delivery on the date stated in Box B1, the Contractor giving written notice of readiness during office hours to the appropriate Government representative at the port or place of delivery on a working day (Saturdays, Sundays, or other recognized weekly days of rest, U.S. Government holidays, and holidays observed at the delivery port, whether national or local, shall not be considered working days). Government inspection of the Vessel shall be completed within a reasonable amount of time thereafter, not exceeding twenty-four (24) hours after proper tender of the notice of readiness, (Saturdays, Sundays, or other recognized weekly days of rest, U.S. Government holidays, and holidays observed at the delivery port, whether national or local, excepted in the computation of said twenty-four hour period). Hire shall commence upon acceptance of the Vessel by the Charterer but not before the date commencing in Box B1.
4. REDELIVERY
Unless lost, the Vessel shall be redelivered at a port or place in accordance with Box B1.
5. Ports/Places
5.1 Safety. The Charterer shall exercise due diligence to order the Vessel to safe berths or places (or alongside vessels or lighters reachable on her arrival and designated/procured by the Charterer) that the Vessel can approach, lie at, and depart from always accessible, always afloat. The Charterer shall not, however, be deemed to warrant the safety of any berth or place and shall not be liable or accountable for any loss, damage, injury, or delay resulting from any unsafe condition at any berth or place unless caused by the Charterer's failure to exercise due diligence as aforesaid. Any lightering will be at the expense of the Charterer; however, in the event the Charterer directs the Owner to arrange for lighterage services, the Owner shall make all necessary arrangements therefore.
5.2 Ice. The Vessel shall not be ordered or bound to enter any port or place inaccessible due to ice or at which lights, lightships, markers, or buoys on Vessel's arrival are (or are likely to be) withdrawn by reason of ice. The Vessel shall not be obliged to force ice. If a port or place to which the Vessel is ordered is inaccessible due to ice, the Master shall immediately notify the Charterer requesting revised orders and shall remain outside the ice-bound area. If there is danger of the Vessel being frozen in at any port or place, the Vessel shall, at Master's discretion, proceed to the nearest safe and ice-free position, at the same time requesting the Charterer's revised orders. Any delay or detention resulting from ice to be for the Charterer's account.
6. Charter Period
This Charter Party shall be for the period designated in Box B.1, commencing upon the Charterer's acceptance of the Vessel and continuing until either the date of her redelivery or the completion of the voyage then current, at the Charterer's sole option. Any option periods shall be in direct continuation; shall be without guaranty at the Charterer's sole option; and shall be declared as specified in the PWS. Optional periods may be declared at any time prior to redelivery of the Vessel.
7. Insurance
7.1 Vessel Owner’s Insurance.
7.1.1 During the full period of this Charter Party, Contractor shall maintain marine insurance coverage on the Vessel, including:
i. Hull and Machinery,
ii. Protection and Indemnity (P&I) (including pollution liability),
iii. War Risk Hull and Machinery,
iv. War Risk Protection and Indemnity (P&I), and
v. Second Seaman’s War Risk.
Except as otherwise expressly provided in Section 7.1.3 below or as expressly provided in Section 7.1.3 below or as expressly provided in the section entitled “War” , all expenses for such insurance coverage (including but not limited to premiums, additional premiums, calls, commissions, overspill claims, advancements, assessments, deductibles, and all other insurance costs regardless of Charterer or Contractor fault, neglect, action or inaction, or cause of claim or cost whatsoever) shall be for Contractor’s account and shall be deemed to be included in the hire payable under this Charter Party. Within 10 calendar days following award of this contract, Contractor shall provide the Contracting Officer copies of policies or cover notes evidencing that required coverage has been obtained and demonstrating that the coverage is consistent with the requirements of this section. Contractor’s failure to provide the required policies or cover notes may be considered material breach of this contract.
Contractor shall make insurance claims under applicable policies for all damages, injuries, or claims arising from or related to this charter when directed by Charterer regardless of Charterer’s fault, neglect, action, inaction, or breach of clauses, obligations or warranties (express, implied or otherwise) of this charter contract.
7.1.2 Contractor shall obtain an endorsement on all of Contractor’s insurance policies by which Contractor’s Insurer “waives all rights of subrogation against the United States of America up to an amount of $350,000,000.
7.1.3 If Vessel is sent beyond the limits of American Institute Trade Warranties under this Charter Party, the Charterer agrees to reimburse the Contractor for the actual extra cost of additional premiums and/or increased deductible levels to the extent such extra cost is occasioned by the Vessel’s trading beyond such limits. Contractor shall immediately notify Charterer whenever any sailing orders will send the Vessel beyond such limits, shall identify to Charterer any anticipated additional cost of insurance relating thereto, and shall obtain Charterer’s approval to proceed beyond such limits prior to doing so. If Contractor fails to provide the notifications required or to obtain Charterer’s informed prior approval, Charterer shall not be required to reimburse the Contractor for the costs described in this paragraph. The issuance of sailing orders, by itself, does not constitute approval in advance by Charterer.
7.1.4 All policies shall contain an endorsement stating that “in the event Insurer receives from Vessel Owner any notice of cancellation or any notice of material change to the policy or its coverage, the cancellation or change shall not be effective until 30 days after written notice thereof is provided to Charterer’s Contracting Officer by the Insurer (unless such change is directed by the Charterer’s Contracting Officer).” Additionally, Contractor shall immediately notify Charterer of any change whatsoever in coverage.
7.2 Charterer Named Additional Assured on Owner’s Hull Policy, War Risk Hull Policy, and Second Seaman’s War Risk Policy.
7.2.1 The United States of America (as Charterer) shall be named as an additional assured with waiver of subrogation under the Contractor’s Hull and Machinery policy (and Increased Value policy if applicable), War Risk Hull and Machinery policy, and Second Seaman’s War Risk policy. Within 10 calendar days following award of this contract, Contractor shall provide the Contracting Officer copies of policies or cover notes evidencing that the required coverage has been obtained.
