PERFORMANCE WORK STATEMENT

1.1 Mission. The Military Sealift Command (MSC) request one U.S. flagged vessel to support Explosive Ordnance Disposal (EOD) Group ONE/Mobile Dive and Salvage (MDS) diving operations and training exercises.

1.2 Area of Operation. The vessel will operate out of the Naval Base San Diego in San Diego, California and the Pacific Ocean.

1.3 Operating Scenario. The vessel will support underway and local pier-side EOD/MDS diving operations and training, surface-supplied diver training/operations on a continuous 24-hour basis in water depths between 40-300 feet. The vessel shall be prepared to carry a certified hyperbaric chamber per US Coast Guard and US Navy requirements, replenishment/minor maintenance support, and personnel support. The vessel will also support loading, storage and discharge of Government materials and equipment, arranging for any shore-side equipment if required for load/discharge operations.

1.4 Operational Support. Services shall be 24 hours a day support to include but not be limited to the following:

a. Launch and recovery of divers

b. Logistical support (i.e. messing, berthing, communications, and physical training facilities, etc.)

c. At sea transfer of personnel and cargo alongside or astern in up to sea state 3;

1.7 Charter Period: About 12 days, 07 - 18 November 2016

1.8 Laydays: 7 November 2016, 0700

1.9 Certifications. The vessel shall have a valid and applicable United State Coast Guard (USCG) Certificate of Inspection and American Bureau of Shipping (ABS) or an International Association of Classifications Societies (IACS) member society classification. The vessel, launch and recovery systems, cranes, weight handling equipment and unique shipboard storage appliances shall be maintained and shall be classed by the ABS (or equivalent society).

1.10 Endurance and Seakeeping. The vessel must be capable of supporting at-sea operations for up to 12 days without resupply. In addition, the support ship shall be able to operate in conditions up to and including sea state 5 and conduct launch and recovery of divers up to sea state 3.

1.11 Flag. U.S.-flagged vessel.

1.12 Water Depth. Vessel shall facilitate operations in water depths of 40 – 300 feet

1.13 Speed. Minimum 8 knots transit speed.

1.14 Station Keeping. Able to deploy and maintain a minimum of a two point moor in up to 280 fsw or be equipped with an operable Dynamic Positioning System Two (2) or equivalent. The vessel shall be capable of maintaining a specific heading at speeds of one knot or greater and maintaining station within a 150-foot radius of the established position in conditions up to and including winds of 30 knots and Sea State 5 (up to 12 feet). If applicable, the vessel shall provide two (2) fully qualified, certified Dynamic Positioning Officers, in order to support 24/7 operations and training.

1.15 Deck Space. The vessel shall have 2,500ft of contiguous open deck space of sufficient deck strength to load the required GFE/CFE below. The vessel shall also have the capability to conduct universal four-point lashing to the deck. Vessel must provide support equipment for handling the GFE/CFE including a forklift for maneuvering them onboard and securing them to the deck in accordance with federal regulations.

1.15.1 Government-Furnished Equipment (GFE)

a. One (1) NAVSEA certified Standard Navy Double-Lock Recompression Chamber System (SNDLRCS) including an Air Supply Rack Assembly (ASRA): consists of a standard 20’x 8’x 8’ ISO shipping container (26,500 lbs fully loaded).

b. One (1) Air Diving System: 10’ x 10’ area

c. Deck Space for dressing divers (Dive Staging Area) 12’ x 12’ area

d. One (1) ISU-90 (10’ x 10’ x 8’; 10,000lbs).

e. One (1) Air Compressor for Chamber Support and Scuba Charging (6’x 4’, approximately 2,300lbs)

f. Salvage training aid. 20’ x 8’ x 8’ approx.: 6,500 lbs All deck stored equipment shall be griped or stowed to support open ocean transit in sea states equaling vessel’s sea state capability.

1.15.2 Contractor-Furnished Equipment (CFE)

a. One (1) FDA approved Automated External Defibrillator (AED) unit stored in a location that is accessible to trained responders.

b. Sufficient certified and load tested rigging equipment to support sponsor operations. Crane capable of safely lifting and deploying overboard the Salvage Training Aid specified in Para 1.15.1.f.

c. Shower head with cold and hot fresh water adjacent to diver drying rack station.

d. Deck lighting to support night time maintenance and launch and recovery.

1.16 Electrical Power. The vessel must be able to provide sufficient electrical power in the vicinity of the Government Furnished Equipment (GFE) identified in this document. At a minimum, four (4) 480 VAC, 100-amp (Delta) outlets, four (4) 220 VAC 3-phase, 60-amp, 60 Hz outlets and four (4) 208 VAC 3-phase, 60-amp, 60 Hz outlets shall be provided. All GFE and Sponsor support and habitability areas require 60 Hz.

1.17 Fresh Water. The vessel shall provide a minimum of 2,000 gallons of potable water production to support embarked personnel and crew living onboard, and including an additional 2,000 gallons fresh water daily on back deck for miscellaneous use including, but not limited to, equipment wash down.

1.18 Dive Staging Area. The vessel shall be equipped with a Diver’s Staging Area for launching and recovering divers. At a minimum, staging area must consist of water access by ladder or removable bulkhead.

1.19 Meals. The contractor shall provide three (3) galley-prepared cafeteria-style meals and hotel services for up to twenty (20) embarked personnel (not including vessel crew) when underway. The contractor shall provide snack foods and bottled water for embarked personnel.

1.20 Berthing. The vessel shall support berthing for up to twenty (20) embarked personnel in addition to vessel crew. Curtained off bunks are acceptable. Clean linens and access to 24hr self-service laundry shall also be provided.

1.21 Port Services. The contractor shall have the employ of an agent to arrange for all port services on a reimbursable basis during this charter. Port services shall include tugs, pilots, berthing, potable water, shore power, trash and garbage removal, and oily waste removal including small boat bilge waste, sewage removal, hazardous material removal, line handlers, dedicated telephone service and liberty launch services.

1.22 Communication Equipment. The vessel shall carry Marine VHF and a ship’s cell phone and shall accommodate the integrations of GFE communications equipment and antennas including secure HF/VHF/UHF/SATCOM. The contractor shall allow embarked personnel internet connectivity while underway. The contractor shall be prepared to enact Emissions Control procedures as required by NAVSEA OP 4 at any time embarked personnel are conducting demolition buildup procedures.

1.23 Navigation Equipment. The vessel shall be equipped with gyrocompass with repeaters, GPS and radar. The radar shall be capable of surface search to a minimum of 25 NM.

1.24 Air Conditioning. The contractor shall ensure all communications equipment is climate-controlled with a maximum temperature of 80 degrees F. Communications equipment requires climate (AC/DH) control. All interior berthing and work spaces shall be climate controlled

52.212-1 (ADDENDUM) ADDITIONAL INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS

In accordance with FAR 12.302 (Tailoring of provisions and clauses for the acquisition of commercial items) the following shall take precedence over the un-tailored paragraphs.

0. This procurement is a FAR Part 12 acquisition being conducted under the FAR SubPart 13.5, Test Program for Certain Commercial items." After receipt of proposals the Government may, with or without notice, negotiate with and, if desired, seek proposal revisions from as many or as few offerors as it, in its discretion, deems appropriate.

0. Proposal and proposal modifications (e.g., proposal extension) may also be submitted electronically in response to this solicitation by e-mail directly to kolby.harold@navy.mil the designated E-mail addresses and inboxes for receipt of E-mail submissions. No other electronic means of submission, used in whole or in combination with E-mail, is permitted.

0. Proposals may be hand delivered or mailed. Proposals/modifications must be submitted via e-mail in Adobe Acrobat (.pdf) format, and must be compatible with Adobe Acrobat Reader 8.0 or later version. Proposals/modifications must contain either a verifiable electronic signature (e.g. PKI enable certificate), or a scanned image of the handwritten signature of the Offeror or Offeror's agent. Offerors are advised that delays in the receipt of e-mail do occur, and the Offeror is solely responsible for timely receipt of offers by the Government regardless of any problems or delays related to computer hardware or software systems including, but not limited to, servers and firewalls. An E-mail proposal that resides on a Government server, but has not appeared in the designated E-mail inbox by the due date and time for proposal submission will be considered late. Offerors are advised that the Government may be unable to receive other types of electronic files (e.g., .zip files) or files in excess of 20 megabytes. For electronic proposal/modifications, the only acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers is the receipt of the E-mail proposal, readable, in its entirety in the designated E-mail inbox by the due date and time for proposal submission. Any other timestamp or meta-data of the Offeror's sent e-mail shall not be construed as sufficient documentation of the Government's receipt of an e-mailed offer. It is the Offeror's responsibility to ensure the proposal has been received in the designated E-mail inbox by the due date and time.

0. Proposals/extensions may be mailed/carried to the address shown in Box 9 on the SF 1449 with attention to Kolby Harold.

0. Access to the Norfolk Naval Station is restricted. Offerors and couriers and other delivery services may encounter unpredictable and lengthy delays or denied access when attempting to enter that facility. Similarly, mailed and emailed proposals may encounter unpredictable and lengthy routing delays. In all cases, Offerors are responsible for the risks associated with the chosen delivery method and for ensuring that the Government receives the complete proposal at the appropriate designated location prior to the due date and time for proposal submission.

0. Failure of an offer to address any items in the Performance Work Statement may make the offer unacceptable and/or may result in it not being considered for award.

0. Offerors are encouraged to submit offers using the Submission Package, Attachment A. The Submission Package contains forms for the proposed Minimum Vessel Characteristics, the Offered Rates, and Special Time Boxes. Vessel Characteristics Sheets, Rate Sheets or other documents may be substituted but must address the details in these forms.

0. Representations and Certifications clauses that offerors are required to complete are also provided.

0. Past performance information shall include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information).

0. Unless offeror proposes a shorter period, by submission of an offer, offeror agrees that its offer, including any timely revisions thereto, shall remain valid until the Government makes award under this solicitation. The foregoing does not preclude an offeror from withdrawing its offer prior to award.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)

(A) The Government will evaluate offers on a Lowest Price, Technically Acceptable (LPTA) basis. The technical factor will be evaluated on an acceptable/unacceptable basis. Technical tradeoffs will not be made and no additional credit will be given for exceeding the minimum requirements of the solicitation. Award will be made to the responsible offeror with the lowest evaluated price proposal whose offer conforms fully to the solicitation requirements and meets the acceptability standards for all non-price factors. In order to be considered awardable, an offer must receive an acceptable rating in every non-price factor/subfactor. In selecting the lowest-priced, technically acceptable offer, the following factors will be considered:

(B) Evaluation of Factors

(1) Technical.

The Government will review the offeror’s proposed vessels characteristics submitted in the submission package to ensure that the capability of the proposed vessels meet the Government’s needs as described in the Performance Work Statement. The evaluation will consider if the offer meets the minimum requirements stated in the solicitation. Any offer that does not meet the minimum requirements shall be evaluated as Unacceptable.

(2) Price

A. The offeror’s price proposal will be evaluated based on the value of the charter hire offered for the entire period of performance, mobilization and demobilization costs and any other costs set forth in the offer. For evaluation purposes the period of performance will consist of 12 days. This will represent the overall cost to the Government. Government provided reimbursable costs will not be part of the total evaluated price.

B. The total charter hire will equal the offered daily rate multiplied by 12 days. The other costs will be stated in the mobilization/demobilization amount in the offeror’s proposal in the box for mobilization/demobilization.

C. Price analysis techniques will be used to determine price reasonableness. The price must be determined to be fair and reasonable prior to award. Materially unbalanced offers will not be considered for award.

(C) In the event only one technically acceptable offer is received, price analysis will be conducted using recent similar contracts, price indices, the Government estimate and/or other price indicators as deemed necessary by the Government. However, pursuant to FAR 15.403-3(b), if there are unusual circumstances where it is concluded that additional information is necessary to determine the reasonableness of price, the Contracting Officer will, to the maximum extent possible, obtain the additional information from sources other than the offeror so as to preclude the up-front submission of cost and pricing data. Additionally, the Contracting Officer will, to the maximum extent practicable, limit the scope of the request for information relating to this procurement to include only that information that is in the form regularly maintained by the offeror as part of its normal operations. If a fair and reasonable price cannot be determined from price analysis, the Government will request cost and pricing data.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (JUL 2016) ALTERNATE I (OCT 2014)

The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certification electronically via the System for Award Management (SAM) Web site located at https://www.sam.gov/portal . If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (r) of this provision.

(a) Definitions. As used in this provision-- “Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

Sensitive technology—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned—

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Veteran-owned small business concern” means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern --

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127),” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.

(b)

(1) Annual Representations and Certifications. Any changes provided by the offeror in paragraph (b)(2) of this provision do not automatically change the representations and certifications posted on the SAMwebsite.

(2) The offeror has completed the annual representations and certifications electronically via the SAM website accessed through https://www.acquisition.gov. After reviewing the SAM database information, the offeror verifies by submission of this offer that the representation and certifications currently posted electronically at FAR 52.212-3, Offeror Representations and Certifications—Commercial Items, have been entered or updated in the last 12 months, are current, accurate, complete, and applicable to this solicitation (including the business size standard applicable to the NAICS code referenced for this solicitation), as of the date of this offer and are incorporated in this offer by reference (see FAR 4.1201), except for paragraphs ___ . [Offeror to identify the applicable paragraphs at (c) through (q) of this provision that the offeror has completed for the purposes of this solicitation only, if any. (B) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(ii) Examples.

(A) The taxpayer has received a statutory notice of deficiency, under I.R.C. §6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appear rights.

(B) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. §6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals Contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(C) The taxpayer has entered into an installment agreement pursuant to I.R.C. §6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(D) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. §362 (the Bankruptcy Code).
