A "Qualified U.S. Contractor" is a private individual or enterprise (hereinafter described as a "U.S.
Contractor") that, in accordance with procedures established by the Under Secretary of Defense for Research and Engineering, certifies, as a condition of obtaining export-controlled technical data subject to the Directive from the Department of Defense, that:
(1) The individual who will act as recipient of the export-controlled technical data on behalf of the U.S.
Contractor is a U.S. citizen or a person admitted lawfully into the United States for permanent residence and is located in the United States;
(2) Such data are needed to bid or perform on a contract with the Department of Defense, or other U.S.
Government agency, or for other legitimate business purposes in which the U.S. Contractor is engaged, or plans to engage. The purpose for which the data are needed shall be described sufficiently in such certification to permit an evaluation of whether subsequent requests for data are related properly to such business purpose.
(3) The U.S. Contractor acknowledges its responsibilities under U.S. export control laws and regulations
(including the obligation, under certain circumstances, to obtain an export license prior to the release of technical data within the United States) and agrees that it will not disseminate any export-controlled technical data subject to the Directive in a manner that would violate applicable export control laws and regulations.
(4) The U.S. Contractor also agrees that, unless dissemination is permitted by the Directive, it will not provide access to export-controlled technical data subject to the Directive to persons other than its employees or persons acting on its behalf, without the permission of the DOD component that provided the technical data.
(5) To the best of its knowledge and belief, the U.S. Contractor knows of no person employed by it, or acting on its behalf, who will have access to such data, who is debarred, suspended or otherwise ineligible to perform under U.S. Government contracts; or has violated U.S. export control laws or a certification previously made to the Department of Defense under the provisions of the Directive.
(b) Private individuals or enterprises are certified as Qualified U.S. Contractors by submitting a DD Form 2345 to

DLSC.

52.215-20 REQUIREMENTS FOR COST OR PRICING DATA OR INFORMATION OTHER THAN
CERTIFIED COST OR PRICING DATA (OCT 2010)
(a) Exceptions from certified cost or pricing data. (1) In lieu of submitting certified cost or pricing data, offerors may submit a written request for exception by submitting the information described in the following subparagraphs.
The Contracting Officer may require additional supporting information, but only to the extent necessary to determine whether an exception should be granted, and whether the price is fair and reasonable.

(ii) Commercial item exception. For items priced using catalog or market prices, or law or regulation , access does not extend to cost or profit information or other data relevant solely to the offeror's determination of the prices to be offered in the catalog or marketplace.
(b) Requirements for certified cost or pricing data. If the offeror is not granted an exception from the requirement to submit certified cost or pricing data, the following applies:
(1) The offeror shall prepare and submit certified cost or pricing data, data other than certified cost or pricing data, and supporting attachments in accordance with the instructions contained in Table 15-2 of FAR 15.408, which is incorporated by reference with the same force and effect as though it were inserted here in full text. The instructions in Table 15-2 are incorporated as a mandatory format to be used in this contract, unless the Contracting Officer and the Contractor agree to a different format and change this clause to use Alternate I.
As soon as practicable after agreement on price, but before contract award (except for unpriced actions such as letter contracts), the offeror shall submit a Certificate of Current Cost or Pricing Data, as prescribed by FAR 15.406-2.

52.211-14 NOTICE OF PRIORITY RATING FOR NATIONAL DEFENSE, EMERGENCY PREPAREDNESS, AND ENERGY PROGRAM USE (APR 2008)
Any contract awarded as a result of this solicitation will be rated order; DO rated order certified for national defense, emergency preparedness, and energy program use under the Defense Priorities and Allocations System (DPAS) (15 CFR 700), and the Contractor will be required to follow all of the requirements of this regulation.
52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
Offers will be evaluated on the basis of the lowest price, technically acceptable, past performance acceptable offer. In order to be considered awardable, an offer must be rated “acceptable” in every non-price factor. Offers must meet the specifications in the solicitation and any subsequent amendments.
PROPOSAL SUBMITTAL REQUIREMENTS:
1. Technical Acceptability:
The offer must be determined to be technically acceptable before further consideration will be given.
Product Information: Offerors must ensure that any product requirements called out for in the PWS are identified by manufacturer name and have the commercial literature to demonstrate the capabilities. In the technical proposal there must be a determination written by the offeror that the supplied material meets or exceeds the Government’s performance requirements as set forth in the PWS, RFP, and any subsequent amendments.
Compliance/Exceptions: If product literature does not clearly demonstrate compliance with the requirements of the PWS, the offeror must submit a Compliance/Exception document that clearly explains how the proposed product meets the PWS requirements. On a separate sheet of paper state: whether the offer complies or does not comply with the specifications; identify any “exceptions” to the specifications;
and how the offered supplies/services differ from the applicable specification paragraph above. Failure to comply with this requirement may result in rejection of the offer.
2. Past Performance Acceptability:
The offer must be determined to have acceptable technical and past performance before further consideration will be given.
Offerors shall demonstrate past performance by completing the Past Performance Worksheet (See attachment 1) for three (3) of your most recently completed Federal Government contracts (not to exceed three years since completion) for like or similar items under this solicitation. If you do not have any Federal Government contracts, then list state, local, or commercial contracts, in that order, to complete your Past Performance Worksheet. Offerors are encouraged to submit brief and concise responses. Failure to submit the Past Performance Worksheet may be considered certification that the contractor has no past performance for like or similar items for the Government to evaluate.
3. Price - Offerors are required to submit prices for all line items.
EVALUATION INFORMATION:
1. Technical Acceptability:
Offers must meet or exceed the specifications in the solicitation and any subsequent amendments. The offer must be determined to be technically acceptable before further consideration will be given. The product information as specified in the proposal submittal requirements will be evaluated to determine if the proposed product(s) meets or exceeds the technical requirements as specified in the solicitation document.
Should the product information be insufficient to determine technical acceptability, the Government reserves the right to use other options such as internet research on company’s/companies’ website of products offered/proposed.
Technical will be assessed according to the following evaluation ratings and criteria format provided in the below Rating Table.
Technical Evaluation Rating Table
Rating Description
Acceptable Proposal clearly meets the minimum requirements of the solicitation.
Unacceptabl e
Proposal clearly does not meet the minimum requirements of the solicitation.
2. Past Performance Acceptability:
The offeror’s past performance must be determined to be acceptable before further consideration will be given. Based on an analysis of the past performance record of the offeror, the Government must have a reasonable expectation that the offeror will successfully perform the required effort. If the offeror’s past performance record is unknown, the offeror may not be evaluated favorably or unfavorably, and will therefore be rated as acceptable. The past performance information will be evaluated as acceptable or unacceptable based on the degree to which the offeror satisfied its customers in the past and complied with applicable Federal, State, and local laws and regulations. Past performance references for efforts providing applicable experience relative to the solicitation requirements will be given greater consideration. The offeror shall provide a maximum of three (3) references. The Past Performance Worksheet, attachment 1, included in the solicitation may be used for providing information. Offerors shall include an accessible point of contact, including name and telephone number, for each reference provided.
The Government may contact some of each offeror’s customers to ask whether or not they believe: (1) that the offeror is capable, efficient and effective; (2) that the offeror’s performance conformed to the terms and conditions of its contract; (3) that the offeror was reasonable and cooperative during performance; (4) that the offeror was committed to customer satisfaction; and (5) that the offeror was able to hire and retain qualified personnel necessary for successful completion of customer requirements. Additionally they may ask if given a chance would they select the same or a different Contractor and/or other questions related to the offeror’s ability in the areas outlined in this Factor.
The Government may consider past performance information obtained from sources other than those identified by the offeror, such as published media and electronic databases. Only past performance that is relative to the specified item will be evaluated. It is the responsibility of the offeror to relate past performance to the specifications. Government evaluators may utilize federal, state, and local past performance databases including, but not limited to, Past Performance Information Retrieval System (PPIRS), Contractor Performance Assessment Reporting System (CPARS), and DLA’s Mechanization of Contract Administration Services (MOCAS) system. The Government may research offeror performance on any federal, state, local, and commercial contract performance of the offeror that is known to the Government, but not included on the submitted Past Performance Worksheet, attachment 1; additionally, the personal experience and evaluator knowledge of offeror performance may be utilized.
The Government will consider the relevance of past performance information obtained in relation to the scope of this procurement. Past performance, either positive or negative, which is considered by the Government to be more closely related to the scope of this effort, will be given greater weight in the evaluation process.
Past Performance will be assessed according to the following evaluation ratings and criteria format provided in the below Rating Table.

3. Price: Offerors are required to submit prices for all line items. Failure to submit a price for any line item may result in the offer being rejected as unacceptable. The prices will be compared to the Government Estimate, other offers received and/or other independent price and cost information. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. Evaluation of options shall not obligate the Government to exercise the options(s). The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced.
A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party.
Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
